This agreement is entered into between Purgatory Golf Club (hereinafter referred to as the Club ) and the undersigned applicant(s) (upon acceptance for Annual Membership agreement called Member ). 2 - 2 - SECTION I: ANNUAL MEMBER FEE S 2017 *See 2017 Annual Membership Pricing PDF SECTION II: TERMS AND CONDITIONS Annual Membership in the Club does not make the Member(s) financially responsible for any obligations of the Club, and a Member is guaranteed against assessments of any kind for any purpose. Likewise, the Membership does not confer upon a Member(s) right to ownership or equity interest whatsoever in any property or appurtenances of the Club. As an applicant or as accepted Member, it is understood and agreed that, as such, the applicant and/or Member does not acquire, maintain or establish any vested rights, undefined privileges of equity in the Club or in the Membership therein. The Club reserves the right to change terms of Membership and/or the fees or charges upon reasonable notice. The Club reserves the right to accept or reject any and all applications. This contract and the Rules and Regulations of the Club control all aspects of the Annual Membership. The Club reserves the right to modify, amend or alter those Rules and Regulations, as it may deem necessary from time to time. The Club reserves the right to suspend or terminate the Annual Member for violating any of the Rules and Regulations. Annual Members are entitled to the privileges listed below: SECTION III: Privileges Annual Members shall have golfing privileges based on their membership classification (subject to availability) to Purgatory Golf Club. Annual Memberships do not include play in certain events, outings, leagues, etc.; these events require an additional fee. We kindly ask that all Annual Members gain permission from the golf professional staff prior to playing. We are happy to offer a great playing opportunity to our annual members. Guests of members will be required to pay the standard rate of play. Please notify the golf course of your Purgatory membership status and we ask that present your membership card when checking in. We will offer an Unlimited Range Pass that carries unrestricted use. The pass will retail for $300 per person with an early pay discount provided for members. The driving range and practice area will be closed prior to April 1, 2017 and after October 31, 2017 unless changed by Management. To help us provide the very best practice surface we kindly ask that all annual members follow these restrictions and do not hit from the tee area when the range is closed.

3 - 3 - SECTION IV: POLICIES Guest Fee: The guest fee for members bringing accompanied guests will be the Devotional Card rate for that time period. Restrictions on guest usage will be monitored and may be enforced at the discretion of the Director of Golf or the General Manager. Alcohol Policy: Please be mindful that under State Law alcohol may not be brought on-site. All alcohol must be purchased from Purgatory. Violators will be asked to leave immediately and suspension from golf privileges is possible. As caring members please refrain from bringing alcohol onto Purgatory premises. Cancellation Policy: The cancellation policy is as follows: members reserving tee-times will be responsible for not cancelling the reservation 24 hours prior to the reservation. Failure to cancel (by phone or in person please get cancellation number for your benefit) the reservation at least 24 hours in advance, and that tee-time is subsequently not re-sold, the member will be charged $25 per tee slot booked under their name. Members are provided a courtesy (2) no-shows/ no cancellations before a fee will be charged. Should weather be a factor in the decision not to play, no penalty will be enforced. However, weather cancellations must be valid weather causes such as rain, snow, temperatures, etc. After the courtesy maximum occurrences we will provide Gift Cards for the penalty charged that may be used at the Club. The cancellation policy is in effect during the season of May 1 October 31 and will not be enforced by fee penalty before and after these dates. Please do not ask staff for special privileges. The Cancellation policy requires each member to place a valid credit card (or debit card) on file. This notice and Member initials will serve as agreement and authorization to charge said credit card for charges listed above. Date: SECTION V: MEMBERSHIP TERMS & COURSE AVAILABILITY The annual membership term will be from the date of application acceptance to December 31 st of the same calendar year. Annual memberships are valid for the calendar year only. However, golf services and privileges are limited to the golf season only and are subject to the availability of the facility. Tee Time Reservations: Annual members will have the ability to reserve tee times two weeks in advance. General: Annual members must present themselves to the golf staff in the clubhouse prior to start of play, and must book their tee time under their name or member number. Annual golf members and their guests must abide by the individual golf club s rules and regulations and respect the rights of all fellow golfers, guests and staff members. Failure to do so may result in the member s privileges being suspended by the Director of Golf or the General Manager.

4 - 4 - Suspended members are not entitled to any refund of the membership fee but may appeal their suspensions to management. SECTION V: RESIGNATION/TERMINATION Annual Memberships are subject to termination for failure to honor the financial obligations described in this Agreement or for persistent disregard of the Rules and Regulations of the Club. In the event of any such termination for cause, the Member shall not be entitled to a refund of any portion of the fee paid, or other fees, and all amounts owed prior to termination shall continue to be owing to the Club. In addition, the Club reserves the absolute right to terminate the Member upon thirty (30) days prior written notice to the Member(s) with or without cause. Upon termination of the Annual Member by the Club, the Annual Member shall be entitled to a refund of any pre-paid fees on a prorated basis as follows: (assumes paid in full for the year); January 1 March 15, - 100% March 16 - April 30, - 80% May 1 June 15, - 50% June 16 - July 31, - 20% August 1 December 31, - 0% SECTION V: ASSIGNMENT The Club reserves the right to assign or transfer all its rights, entitlements, obligations and duties in this membership contract to any person or entity; and the Annual Member hereby agrees that any such assignment or transfer shall be effective upon thirty (30) days written notice to the Annual Member. The Annual member may not assign his or her rights or obligations described in this Agreement without the prior written consent of the Club, which consent may be withheld in the sole and absolute discretion of the Club. In consideration of the mutual promises and covenants herein, the undersigned do execute this contract as the final and complete agreement between them. 5 - 5 - RULES AND REGULATIONS Members will be subject to all Club Rules, Regulations and to the following; 1. Starting Times. Purgatory Golf Club members may obtain starting times fourteen days in advance. Management reserves the right to evoke special considerations for events and out-oftown guests. Starting times are required for all play and may be obtained in the golf shop. 2. Members will be responsible for damage to any property of the Club, caused by member or member s family, guests or invitees. 3. Use of the Club facilities is at the sole risk of the member, and member waives any claim for loss or damage to member s property in connection with member s use of the facilities. 4. Member agrees to hold the Club harmless for any and all injuries incurred while on the Club property. 5. Annual Membership expires on December 31, 2017 following application approval unless otherwise extended by club management, or terminated for violation of the Club s rules and regulations. Any renewal is subject to approval by the Club at its sole discretion. 6. All facilities, equipment, hours, prices, services, rules, regulations and policies of the Club are subject to change at the sole discretion of the Club. 7. A Members use is limited to the facilities at Purgatory Golf Club and does not extend to any other properties and / or businesses. 8. Member acknowledges that the entire property or a portion thereof known as Purgatory Golf Club may be closed from time to time at the discretion of the Club, for special events and routine or necessary maintenance and repairs. Such events or routine maintenance and repairs will not cause the Member to receive any additional consideration or reimbursement for the lost time and opportunity. 9. All players are required to register in the golf shop prior to any play. 10. Proper golf attire is expected for all players. Cut-off jeans, swimsuits, or tank tops are not acceptable. Men must have shirts with sleeves at all times. 11. No more than four players may play together at any time. The General Manager or Director of Golf reserves the right to adjust this number on those rare occasions when circumstances may allow. 12. All players shall observe proper golf etiquette including repair of all ball marks, raking of bunkers and replacing of divots. 13. Improper conduct such as (but not limited to) rude, harassing, or threatening behavior towards any other member, guest, or staff member will not be tolerated. Violation of this provision may result in suspension or termination of Membership without refund 14. Golf Cars can only be driven by players who are over the age of 16 and have a valid driver s license. 15. Range Pass Members will have unlimited usage of range balls from April 1, 2017 to October 31, The Director of Golf or General Manager reserves the right to close the range when conditions or events warrant.
