The undersigned hereby applies for a Membership at Maple Ridge Golf Club and agrees to pay the $ non-refundable membership fee to the Club in the method of payment selected by marking the applicable box in Section 2 below. The undersigned hereby acknowledges and agrees that the required non-refundable membership fee set forth above in Section 1, plus all applicable taxes, shall be paid to the Club in the method selected below: Option 1: 100% of the required membership fee shall be paid to the Club upon submitting this Application for Full Membership Privileges to the Club. If the undersigned fails to pay the amounts described above as and when due, then the Full Membership and all privileges at Maple Ridge Golf Club shall automatically terminate at the option of the Club and the Club shall be entitled to retain any portion of the membership fee previously paid as liquidated damages and not as a penalty, or the Club, at its option, may elect not to terminate the membership privileges and to accept a late payment. If the Club accepts a late payment and does not terminate the membership privileges, then interest at the highest permissible rate per annum shall be due on the amount of the payment from the original due date until the date the payment is made. 3. Membership Fee is Not Refundable. The undersigned hereby acknowledges and agrees that the membership fee paid to the Club pursuant to the Application for Full Membership Privileges for a Full Membership at Maple Ridge Golf Club is not refundable, unless the undersigned is not approved for membership. 4. Payment of Club Membership Account. All dues, fees, food, beverage, merchandise, services and other charges of the Club charged to the member s Club account will be billed monthly and shall be due upon receipt and shall be deemed delinquent if not paid by the twentieth day of the month in which the statement was mailed. The undersigned hereby agrees to pay all dues, fee and other charges incurred by the undersigned, immediate family members and their guests and to pay the Club account when due. Past due bills will accrue a late fee each month in an amount equal to a minimum late fee established by the Club from time to time and/or interest at the maximum, non-usurious rate permitted by law from the date of the statement until paid in full. The undersigned further agrees to pay all reasonable attorneys fees, investigation fees and other costs incurred in connection with the collection of delinquent accounts. The membership card(s) shall remain the property of the Club at all times and shall be returned to the Club upon request. 9 application cont. 5. Membership Privileges At Maple Ridge Golf Club Are Non-Equity. Membership at Maple Ridge Golf Club is not an investment in the Club or the Club Facilities and does not provide the member with an equity or ownership interest or any other property interest in the Club or the Club Facilities. Membership at Maple Ridge Golf Club allows the member to use the Club Facilities, but does not grant to the new member a vested or prescriptive right or easement to use the Club Facilities. Members do not have any interest in the income of the Club and do not have the right to receive any of the Club s assets if the Club is dissolved or sold. A member only obtains a non-exclusive revocable license to use the Club Facilities in accordance with the terms of the Membership Plan, as amended. 6. Receipt of Membership Plan. The undersigned hereby acknowledges receipt of the Plan for the Offering of the Memberships at Maple Ridge Golf Club and the Rules and Regulations dated January, 2007 (collectively, the Membership Plan ), and agrees to abide by all of its respective terms and conditions as amended from time to time. The undersigned hereby acknowledges and understands that Maple Ridge Golf Club Limited Partnership, a Georgia limited liability company, doing business as Maple Ridge Golf Club (collectively, the Club ), currently owns and operates the facilities provided at Maple Ridge Golf Club. Upon signing this Application for Full Membership Privileges, the undersigned applicant authorizes the disclosure and release of information to Maple Ridge Golf Club for investigating the undersigned s qualifications for membership, authorizes those persons or entities herein to furnish information to Maple Ridge Golf Club and authorizes Maple Ridge Golf Club and authorizes Maple Ridge Golf Club to order a consumer credit report. This Application for Full Membership Privileges and the resulting membership privileges at Maple Ridge Golf Club shall be governed by and construed in accordance with the laws of the State of Georgia without regard to principles of conflict of laws. 11 Merchandise buyers club The Maple Ridge Merchandise Buyer s Club offers merchandise on a cost plus basis. Cost plus is defined as wholesale cost including freight costs plus a discounted markup. While this program is strictly voluntary, the benefits to members of Maple Ridge will produce tremendous savings on all merchandise purchases. Maple Ridge Merchandise Buyer s Club members can purchase all (except as restricted by vendor) merchandise at cost plus 15% with the payment of the annual $100 membership fee. Here are the program specifics: All golf equipment will be priced at cost (including freight) plus 15%. A limited amount of inventory will be stocked, with the shop able to process special orders quickly. Golf balls will be priced at cost ( including freight) plus 15% Soft goods (shoes, gloves and hats) will be priced at cost (including freight) plus 15% Apparel would be priced at cost (including freight) plus 15% The Shop will stock logo merchandise, as well as basic non-logo apparel.
