2 Midland Golf and Country Club James Playfair, a local businessman, built the nine hole Midland Golf and Country Club in the year Membership at the Club was only possible by personal invitation from Mr. Playfair as he was the chief financier and owner. In 1923 the Club was purchased by the membership and governed by a Board of Directors with James Playfair as Chairman of the Board. Mr. Playfair passed away in 1937 and the Board immediately decided to welcome new applicants to the Club dependent upon an endorsement by two active members. In 1967 an additional nine holes was introduced to compliment the original nine holes. In recent years the Club has enjoyed a renaissance thriving on continuous improvements both aesthetically and financially. The Club has witnessed a growth from approximately 250 members in the early 1990 s to nearly 520 active equity shareholders presently. Midland Golf and Country Club was originally designed by Nicol Thompson, the older brother of famous Canadian golf course architect Stanley Thompson. Doug Carrick, a student of Thompson designed golf courses, was hired in the early nineties to begin a long range plan for capital improvements to the golf course. Doug Carrick s direction was to enforce the classic feel and design of a golf course built in Mr. Carrick has exceeded everyone s expectations. Midland Golf and Country Club now boasts the only complete golf experience in the area. Eighteen holes of classic golf course architecture allows for an enjoyable challenge for both the casual and advanced golfers. A C.P.G.A. employed professional golf shop, state of the art turf care facility, an exceptional irrigation system, and intimate dining and banquet amenities are among the many attributes contributing to the complete golf experience. Midland Golf and Country Club will be one of the friendliest memberships you will ever come across. The Club is a pro-active, gender neutral Club with equal access for the entire membership. The Club offers an assortment of membership opportunities and user friendly fees that will aid in assisting the individual needs and payment plans allowing membership to the Club attainable. 3 Membership Categories and 2009 Fee Structure ORIGINAL 8 TH HOLE 1919, NOW THE 11 TH HOLE A Midland Golf and Country Club Membership provides access to a challenging and enjoyable golf experience with the opportunity to socialize, enjoy nature and experience the excellent cuisine. Regular Adult Membership: $1, Annual Dues All regular adult members shall be between the ages of 28 and 64 and must own one Common Share and one Class C Preference Share in the Club. Each regular adult member may only own one of each. All regular adult members shall have full privileges of membership including a vote in the affairs of the Club. Senior Adult Membership: $1, Annual Dues A member who reaches the age of 65 years of age before January 1 st of the registrant s year will be deemed to have attained senior adult member status. A senior adult member must own one Common Share and one Class C Preference Share in the Club. Each senior adult member may only own one of each. All senior adult members shall have the privileges of membership including a vote in the affairs of the Club. Intermediate Non-Voting Membership: $ Annual Dues All Intermediate Non-Voting Members shall be between the ages of 19 and 27 with full privileges of membership without having a vote in the affairs of the Club. Junior Non-Voting Membership: $ Annual Dues All Junior Non-Voting Members shall be between the ages of 10 and 18 and shall have access to the golf course and clubhouse as prescribed from time to time by the Board of Directors and will have no vote in the affairs of the Club. (GST IS APPLICABLE ON ALL DUES, AS WELL AS THE GOLF ASSOCIATION OF ONTARIO DUES OF $28.00) Capital Assessment: $ All membership categories, excluding the Intermediate Membership and Junior Membership, will be responsible for payment of a Capital Assessment fee. Annual Club Minimum: $ All membership categories, excluding the Intermediate Membership and Junior Membership, will be responsible for an Annual Club Minimum billing. The Annual Club Minimum is for Food and Beverage, and Pro Shop retail merchandise purchases exclusively.

4 Midland Golf and Country Club Class C Preference Share A Class C Preference Share is mandatory for all classes of membership excluding intermediates and juniors, and is due with the submission of the application for membership. COST: $2, GST per person is one time purchase and is non-transferable. The Class C Share is fully refundable upon ceasing to be a member in good standing, in accordance with the Supplementary Letters Patent. Initiation Fee The Initiation Fee is mandatory for all classes of membership excluding intermediates and juniors. $2, GST per person; one time purchase and is non-refundable. Payment Options Payment for the Annual Dues and Class C Preference Share are due with the submission of the application and may be paid by cheque or credit card. Payment options for the Initiation Fee include: 1. A one time payment by cheque or credit card. 2. 5 Share Subscription Agreement The undersigned hereby subscribes for the one common share of the MIDLAND GOLF & COUNTRY CLUB, LIMITED and one Class C Preferred Share of the MIDLAND GOLF & COUNTRY CLUB, LIMITED with the share attributes to be in accordance with the Supplementary Letters Patent were approved at a Shareholders Meeting of the Midland Golf and Country Club, Limited held on March 30, 2001, at a price of ONE DOLLAR ($1.00) per Common Share and TWO THOUSAND DOLLARS ($ GST) per Class C Preferred Share and acknowledges and agrees as follows. COST: $ GST upon the issuance of One Class C Preferred Share to be registered in the name of the undersigned as set out below. I have enclosed here with a cheque payable to the order of MIDLAND GOLF & COUNTRY CLUB, LIMITED pending the issuance of the said Class C Preferred Share in accordance with the Supplementary Letters Patent to be issued by the Ministry of Consumer and Commercial Relations. 1. Statement of Disclosure in respect to the Ruling of the Ontario Securities Commission; 3. The undersigned acknowledges that the share certificates representing the Class C Preferred Share and the Common Share to be issued to the undersigned shall be held by and remain in the possession of the Secretary of the Midland Golf and Country Club, Limited (The Club ) on behalf of the undersigned and that the undersigned shall have no right to the possession of such certificates.

If the undersigned ceases to be a Playing Member of the Club, as defined by the by-laws of the Club from time to time, the undersigned hereby grants to the Club the option of purchasing the Common Share owned by the undersigned for a purchase price of $1.00. Such option may be exercised by the Club at any time after the undersigned ceases to be a Playing Member. 5. The undersigned acknowledges that if the undersigned ceases to be a Playing Member, the Club has no obligation to redeem the Class C Preferred Share owned by the undersigned. Upon the Club obtaining subscription proceeds from the issue of Class C Preferred Shares to new Playing Members, the Club will use reasonable efforts to purchase the Class C Preferred Share of all shareholders who have ceased to be Playing Members in the order in which they ceased to be Playing Members. 6. Upon the undersigned ceasing to be a Playing Member, the undersigned hereby irrevocably appoints the President of the Club or failing him, the Secretary of the Club or failing him, a Director of the Club as his attorney and proxy to exercise all voting rights attached to the Common Share or Class C Preferred Share held by the undersigned at all meetings of the shareholders of the Club at which such voting rights may be exercised. 7. The undersigned hereby appoints the President and/or Secretary of the Midland Golf and Country Club, Limited to execute such documents and assurances as may be required to give effect to any purchase for cancellation of the one Common Share or any redemption of the Class C Preferred Share held by the undersigned.
