1 Page 1 of STALLION BREEDING CONTRACT This contract certifies that, herein referred to as Mare Owner/Agent, has engaged one service to the stallion CBS WHITECOLLAR RIDE, Owned by herein referred to as the Stallion Owner, for the mare,, Reg #(s), Reg Association(s): for the 2019 breeding season Fees: $650 Breeding Fee with $200 Booking Fee included $500 Early Booking Special if booked before Oct. 31 st $200 Booking Fee Included $290 weekday Collection/Shipping, $200 on farm pickup, or $300 Saturday delivery Counter to Counter shipping $420 Stallion Service Auctions will be charged a $100 Chute fee. World Champion and World Champion Producers: $0 Stud Fee, just pay shipping Collection Days are Mon, Wed, and Fri and require at least 24 hours notice prior to collection date. TERMS AND CONDITIONS 1. Stud Fee: The mare owner shall pay a stud fee of $650 payable to the Stallion Owner () which includes a non-refundable booking fee of $200 payable with this agreement. If Booking before October 31 st, 2018 mare owner shall pay a stud fee of $500 payable to the Stallion Owner () which includes a non-refundable booking fee of $200 payable with this agreement. By paying this booking fee it reserves the mare a place in the stallion's 2019 book. The remainder of the stud fee and any other fees are due prior to the first shipment of semen. Should more than one foal result from this breeding, mare owner must pay an additional Stud Fee of $ to Stallion Owner. World Champion mares and World Champion producing mares breed for just the cost of shipping. Be sure to list accomplishments on the Mare Information page of this contract. 2. Shipping: The mare owner shall pay a shipped semen fee of $290 for each weekday overnight FedEx shipment of semen. Friday collection for Saturday FedEx delivery will be a charge of $300. Counter to counter same day $420. Shipped semen fees are non-refundable and charged to the provided card directly after collection. No semen will be shipped without payment in full. Should mare not become pregnant on first collection, a second fee of $290/$300/$420 for shipping will be due upon second collection and so on. *Fees are subject to change if FedEx/Airlines raise their rates during the year. Mare Owners requesting Shipped Semen must complete the Shipped Semen Request on the Bella Vista Website.

2 Page 2 of 3 3. Live Foal Guarantee: The mare owner shall be entitled to one re-breed for the mare listed in this contract the following year if she does not deliver a live foal. A live foal is defined as a foal that stands and nurses for at least 48 hours. This guarantee shall apply only if the stallion owner has received proper notification that the mare proves barren, aborts or produces a still born foal. The Mare owner certifies that such abortion or death did not result from any act or omission of the Mare Owner. If in the following year the mare is not covered, bred or does not deliver a live foal then this contract will be null and void and no refunds, re-breed, or fees will be returned/given to Mare Owner. 4. Mare Owner warrants that mare is in sound breeding condition and free from disease and/or infection. Stallion Owner reserves the right to request negative uterine culture, biopsy, or cytology prior to shipping semen should the Mare Owner request multiple shipments. 5. Mare Registration: A COPY OF THE MARES REGISTRATION PAPERS, WITH CURRENT OWNER LISTED OR LEASE AGREEMENT MUST ACCOMPANY CONTRACT. The owner recorded on the registration certificate will be recorded on the stallion breeding report. Acceptable registrations (AQHA, APHA, Jockey Club and ApHc). Any other breed organizations must be approved by the Stallion Owner in writing. 6. Breeding Season: For purposes of this agreement, the breeding season shall begin February 1st and close June 15th of the year on this agreement. Collection days are Monday, Wednesday, and Friday. Mare owner must provide 24 hours notice to stallion owner when requesting semen. If the request is under the 24 hour requirement, there is no guarantee that semen will be available. A rush fee of $100 may be assessed for shipment orders placed with the Stallion Owner under 24 hours in advance of collection time, as the stallion is hauled in for collection. If your mare is being ultrasounded on a collection day please let the Stallion Owner know ahead of time that you may need a collection that day. There is no fee for cancelled requests prior to 9AM EST on collection days. All Requests must be confirmed prior to 9AM EST on collection day with the Stallion Owner. No requests will be processed after 9AM EST. on collection days unless previous arrangements have been made with the Stallion Owner. 7. Stallion Owner/Breeding Facility assumes responsibility only to package semen in viable condition based upon industry standard breeding practices for cooled shipped semen. Stallion Owner/Breeding Facility will not be responsible for untimely delivery and/or condition of the semen once it has left our custody. The mare owner shall assume all responsibility for the condition of the mare and shall bear all risk of loss or damage to the mare whatsoever by death, disease, injury, infection or otherwise, and by any cause whatsoever, including inappropriate, untimely, or negligent insemination or failure of insemination, and therefore releases discharges, indemnifies and holds harmless Stallion Owner/Breeding Facility from any liability for any and all damages associated therewith. The mare owner hereby agrees to pay all expenses and attorney's fees incurred by the Stallion Owner in defending any claims for which the mare owner has agreed to release, discharge, indemnify and hold harmless Stallion Owner. When available two doses of semen will be included in each shipment. In the event that more than one request for semen be made on the same day, requests will be processed as they are received by the Stallion Owner. 8. Breeder s Certificate: A Breeder s Certificate will be issued only after Mare Owner has notified Stallion Owner that the mare has produced a live foal and all bills on the mare have been paid in full. 9. If the original mare on this contract should become unsuitable for breeding, the mare owner may substitute a new mare subject to acceptance by Stallion Owner. This substitute mare shall be bred under the same terms and conditions as the original mare. If the above described stallion dies or becomes unfit for service then the breeding fee (not including the booking fee) shall be refunded to the Mare Owner. 10. This contract contains the entire understanding of the parties and may be modified only by a writing signed by all parties. The invalidity or unenforceability of any term or provision of this contract shall not affect the validity or enforceability of any remaining provisions hereunder. This contract shall be construed and governed by the laws of the state of Ohio, and the parties expressly agree the jurisdiction and venue for any and all disputes arising under this contract shall be proper only in Morrow County, Ohio. In the event that the Stallion Owner incurs attorney's fees and/or legal costs in securing or protecting any right available to it under this contract or under the laws of the state of Ohio, the customer agrees to pay said attorney's fees and costs.
