1 2017 CALL FOR AWARDS ENTRIES The 2017 URC Unsurpassed Dealer Awards Competition is open for entries. All URC Dealers in good standing are eligible to participate. Winners will be announced at CEDIA Who is eligible to enter? As long as you purchase and install URC products directly from URC or from an authorized URC distributor, you are eligible to enter. Which programs are eligible for entry in 2017? URC installations that occurred in calendar year 2016 or 2017 are eligible for entry. United States and International installations are eligible. Total Control, MX HomePro and Complete Control installations are eligible. What are the categories? 3 2017 RELEASE FORM For valuable consideration received from or on behalf of Universal Remote Control, Inc. (URC), the receipt of which is hereby acknowledged, (RELEASER) grants to URC, their assigns, successors and heirs, the unlimited right to use RELEASER S name, business identity, likeness, spoken and/or written statements, image or photograph (WORK PRODUCT) in conjunction with any form of marketing activity including but not limited to mutual promotions or public relations. WORK PRODUCT may be edited for marketing purposes provided that such editing does not significantly alter the intent of the original. Furthermore, let it be known that in all matters related to the WORK PRODUCT, RELEASER does hereby remise, release, acquit, satisfy, and forever discharge URC of and from all manner of action(s), cause(s) of action, suits, debts, sums of money, accounts, reckonings, bonds, bills, specialties, covenants, contracts, controversies, agreements, promises, variances, trespasses, damages, judgments, executions, claims and demands whatsoever, in law or in equity, which said RELEASER ever had, now has, or which any personal representative, successor, heir or assign of URC, hereafter can, shall or may have, against said URC, by reason of any matter, cause or thing whatsoever, from the beginning of time to the date of this instrument. 4 2017 RULES AND GUIDELINES INTRODUCTION The URC Unsurpassed Dealer Awards competition showcases the exceptional work of our URC dealers and is free to all eligible URC dealers in good standing. Winners will be: Recognized at CEDIA 2017 Shipped an exclusive awards plaque Featured in URC marketing There is no limit to the number of projects a dealer company may enter. Awards will be presented on Thursday, September 7, 2017 at CEDIA 2017 in San Diego CA. Details to follow. Winners will be notified in advance. A notification will be sent to the dealer contact provided on the competition entry form. URC reserves the right to contact your authorized regional distributor. Any entry that fails to follow competition rules will be disqualified. Any physical materials mailed to URC become the property of URC and will not be returned. Incomplete entries will have no opportunity for re-submission in 2017 and will not be considered in There is no limit to the number of entries you may submit per category or overall. All entries are FREE of charge to the URC dealer. If you need to withdraw an entry, please contact URC immediately at awards@universalremote.com By submitting an entry in The URC Unsurpassed Awards competition, you agree to receive any and all s from URC regarding these awards, the program and related. In the case of any dispute as to suitability or eligibility of entry, the judgment made by URC will be the sole deciding factor. ELIGIBILITY The entrant must be a URC direct dealer and/or a URC dealer purchasing through an authorized URC distributor. For all categories, the completion date of the project must fall between January 2016 and August Projects entered in any category are required to have been completed for paying clients. All projects submitted require the customer and the dealer sign the Release Form If the form is not complete, the project will not be considered. JUDGING All entries will be reviewed by a panel of URC managing executives and technical staff. This panel will determine all winners in the competition. Judges reserve the right to decline to issue a particular award if none of the eligible entries merit recognition. A tie situation may arise from time to time for awarding more than one dealer in a specific category. URC judges reserve the right to award more than one dealer an award in the same category. All decisions made by the URC judges are final. ENTRANT RELEASE AND PUBLIC RELATIONS By submitting a URC Unsurpassed Awards entry, the entrant ( Entrant ) grants to Universal Remote Control, Inc., a nonexclusive, perpetual, royalty-free, worldwide license to use, in any manner and in any medium URC determines in its sole discretion provided that such use is consistent with URC s purposes as a manufacturer, all photographs, depictions, testimonials and writings submitted by Entrant, and Entrant and Entrant s customer hereby agrees to indemnify, defend and hold URC harmless from any and all claims, demands and damages that arise out of or relate to any claims brought by any person or entity to title to or on account of infringement or other use or misuse of such photographs and writings, such damages to include, without limitation, actual, statutory, compensatory, consequential, exemplary and punitive damages and attorneys fees. By submitting a project for consideration, all Dealers agree to be named in the press, covered in the press, and used for URC marketing purposes without exception. End customer / client names will not be cited. A URC release form must be signed by both the Dealer Company and the End Consumer for the project to qualify. If it is not signed, the submission will not be considered. AWARD USE Recipients of awards presented by URC are allowed to display the awards that they have won from URC. All display or advertisement of such awards must be truthful and may not be misleading, inaccurate or ambiguous. All awards must be displayed or advertised with the correct name of the award. The entity that displays the award must state conspicuously the year in which the award was won, or that the recipient is a past recipient of the award. PAGE 4

5 2017 RULES AND GUIDELINES Any display or advertisement of the URC award may not include any statement or implication of URC s approval or sponsorship of the entity displaying the award or any other entity, other than the fact that the award was presented by URC to the recipient. No company may display URC s logo in connection with displaying or advertising the award unless that company is an authorized URC dealer in good standing or a dealer buying through an authorized URC distributor, or unless the URC logo is incorporated into the award as presented by URC. No entity may alter the appearance of the award itself or any reproduction of the award for display purposes. No award may be duplicated or copied except by photographic means and then only for inclusion in advertising the award. PHOTO AND LOGO STANDARDS Entries are required to submit clear, high-resolution photos and dealer logos. Submit photos in the largest file size possible. Photos should be at least 300 pixels/inch. This assures that the entry will be suitable for judging, on-screen presentation and subsequent marketing initiatives. Digital camera, cell phone and tablet photos are acceptable as long as they are visually strong images shot in proper lighting conditions. To avoid recognition of the entrant and/or client, no people should appear in any photos unless it is a hand, back of a head or otherwise unrecognizable method of showing a person. Company names and logos and client names must be removed from all images submitted. Required photos and dealer / client release form must be ed at the same time as the entry or will not be accepted, and thereby disqualified from this awards program. Copyrighted Material Notice: It may be tempting to add real images of TV programs, movies, album cover art and related to the submission by placing a still image from a movie or television show on the display screens shown in submitted photos. However, URC strongly advises against placing images on display screens that may contain copyrighted material, including movie/tv still photos, and band photos or album cover art and related copyrighted media. If URC believes your images may contain copyrighted material, we reserve the right to decline to display your images and/or edit the images to remove the material in question. However, URC assumes no obligation to police submissions for improper content. If you wish to enhance the display screens shown in photos, we recommend using royalty-free stock images from a reputable stock photo provider. Basic photo editing for attributes such as color balance, brightness, cropping, etc., is acceptable. Inserting stock photos into a display screen (such as a TV) is or on a smartphone or tablet is acceptable. Photo editing to remove or obscure information that could identify the client or entrant is acceptable. Altering images in a way that has the potential to mislead URC judges about the nature of the project is unacceptable and may result in disqualification. PAGE 5
