1 PREAMBLE We the Cameroon National Olympic and Sports Committee, an organization member of the International Olympic Committee, duly represented by the signatories herein under; Aware of the responsibilities placed upon us by the laws and regulations in force in Cameroon; Concerned by the need to actively contribute to the education and coordination of the national sports movement with a view to enhancing its efficiency; Determined to work for the development of Cameroonian in the social, cultural and sports domains; Desirous to preserve the image of an Olympic movement in the service of peace and solidarity in the world; DO HEREBY DECLARE AS FOLLOWS: We shall abide by the Olympic Charter as well as by the Anti doping Code. We shall undertake to: Participate in all actions in favour the promotion of women in sports; Support and encourage the promotion of peace and of sports ethics; Give due consideration to problems relating to the environment; Abide by rules 28 to 32 as well as the bye laws to Rules 28 and 29 of the Olympic Charter. PART ONE: GENERAL PROVISIONS CHAPTER ONE: NAME, DURATION, HEAD QUARTERS, AFFILIATION, MISSION, GOALS Article 1: The Cameroon National Olympic Committee, established in 1963 and recognized by the I.O.C. shall, with effect from the date of adoption of these 1

2 Statues, be known as CAMEROON NATIONAL OLYMPIC AND SPORTS COMMITTEE, abbreviated CNOSC. Article 2: The Cameroon National Olympic and Sports Committee shall be a none political and none profit association having legal status. It shall be governed by the Olympic Charter and by the laws and regulations in force in Cameroon. Article 3: The duration of CNOSC shall be unlimited. Article 4: The Head Quarters of CNOSC shall be in Yaounde, provided that it may, for reasons of force majeure, be transferred to any other place in the national territory by a 2/3 majority of members present in an Extraordinary General Assembly convened for that purpose. Article 5: The CNOSC shall be affiliated to the International Olympic Committee (OIC), the Association of National Olympic Committees (ANOC), the Association of National Olympic Committees of Africa (ANOCA). I. CNOSC s Mission. Article 6: The mission of CNOSC shall be to develop and protect the Olympic Movement in conformity with the Olympic Charter. To accomplish its mission CNOSC shall cooperate with governmental and non governmental bodies, provided that it shall not be involved in any activity whatsoever, in contradiction with the Olympic Charter. II. Goals Article 7: CNOSC shall abide by the fundamental principles of the Olympic Movement. In this wise, it shall, in accordance with the Olympic Charter, pursue the following goals: 2

Group together all organs of a national dimension which administer physical or sports activities duly declared within the framework of the law laying down the Charter of physical and sports activities in Cameroon. 2. Represent the Cameroon sports movement in all matters of general interest before public authorities and official bodies both in Cameroon and abroad, excluding International Federations and African Organizations under them. CNOSC shall have exclusive powers to liaise with IOC, ANOC, ANOCA and foreign National Olympic Committees. 3. In general, do everything directly or indirectly required for the development of the practice of sports in Cameroon. 4. Contribute inter alia, in the inclusion and propagation of Olympism through Physical and Sports Education curricula in schools and universities. To this effect it shall ensure the proper functioning of the Cameroon National Olympic Academy, the National Olympic Museum as well as the development of programmes in collaboration with the Olympic Movement. 5. Act against any form of discrimination based on race, religion, politics, gender etc, and against any form of violence in sports. 6. Adopt and implement the world anti-doping code while seeing to it that anti-doping rules and regulations of the CNOSC, the conditions for affiliation and/or for financing and for the management process of results comply with the world anti-doping code and respect the roles and responsibilities of NOCs that are mentioned in the world antidoping code. 7. Work to maintain the relations of harmony and cooperation with governmental and non governmental bodies, provided that CNOSC shall preserve its autonomy and resist any pressures, including those of a political, religious or economic origin likely to prevent it from abiding by the Olympic Charter. 3

4 8. Propagate the fundamental principles of Olympism nationally within the framework of sports activities (Rule of the Olympic Charter). 9. Ensure that Cameroon abides by the Olympic Charter (Rule of the Olympic Charter). 10. Help to train sports administrators Rule of the Olympic Charter). III. Obligations Article 8: 1. CNOSC shall have the obligation to participate in the Olympic Games by sending athletes as provided for under Rule 28 paragraph 3 of the Olympic Charter. 2. CNOSC shall form, organize and lead the Cameroon delegation to the Olympic Games and to regional, continental or world multi sports competitions patronized by the IOC, in accordance with Rules 28 and 29 of the Olympic Charter. 3. It shall also be responsible for the conduct of the members of the Cameroon delegation to the Olympic Games. 4. CNOSC commits, while participating in the Olympic Games, to abide by Rule 38 and the bye law, as well as Rule 45 and the bye law. IV. Powers Article 9: CNOSC shall have exclusive powers to represent Cameroon in the Olympic Games, and any Regional, Continental or world multi Sports competitions governed by the IOC. It shall have the powers to choose the candidate for the city to host Olympic Games. Regarding the organization of the Olympic Games, CNOSC commits to abide by Rules 35 and the bye law, Rule 36 and the bye law as well as Rule 37 of the Olympic Charter. 4

5 CHAPTER 2: EMBLEM Article 10: The emblem of CNOSC, adopted by the General Assembly and approved in accordance with Rule 32 of the Olympic Charter shall be presented as a whole dynamic set made up of three distinct elements and representing: - The lion, symbol of Cameroon sport; - The national flag (green, red yellow); - The Olympic rings, emblem of union and solidarity. The three elements of the lion are: 1) A curved lion claw with national colours finely sharpened at the end and a base in two arcs of circles; a yellow star place in the middle of the red strip, representing the sun fiery symbol of faith and unity. 2) From the base, are coming out five Olympic rings interlaced in sign of solidarity. 3) The head of the lion that comes out of the set built by the claw and the rings connotes majesty, the strength and the boldness that characterize Cameroon sport, in implementation of the rule in force and accepted by CNOSC The claw and the head of the lion are supported by a black basis with white writings mentioning Cameroon in English, from the appellation of our Olympic Team, Cameroon Olympic Team. Article 11: CNOSC shall comprise: PART TWO: COMPOSITION, MEMBERSHIP CHAPTER 3: COMPOSITION 1. IOC members who are citizens of Cameroon; 2. All National Federations affiliated to the International Federations recognized by the International Olympic Committee which administer sports included in the Olympic Games programme in pursuance of Rule of the Olympic Charter and which, in addition, are recognized as the sole bodies administering their sport in Cameroon, 5

6 in accordance with the regulations in force and admitted by CNOSC, in the implementation of the regulation in force and accepted by CNOSC; 3. National Federations affiliated to International Federations recognized by the IOC and whose sports are not included in the IOC programme; 4. Multi sports Federations recognized by the laws in force and admitted by CNOSC; 5. School and university Federations recognized by the laws in force and admitted by CNOSC; 6. National sports oriented organizations recognized by CNOSC; 7. Regional Olympic and Sports Committees Presidents; 8. Presidents of International or Continental Federations who are citizens of Cameroon, whose National Federations are recognized by CNOSC; 9. Associate members; 10. Presidents of the Organization of Military Sports in Africa (OSMA) and/or the International Council of Military Sports (CISM) who are citizens of Cameroon; 11. Two active athletes or former athletes who have participated in the Olympic Games. Article 12: In accordance with Rule 29.3 of the Olympic Charter, National Sports Federations administering sports included in the Olympic Games programme must form the voting majority in the General Assembly and the Board of Directors. Article 13: 1. Temporary admission of Federations or organizations shall be decided by the Board of Directors, provided that it shall be ratified by the next nearest General Assembly of CNOSC; 2. The General Assembly may grant associate membership to national bodies not mentioned in any of the categories provided for in the two preceding sub paragraphs which make a recognized contribution in the domain of sports and the defence of sports ethics. 3. The General Assembly of the Cameroon National Olympic And Sports Committee can grant the title of member of honour, honorary member or well-wisher to persons who have rendered meritorious services to sports; 6

7 4. Public authorities shall not designate any member of CNOSC. However, CNOSC may, at its discretion, decide to elect as members, representatives of the said authorities. CHAPTER IV: CESSATION OF MEMBERSHIP. Article 14: Membership of the Cameroon National Olympic and Sports Committee can cease: 1. Through the dissolution of the Federation or Organization in question; 2. Through resignation or death; 3. Through dismissal by the Board of Directors after hearing the accused for: a) Failure to pay the annual dues; b) Pursuing objectives contrary to those laid down by the Statues and bylaws of the Cameroon National Olympic And Sports Committee; c) Breach of the Statues of the Cameroon National Olympic and Sports Committee; d) Refusal to implement a decision of the CNOSC General Assembly; e) Being sentenced for a crime. Article 15: 1) Any member dismissed by the Board of Directors in pursuance of article 14 sub 3 herein above can appeal to the CNOSC General Assembly. The General Meeting, after hearing the complainant and examining the case, can only overturn the dismissal decision by a ¾ majority of the members present and voting. 2) Any member dismissed from IOC, ANOC or ANOCA shall not be a member of CNOSC. PART THREE: ADMINSTRATIVE: ORGANS. Article 16: CNOSC shall carry out its activities through the following organs: The General Assembly; The Board of Directors; The Executive Bureau; 7

8 The Regional Olympic and Sports Committees; The CNOSC Standing Committees; The Conciliation and Arbitration Chamber. CHAPTER 5: GENERAL ASSEMBLY I. Definition Article 17: The general Assembly is the supreme organ of the CNOSC. II. Composition Article 18: The General Assembly shall be composed of: 1. IOC members who are Cameroon citizens; 2. National Sports Federations, national sports oriented organizations and the members mentioned under sub paragraphs 2, 3, 4, 5, 6, 7, 8, 9 and 10 of article 11 of this constitution. 3. Members of CNOSC Board of Directors; 4. Members of CNOSC Executive Bureau; 5. A representative of the Ministry in charge of sports; 6. The President of the Cameroon National Olympic Academy or his representative; 7. The Director of the Nation al Olympic Museum or his representative; 8. The Head of Military Sports; 9. The President of the National Association of Sports Journalists (ANAJS); 10. Two Representatives of elite athletes or former athletes who have participated in the Olympic Games, provided that the latter must withdraw from that status not later than the end of the 3 rd Olympiad following the last Olympic Games in which they participated; 11. Honorary members; 12. Honour members; 13. Well-wishers; 14. Co-opted members. III. Attributions 8

9 Article 19: The General Assembly shall lay down the guidelines of CNOSC policy. It shall consider and pass resolutions in conformity with the spirit and goals of CNOSC and the Olympic Charter. It shall elect the members of the Board of Directors as provided for under articles 38 and 39 herein under. It shall consider for adoption: a. The minutes of its previous meeting; b. The progress report of the Board of Directors; c. The budgets submitted to it by the Board of Directors. It shall grant membership status to honorary members, honour members, well-wishers, associate members or co-opted members, as proposed by the Board of Directors. It shall define the guidelines for the organization of the Cameroon National Games. It shall hear appeals from members dismissed by the Board Directors and pass the final judgment. It shall appoint auditors for a four year duration. General Assembly officers shall be the same as for the Executive Bureau. IV. Ordinary General Assembly Article 20: The Ordinary General Assembly shall take place every two years. It shall hear the progress report presented by the CNOSC Board of Directors and decide on the previous audited financial statement as well as on the budget being proposed. V. Extraordinary General Assembly Article 21: The President of CNOSC may call an Extraordinary General Assembly 9

10 on his own initiative; At the request of 2/3 of the members of the General Assembly or At the request of the members of the Board of Directors. VI. Quadrennial General Assembly Article 22: An ordinary Quadrennial General Assembly shall take place every four years during the quarter which follows the closure of the Olympic Games. It shall consider for approval the reports of the Olympiad (President s administrative report, the Secretary General s progress report, the Treasurer General s audited financial statement well as the audit report). It shall elect the members of the Board of Directors. A. Convening notices Article 23: Convening notices for both Ordinary and Extraordinary General Assemblies as well as for the ordinary Quadrennial General Assembly, together with the agenda, shall be sent to statutory members, not less than 15 days prior to the date of the meeting. B. Quorum, Proxy Article 24: 1) The proceedings of the General Assembly shall only be binding if attended by a quorum made up of one half plus one of the members of the Meeting. If the quorum is not attained, the General Assembly will be reconvened within fifteen days and the quorum shall then be made of the members present. 2) Proxy voting shall be authorized, provided that such proxy shall be duly legalized; however, no General Assembly member may hold more than one duly legalized proxy. Article 25: The decisions of the General Assembly, once adopted, shall immediately become enforceable. 10

11 C. Minutes The General Assembly minutes shall be sent to the statutory members who actually attended the General Assembly meeting, within 90 days of the adjournment of the said meeting. CHAPTER 6: BOARD OF DIRECTORS Article 27: 1. The Board of Directors is CNOSC s steering organ. The Board of Directors, elected by the General Assembly using the list system, for a four year renewable period. 2. It shall comprise 30 members, chosen within the General Assembly members, including 16 members representing Sports Federations governing sports included in the Olympic Games programme. IOC members who are Cameroon citizens shall be ex-officio members in accordance with Rule of the Olympic Charter. 3. The Director of Sports and the Presidents of International Sports Organizations shall attend Board of Directors meetings as ex-officio members. 4. The Board of Directors shall meet on a fixed date every six months. For proceedings to be binding, half the members will have to be present. Decisions shall be taken by a simple majority of the members present. In the event of a tie, the chairperson shall have the casting vote. 5. Minutes shall be kept of the proceedings. They shall be signed by the President and the Secretary General and filed at the CNOSC Head Quarters. 6. Members of the Board of Directors shall not accept any compensation or bonus of any kind in consideration for their services. Attributions Article 28: The Board of Directors shall implement the decisions taken by the General Assembly; 11

12 It shall grant provisional affiliation to National Sports Federations and decide on the termination of membership; It shall prepare the ordinary and extraordinary general meetings and the President shall convene members; It shall, at each General Assembly meeting present a detailed report on the CNOSC since its previous meeting; It shall prepare CNOSC s budget; It shall supervise the management of CNOSC s funds; It shall, where necessary make adjustments on the budgets submitted to the General Assembly; It shall consider and adopt the regulations and programme of Cameroon National Games; It shall approve the bye-laws of the Cameroon National Olympic Academy, the Museum, and the Conciliation and Arbitration Chamber; It shall fix the amount of annual subsidy allocated to CNOSC organs; It shall propose for approval by the General Assembly, honorary members, honour members, well-wishers, associate and co-opted members; It shall designate the members of the Cameroon National Olympic academy and of the National Olympic Museum; CHAPTER 7: EXECUTIVE BUREAU- COMPOSITION AND ATTRIBUTIONS Article 29: The Executive Bureau shall be the management organ of CNOSC. It shall comprise: a) Members elected: The President; 12

13 Five Vice Presidents; The Treasurer General; The Deputy Treasurer General IOC members who are Cameroon citizens b) Members appointed The Secretary General; The Deputy Secretary General. Article 30: The Executive Bureau shall implement the decisions of the Board of Directors. It shall run the day-to-day business under the supervision of the Board of Directors. A. The President The President, administrative head of the institution, shall ensure that CNOSC s aims are complied with and observed; In this wise, he shall instruct the Secretary General in the implementation of the decisions, resolutions and recommendations of the General Assembly and of the Board of Directors; The President shall represent CNOSC in all acts of civil life; He shall be the Official to authorized payments; He may delegate powers under conditions laid down in the bye-laws; He shall appoint the chairpersons and members of standing and ad hoc committees upon consultation with the members of the Executive Bureau. He shall appoint members of the National Olympic Academy of Cameroon, the National Olympic Museum, the Conciliation and Arbitration Chamber, the National Anti-doping Agency, the National Olympic Foundation, the Regional Olympic and Sports Committees and the Cameroon Olympic Marketing Agency. 13

14 If the President has to appear before a court of law, he may only be represented by a lawyer duly appointed and acting with the powers of attorney. The Vice Presidents assist the President in the discharge of his duties. They may receive delegation of signature and preside over standing or ad hoc committees. B. The Secretariat General Article 31: The Secretariat General shall be the administrative arm of CNOSC. Under the authority of the CNOSC President, the Secretary General shall carry out his duties on a permanent basis. He shall be appointed, on the basis of his qualities, by the Executive Bureau, following a proposal by the President of the CNOSC. The Secretary General shall supervise and co-ordinate the General Secretariat s activities. For that purpose, he shall receive delegation of signature from the CNOSC President. He shall be assisted in the discharge of his duties by a Deputy Secretary General appointed in the same conditions as him. The Secretary General shall take part in meetings of the Executive Bureau, the Board of Directors and the General Assembly in a consultative capacity in order to take the minutes. The organization and functioning of the Secretariat General shall be defined by the bye-laws. C. The Treasurer General Article 32: Under the authority of the CNOSC President, the Treasurer General shall be responsible for the financial and accounting management of CNOSC. He may be assisted by a Deputy. CHAPTER 8: REGIONAL OLYMPIC AND SPORTS COMMITTEES 14

15 Article 33: Regional Olympic and Sports Committees (CROS) shall be local bodies which may cover one or several administrative units. Their composition, organization and functioning shall be defined by the byelaws. CHAPTER 9: STANDING AND AD HOC COMMITTEES Article 34: The CNOSC President shall form standing and ad hoc committees as well as task forces as necessary; he shall define their mission and appoint their members. The President shall also decide to dissolve any such committees or task forces when he deems that their mission has been accomplished. No committee or task force meeting can take place without the prior consent of the CNOSC President. The President shall be a member as of right of each of the committees or task forces and shall have precedence when in attendance of their meetings. CHAPTER 10: ANNEX ORGANS Article 35: The role of CNOSC shall be to propagate the fundamental principles of Olympism and to promote culture and arts in the domain of sports, to fight against doping and to look for necessary financial means to achieve its objectives. To fulfill such a mission, the CNOSC shall ensure the proper functioning of the Cameroon National Olympic Academy, the National Olympic Museum, the National Anti-doping Agency, the National Olympic Foundation and Regional Olympic and Sports Committees. A. The Cameroon National Olympic Academy (CNOA) CNOA shall be an organ of CNOSC in charge of promoting Olympic research, culture and education throughout the territory of the Republic of Cameroon. 15

16 Members of CNOA shall be designated intuiti personae by the CNOSC President. Special Bye-laws shall lay down the rules for its functioning. B. The Cameroon National Olympic Museum The Cameroon National Olympic Museum shall be an establishment under CNOSC, charged with promoting the arts relating to sports and Olympism. The Museum shall be administered by a committee whose members shall be appointed by the CNOSC President. Its functioning shall be governed by a special regulation. C. The National Anti-doping Agency (NADA) The National Anti-doping Agency shall be a specialized body of the CNOSC, charged with promoting and coordinating all activities carried out in favour of the fight against doping in sport as well as the follow-up of relations with the World Anti-doping Agency. Its functioning shall be governed by a special regulation. D. The National Olympic Foundation (FONOC) The National Olympic Foundation shall be a body with financial autonomy, created within the CNOSC to encourage and support any initiative that could generate funds for the promotion of sport in Cameroon. Its functioning shall be governed by a special regulation. E. The Regional Olympic and Sports Committees (CROS) The Regional Olympic and Sports Committees shall represent the CNOSC in the various Regions in accordance with the division of constituencies by the State. 16

17 At the local level, CROS shall be in charge of developing, promoting, protecting the Olympic Movement and organizing regional competitions that shall qualify their various teams for the National Games of Cameroon. Their functioning shall be governed by a special regulation. CHAPTER 11: THE NATIONAL GAMES Article 36: 1) With a view to promote high quality sports and developed cultural and sports exchanges among Cameroonian athletes, CNOSC shall organize the National Games of Cameroon. 2) The Cameroon National Games shall be a multi sports competition. They shall take place every two years in a different town in Cameroon. 3) The regulations and organizational modalities for the Cameroon National Games shall be defined by special documents. CHAPTER 12: CONCILIATION, ARBITRATION, APPEAL Article 37: CNOSC commits to resolve any conflicts relating to the sports movement through conciliation or arbitration. A. Conciliation The Board of Directors shall draw up a list of conciliators. Regulations governing the Conciliation and Arbitration Chamber shall be approved by the Board of Directors. CNOSC shall guarantee the independence of conciliators. B. Arbitration The personalities on the list of arbitrators shall form, when the need arises, the Conciliation and Arbitration Chamber, when, on the request of one of the 17

18 parties, a sports oriented dispute is brought before the Cameroon National Olympic and Sports Committee. C. Appeal Any judgment given by the Conciliation and Arbitration Chamber of CNOSC shall not be subject to further appeal internally. However, an appeal can be lodged against such judgment to the Sports Arbitration Tribunal in Lausanne (Switzerland), which shall give the final judgment in accordance with the sports arbitration code. The time of appeal shall be 20 days following receipt of the decision against which an appeal is being lodged. PART FOUR: ELECTIONS CHAPTER 13: GENERAL REGULATIONS 1. General Conditions Article 38: National Sports Federations affiliated to International Federations whose sports are listed in the Olympic Games must make up the voting majority in CNOSC, the Board of Directors and the Executive Bureau. Every member of the General Assembly shall be eligible to both elect and be elected; provided that in issues concerning the Olympic Games, only the votes cast by the Board of Directors, the Executive Bureau and the National Federations affiliated to the International Federations governing the sports included in the Olympic Games programme shall be considered (Rule 29.3). Members of the Board of directors and of the Executive Bureau occupying posts at the time of elections shall be eligible for re-election. Members of the Board of Directors and of the Executive Committee shall hold office for four years. They shall be eligible for re-election. II. Electoral Code 18

19 Article 39: The election code of the Board of Directors shall be the list system. Voting shall be by secret ballot. The election results shall be by a simple majority of votes cast. The candidate head of the winning list shall be proclaimed the CNOSC President. The other Executive Bureau members, except for the Secretary General and the Deputy Secretary General, shall be elected by the Board of Directors upon the proposal of the Board Chairman. However, to seek membership of the Executive Committee, the applicant has to have been, for not less than one term of office, a Federation Chairman, a member of the Board of Directors, or, for not less than two terms of office, a member of the General Assembly. Copies of minutes of the meetings during which elections were held must be certified as authentic by the CNOSC President and the Secretary General. III. Incompatibilities. Article 40: The posts of President, Secretary General and Treasurer General shall be incompatible with any other elective post in a national sports federation or any national sports oriented organization. Election to one of these posts shall ipso facto require that the elected person abandon, not later than three months afterwards, the post he/she was occupying in the federation or national sports oriented organization. CHAPTER 14: POST VACANCY Article 41: When the President is incapable of performing the duties of his office, the Vice president, in the order of precedence, shall replace him until the end of his tenure of office. The interim President shall be eligible for re-election. In the event of a vacancy duly established of the post of Secretary General, the Executive Bureau shall appoint a new Secretary General in accordance with article 32.1 of these Statutes. 19

20 In the event of a vacancy duly established of the post of Treasurer General, he shall be replaced by his Deputy under the same conditions as for the President. PART FIVE: RESOURCES AND GRANTS Article 42: CNOSC s resources shall be derive from: IOC subsidies; Members contributions and subscriptions; State subsidies and grants; Proceeds from all marketing rights for a defined use, and under supervision, of the CNOSC emblem; Rights reserved during retransmission of sports events of all kinds by radio and television companies; Revenue from realties and properties; Proceeds from promotional operations relating to the organization of Olympic, intercontinental, continental, regional and national games; Proceeds from any other marketing and sponsoring operation. PART SIX: AMENDMENTS OF THE STATUTES AND DISSOLUTION Article 43: This Constitution may only be amended by the General Assembly upon the proposal of the Board of Directors or on the request of members of the General Assembly representing at least one half of the total number of votes available in the said General Assembly. The Constitution can only be amended by a 2/3 majority of members present at the General Assembly. The amendments decided upon must be referred to the IOC for approval. Article 44: 1) The General Assembly called upon to decide on the dissolution of CNOSC and convened especially for that purpose, must be attended by not les than 2/3 of its members; 20

21 2) If the quorum is not attained, the General Assembly shall be reconvened in 15 days, and at such a reconvened meeting, it can take binding decisions regardless of the number of national federations, multi sports, school sports, university sports, military sports or national sports oriented organizations present or represented and the number of votes available; Article 45: In the event of dissolution, the General Assembly shall appoint one or several commissioners to liquidate CNOSC assets. The net assets shall devolve upon one or several bodies pursuing similar goals. Article 46: The CNOSC President shall inform the IOC and the Minister for Sports, within one month, of all the changes that shall have taken place in the administration of the Association. Article 47: These Statutes must at all times and in all places abide by and observe and refer expressly to the Olympic Charter.
