In the event the name, address or NIC number/passport number/company number of the Applicant mentioned in the Application Form differ from the name, address or NIC number/passport number/company number as per the CDS records, the name, address or NIC number/passport number/company number as per the CDS records will prevail and be considered as the name, address or NIC number/passport number/company number of such Applicant. Therefore Applicants are advised to ensure that the name, address or NIC number/passport number/company number mentioned in the Application Form tally with the name, address or NIC number/passport number/company number given in the CDS account as mentioned in the Application Form. As per the directive of the Securities and Exchange Commission made under Circular No. 08/2010 dated 22 nd November 2010 and Circular No. 13/2010 issued by the CDS dated 30 th November 2010, all Debentures are required to be directly deposited in to the CDS. To facilitate compliance with this directive, all Applicants are required to indicate their CDS accounts number. In line with this directive, THE DEBENTURES ALLOTTED TO AN APPLICANT WILL BE DIRECTLY DEPOSITED IN THE CDS ACCOUNT OF SUCH APPLICANT, the details of which is indicated in his Application Form. PLEASE NOTE THAT DEBENTURE CERTIFICATES WILL NOT BE ISSUED. Debentures will not be allotted to Applicants who have not indicated their CDS account details in the Application Form. Applications which do not specify a CDS account number will be rejected. Applicants who wish to open a CDS account, may do so through a Member/Trading Member of the CSE as set out in Annexure II or through any Custodian Bank as set out in Annexure III of this Prospectus. If the CDS account number indicated in the Application Form is found to be inaccurate/incorrect or there is no CDS number indicated, the Application will be rejected and no allotments will be made. 16 1.0 PRINCIPAL FEATURES OF THE RATED UNSECURED REDEEMABLE DEBENTURES 1.1 INVITATION TO SUBSCRIBE Board of Directors of Central Finance Company PLC (hereinafter referred to as the Board ) by resolution dated 13 th March 2013 resolved to raise a sum of upto Sri Lanka Rupees One Billion (LKR 1,000,000,000/-) by an initial issue of upto One Million (1,000,000) Debentures each with a the Face Value of LKR 1,000/- and to raise a further sum of upto Sri Lanka Rupees One Billion (LKR 1,000,000,000/-) by an issue of up to a further One Million (1,000,000) of said Debentures, in the event of an oversubscription of the initial Issue. As such, a maximum amount of Sri Lanka Rupees Two Billion (LKR 2,000,000,000/-) would be raised by the issue of a maximum of Two Million (2,000,000) Debentures each with the Face Value of LKR 1,000/-. The rights of the Debenture Holders with respect to payment of the Principal Sum and accrued interest due thereon upon a winding-up of the Company will rank equal and pari passu with all other unsecured creditors of the Company, but in priority to and over the rights of any preference and ordinary shareholders. CFIN invites Applications for Debentures of Type A and/or; Debentures of Type B and/or; Debentures of Type C, which will rank equal and pari passu with each other without any preference or priority of any one or more than over the others except for tenor of the Debentures and the interest rates, as morefully described in Section 1.5. The face value of the Debentures will not be considered as forming part of Tier I and Tier II capital of the Company within the meaning of the Finance Business Act No. 42 of 2011 and any rules, regulations, directions or determinations issued thereunder for purposes of computation of its capital adequacy ratios. It is the intention of the Company to list the Debentures on the Main Board of the Colombo Stock Exchange. The CSE has given its in-principle approval for the listing of the Debentures on the CSE. 1.2 SUBSCRIPTION LIST Subject to the provisions contained below, the subscription list for the Debentures will open at 9.30 a.m. on 11 th June 2013 and will remain open for fourteen (14) Market Days including the Issue Opening Date until closure at 4.30 p.m. on 28 th June The invitation for this Issue will be closed on 28 th June 2013 or such earlier date at 4.30 p.m. with the notification to the CSE on which; The maximum of 2,000,000 Debentures are fully subscribed; or Board of Directors of the Company decides to close the Issue upon the initial Issue of 1,000,000 Debentures becoming fully subscribed. Applications can be made forthwith in the manner set out in Section 2.0 and duly completed Application Forms will be accepted at any one of the collection points set out in Annexure II of this Prospectus. 17 1.3 OBJECTIVES OF THE ISSUE The Company proposes to utilise the entirety of the funds raised through this Issue for the purpose of; Enhancing the Company s working capital base Strengthening medium term funding base of the Company Financing the growth of the lending portfolio of leases and hire purchases 1.4 TYPES OF DEBENTURES The Issue consists of three types of Debentures, namely Debentures of Type A, Debentures of Type B and Debentures of Type C, each with a Face Value of Rupees One Thousand (LKR 1,000/-). The Investors have the discretion of applying for Debentures issued under Debentures of Type A; and/ or Debentures of Type B; and/or Debentures of Type C. 1.5 INTEREST The Debentures comprise of Debentures of Type A, Debentures of Type B and Debentures of Type C and will carry a fixed rate of interest as described in the table below. Type A Fourteen decimal Two Five per centum (14.25%) per annum, payable quarterly on the Interest Payment Dates Annual Effective Rate of 15.03% per annum Type B Fourteen decimal Five Zero per centum (14.50%) per annum, payable quarterly on the Interest Payment Dates Annual Effective Rate of 15.31% per annum Type C Fourteen decimal Seven Five per centum (14.75%) per annum, payable quarterly on the Interest Payment Dates Annual Effective Rate of 15.59% per annum Interest on the Debentures accruing on a daily basis will be paid quarterly in each year on 31 st March, 30 th June, 30 th September and 31 st December from the Date of Allotment until the Date of Redemption on the outstanding Principal Sum. The interest due on the Debentures for a particular Interest Period will be calculated based on the actual number of days in such Interest Period and be paid within three (03) Business Days from the Interest Payment Date on which such Interest Period ends. The interest due on the Debentures for the First Interest Period will be calculated based on the actual number of days within the First Interest Period and be paid within three (3) Business Days from the First Interest Payment Date. 18 The interest due on the Debentures for the Final Interest Period will be calculated based on the actual number of days within the Final Interest Period and be paid together with the Principal Sum within three (03) Business Days from the Date of Redemption. For avoidance of doubt, the Date of Redemption will not be included or taken into account for purposes of calculating the interest due on the Debentures for the Final Interest Period. Interest calculation will be based on an actual number of days in each year. In order to accommodate the debenture interest cycles in the Automated Trading System of the CSE, the payment of interest for a particular Interest Payment Date will not include Debenture Holders holding Debentures in the CDS as at the last day of the payment cycle but one day prior to the Interest Payment Date (Interest Entitlement Date). Payment of the interest on the Debentures will be made after deducting any taxes and charges thereon (if any) in Sri Lanka Rupees as per the applicable law prevalent at the time of interest payment to the Debenture Holders. As per the Government Budget proposals 2013, it is proposed that interests income from investment made on or after the 1 st January 2013 in corporate debt securities (i.e. debentures), quoted in any stock exchange licensed by the SEC are not subject to imposition of income tax. 1.6 REDEMPTION Redemption of the Debentures will take place on the respective Dates of Redemption in respect of each type of Debentures as described in the table below in accordance with the provisions of the Trust Deed. The Principal Sum and unpaid and accrued interest payable on the Redemption of Debentures will be paid to the Debenture Holders within three (03) Business Days from the Date of Redemption. 19 These Debentures shall not be subject to Redemption by the Company prior to the Date of Redemption other than in the circumstances set out in Section 1.10 below and in the Trust Deed. 1.7 PAYMENT OF PRINCIPAL SUM AND INTEREST The Company will redeem the Debentures on the respective Date of Redemption as specified in Section 1.6 and the interest payments will be made as specified in Section 1.5. The payment of Principal Sum and interest will be made either by cheque/s marked ACCOUNT PAYEE ONLY" dispatched to the address provided by the Debenture Holders to the CDS at the risk of the Debenture Holders or through electronic fund transfer mechanism recognised by the banking system of Sri Lanka to a bank account provided to the CDS by the Applicant, such as SLIPS and RTGS. However, in the event such payment is over the maximum amount that can be accommodated through electronic fund transfer mechanism recognised by the banking system of Sri Lanka or if the Debenture Holder has not provided to the CDS accurate and correct details of his bank account for the payment of Principal Sum and interest, such payment to the Debenture Holder will be made by way of a cheque and sent by post at the risk of the Debenture Holder. The payment of interest will be made in Sri Lanka Rupees in favour of the Debenture Holders as at the Interest Entitlement Date (in the case of Joint Debenture Holders to the one whose name stands first in the register of Debenture Holders). The payment of Principal Sum and unpaid and accrued interest payable on the Redemption of Debentures will be made in Sri Lanka Rupees in favour of the Debenture Holders as at end of trading on the Market Day immediately preceding the Date of Redemption (in the case of Joint Debenture Holders to the one whose name stands first in the register of Debenture Holders). 1.8 TRUSTEE TO DEBENTURE HOLDERS Deutsche Bank AG, Colombo Branch has agreed to act as the Trustee to the Debenture Holders. The Company has entered into an agreement with the Trustee (hereinafter called the "Trust Deed"). Debenture Holders in their Application Forms for subscription will be required to authorise the Trustee to act as their agent in entering into such deeds, writings, and instruments with the Company and to act as the agent and Trustee for the Debenture Holders. The rights and obligations of the Trustee are set out in the Trust Deed and the Debentures will be subject to the terms and conditions incorporated in the said Trust Deed. The fee payable to the Trustee will be LKR 25, per month plus statutory levies. 20 1.9 RATING OF THE DEBENTURES Fitch Ratings Lanka Limited has assigned a credit rating of A+ (lka) to the Debentures. 'A' National Ratings denote expectations of low default risk relative to other issuers or obligations in the same country. However, changes in circumstances or economic conditions may affect the capacity for timely repayment to a greater degree than is the case for financial commitments denoted by a higher rated category. "+" or "-" may be appended to a credit rating to denote relative status within a major rating category. Source: A copy of the rating certificate is given in Annexure I of the Prospectus CONSEQUENCES OF A TAX REVISION (a) In the event of a Tax Revision, the interest payable on each type of Debentures will be revised to such higher rate, that is a rate however that does not exceed an increase of two per centum (2.00%) per annum above the Interest Rate applicable to any type of Debentures, as may be mutually agreed upon between the Company and; (i) in the case of Type A Debentures, the Debenture Holders of an aggregate of at least two third (2/3 rd ) of the Type A Debentures for the time being outstanding; (ii) in the case of Type B Debentures, the Debenture Holders of an aggregate of at least two third (2/3 rd ) of the Type B Debentures for the time being outstanding; (iii) (b) in the case of Type C Debentures, the Debenture Holders of an aggregate at least two third (2/3 rd ) of the Type C Debentures for the time being outstanding. In the event the Company and the Debenture Holders for a particular type of Debenture do not reach an agreement on revision to the interest payable as described above within thirty (30) calendar days from the effective date of the Tax Revision or the date of enactment or promulgation of the Tax Revision Law, whichever is later, the Company will be required to within thirty (30) calendar days from the expiry of the aforementioned thirty (30) calendar day period, redeem that type of Debentures only, by repaying the Principal Sum on that type of Debentures together with the interest accrued thereon up to such date. The early Redemption of a type of Debenture as set out above will not have any effect howsoever on the tenor of the type or types of Debentures for which the Debenture Holders have reached an agreement on the revision of interest as explained in 1.10 (a) above. 21 1.11 RIGHTS AND OBLIGATIONS OF DEBENTURE HOLDERS (a) Debenture Holders are entitled to the following rights: Receiving Principal Sum at Redemption and quarterly interest at the rate set out in Sections 1.5 and 1.6 of this Prospectus. In the event of a Tax Revision, interest will be paid at such mutually agreed interest rate as set out in Section 1.10 Ranking equal and pari passu with unsecured creditors in the event of liquidation and above the preference shareholders and ordinary shareholders Calling and attending meetings of Debenture Holders as set out in the Trust Deed (b) Debenture Holders do not have the following rights: Attending and voting at meetings of holders of shares and other debentures Sharing in the profits of the Company Participating in any surplus in the event of liquidation (c) Each Debenture Holder must ensure that the information in respect of the securities account maintained with the CDS is up to date and accurate. Each Debenture Holder shall absolve the Company from any responsibility or liability in respect of any error or inaccuracy or absence of necessary changes in the information recorded with the CDS. 22 1.13 RISKS INVOLVED IN INVESTING IN THE DEBENTURES Subscribers to the Debentures could be exposed to the following risks: (a) Interest Rate Risk Provided all other factors are equal, the market price of the Debentures will generally fluctuate in the opposite direction of the market interest rates if there is a change in market interest rates. Thus, the interest rate risk could be identified as the reduction in the market price of Debentures resulting from a rise in interest rates. (b) Reinvestment Risk Interest on Debentures are payable quarterly. An investor may decide to reinvest this interest payment and earn interest from that point onwards. Depending on the prevailing interest rates at the point of reinvestment, the interest rates at which Debenture Holders will reinvest such interest received would be higher or lower than the return offered by the Debentures is known as reinvestment risk. (c) Call Risk The uncertainty to the debenture investor is that when the Company has the option of redeeming the Debentures before the Date of Redemption, thus being called upon to terminate the investment early is known as "Call Risk". However, these Debentures do not carry this risk as call options are not available with these Debentures. However in a situation of a Tax Revision, the Company is obliged to redeem the Debenture if a revision of interest rates cannot be agreed mutually between the Company and the Debenture Holder(s) as described in Section (d) Credit Risk Credit Risk is also referred to as default risk. This is the risk that the issuer of a debenture may default, i.e. the Issuer will not be able to pay interest and principal payments on a timely basis. Eventually in the capital markets, this risk is gauged in terms of rating assigned by different rating agencies. Fitch Ratings Lanka Limited has assigned a National Long-term Rating of A+(lka) to these Debentures and will be periodically reviewed. (e) (f) Liquidity Risk Liquidity risk is associated with the ease with which the Debentures can be sold after the initial placement. In order to reduce the liquidity risk, in-principle the Company has applied for a listing of these Debentures on the CSE and the CSE has granted its approval for such listing. Duration Risk The term duration risk has a special meaning in the context of debentures. Duration is a measure of the price sensitivity of fixed income investments to a change in interest rates. Calculation is based on the price sensitivity of a fixed income security to a prevailing market interest rate change of 100 basis points. The above result for duration is also interpreted as the number of years to repay the price from the different cash flows incurred during the period of the Debenture to its Redemption. The duration indicator addresses the risk of interest rate fluctuations. The higher the duration, the greater the price volatility or duration risk, while the lower duration risk carries a lower risk. Central Finance Company PLC Debenture Issue

23 1.14 TRANSFER OF DEBENTURES The Debentures will be transferable and transmittable in the manner set out in the Trust Deed, which is reproduced below. (a) (b) (i) (ii) (c) The Debentures shall be freely transferable and registration of such transfer shall not be subject to any restriction, save and except to the extent required for compliance with the applicable law. The Debentures shall be transferable through the CDS as long as the Debentures are listed in the CSE. The Company may register without assuming any liability any transfer of Debentures, which are in accordance with the rules and regulations in force for the time being and from time to time as laid down by SEC, CSE and the CDS. In the case of the death of a Debenture Holder the survivor where the deceased was a joint holder; and the executors or administrators of the deceased (or where the estate of the deceased is under the administrable value, the heirs of the deceased) where he was the sole or only surviving holder shall be the only persons recognised by the Company as having any title to his Debentures but nothing herein contained shall release the estate of the deceased holder (whether sole or joint) from any liability in respect of any Debentures solely or jointly held by him. Any person becoming entitled to a Debenture in consequence of bankruptcy or winding up of any Debenture Holder, upon producing proper evidence that he sustains the character in respect of which he proposes to act or his title as the Board thinks sufficient may in the discretion of the Board be substituted and accordingly registered as a Debenture Holder in respect of such Debenture subject to the applicable laws, rules and regulations of the Company, CDS, SEC and CSE LISTING An application has been made to the CSE for permission to obtain a listing for the Debentures and the CSE has granted its approval in-principle for the same. It is the intention of the Company to list the Debentures on the Main Board of the Colombo Stock Exchange upon the allotment thereof. The CSE however, assumes no responsibility for the correctness of the statements made or opinions expressed or reports included in this Prospectus. Admission to the official list is not to be taken as an indication of the merits of the Company or of its Debentures COST OF THE ISSUE Directors estimate that the total cost of the Issue including fees to professionals, printing, advertising and other costs connected with the Issue will be approximately LKR Million. 24 1.17 BROKERAGE FEE Brokerage fee of 50 cents (LKR 0.50) per Debenture shall be paid in respect of the number of Debentures allotted on Applications bearing the original seal of any bank operating in Sri Lanka or a member/trading member of the CSE or NDB Investment Bank Limited or any other intermediary appointed by the Company involved in the marketing of the Issue UNDERWRITING This Issue is not underwritten. The offering is not conditional to any minimum amount to be raised through this Issue. In the event of an under subscription, the Company is confident that any short fall in the funds required to meet the objectives of the Issue can be financed through internally generated funds and other credit facilities. 25 2.0 PROCEDURE FOR APPLICATION 2.1 INSPECTION OF DOCUMENTS Articles of Association, the Trust Deed, Auditors Reports and Audited Financial Statements for the five (05) financial years ended 31 st March 2012 (i.e. the five (05) financial years immediately preceding the date of this Prospectus) and Interim Financial Statements for the nine (09) month period ended 31 st December 2012 and all other documents referred to in Rule (a) of the CSE Listing Rules, including material contracts and management agreements entered into by the Company (if any) would be made available for inspection by the public during normal working hours at the registered office of the Company, No. 84, Raja Veediya until the Date of Redemption of the Debenture. The Prospectus, the Trust Deed and Articles of Association of the Company will be available on the websites of CSE, and website of the Company, from the date of opening of the subscription list until the Date of Redemption of the Debenture as stipulated in Rule (b) of the CSE Listing Rules. Furthermore, the copies of the Prospectus and Application Forms will be made available free of charge from the collection points as set out in Annexure II. 2.2 ELIGIBLE APPLICANTS Applications are invited for the subscription of Debentures from the following categories of applicants; (a) (b) (c) (d) (e) (f) Citizens of Sri Lanka, resident in Sri Lanka and above 18 years of age. Corporate bodies and societies registered/incorporated/established in Sri Lanka and authorized to invest in Debentures. Approved provident funds and contributory pension schemes registered/incorporated/established in Sri Lanka and authorized to invest in Debentures. In the case of approved provident funds and approved contributory pension schemes, the Application should be in the name of the trustee/board of management. Non - Residents : Foreign institutional investors, corporate bodies incorporated outside Sri Lanka, individuals resident outside Sri Lanka and Sri Lankans resident outside Sri Lanka. Applications will not be accepted from individuals and Sri Lankans residing outside of Sri Lanka who are under the age of 18 years, or in the names of sole proprietorships, partnerships or unincorporated trusts. 26 2.3 HOW TO APPLY The terms and conditions applicable to the Applicants are as follows; (a) Applications should be made on the Application Forms, which accompany and constitute a part of this Prospectus (exact size photocopies of Application Forms will also be accepted). Care must be taken to follow the instructions given herein and in the Application Form. Applicants using photocopies are requested to inspect the Prospectus which is available for inspection with the Registrar to the Issue and also issued free of charge by the parties listed in Annexure II. The Application Form can also be downloaded from the website of CSE, the website of CFIN, and the website of Financial Advisors and Managers to the Issue, from the date of opening of the subscription list until the Closure Date. The Prospectus will be made available and can be downloaded from the website of CSE, and the website of CFIN, from the date of opening of the subscription list until the Date of Redemption of the Debenture and from the website of Financial Advisors and Managers to the Issue, from the date of opening of the subscription list until the Closure Date. Applications which do not strictly conform to instructions and the other conditions set out herein or which are incomplete or illegible may be rejected. (b) (c) (d) (e) (f) Applicants should apply only for one Type of Debentures (i.e. either Type A or Type B or Type C Debentures) under one Application Form. In the event an Applicant wishes to apply for more than one Type of Debentures, separate Application Forms should be used. Once an Application Form has been submitted for a particular Type of Debentures, it will not be possible for an Applicant to switch between the Types of Debentures. More than one Applications submitted by an Applicant under the same Type of Debentures will not be accepted. If more than one Application Forms are submitted for one Type of Debentures from a single Applicant, those would be construed as multiple Applications and the Company reserves the right to reject such multiple Applications or suspected multiple Applications. If the ownership of the Debentures is desired in the name of one Applicant, full details should be given only under the heading SOLE/FIRST APPLICANT in the Application Form. In the case of joint Applicants, the signatures and particulars in respect of all Applicants must be given under the relevant headings in the Application Form. An Applicant of a joint Application will not be eligible to apply through a separate Application Form either individually or jointly. Such Applicants are also deemed to have made multiple Applications and will be rejected. In the case of joint Applications, the refunds (if any), interest payment and the Redemption will be remitted in favour of the first Applicant as identified in the Application Form. The Company shall not be bound to register more than three (03) natural persons as joint holders of any Debentures (except in the case of executors, administrators or heirs of a deceased member). 27 Joint Applicants should note that all parties should either be residents of Sri Lanka or Non- Residents. (g) (h) Applications by companies, corporate bodies, societies, approved provident funds, trust funds and approved contributory pension schemes registered/incorporated/established in Sri Lanka should have obtained necessary internal approvals as provided by their internal approval procedures at the time of applying for the Debentures and should be made under their common seal or in any other manner as provided by their articles of association or such other constitutional documents of such Applicant or as per the statutes governing them. In the case of approved provident funds, trust funds and approved contributory pension schemes, the Applications should be in the name of the trustee/board of management. All Applicants should indicate in the Application for Debentures, their CDS account number. In the event the name, address or NIC number/passport number/company number of the Applicant mentioned in the Application Form differ from the name, address or NIC number/passport number/company number as per the CDS records, the name, address or NIC number/passport number/company number as per the CDS records will prevail and be considered as the name, address or NIC number/passport number/company number of such Applicant. Therefore Applicants are advised to ensure that the name, address or NIC number/passport number/company number mentioned in the Application Form tally with the name, address or NIC number/passport number/company number given in the CDS account as mentioned in the Application Form. Application Forms stating third party CDS accounts, instead of Applicants own CDS account numbers, except in the case of margin trading, will be rejected. (i) Applicants who wish to apply through their margin trading accounts should submit the Application Forms in the name of the Margin Provider/Applicant s name signed by the margin provider, requesting a direct deposit of the Debentures to the Applicant s margin trading account in CDS. The margin provider should indicate the relevant CDS account number relating to the margin trading account in the Application Form. A photocopy of the margin trading agreement must be submitted along with the Application. Margin providers can apply under their own name and such Applications will not be construed as multiple Applications. (j) (k) Application Forms may be signed by third party on behalf of the Applicant(s) provided that such person holds the Power of Attorney (POA) of the Applicant(s). A copy of such POA certified by a Notary Public as True Copy should be attached with the Application Form. Original of the POA should not be attached. Funds for the investments in Debentures and the payment for Debentures by foreign institutional investors, corporate bodies incorporated outside Sri Lanka, individuals resident outside Sri Lanka and Sri Lankans resident outside Sri Lanka should be made only out of funds received as inward remittances or available to the credit of Securities Investment Account (SIA) of the foreign investor opened and maintained in a licensed commercial bank in Sri Lanka in accordance with directions given by the Controller of Exchange in that regard to commercial banks. 28 An endorsement by way of a letter by the licensed commercial bank in Sri Lanka in which the Applicant maintains the SIA, should be attached to the Application Form to the effect that such payment through bank draft/bank guarantee/rtgs has been made out of the funds available in the SIA. (l) Non-Residents should have obtained necessary internal approvals as provided by their internal approval procedures at the time of applying for the Debentures and may be affected by the laws of the jurisdiction of their residence. If the Non-Resident Applicants wish to apply for the Debentures, it is their responsibility to comply with the laws relevant to the jurisdiction of their residence and of Sri Lanka. Application Forms properly filled in accordance with the instructions thereof together with the remittance for the full amount payable on Application should be enclosed in an envelope marked CENTRAL FINANCE COMPANY PLC DEBENTURE ISSUE 2013 on the top left hand corner in capital letters and dispatched by post or courier or delivered by hand to Registrars to the Issue or collection points mentioned in Annexure II. Applications sent by post or courier or delivered to any collection point set out in Annexure II should reach the office of the Registrars to the Issue at least by 4.30 p.m. on the following Business Day immediately upon the Closure Date. Applications received after the said period will be rejected even though they have been delivered to any of the said collection points prior to the Closure Date or carry a postmark dated prior to the Closure Date. Applications delivered by hand to the Registrars to the Issue after the Closure Date of the Issue will also be rejected. Please note that Applicant information such as full name, address, National Identity Card (NIC) number/passport number/company number and residency will be downloaded from the database of CDS, based on the CDS account number indicated in the Application Form. Such information will take precedence over information provided in the Application Form. Care must be taken to follow the instructions on the reverse of the Application Form. Applications that do not strictly conform to such instructions and additional conditions set out hereunder or which are illegible may be rejected. PLEASE NOTE THAT ALLOTMENT OF DEBENTURES WILL ONLY BE MADE IF THE APPLICANT HAS A VALID CDS ACCOUNT AT THE TIME OF SUBMISSION OF APPLICATION. Please note that upon the allotment of Debentures under this issue, the allotted Debentures would be credited to the Applicant s CDS account so indicated. 29 2.4 NUMBER OF DEBENTURES TO BE SUBSCRIBED Applicants are allowed to invest in either; Debentures of Type A; and/or Debentures of Type B; and/or Debentures of Type C; subject to the minimum subscription under each type. A minimum of One Hundred (100) Debentures (LKR 100,000/-) and in multiples of One Hundred (100) Debentures (LKR 100,000/-) thereafter under each type. 2.5 MODE OF PAYMENT OF THE INVESTMENT BY THE APPLICANTS (a) (b) Payment in full for the total value of Debentures applied for should be made separately in respect of each Application either by cheque/s, bank draft/s, bank guarantee drawn upon any licensed commercial bank operating in Sri Lanka or RTGS transfer directed through any licensed commercial bank operating in Sri Lanka, as the case may be, subject to (b) below. Payments for Applications for values above and inclusive of Sri Lanka Rupees One Hundred Million (LKR 100,000,000/-) should be supported by either a; Bank guarantee issued by a licensed commercial bank; or Multiple bank drafts/cheques drawn upon any commercial bank operating in Sri Lanka, each of which should be for a value less than LKR 100,000,000/-; or RTGS transfer with value on the date of opening the Issue. Multiple cheques or RTGS transfers will not be accepted for Application value below Sri Lanka Rupees One Hundred Million (LKR 100,000,000/-). (c) Cheques or bank drafts should be made payable to CENTRAL FINANCE COMPANY PLC DEBENTURE ISSUE ACCOUNT 2013 and crossed "ACCOUNT PAYEE ONLY", and must be honoured on the first presentation. (d) In case of bank guarantees, such bank guarantees should be issued by any licensed commercial bank in Sri Lanka in favour of CENTRAL FINANCE COMPANY PLC DEBENTURE ISSUE ACCOUNT 2013 in a manner acceptable to the Company, and be valid for a minimum of one (01) month from the Issue Opening Date (i.e. 11 th June 2013). Applicants are advised to ensure that sufficient funds are available in order to honour the bank guarantees, inclusive of charges when called upon to do so by the Registrars to the Issue. It is advisable that the Applicants discuss with their respective bankers the matters with regard to the issuance of bank guarantees and all charges involved. 30 (e) In case of RTGS transfers (only for Application values above and inclusive of Sri Lanka Rupees One Hundred Million (LKR 100,000,000/-), such transfers should be made to the credit of CENTRAL FINANCE COMPANY PLC DEBENTURE ISSUE ACCOUNT 2013 bearing the account number at Nations Trust Bank PLC with value on the date of opening the Issue (i.e. the funds to be made available to the above account on the date of opening the Issue). The Applicant should obtain a confirmation from the Applicant s bank, to the effect that arrangements have been made to transfer payment in full for the total value of Debentures applied for to the credit of CENTRAL FINANCE COMPANY PLC DEBENTURE ISSUE ACCOUNT 2013 bearing the account number at Nations Trust Bank PLC with value on the date of opening the Issue (i.e. the funds to be made available to the above account on the date of opening the Issue) and should be attached with the Application Form. For RTGS transfers above and inclusive of Sri Lanka Rupees Two Hundred Million (LKR 200,000,000/-), the Applicants are entitled to an interest at the rate of Ten per centum (10.00%) per annum from the date of such transfers up to the Date of Allotment. However, no interest will be paid if the RTGS transfers are not realised before the end of Issue Closing Date. Furthermore, even if such RTGS transfers are effected prior to the date of opening the Issue, no interest will be paid for the period prior to the opening of the Issue. The Applicants are not entitled to an interest at the rate of Ten per centum (10.00%) per annum for RTGS transfers below Sri Lanka Rupees Two Hundred Million (LKR 200,000,000/-). If there is a discrepancy in the amount payable and the amount specified in the cheque/bank draft or bank guarantee, the Application will be rejected. In the event that cheques are not realised prior to the date of deciding the basis of allotment, the monies will be refunded and no allotment of Debentures will be made. Cheques must be honoured on first presentation for the Application to be valid. All cheques/bank drafts received in respect of the Applications for Debentures will be banked commencing from the Business Day immediately following the Closure Date. 31 2.6 REJECTION OF APPLICATIONS Application Forms and the accompanying cheques/bank drafts/bank guarantees or RTGS transfers, which are illegible or incomplete in any way and/or not in accordance with the terms, conditions and instructions, set out in this Prospectus and in the Application Form will be rejected at the sole discretion of CFIN. Applications from individuals and Sri Lankans residing outside of Sri Lanka who are under the age of 18 years or in the names of sole proprietorships, partnerships, unincorporated trusts will also be rejected. Any Application Form, which does not state a valid CDS account number will be rejected. More than one Applications submitted by an Applicant under the same Type of Debentures will not be accepted. If more than one Application Forms are submitted for one Type of Debentures from a single Applicant, those would be considered as multiple Applications and the Company reserves the right to reject such multiple Applications or suspected multiple Applications. Any Application Form with more than three (03) natural persons as joint Applicants for any Type of Debentures will be rejected. Applications delivered by hand to the Registrars to the Issue after the subscription list is closed will be rejected. Applications received by post or courier after 4.30 p.m. on the Business Day immediately following the Closure Date, will also be rejected even if they carry a post mark dated prior to the Closure Date. Applications delivered to any place mentioned in Annexure II should also reach the office of the Registrars to the Issue at least by 4.30 p.m. on the Business Day immediately following the Closure Date. Applications received after the said duration will be rejected even though they have been delivered to any of the said collection points prior to the Closure Date. In the event that cheques are not realised prior to the date of deciding the basis of allotment and realised after such date, the monies will be refunded and no allotment of Debentures will be made. Cheques must be honoured on first presentation for the Application to be valid. In the event cheques are dishonoured/returned on first presentation, such Applications will be rejected. 2.7 BANKING OF PAYMENTS All cheques or bank drafts or bank guarantees received in respect of Applications will not be banked or called on until the Business Day immediately after the Closure Date as set out in Section 1.2, in terms of the CSE Listing Rules. 32 2.8 BASIS OF ALLOTMENT OF DEBENTURES In the event of an over subscription, the Board of Directors of the Company will endeavour to decide the basis of allotment in a fair manner as soon as practicable so as to ensure compliance with the CSE Listing Rules. Upon the allotments being decided, an announcement will be made to the CSE. The number of Debentures to be issued under Debentures of Type A, Debentures of Type B and Debentures of Type C shall be in accordance with the basis of allotment which shall be decided at the discretion of the Board of Directors of CFIN in a fair manner in the event of an over subscription. The Company reserves the right to refuse any Application or to accept any Application in part only, without assigning any reason thereto. A written confirmation informing successful Applicants on their allotment of Debentures will be dispatched within ten (10) Market Days from the Closure Date as required by the CSE. 2.9 REFUNDS Monies will be refunded where; an Application is rejected for reasons given in Section 2.6 the Application is accepted only in part If the Applicant has provided accurate and complete details of his bank account in the Application, the Bankers to the Issue will make refund payments up to and inclusive of Rupees Five Million (LKR 5,000,000/-) to the bank account specified by the Applicant, through SLIPS and a payment advice will be sent. In the event of refunds over Rupees Five Million (LKR 5,000,000/-) or if the Applicant has not provided accurate and correct details of his bank account in the Application or if the Applicant has not provided details of the bank account in the Application Form, the bank will make such refund payment to the Applicant by way of a cheque and sent by post at the risk of the Applicant. 33 2.10 CDS ACCOUNTS AND SECONDARY MARKET TRADING Debentures allotted will be directly deposited to the respective CDS accounts given in the Application Forms before the expiry of eighteen (18) Market Days, from the Closure Date. A written confirmation of the credit will be sent to the Applicant within two (02) Market Days of crediting the CDS account, by ordinary post to the address provided by each Applicant. The Company will submit to the CSE a 'Declaration' on direct upload to CDS on the Market Day immediately following the day on which the Applicants CDS accounts are credited with the Debentures. 34 3.0 THE COMPANY 3.1 BACKGROUND OF THE COMPANY Central Finance Company PLC is a finance company licensed under the Finance Business Act, No. 42 of CFIN was incorporated in December 1957 by the Wijenaike family, as a private limited liability company based in Kandy. Its principal activity was to provide financial services in the form of hire purchase facilities to the passenger transport and goods haulage of the Central region. In 1969, the Company was converted to a public company with a quotation from the Colombo Brokers Association. It was the first company outside Colombo to obtain such a listing. The first branch was opened in Colombo in April 1979, on an agency basis and managed by Forbes & Walker Limited. 40 ASSUMPTIONS IN RELATION TO FUTURE STRATEGIES The future plans and prospects of the Company are based on the assumption that there will be a conducive environment in terms of macroeconomic, social and political stability; and interest rate stability and consumer momentum for credit demand. In addition, the Company anticipates that the current improvements in the macro-economic environment will sustain. Further, these future plans/strategies are expected to be sustainable on the assumption that changes in Government regulations, taxations or changes in directions to finance companies will not have severe adverse affects to the operations and profitability of the Company RISKS ATTACHED TO FUTURE STRATEGIES The finance industry is considerably sensitive to various risks attached to the economy and thus CFIN has recognised the need to be prudent and the importance of strengthening risk management capabilities. Finance companies are exposed to numerous risk factors which include credit risk, credit concentration risk, market risk in the form of interest rate risk and equity price risk, operational risk, liquidity risk and strategic risk. (a) Credit Risk Credit risk is the potential loss due to the failure of a counterparty to meet its obligations to pay the Company in accordance with agreed terms. Credit risk is managed through a framework that sets out policies and procedures covering the measurement and management of credit risk. A well defined delegated approval hierarchy supported by high ethical standards, well established policies and procedures provide a robust framework for the organisation and management of credit risk. There is a clear segregation of duties between major transaction originators in the businesses and approvers in the credit function. All credit exposure limits are approved within a delegated credit approval authority frame work. Risk indicators are also set by the credit division and monitored through the Board of Management (BoM) and Assets and Liabilities Committee (ALCO) on a monthly basis. Company-wide credit policies and procedures are considered and approved by BoM, with the inputs of the credit and recoveries departments. BoM also oversees the delegation of credit approval and loan loss provisioning processes through the regular review of operations. These policies are adequate to reflect the different risk environments and portfolio characteristics of CFIN. Major credit exposures to individual counterparties, groups of counterparties and product categories are reviewed and approved by the designated officers under the delegated approving limits set by BoM, with the oversight of the Board. The credit approving limits in place are structured based on the need of delegation required to manage the network of branches, without compromising the risk appetite of the Company. (b) Credit Concentration Risk Credit concentration risk is managed within limits set by counterparty or groups of connected counterparties, asset type, industry sectors etc. Credit concentrations are monitored by ALCO in each of the product type categories and such limits that are material to the Company are reviewed and approved by ALCO. CFIN has a diversified portfolio with low exposure to high risk asset classes and segments thus minimising concentration risk. The ALCO also reviews the top 20 lending exposures at its quarterly meetings. The performances of the large lending exposures are also reviewed periodically. 41 CFIN regularly monitors credit exposures, portfolio performance, and external trends which may impact risk management outcomes. Internal management reports are presented to various committees, containing information on key environmental, political and economic trends. Portfolio delinquency and loan loss provisioning as well as portfolio quality are monitored by the recoveries department constantly. Most of CFIN lending activities are fully secured by tangible assets with majority of them being motor vehicles and equipments. Hence, the Company has a fall back in the event of default. (c) Market Risk Market risk are the risks arising from changes in interest rates, foreign currency, equity prices and risk related factors such as market volatilities. The objective of market risk management is to obtain the best balance of risk and return whilst meeting customers requirements. The primary categories of market risk include interest rate risk and equity price risk for CFIN. (d) Interest Rate Risk Interest rate risk arises from changes in yield curves and credit spreads. Market risks arising from interest rate volatility is managed with direction from ALCO which continuously monitors the cost of funds of the Company and initiates necessary action to ensure the required margins for the Company. The Board approves risk appetite for market risks. The Director-Finance is responsible for the funding operations, under delegated authority from the Board, which sets a framework of limits within the context of the approved market risk appetite. The Company has a strong controlled environment facilitated by a well structured oraganisation which has enabled it to strengthen segregation of duties in respect of critical functions. Interest rate derivatives are used for managing interest rate risk. The interest rate swap is a mechanism which is used to manage the interest rate volatility of maturity mismatches, typically associated with finance business. (e) Equity Price Risk Central Finance is exposed to market movements in equity price fluctuations through the trading and investment securities portfolios. Equity price risk arises from changes in the prices of equities and equity indices. Integrated Risk Management Committees (IRMC) and ALCO consciously review the exposure limits. A comprehensive evaluation process is also carried out prior to investment decisions. Regular monitoring of price levels is done through the investment function within the finance department to mitigate adverse movements in the stock market. (f) Operational Risk Operational risk is the risk of direct or indirect loss due to an event or action resulting from the failure of internal processes, people and systems or from external events. CFIN seeks to minimize exposure to operational risk, subject to cost trade-offs. Operational risk exposures are managed through a consistent set of management processes that drive risk identification, assessment, control and monitoring. The Board appointed Board Audit Committee (BAC) and Integrated Risk Management Committee oversee the management of operational risks across the network and at the center, with the support of the independent internal audit department which is separate from the business functions. 42 This formal structure of governance provides the Board with confidence that operational risks are being proactively identified and effectively managed. All business units are responsible for setting and maintaining standards for operational risk management. Possible losses to the Company assets due to unforeseen events have been covered with comprehensive insurance policies. (g) Liquidity Risk Liquidity risk is the risk that CFIN either does not have sufficient financial resources available to meet CFIN obligations as they fall due, or can only access these financial resources at excessive cost. Liquidity risk is heavily influenced by the maturity profile and mix of the Company s funding base, as well as the quality and liquidity value of its liquid assets portfolio. It is CFIN policy to maintain adequate liquidity at all times and be in a position to meet all obligations as they fall due. Diversification of the Company s funding base is central to its balance sheet management strategy. Customer deposits provide large pools of stable funding to support the majority of lending. CFIN accesses market funding by way of debt issuances on an unsecured and secured basis. CFIN also has a contingency funding plan by way of undrawn approved bank lines. CFIN manages liquidity risk taking both short and medium-term requirement into consideration. In the short-term, focus is on ensuring that the cash flow demands can be met through asset maturities, customer deposits and bank funding where required. In the medium-term, the focus is on ensuring a structurally sound balance sheet. ALCO is the responsible governing body that oversees CFIN liquidity management policies. The treasury department receives direction from ALCO and is responsible for managing liquidity limits. Liquidity risk is a standing agenda item at CFIN monthly ALCO meetings. CFIN also has a strong advances to-deposit ratio, which is testament to the Company s liquidity management capabilities. The pricing of deposit maturities are done in a way to curb the maturity mismatches between lending and borrowing portfolios. Liquidity asset ratio is the ratio of liquid assets to total deposits. The significant level of holdings of liquid assets in the balance sheet reflects the application of CFIN liquidity policies and practices. (h) Strategic Risk Strategic risk arises from the fundamental decisions that Directors take concerning organisation s objectives. Strategic risks are the risks of failing to achieve the business objectives. The Company is continuously following developments taking place in the business environment and formulates its strategies to optimise the opportunities available whilst attempting to manage risks associated with such strategies. 45 The Terms of Reference set out by the Board of Directors, include the following; to ensure that the Company has a comprehensive risk management framework, appropriate compliance policies and systems in place. to assess all risk types, including but not limited to credit, market, liquidity, operational and strategic risks to the Company through appropriate risk indicators and management information. to ensure risk decisions are taken in accordance with established delegated authorities and corrective action is taken to mitigate risks taken beyond the tolerance set by the Committee, on the basis of Company s policies and regulatory and supervisory requirements. to monitor and assess the effectiveness of the Company s risk management system and the robustness of the risk.
