Callaert Version date: January 2012 Page:4/13 The two parties wish to conclude an agreement in relation to the welfare of the Contractor s employees in accordance with the provisions of the Act of 4 August 1996 on the welfare of workers in the performance of their work, and more specifically with Article 9. The contractor shall indemnify CG as the principal for all claims made by the contractor s employees or claims made by the authorities. IT HAS BEEN AGREED AS FOLLOWS: 1. CONTRACTOR'S OBLIGATIONS The contractor will perform a risk analysis prior to the work activities. CG will make available a template (blank risk analysis) if necessary. The contractor will inform his employees (and temporary workers) about the dangers and the safety, health and environmental agreements that have been reached with the contractor. It is necessary to take account of the health monitoring aspect. The relevant prevention advisors-medical officers of both parties will enter into consultations if need be on this subject. The instructions must be fully understood. The contractor shall equally inform his subcontractors, among other things, on the basis of the following guidelines and the risk analysis that has been implemented. The contractor shall verify whether the employees of the subcontractor(s) have been informed adequately regarding the risks that are present when the work activities are implemented. The contractor will cooperate with the coordination of the works via his site manager, who will also verify whether the agreements that have been made are being acted on. The subcontractor will also appoint a site manager. CG s project manager will in turn be responsible for monitoring the agreements that have been made. The contractor will confirm that he will comply with the agreement. If necessary, immediate measures will be taken if the principal sends the contractor a notice of default. The contractor is obliged to notify the project manager whenever he deploys subcontractors. The subcontractor shall also sign and comply with the required fire safety and work permits. (see point 3) The contractor shall himself provide his personnel with the necessary personal protection equipment. The PPE must comply with the applicable legislation and carry a CE mark. Contractors or their personnel who arrive at CG s premises or sites without safety shoes, safety glasses and a safety helmet will be refused access. (see point 4.4) The contractor shall comply with all social legislation and directives with respect to all his workers. The contractor s workplace accident insurance must be kept regularly up to date and must remain up to date from the start until the end of the works. 2. PRINCIPAL S AND CONTRACTOR'S OBLIGATIONS The necessary agreements will be made at an introductory meeting. The contractor will accept improvements as regards the environment and the welfare of his employees in the context of the works to be performed. Enquiries will also be made into whether a safety coordinator needs to be present. See the Royal Decree concerning temporary and mobile construction sites. The works schedule will be modified if it turns out that there are unacceptable risks. Both the principal and the contractor will notify the safety, health and environmental agreements, based on the risk analysis, to their relevant employees. These agreements must be complied with and monitored, and if necessary adjusted. 3. PERMIT PROCEDURE A work permit must ALWAYS be issued every time that an external firm performs activities on CG premises or sites. Depending on the activities to be performed, an ordinary work permit, a fire permit or a long-term work permit will be drawn up, based on the internal procedure for Work and Fire Permits. 3.1 Work permit CG s project manager will draw up the work permit before the works commence. The work permit must ALWAYS be accompanied by a prior risk analysis of the work activities. No work permit will be issued and the work activities cannot take place without this risk analysis. The date also needs to be entered correctly. CG s project manager will send the permit to the department head where the works are to be performed, to the other departments concerned and to the prevention advisor. The prevention advisor will if necessary propose additional safety measures. Finally, the work permit will also be signed by the (sub)contractors, who will ALWAYS keep the work permit and the risk analysis at the location of the works.

Callaert Version date: January 2012 Page:5/ Fire permit A fire permit is used to prevent fire and explosion hazards, which may arise in the case of open fires, naked flames or heat sources (welding, flame cutting, soldering, angle grinding, burning off paint or varnish, grinding metal, etc.). This permit must be requested from CG s Project Manager whenever this is required when performing works. The ISPPW (Internal Service for Prevention and Protection at Work) must always give permission before works commence, by signing this fire permit. The permit is valid for 1 (one) day and if necessary can be renewed one day at a time. The fire permit and the risk analysis must ALWAYS be present at the place where the works are being carried out. The most important measures that need to be taken into account for works requiring a fire permit are: remove, protect or cover flammable substances and materials with a suitable screen before starting work; place suitable extinguishers that are ready for use in the vicinity of the works; appoint a permanent watchman who is informed about safety measures if this has been agreed with CG s project manager and the ISPPW. check whether equipment and accessories are in good condition and set up gas bottles in a logical and safe way before starting work; pay attention to glowing sparks and where they land during the work; it is essential to continue to monitor the worksite for at least 2 hours after work ends. The porter/night watchman must always be notified so he can pay extra attention to those worksites during his rounds. notify CG s project manager at the end of works which required a fire permit; always work with equipment which complies with the ARAB and AREI requirements. 3.3 Long-Term (LT) Work Permit Where a contractor regularly performs the same work, a Long-Term Work Permit can be issued for a fixed period. The procedure for obtaining a LT work permit is the same as that for obtaining an ordinary work permit. A work permit must never be issued for work involving the use of open fires or where there is a risk of fire. No Long-Term Work Permit will be issued for works performed at or near certain installations. The contractor will always make advance arrangements in consultation with the project manager regarding the time when work is to be carried out. The project manager will consult with and make agreements with the department manager where the work is to be performed. The project manager will notify the porter/reception, as well as the department manager where the work is to be performed. The contractor shall always have the signed Long-Term Work Permit in his possession at the location where the work is to be performed. Every time that the contractor arrives at the porter/reception before starting work, the name of the workers, the date of the work and the arrival and departure times must be noted in the logbook. 4. GENERAL GUIDELINES CG POWER SYSTEMS BELGIUM NV / CG HOLDINGS BELGIUM NV 4.1 Access to the company Only persons who are needed for the implementation of specified tasks in the contract or order are allowed to access the company premises. Such persons shall report every day to the visitor entrance where they will be given a name badge. This badge must always be worn in a visible place and returned to the porter/reception. The first time he is registered at the entrance, the visitor will wait until he is collected by the project manager who will follow up the work; otherwise the visitor will be sent to the relevant manager. The visitor must perform the work at the designated site. Access to other buildings or installations is not allowed without prior permission. It is strictly forbidden to bring image recording equipment onto the company s premises. Any recording of images requires express permission. The project manager may grant permission to make image recordings in exceptional cases (e.g. for the purposes of the work to be performed).

Images can only be recorded in the presence of a person authorised by CG. Employees of contractors or subcontractors are not permitted to disclose information about CG installations or products to third parties. Any information, such as plans, bills, etc. will remain the property of CG and must not be copied or communicated without permission. CG expects workers to speak or understand the following languages: Dutch, French, English or German. Young persons under the age of 18 are not allowed to enter CG business premises. 4.2 Vehicle access to industrial sites Outside vehicles can only be parked in the visitors car park or at agreed locations on the site. Vehicles, site caravans or containers can only be parked close to the works with the express permission of the CG project manager, on condition that this does not cause any nuisance or danger or obstruct normal traffic. Such vehicles must never be parked before an entrance or exit to a building, or an emergency services access, or a compulsory passageway for site personnel. Any traffic on the site is subject to the usual highway code. Special attention is required as regards site traffic. The maximum permitted speed is 20 kph. CG reserves the right to check every vehicle, trailer and/or site caravan which enters, exits or remains parked on its land. Vehicles that are not parked in accordance with the agreed rules may be denied access to the company s sites. Vehicles must not be left with engines running. 4.3 Use of CG sanitary installations The contractor s personnel are only permitted to use changing rooms, washbasins, showers and toilets if they comply with the rules of decency and propriety. Permission must always be obtained first from the CG project manager before such facilities are used. It is only permitted to change clothes in the changing rooms or site caravans equipped for that purpose. The contractor s personnel may be allowed to use lockers to store their clothing and personal effects if they so request. They are however responsible for locking such lockers themselves (provide their own padlocks). The lockers are located in the changing rooms. 4.4 Work clothes and personal protection equipment (Sub)contractors are required AT ALL TIMES to wear suitable work clothing, as well as safety shoes, safety glasses and a safety helmet on CG premises, in workplaces and on building sites. Suitable work clothing means among other things wearing long trousers/overalls, a T-shirt or a vest. Where spectacles are worn with corrective lenses, it is necessary either to wear modified safety spectacles with corrective lenses or protective goggles over the spectacles. The wearing of contact lenses is strongly discouraged. The risk analyses for the work to be carried out will also determine which additional personal protection equipment needs to be worn: The use of hearing protection is compulsory in work environments where the noise level exceeds 80 dba. Dust masks must be worn where there is a risk of breathing in dust during the work. A solvent mask must be used where there is a risk of breathing in solvents. A face mask must be used when pouring chemical substances. A face mask must also be used during grinding operations, unless completely sealed grinding goggles are used. Cut-resistant gloves must be worn when working with sharp materials or tools and certainly when using knives. General purpose gloves are recommended for performing any other activities whatsoever. Loose or open clothing is prohibited. It is prohibited to wear dangling jewellery (necklaces or bracelets). 4.5 The use of canteens It is prohibited to leave packages, bags or boxes containing food in any location other than in the canteens or changing rooms. It is forbidden to eat at worksites or in offices. It is only permitted to eat in the canteen or site caravans equipped for that purpose.

Callaert Version date: January 2012 Page:7/13 The contractor s personnel are only permitted to use the canteen if they comply with the rules of decency and propriety. 4.6 Use of alcoholic drinks, legal and illegal drugs and certain medicines 4.7 Smoking policy It is prohibited to use or be in possession of alcoholic drinks or legal or illegal drugs on the site. Persons who are in possession of such substances will be denied access to the company s premises. Persons who arrive at the site where it is suspected that they are under the influence of drink or drugs or are unable to function will not be permitted to start work. CG s Medical Service must be notified immediately. The use of medicines which could affect one s actions must be notified to the company medical officer via CG s Medical Service. Smoking on site is only permitted in the smoking areas intended for that purpose. Smoking is not permitted in eating areas. 4.8 Order and cleanliness in the workplace The contractor s materials and equipment must be installed in such a way that there can be no risk of nuisance. The exits, emergency exits, access to emergency equipment, fire hoses, fire extinguishers, fire alarm buttons, electrical signs and passageways must be kept free under all circumstances. Every day at the end of the work, the contractor shall ensure that the space where he works is left neat and clean. The contractor shall also remove all waste (unless agreed otherwise). In case of failure to comply with rules on neatness and cleanliness, CG can have the workplace cleaned up at the contractor s expense following written notification. The contractor shall notify the project manager or, in his absence, the team leader when he leaves the site. The contractor shall return the site to its original condition at the end of the works. 4.9 Use of transmission equipment 4.10 Theft and vandalism It is prohibited to use transmission equipment without approval. The use of transmission equipment which is required to implement work must be notified in advance to CG s Internal Service for Prevention and Protection at Work (ISPPW). CG disclaims any responsibility for property if it has not expressly agreed to keep them under surveillance. Persons who are discovered committing theft or deliberately damaging property, equipment, installations or buildings belonging to CG will immediately be denied access to the premises. Legal measures will always be taken whereby the police will be asked to draw up an official report. CG will hold such persons liable for the damage that they cause. It is prohibited to take away property belonging to CG, even if this concerns waste or scrap belonging to CG. 5. EMERGENCIES AND EMERGENCY PROCEDURES 5.1 Reporting emergencies The project manager and CG s ISPPW must be notified immediately of any fire, accident, incident, near accident or unsafe situation that arises during the performance of works entrusted to the contractor. The guidelines are described in the internal emergency plan at the site. CG s project manager will explain the internal emergency plan for the site, which is always available from the porter/reception. It is prohibited to use emergency telephones or the emergency number for other purposes. Any damage, fault or anomaly must be notified to the project manager without delay.

Callaert Version date: January 2012 Page:8/ First aid in the event of accidents 5.3 Evacuation in emergencies 5.4 Fire prevention The contractor is required to provide emergency aid and first aid to his employees if they are the victims of an accident at work or other problems. Call 100 or 112 in an emergency. Any employee of the contractor who suffers an injury, however small, must be treated by CG s Medical Service (or nightwatchman) or one of the company s first aid officers. CG s first aid officers and the Medical Service (nightwatchman) are available to provide first aid. CG and the contractor s prevention services will immediately conduct an investigation into any work accident. The investigation and any expenses incurred by the expert appointed by the inspection service will be paid for by the contractor if this concerns his employees or employees he has appointed. The prevention services will ensure in mutual consultation that a detailed report is sent to all the relevant employers, persons and authorised officials within 10 days following an accident. The contractor is responsible for any physical injury to any person caused by the contractor s actions or negligence as a consequence of the contractor s activities when executing the works. When the evacuation signal sounds (extended continuous signal) the contractor s personnel must go immediately to the collection point and make their presence known. The contractor s personnel shall take the strictly necessary measures during the evacuation before leaving the site. (switch off motors in machinery that is in use, close windows and doors, etc.) Evacuation routes must always be usable (no obstacles, etc.) and must be signposted. It is prohibited to cut off safety equipment (e.g. emergency lighting, hydrant water pressure, emergency power, fire detection, fire compartment, etc.). The permission of the ISSPW must be sought first if an interruption or shutdown (partial or complete) is nevertheless necessary. The contractor will be aware of arrangements in case of fire at CG. CG s project manager will have explained the internal emergency plan. The necessary extinguishers must be ready for use when executing work involving a fire risk. The contractor will provide for sufficient and suitable fire-fighting equipment in addition to that available from CG. The contractor will ensure that his employees know the type of automatic fire fighting systems (e.g. gas extinguishers) they may encounter and what the risks are and the measures they need to take. Access to works in locations with automatic extinguisher systems is only allowed with the permission of the ISPPW. 6. REQUIREMENTS, PROCEDURES AND MEASURES TO BE TAKEN BEFORE AND DURING WORKS 6.1 General requirements before starting work So that the work and interventions can take place under the best possible conditions the contractor is required, in cooperation with CG s project manager and other CG services (maintenance, project, etc.) to: - Perform an advance risk analysis on the work activities. CG will make available a template (blank risk analysis) if necessary; - ensure that a site manager is present on the worksite who will follow up and monitor compliance with the work procedures and safety measures; - make a note of the working conditions and normal activities at the site; - prepare and coordinate the implementation of the work; - arrange for his employees who are to perform the work to carry out a Last-Minute Risk-Analysis (template available); - insofar as this has not happened beforehand, to determine the measures that need to be taken to ensure safety. The works can only commence after the following arrangements have been made at the site: - the contractor s managers and the principal have verified the situation on the site; - CG s project manager and if necessary the CG personnel have been informed of the work to be performed; - the necessary measures have been taken so the works can be implemented safely.

Callaert Version date: January 2012 Page:9/ General requirements when executing work The persons who are to execute the works shall first perform an advance last-minute risk analysis (LMRA). CG will make available a template (blank LMRA) if necessary. This LMRA will remain present at the location where the works take place and shall be filled in after every break (rest). Every day at the end of the work: - all equipment must be disconnected and made inactive; - the area where the contractor is working must be tidied up and cleaned; If for any exceptional reason it is necessary for CG personnel to perform any action or continue to perform any action, CG s project manager must be informed of the place, the type of work, the duration and the identity of the persons involved. CG s project manager will make the necessary arrangements with the other services involved within CG. At the end of the works, the contractor shall: - leave the work area in a safe and tidy condition; - notify the person in charge at CG immediately of any possible risks and measures to be taken in the field of safety which are to remain after the works have been executed. It is prohibited to take away, move or use any materials or equipment without CG s prior written permission. This does not apply to the use of fire extinguishing equipment in case of fire. Connecting equipment to power sources or connecting pipes to the mains at CG is only allowed after consultation with the project manager. It is prohibited to operate machines or devices that have not been assigned to the contractor. It is prohibited, also in the case of maintenance and repair work, to short circuit or remove emergency stops or safety devices on machines or installations, or to clean or grease running machinery or installations, unless this forms part of the prescribed maintenance procedures and this has been taken into account when the machinery or systems were designed. 6.3 Use of work equipment and personal and collective protection equipment 6.4 Signalisation of works Unless agreed otherwise with the project manager, the contractor will himself provide the necessary materials, work equipment and safety provisions, with the exception of lock out/tag out devices. The devices in themselves and their use must always comply with the applicable Belgian legislation. At the start of the works, the contractor shall draw up an inventory of tools and devices to confirm that these are irrefutably his property. The contractor shall ensure that his personnel have access to all the modified and suitable materials or equipment for the implementation of his task as well as both collective and personal protection equipment. The contractor shall ensure that these materials or equipment and this protection equipment are in good condition (including the CE label and regular inspections) and that his personnel have been trained and have the necessary information to use these properly. The contractor shall ensure that his personnel use the protection equipment that is made available during the execution of the works. Damage caused to buildings, property or equipment, as well as consequential damage caused by mistakes or negligence of the contractor or his agents, are for the contractor s expense and will be repaired at his expense. The contractor is expected to be sufficiently insured against this. 6.5 Use of hazardous substances The contractor shall provide for the necessary demarcation and signals in consultation with CG s project manager in order to prevent and prohibit unauthorised persons from gaining access to the site and to warn passers-by that work is being done. The contractor shall ensure that his personnel have the necessary resources available to secure the machinery or installations on which his personnel are performing work, in a proper and adequate manner against unintentional activation (individual warning signs, padlocks on switches, etc.) in accordance with CG s internal Lock Out Tag Out procedure. The contractor shall notify CG s project manager of any use of hazardous substances before commencing work, and mention this in the risk analysis. Hazardous substances can only be brought onto the site and used with the express permission of the ISPPW and the environmental coordinator via the work permit.

Callaert Version date: January 2012 Page:10/13 The contractor will hand over the Material Safety Data Sheet(s) (MSDS-PDS) in due time to CG s project manager as regards substances that he wishes to use. The contractor shall ensure that his personnel are sufficiently informed and trained, and that they have the necessary protection equipment to work with such substances. Hazardous substances in the workplace are to be limited to the quantity required for working with these for one day. All hazardous substances need to be labelled clearly in accordance with the regulations. Asbestos must be removed in accordance with recent regulations. The ISPPW and the Environmental Coordinator shall be expressly notified in advance of such works. 6.6 Use of gas bottles 6.7 Working with electricity Gas bottles must be stored vertically and firmly tied down with a chain (made of nonflammable material). Always check the label on the gas bottle before use. Always keep gas bottles at a safe distance from any heat source. Use a mobile frame as far as possible in order to transport gas bottles. Always remove grease or oil from the gas bottle connection piece. Always close the gas bottle, with the protective cap covering the closure, when the gas bottle is not being used. Empty bottles must be removed as soon as possible. The pressure on hoses and manometers must be relieved at the end of the day and bottles must be put away at a fixed designated location. The contractor must ensure that his personnel are sufficiently informed and trained, and that they have the necessary protection equipment to work on electrical installations (if necessary via BA4 and/or BA5). Working on low-voltage installations It is expressly prohibited without the prior permission of the ISPPW: - to connect electrical machinery, systems or site boards to the mains network; - to start up machines for the first time or after repairs; - to switch off or open electrical boards. The contractor will provide the necessary specific protection equipment for his personnel, which is required to work safely on live electrical apparatus. Apparatus that is switched off will display a warning sign with the name of the person performing the work, and a padlock will be attached to the casing to prevent unintended activation in accordance with CG s Lock Out Tag Out procedure. It is prohibited to leave open live boards without supervision. Site boards must be sealed with an inspection certificate from an approved body before they can be connected. Working on high-voltage installations 6.8 Working at height It is prohibited for anyone other than the electricity supplier s authorised personnel to access high-voltage areas. All other persons can only have access if they are accompanied by authorised CG personnel. It is only permitted to work on high-voltage apparatus with approval from authorised CG personnel, and this will always take place under supervision. In case of working at height, the contractor needs to take the necessary measures to ensure these works are performed safely, both as regards personnel and falling objects. CG expects the following tools to be used properly. Use of ladders Ladders used by the contractor must comply with statutory requirements. Ladders must be regularly inspected by an authorised person designated by the contractor. Ladders are only to be used to go from a lower area to a higher area. They must always be secured at the base to prevent slipping. It is not permitted to work on ladders.

Callaert Version date: January 2012 Page:11/13 Use of scaffolding Use of platform lifts Scaffolding used by the contractor must comply with statutory requirements. Scaffolding must be inspected by an authorised person designated by the contractor at the following times: - starting use; - afterwards at fixed times (to be arranged with the contractor s ISPPW); - after each modification, period out of use, exposure to every kind of weather, or other circumstances possibly affecting the sturdiness or stability of the scaffolding. The authorised person shall attach an inspection label to the scaffolding, stating the date of the most recent inspection. Scaffolding without a calculation note must not be used. Mobile scaffolds must be protected against unintentional movements. Platform lifts must be sealed with a certificate from the most recent regular inspection by an approved body before they can be used. Staff who operate platform lifts must present valid proof of medical suitability and completion of training in operating platform lifts. Platform lift operators must always wear a safety harness and attach themselves to the platform lift. Use of safety belts / harnesses Safety belts or harnesses must be worn during any work where there is a risk of falling from a height exceeding 2 metres and where no collective protection equipment has been put in place. Safety belts must be sealed with a certificate from the most recent regular inspection by an approved body before they can be used. Safety belts must be made of non-flammable materials where work involves a risk of fire. 6.9 Use of fork-lift trucks and lifting devices 6.10 Use of roller bridges 6.11 Working in confined spaces Forklift trucks, lifting devices and associated accessories must be sealed with a certificate from the most recent regular inspection by an approved body before they can be used. Staff who operate fork-lift trucks or lifting devices must present a valid proof of medical suitability and completion of training in operating fork-lift trucks. Fork-lift trucks must not be driven faster than 10 km/h or 6 km/h indoors. Trucks that are driven indoors must be equipped with white tyres so they do not leave dirty stripes on the floor. It is expressly prohibited to use roller bridges without prior written permission. Staff who operate roller bridge devices must present valid proof of medical suitability and completion of training in operating roller bridges. It is prohibited to descend into collection tanks, pits or other places where harmful gases could form. Only after sufficient ventilation and checks on the atmosphere and with the use of suitable protection equipment and implementation of the agreed measures with regard to internal procedures for working in confined spaces at CG is it permitted to work in these spaces. Such works must always be supervised by a second person who is at a safe place and who can immediately raise the alarm and offer assistance in the event of an emergency. The contractor s employees need to have undertaken a training course in working in confined spaces. If there is no visual contact between the person entering the confined space and the supervisor, the former must always carry a dead man s telephone in connection with internal procedures for working in confined spaces.

ENVIRONMENT AND WASTE o o o o o o The contractor must make use of non-explosive electrical materials (inspection certificates are to be submitted to the ISPPW via CG s project manager) and spark-free mechanical materials. The contractor undertakes to comply with the applicable legislation regarding the environment. Independently of this and in addition, the contractor undertakes: not to leave any waste behind at the worksites; not to pour any oils, solvents or other liquid waste subject to environmental waste collection protection into drains; to place solid waste into the containers designated for him by the CG manager following the express approval of CG s Environmental Coordinator; if it has been agreed that the contractor is to remove the waste himself, then he shall remove and process it in a legal manner. CG s Environmental Coordinator reserves the right to demand a processing certificate; not to burn anything; to clean up spilled substances that could contaminate the soil. If any breaches are determined regarding the applicable environmental legislation on the company s sites, caused by the contractor or his subcontractors, CG reserves the right immediately to deny the persons responsible for the breach access to the site and to hold the contractor liable for the damages incurred (e.g. fines, cleaning and decontamination work, damage to CG and/or residents, etc.). 8. DOCUMENTS TO BE SUBMITTED TO THE CG ISPPW ON DEMAND Health monitoring certificates for all safety functions; Secondment declaration A1 (E101) for employees resident in an EC country other than Belgium (at least 48 hours before commencement of works); Work permit for employees resident outside the EC; Training certificates (fork-lift truck driver, roller bridge operator, platform lift operator, working in confined spaces, safety training); Compulsory inspection certificates (present at the work site); VCA, BeSaCC, OHSAS and/or ISO certificate; LIMOSA notification proof (Limosa-1) if you temporarily or partially perform assignments in Belgium as a non-belgian employer or self-employed person; (work accidents) insurance policy. The data provided to CG concerning this agreement, will be stored in a database. Please send us a written request if any changes are necessary. Any information regarding privacy issues, please contact the Commission of Privacy, Hoogstraat 1239, 1000 Brussels. If it is not possible to comply with one of the above conditions, the contractor must ALWAYS notify CG s project manager of this. Any additional measures or adjustments can be implemented following a recommendation from the CG ISPPW. Following notice of default sent to the contractor, the principal CG can take the necessary measures at the contractor s expense, in connection with the welfare of employees in the performance of their work specific to his installation, if the contractor does not take such measures or does not fully comply with his obligations. This agreement forms an integral part of the contract agreement. This agreement is therefore also subject to all the provisions of the contract agreement. The parties have the right to dissolve the contract agreement if one of them does not comply with his obligations on the basis of this agreement.
