1 Red Bull Clash Course TOURNAMENT RULES VOID WHERE PROHIBITED BY LAW. THIS TOURNAMENT IS NOT SPONSORED OR ENDORSED BY VALVE SOFTWARE, INC. OR VALVE CORPORATION. The Red Bull Clash Course (the Tournament ) is a collegiate gaming tournament hosted by Red Bull North America, Inc. ( Red Bull ). The Tournament is subject to all applicable federal, state/provincial, and local laws. The Tournament will be open to teams of up to three (3) players ( Teams ) who are at least seventeen (17) years of age (each Players ) that RSVP, appear at the qualifying tournament site, and successfully register at the qualifying tournament site on the day of the Tournament. All Teams and Players must own Destiny: The Taken King as of September 15, TEAMS/INVITATIONS Red Bull reserves the right to replace or disqualify any Team in the event a Team or any of its Players fail to respond to requests by Red Bull in connection with the Tournament, fail to complete any required tasks, violate the Tournament Rules, or commit any act which would reasonably bring the Player, Team or Red Bull into public disrepute, contempt, scandal or ridicule. To participate in the Tournament, each Team must fully comply with the official game play rules document ( Official Game Play Rules ) which will be available to each Team prior to the start of Tournament and which is hereby incorporated as part of these Tournament Rules. Failure to complete any step outlined in, or to follow any of, these Tournament Rules may, in Red Bull s discretion, result in disqualification of the Team and its Players. 2. TOURNAMENT STRUCTURE The Tournament consists of a series of up to sixty four (64) qualifying tournaments (each a Qualifying Tournament ) and a final tournament scheduled to be held in Santa Monica, California ( National Final Tournament ). Venue, date and time for each Qualifying Tournament will be available at ( Qualifier Schedule ). Qualifying Tournaments will take place from September 15, 2015 to December 20, 2015, per the Qualifier Schedule. Qualifying Tournaments: Players will compete in their Teams in an attempt to complete a level, aka Strike Mission, as quickly as possible. The number of Strike Missions each team competes in depends on the number of teams participating to ensure the event runtime isn t too long/short. Each Team s Players must log in to the PS4s/Xbox Ones using their Playstation ID/Xbox Live Account. One Player from the Team will invite his/her teammates in the game to form a fire team. The Team will select the first Strike Mission for the tournament. The Team will then complete the mission as quickly as possible. The timer will end as soon as each Team completes the mission. The Qualifying Tournaments will result in up to sixty four (64) winning Teams. The winning Teams will be divided by Region, into sixteen (16) Teams per Region. The two (2) Teams with the fastest first round played from each Region, a total of eight (8) Teams, as determined in Sponsor s sole discretion, will be awarded a trip to Santa Monica to play in the National Final Tournament. National Final Tournament: The National Final Tournament is scheduled to be held on January 23, 2015 at Red Bull s Headquarters. The National Final Tournament will be conducted in accordance with the National Final Tournament Rules document ( National Final Tournament Rules") which will be available to each Team prior to the start of the Tournament, and which is hereby incorporated as part of these Tournament rules. To participate in the National Finals Tournament, each Team must fully comply with the National Final Tournament Rules, which will be

2 provided to each Team prior to the start of Tournament and which is incorporated as part of these Tournament Rules. Failure to complete any step outlined in, or to follow any of, these Tournament Rules may, in Red Bull s discretion, result in disqualification of the Team and its Players. All dates and times are subject to change. The specific time and opponent for each Team s first game will be determined in Red Bull s sole discretion. All decisions of the Red Bull related to the Competitions are final and binding. 3. REPRESENTATIONS AND WARRANTIES Each Team and its Players (for the remainder of these Tournament Rules, collectively you ) represent and warrant: A. You will not engage in any unsportsmanlike conduct during the Tournament. If Red Bull or any designated administrator needs to resolve any issue relating to your conduct, then any decision made will be final and not appealable except in Red Bull s sole discretion. Any offensive remark may, as determined in Red Bull s sole discretion, result in disqualification. B. You will not violate or infringe upon the rights of any person or entity, including without limitation copyrights, trademarks or rights of privacy or publicity, and must not act in any way that, in Red Bull s sole discretion, is defamatory, threatening, indecent, obscene or offensive, pornographic, lewd, sexually explicit, inappropriate, objectionable, unlawful, in violation of or contrary to any applicable laws or regulations. You must not disparage or cast a negative light on any person, entity, or brand, product, or service. C. You will not reference any names, products or services of any company or entity or any third party trademarks, logos, trade dress or promotion of any brand, product, or service during your participation in the Tournament. D. You will comply fully with the Official Game Play Rules. E. You will abide by all laws, regulations, ordinances, and rules, and that you will not harm, attempt to harm, or threaten to harm any person (including yourself) or property in relation to or during your participation in the Tournament. You may be disqualified from the Tournament at any time in Red Bull s sole discretion for violation of any of the foregoing terms or these Tournament Rules. 4. LICENSES/RELEASES/RIGHT OF PUBLICITY By participating in the Tournament: (1) you grant to Red Bull a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, sub-licensable, freely assignable license to reproduce your registration and any images, descriptions, audio, or video of your participation in the Tournament and to otherwise use, exploit, copy, modify, adapt, edit, publish and display your registration and any images, descriptions, audio, or video of your participation in the Tournament in any form, manner, venue, media or technology now known or later developed for any and all purposes, including, without limitation, for purposes of trade, advertising, and promotion as Red Bull or and its licensees or assignees determine, without further compensation, notification, or permission; (2) you hereby waive any moral rights you may have in any images, descriptions, audio, or video of your participation in the Tournament in favor of the Red Bull; and (3) you also grants to Red Bull the worldwide, perpetual, irrevocable, fully sublicensable, and freely transferable right, but not the obligation, to use any and all names, identities, titles, likenesses, distinctive appearances, physical likenesses, images, portraits, pictures, photographs (whether still or moving), screen personas, voices, vocal styles, statements, gestures, mannerisms, personalities, performance characteristics, biographical data, signatures, and any other indicia or imitations of identity or likeness listed, provided, referenced, or otherwise contained in your registration or your Tournament participation for purposes of advertising and trade, in

3 any format, medium, or technology now known or later developed without further notice, approval, or compensation, unless prohibited by law. At Red Bull s request and in its sole discretion and to further document the foregoing, you agree to execute an assignment and release transferring all rights and ownership, if any, any images, descriptions, audio, or video of your participation in the Tournament to Red Bull, the form of such assignment to be determined by Red Bull in its sole discretion. 5. PRIZES The following prizes will be awarded under the Tournament. Cash awards identified below are pre-tax and will be distributed after deducting the tax withholdings referenced in Section 6. Team Prizes: Each of the eight (8) winning Teams will, upon verification of eligibility and compliance with these Tournament Rules, receive the following prize package: Three (3) round-trip economy cabin air transportation tickets for the Team s three (3) Players from the nearest major airport to each member s residence to Los Angeles, CA. Lodging for the Team s three (3) Players for 2 days / 1 nights in 2 (3) double-occupancy hotel rooms in or near the National Final Tournament location. Entry into the National Final Tournament in Los Angeles, CA. The approximate retail value of each of the Team Prizes is $2600 USD. The total ARV of Team Prizes to be awarded in this Tournament is $20,800. National Final Tournament Prize(s): The Prize(s) for the National Final Tournament will be detailed in the National Final Tournament Rules document, which will be available to the Teams prior to the start of the National Final Tournament, and which is incorporated as part of these Tournament rules. Other prizes, including but not limited to regional or qualifier prizes may be awarded to Players and Teams in Sponsor s sole discretion. 6. PRIZE TERMS All prizes are awarded "AS IS." Neither Red Bull nor Red Bull Affiliates make or offer any warranty or guarantee, either express or implied (including, without limitation, quality, merchantability and fitness for a particular purpose) in connection with this Tournament or any prize. Prize details and availability are subject to change, in which case a prize of equal value may be substituted at Red Bull's sole discretion. Prizes consist only of the items listed, are nontransferable, with no cash redemption (other than for the check prizes) or substitution except at Red Bull's sole discretion. Prizes are subject to terms, conditions, expiration dates, and restrictions imposed by the manufacturer/ issuer of the prize. Federal, state, and local taxes on prizes, if any, and any other costs, fees and expenses not listed above as specifically included as part of the prize are the sole responsibility of Team and each Player. Travel Related Prizes: All travel arrangements must be made through Red Bull s agent. Any other costs and expenses associated with prize acceptance and use not specifically provided herein (such as security fees, gratuities, luggage fees, meals and transportation, and incidental charges) are the responsibility of the Team and/or Player. Ground transportation may be provided in lieu of air transportation if winning entrant resides within a 100-mile radius of destination, and no compensation or substitution will be provided for difference in value. Each Player must possess and show valid travel documents, prior to departure (e.g. passport, visa, valid driver s license, or other acceptable government-issued identification), and must sign a Release of Liability/Publicity and any other documents provided to him or her prior to ticketing. Once airline tickets have been ticketed, no changes will be permitted. Red Bull will determine airline, airports, flight itinerary, and hotel in its sole discretion. Travel and accommodation restrictions, conditions, and limitations may apply. Red Bull will not replace any lost, mutilated, or stolen tickets or travel vouchers.

4 WINNER NOTIFICATION/RELEASES: All results from games/matches in the Competition phase are subject to verification by Red Bull. Only Red Bull has the power to declare whether a Team has won a match and/or is moving on to subsequent Phases. Red Bull will notify the potential winning Teams as each applicable match is completed. Confirmation to the Grand Prize winning Team will be sent via on or about the next business day following the completion of that Competition Phase 3. You (and in the event you are a minor, your parent or legal guardian) may be required, in Red Bull s sole discretion, to complete and return an Affidavit of Eligibility (or Declaration of Eligibility), a scan or photo of governmentissued ID, Release of Liability and/or, if legally permissible, a Publicity Release before you are declared a winner of any Competition Phase or before claiming any prize to be awarded under the Tournament. NO LIABILITY & INDEMNIFICATION: By entering this Tournament, you agree to release, discharge and hold harmless Red Bull, Red Bull Affiliates, and their respective directors, officers, employees, agents and assigns (the Released Parties ) from any claims, losses, and damages arising out of, or relating to, your participation in this Tournament or any Tournament-related activities and the acceptance and use, misuse, or possession of any prize awarded hereunder (including, without limitation, any misrepresentation made by the entrant in connection with the Tournament; any non-compliance by the entrant with these Tournament Rules; claims brought by persons or entities other than the parties to these Tournament Rules arising from or related to the entrant s involvement with the Tournament; acceptance, possession, misuse or use of any prize or participation in any Tournament-related activity or participation in this Tournament; any malfunction, error or other problem arising in connection with the collection, processing, or retention of registration information; any software, hardware, internet connection, malfunction, error, or other problem affecting a Team s participation in the Tournament, or any typographical or other error in the printing, offering or announcement of any prize or winner). The foregoing includes, without limitation, any claim for personal injury, property loss or damage, or death arising in any way in connection with the Tournament. OTHER TERMS: By participating in the Tournament, you agree to be bound by the decisions of Red Bull, its employees, its administrators and other personnel. You must conduct yourself in a reasonable manner, maintaining a friendly and polite demeanor to competitors, Tournament officials, and to other Teams/Players of the Tournament. You will be disqualified, in Red Bull s discretion, if you violate any rule, gain unfair advantage in participating in the Tournament, or obtain winner status using fraudulent or unfair means. Unsportsmanlike, disruptive, annoying, harassing or threatening behavior is prohibited. Red Bull will interpret these Tournament Rules and resolve any disputes, conflicting claims or ambiguities concerning the Tournament Rules or the Tournament and its decisions in this regard will be final and not subject to appeal. Red Bull reserves the right to cancel or modify the Tournament for any reason, including but not limited to, if fraud, misconduct or technical failures destroy the integrity of the Tournament, or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper administration of the Tournament as determined by Red Bull, in its sole discretion. Red Bull reserves the right, in their discretion, to disqualify any anyone found (a) to be tampering with the registration or entry process or the operation of the Tournament or any platform used by the Tournament; (b) to be acting in violation of these Tournament Rules; (c) to be hacking, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person; or (d) to have provided any false or misleading information as part of the registration process or during the Tournament including, without limitation, any false names, addresses or e- mail addresses. All decisions will be made by the Sponsor and are final. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE OPERATION OF THIS TOURNAMENT MAY BE A VIOLATION OF CRIMINAL & CIVIL LAWS. RED BULL RESERVES THE RIGHT TO DISQUALIFY AND/OR SEEK DAMAGES FROM ANY INDIVIDUAL MAKING ANY SUCH ATTEMPTS TO THE FULL EXTENT PERMITTED BY APPLICABLE LAW.

5 GOVERNING LAW/JURISDICTION: All issues and questions concerning the construction, validity, interpretation and enforceability of these Tournament Rules or the rights and obligations of participants or Red Bull in connection with the Tournament shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other domestic or foreign laws, and all entrants shall be deemed to have agreed to submit to the exclusive jurisdiction of the California courts. Claims may not be resolved through any form of class action. SEVERABILITY: If any provision(s) of these Tournament Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
