THE SONIC SLAM INNING PROMOTION (THE PROMOTION ) AND ANY ADVERTISEMENT RELATING THERETO IS INTENDED FOR PARTICIPATION ONLY IN THE UNITED STATES (EXCLUDING FLORIDA, RHODE ISLAND, UTAH, AND NEW YORK) AND DISTRICT OF COLUMBIA (THE TERRITORY ) AND SHALL BE CONSTRUED ACCORDING TO, AND GOVERNED EXCLUSIVELY BY CALIFORNIA STATE LAW. VOID WHERE PROHIBITED BY LAW. 1. PROMOTION DESCRIPTION: The Sonic Slam Inning Promotion (the "Promotion") is sponsored by Fox Sports Net Southwest, a division of ARC Holding, Ltd. located at 100 E. Royal Lane, Suite 200, Irving, TX and DFW Advertising Cooperative located at 300 Johnny Bench Drive Oklahoma City, Oklahoma (each a Sponsor collectively, Sponsors ). The Promotion is related to Fox Sports Net Southwest s coverage and telecast of the professional baseball team located in Arlington, Texas (hereinafter referred to as Texas Baseball ) and any ancillary programming related thereto and offers entrants an opportunity to win a consolation prize in an independent consolation prize random drawing (each a Consolation Prize Sweepstakes ) and each prizewinner of a Consolation Prize Sweepstakes is given an additional opportunity to win a First Place Prize (as detailed below) or a Grand Prize (as detailed below) during the Sonic Slam Inning (as defined below) of each Texas Baseball game that is telecast on Fox Sports Net Southwest (each a Game collectively, Games ). Sponsors are not responsible for any Game or regular season professional baseball schedule changes. The Promotion begins on March 16, 2017, and ends on September 18, 2017 (such entire period of time referred to hereinafter as the Promotion Period ). By participating in this Promotion, each entrant unconditionally agrees to abide by these Official Rules and the decisions of Sponsors, which shall be final and binding in all matters relating to this Promotion. 2. WHO MAY ENTER: The Promotion is open only to legal residents of the United States (excluding Florida, Rhode Island, Utah, and New York) and District of Columbia who are eighteen (18) years of age or older at the time of entry. Void where prohibited by law. Directors, officers, and employees (and each of their respective IRS dependents, immediate family members [children, spouse, parents, sibling] and individuals residing in their same household, whether or not related), of Sponsors, Fox Cable Network Services, LLC, Fox Entertainment Group, and The News Corporation, Inc. (each a Promotion Entity and collectively, the Promotion Entities ), and each of their respective parents, affiliated, or subsidiary companies, advertising, promotion, production services, fulfillment agencies, legal advisors, web masters and web suppliers are not eligible to enter or win. The potential prize winner of each Consolation Prize Sweepstakes may be required to show proof of residency. WHEN TO ENTER: The Promotion begins on March 18, 2017 and ends on September 18, To be eligible for a Consolation Prize Sweepstakes and all subsequent Consolation Prize Sweepstakes, all entries must be postmarked by the end of the Promotion Period and received by Sponsors by September 21, All non-winning eligible entries from one Consolation Prize Sweepstakes will rollover into all subsequent Consolation Prize Sweepstakes. The receive date for all entries shall be determined by Sponsors in their sole and absolute discretion. The postmark date and Sponsors receive date shall be the official time keeping devices for all entries received in connection with this Promotion. In the event that the professional baseball s regular season is extended, Sponsors shall have the sole and absolute discretion to extend the Promotion to coincide with professional baseball s regular season. 4. HOW TO ENTER: No purchase necessary to enter or win. Making a purchase will not improve your chances of winning. There are two (2) ways to enter the Promotion. 1) In-Store Entry: To enter, visit any participating Sonic Drive-In Restaurant during normal business hours throughout the Promotion Period to obtain an official entry form (while supplies last). Complete the official entry form in its entirety and mail the official form to Sonic Slam Inning Promotion c/o Fox Sports Southwest, 100 E. Royal Lane, Suite 200, Irving, TX ) Mail In Entry: On an approximate 3 x 5 postcard, legibly print your full name, complete physical street address (including city, state, and zip code), daytime phone number (including area code), and address, if any, and mail to Sonic Slam Inning Promotion c/o Fox Sports Southwest, 100 E. Royal Lane, Suite 200, Irving, TX There is no limit on the number of times an individual may enter the Promotion; however, there is a limit of one (1) entry per envelope. So enter as often as you like; subject to the aforementioned restriction. Limit of one (1) consolation prize (as detailed below) per prize winner/per household throughout the entire Promotion Period. Entry must be made by the entrant, only in the manners as set forth herein. All other methods of entry are considered void. No photocopied, mechanically reproduced, illegible, or incomplete

2 entries will be accepted. Promotion entries will be deemed null and void and will be rejected if not submitted through authorized, legitimate channels. All entries become the exclusive property of Sponsor and will not be acknowledged or returned. As permitted by law, each entrant agrees that personal information collected in connection with this Sweepstakes may be shared with the Promotion Entities and Sponsor s other promotional partners to contact you regarding promotional updates; information; messages; and for other reasons via electronic and/or ordinary mail and, will be used by Sponsor and such promotional partners in compliance with their respective privacy practices. Without otherwise limiting the foregoing, any personal information supplied by a Sweepstakes entrant to Sponsor will be subject to Sponsor s privacy policy posted at ( Privacy Policy ). By entering the Sweepstakes, each entrant grants Sponsor permission to share your address and any other personally identifiable information with the other Promotion Entities for the purpose of Sweepstakes administration and prize fulfillment. Sponsor will not sell, rent, transfer or otherwise disclose your personal data to any third party other than as described herein or in the Privacy Policy. Entry must be made by the entrant, only in the manners as set forth herein. All other methods of entry are considered void. 5. DRAWINGS AND PRIZE WINNER NOTIFICATION: Up to a total of one hundred fifty-four (154) prizewinners may be selected to win a consolation prize. However, in the event there are schedule changes to professional baseball s regular season, Sponsors in their sole and absolute discretion may select up to a total of one hundred sixty-two (162) prizewinners. Throughout the entire 2017 professional baseball regular season, one (1) prizewinner for each Consolation Prize Sweepstakes will be selected in a random prize drawing for each Game. The consolation prizewinner(s) ( Sonic Slam Inning Player ) for each Consolation Prize Sweepstakes will be announced on-air prior to the start of the Sonic Slam Inning, which is the 6th inning of each Game ( Sonic Slam Inning ). The Sonic Slam Inning Player for each Game is also eligible to win either a First Place Prize or a Grand Prize. First Place Prize Eligibility: If during the Sonic Slam Inning, the Texas Baseball s batter hits the baseball and allows the Texas Baseball batter to reach home base safely while the baseball is in play on the field or over the outfield fence between the foul poles (or making contact with either foul pole) without first touching the ground ( Homerun ), then the selected Sonic Slam Inning Player will be eligible to receive the First Place Prize. Grand Prize Eligibility: If during the Sonic Slam Inning, the Texas Baseball s batter hits a Homerun while each base (i.e., first, second, and third) is occupied by a Texas Baseball s base runner and each base runner and the batter score a run, thereby scoring four (4) runs in a single play ( Grand Slam ), then the Sonic Slam Inning Player will be eligible to win the Grand Prize. In the event that the defensive team commits an error during the play and it is not scored as a grand slam, but rather advancing on the error, it will not qualify as a Grand Slam and the Grand Prize will not be awarded. Each potential Sonic Slam Inning Player will be notified by telephone, and/or U.S. mail within four (4) days following the on-air announcement of the applicable Consolation Prize Sweepstakes Sonic Slam Inning Player by using the contact information provided at the time of entry. Sponsors shall have no liability for any prizewinner notification that is lost, intercepted or not received by a potential prizewinner for any reason. If the selected Sonic Slam Inning Player cannot be reached by telephone, or U.S. mail, or does not respond within three (3) days of the initial attempt to notify the potential Sonic Slam Inning Player, the prize (inclusive of the First Place Prize or the Grand Prize, if applicable) may be forfeited and an alternate prizewinner may be selected in a random drawing from the remaining eligible entries. Sponsors will attempt to contact up to two (2) potential prizewinners in accordance with the above procedure, after which the prize may go unawarded if it remains unclaimed. If any potential prizewinner is found to be ineligible, or if he or she has not complied with these Official Rules or declines the prize for any reason prior to award, such potential prizewinner will be disqualified and an alternate prize winner may be selected. 6. PRIZE/APPROXIMATE RETAIL VALUE (ARV)/ODDS: (A) CONSOLATION PRIZE: Up to a total of one hundred fifty-four (154) consolation prizes are available. Each consolation prize shall consist of one (1) ten ($10) My SONIC card. The approximate retail value ( ARV ) should all of the consolation prizes be awarded is One Thousand Five Hundred Forty Dollars ($1,540). The My SONIC cards are subject to all terms and conditions that generally apply to My SONIC cards and printed thereon. Odds of winning a Consolation Prize depend upon the total number of eligible entries received prior to the Sonic Slam Inning for the applicable Game (including all entries received in connection with prior Games, if any). (B) FIRST PLACE PRIZE: The First Place Prize is a progressive jackpot that will be awarded to the Sonic Slam Inning Player should the Texas Baseball s batter hit a Homerun during the Sonic Slam Inning. The progressive jackpot will begin with One Hundred Dollars ($100) and will escalate by One Hundred Dollars ($100) for each Game that a Homerun is not hit by a Texas Baseball s player during the Sonic Slam Inning. The amount awarded to the Sonic Slam Inning Player is contingent upon the amount of money that has accumulated in the progressive jackpot; provided, however, that the minimum amount of money in the progressive jackpot shall be no less than One Hundred Dollars ($100) and will be awarded in addition to the Consolation Prize. In the event that a Homerun is hit during the Sonic Slam Inning, the jackpot will reset to

3 One Hundred Dollars ($100) for the next Game. There will only be one (1) First Place Prize awarded per Game. The odds of winning any First Place Prize shall solely depend upon the batting ability of the Texas Baseball s batters. (C) GRAND PRIZE: The Grand Prize is Twenty-Five Thousand Dollars ($25,000). In the event that the Texas Baseball s batter hits a Grand Slam during the Sonic Slam Inning, the Sonic Slam Inning Player shall win Twenty-Five Thousand Dollars ($25,000) in addition to the Consolation Prize and the First Place Prize; if, the First Place Prize has not already been awarded during that same Game. Additionally, if during a Game, a Homerun is hit during the Sonic Slam Inning subsequent to a Grand Slam being hit during that Sonic Slam Inning and the Grand Prize has already been awarded to a prizewinner, then no First Place shall be awarded in connection with any Homerun Hits. There will only be one (1) Grand Prize awarded per Game. The odds of winning any Grand Prize shall solely depend upon the batting ability of Texas Baseball s batters. Any Homeruns or Grand Slams made during the Sonic Slam Inning shall be determined by the officiating umpire for that Game. In the event that a Homerun or Grand Slam has occurred during a Game and such Game is canceled for any reason prior to becoming an official game as determined by officials of Major League Baseball and all statistics are removed, no First Place Prize or Grand Prize will be awarded in connection with such Game. The Sonic Slam Inning Player shall be solely responsible for all other expenses not specified herein as being awarded including, without limitation, delivery, processing and handling fees. 7. GENERAL PRIZE RESTRICTIONS: No cash alternative or prize substitutions will be allowed except Sponsors reserve the right to substitute prizes of comparable value if a prize listed is unavailable for any reason. All prizes awarded in connection with this Promotion are non-assignable and nontransferable. If lost, the prize will not be replaced. The prizewinner(s) are solely responsible for the reporting and payment of any federal, state and/or local taxes on a prize. Upon verification of entrant s win and compliance with these Official Rules, delivery of the applicable prize will be coordinated by a representative of Sponsors and the prizewinner will receive further notification with details on how to claim the applicable prize. 8. GENERAL PRIZE CONDITIONS: Eligibility, age and all claims made by prizewinner(s) are subject to verification. Sponsors and their agents are not responsible for fraudulent communications including without limitation phone calls, mail, and s made by or sent to entrants. Prizewinners may be required to execute an Affidavit of Eligibility, a Liability Release and a Publicity Release ( Affidavit/Publicity Release ). The Affidavit/Publicity Release must be returned within the time indicated on the documents. If any potential prizewinner fails to return such documents within the prescribed period of time, then the potential prizewinner may be disqualified and an alternate prizewinner may be selected from the remaining eligible entries. Except where imposing such condition is expressly prohibited by law, the prizewinner s entry and acceptance of the prize constitutes permission for the Sponsors and their agents to use said prizewinner s name, photograph, likeness, statements, biographical information, voice, and city and state for all purposes and in all forms of media, in perpetuity, without further notice or compensation. Depiction of the prizes in any advertising, promotional materials, or on the Website (if any) may not reflect the actual prize delivered to the prize winner. Sponsors or their agents shall not be responsible for delays in delivery of any prize once it has been shipped by Sponsors or their agent. Each prizewinner shall bear all risk of loss or damage to the prize after it has been delivered to the prize winner. 9. CONDITIONS OF PARTICIPATION: This Promotion is subject to all applicable federal, state, and local laws. Each entrant hereby: (a) agrees that the Promotion Entities will have no liability whatsoever for, and shall be held harmless by participants against any liability for any injuries, losses or damages of any kind to person(s), including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Promotion or any Promotion-related activity, or for any typographical or other error in the printing, offering or announcement of any prize; (b) releases the Promotion Entities from all liability, claims, action, or proceedings relating to this Promotion and from injuries or damages arising in connection with or relating to participation in this Promotion, or use or misuse of the prize; and (c) waives any right to claim ambiguity in the Promotion or these Official Rules. This Promotion may not be used for any form of gambling. 10. IMPORTANT: PLEASE READ - GENERAL RELEASE AND LIMITATIONS ON LIABILITY. By entering the Promotion, entrants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with the Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Promotion, but in no event will attorneys fees be awarded or recoverable; and (3) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby knowingly and expressly waives all rights to seek,

4 punitive, incidental or consequential damages and/or any other damages, other than actual out-of-pocket expenses, and/or any and all rights to have damages multiplied or otherwise increased. Each entrant acknowledges and agrees that the Promotion Entities are not responsible for any costs, injuries, losses, or damages of any kind arising from or in connection with: (i) incomplete, lost, late, misdirected, or illegible entries or for failure to receive entries due to any cause, including without limitation human, transmission, or technical problems, failures, or malfunctions of any kind, whether originating with sender, with Sponsors, or otherwise, that may limit an entrant s ability to participate in the Promotion; (ii) incorrect or inaccurate information whether caused by internet users, or by any equipment or programming associated with or utilized in connection with this Promotion and assume no responsibility for any error, omission, malfunction, interruption, deletion, defect, or delay in operation or transmission, communications line failure, theft, or destruction or unauthorized access to, tampering, or hacking; (iii) any injury or damage resulting from participation in the Promotion and/or the use and/or misuse of any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to, loss or destruction of property, or any claims, costs, injuries, losses, or damages related to or based on the entrant s rights of publicity or privacy); or (iv) the entrant s claim that he or she has somehow been defamed or portrayed in a false light. Promotion Entities assume no responsibility for any damage to an entrant s computer system, which is occasioned by accessing the Website, or participating in the Promotion, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature, or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsors reserve the right, in their sole discretion, to disqualify any entrant it finds to be tampering with the entry process or operation of the Promotion or to be acting in an unsportslike or disruptive manner, or with intent to threaten, abuse or harass any other person. Sponsors reserve the right to modify, extend, suspend, or terminate the Promotion if they determine, in their sole discretion, that the Promotion is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsors control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Promotion as contemplated herein. In the event Sponsors are prevented from awarding prizes or continuing with the Promotion as contemplated herein by any event beyond their control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis (e.g., SARS), order of any court or jurisdiction, or other cause not reasonably within Sponsors control (each a Force Majeure event or occurrence), then subject to any governmental approval which may be required, Sponsors shall have the right to modify, suspend, or terminate the Promotion in their sole discretion for any reason without notice. If the Promotion is terminated before the designated end date, Sponsors will (if possible) select winner(s) in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant s sole and exclusive remedy under such circumstances. These Official Rules cannot be modified or amended in any way except in a written document issued by a duly authorized representative of Sponsors. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. 11. GOVERNING LAW: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES, OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSORS IN CONNECTION WITH THE PROMOTION OR IN CONNECTION WITH ANY SUBMISSION OR OTHER MATERIAL SUBMITTED IN CONNECTION WITH THE PROMOTION, SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE S LAWS. THE INVALIDITY OR UNENFORCEABILITY OF ANY PROVISION OF THESE RULES SHALL NOT AFFECT THE VALIDITY OR ENFORCEABILITY OF ANY OTHER PROVISION. IN THE EVENT THAT ANY PROVISION IS DETERMINED TO BE INVALID OR OTHERWISE UNENFORCEABLE OR ILLEGAL, THESE OFFICIAL RULES SHALL OTHERWISE REMAIN IN EFFECT AND SHALL BE CONSTRUED IN ACCORDANCE WITH THEIR TERMS AS IF THE INVALID OR ILLEGAL PROVISION WERE NOT CONTAINED HEREIN. IN NO EVENT WILL THE PROMOTION ENTITIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THE PROMOTION. WITHOUT LIMITING THE FOREGOING, ALL PRIZES ARE PROVIDED AS IS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND THE PROMOTION ENTITIES HEREBY EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
