1 CANTON LIONS JR. FOOTBALL CLUB BYLAWS Revised/Approved February 2016 CANTON LIONS FOOTBALL CLUB The Canton Lions Football Club is a Nonprofit Incorporated Association, organized and registered under the laws of the State of Michigan. TERMS & PHRASES Member Executive Board Quorum Active Member Voting Member A Parent or legal Guardian of a currently registered athlete, who is in financial good standing, has submitted all required paperwork and has committed to complete or has completed all volunteer obligations for the upcoming/current season. The Canton Lions Junior Football Club Executive Board shall meet Member-eligibility requirements and shall consist of the President, Vice President, Treasurer, Secretary, Football Unit Director, Cheerleading Unit Director and Equipment Director. As the executive board shall be representative of the best and diverse interests of the club as a whole, not more than one member per immediate family or extended family shall serve simultaneously during any given term. Executive board members shall have voting privileges only as Membereligibility requirements are met. Executive board members shall have the authority to make decisions on behalf of the Canton Lions Junior Football Club in accordance with the club by-laws and only as Member-eligibility requirements are met. Exists when 4 of 7 members of the Executive Board are present. Executive Board Members, Coaches, Team Moms, Team Dads, Assistant Board Positions, Assistant Cheerleading Director, Committee Chairpersons, and Assistant Equipment Director who meet Member status eligibility. Is a Member who has attended at least 3 monthly parent meetings between January and October (for board elections) and January through March of the following year (14 months) for other elections occurring post October. Current Active Members are also Voting Members, regardless of parent meeting attendance. 1
2 ARTICLE I TITLE The name by which this club shall be known is: THE CANTON LIONS JR. FOOTBALL CLUB. ARTICLE II OFFICE The principal and registered office shall be located at the Canton Post Office. 2
3 ARTICLE III PURPOSE To promote citizenship, sportsmanship, fellowship and physical development among the youth of the Canton, Plymouth and surrounding communities. To purchase athletic equipment and use facilities necessary to the sponsorship of the sport of football and cheer. 1. All Players and/or Cheerleaders must be registered and have paid all registration fees and paperwork turned in prior to the first day of participation. 2. The number of Players and/or Cheerleaders will be limited to the discretion of the Executive Board. 3. All Players and/or Cheerleaders will be selected on a first come first serve basis with preference given to returning Veterans who register and have paid all fees no later than by the end of the pre-registration period. 4. A Mascot for football or cheerleading will be chosen based on the following criteria. a) Each squad may have one or more mascots at the discretion of the Football Unit Director /Cheer Director and Head Coach. b) Parents /guardians of Football /Cheerleading Mascots must be a member of the CANTON LIONS JR. FOOTBALL CLUB. c) Mascots must have a parent /guardian at practice and games at all times unless discussed with Director and arrangements are made. d) Mascots will wear a uniform similar to that of the Football Squad/Cheerleading Squad they are on and must wear the appropriate accessories with the uniform to all games. e) Mascots must follow all the rules set forth by the CANTON LIONS JR. FOOTBALL CLUB and the Western Suburban Junior Football League (W.S.J.F.L). f) Mascots must be registered and have all the same documentation turned in to the Club as all other players. g) Football Mascots Must be at least 5 years of age as of September 1st of that season or be ineligible to participate per league rules. No registration or Mandatory Fundraiser Fees are applicable. h) Cheerleading Mascots a. If a cheerleader is under the age of 7 as of September 1 st for the season they will be placed on the Jr. Freshman team. b. If there is not a JR. Freshman team they will be placed on a team based on the discretion of the Cheer Director and will be considered a mascot for the Cheer Rally as they will be under league guidelines for that age for that squad. c. No Registration Fees will be collected for Mascot. d. Mandatory Fundraiser Fees will be collected for Mascots e. 4 Volunteer positions will be met by Mascot Parents. f. Cheerleading Mascots are not required to participate at the Cheerleading Rally. It is up to the discretion of the Cheerleading Director and parents. 3
4 ARTICLE IV YOUTH MEMBERSHIP 1. Any person shall be eligible for membership in this Organization and shall become a member in good standing provided each participant meets the criteria as established by the WSJFL in term of age, weight, state of health and is free of any indebtedness to the CANTON LIONS JR. FOOTBALL CLUB. In case of the inability to pay the registration fees, the participant(s) parent/guardian may partition the Executive Board in requesting approval for payment options. 2. Equipment shall only be issued to Members in good standing. 3. The Secretary shall maintain a roster of both Players and Cheerleaders, along with their address, telephone number and date of birth. This roster shall be provided to the Secretary by the Unit Football Director/Unit Cheer Director. Any modifications to the rosters will be communicated to the Unit Football Director/ Unit Cheer Director and give to the Secretary. An initial roster will be supplied to each Head Football and Cheerleading Coach from the registration records. It will be the responsibility of each Head Coach to keep this roster updated and report any changes on a timely basis to their respective Unit Directors. ARTICLE V MONTHLY MEETINGS 1. The Monthly meetings of the Parent Board shall be held every month at such time and place as designated by the President of the Club. 2. The affirmative vote of a simple majority present shall be required to carry any motion or resolution, unless otherwise set forth herein. 3. The order of Business shall be as follows: a. Acceptance of minutes of last meeting b. Reports of the Treasurer, Unit Directors and President c. Reports of meeting of Parent League d. Committee Reports e. Transaction of any old and/or new business f. Adjournment However, the Presiding Officer may vary the order of business at his/her discretion in the absence of any objections. 4. A copy of the minutes of the monthly Parent Board meeting plus a copy of any amendments, deletions, additions and/or other changes of the bylaws shall be published and distributed to each Parent Board Member within thirty (30) days after such changes have been made. 5. A special meeting of the Parent Board maybe called by the President or by at least four (4) Executive Board Members upon notice of starting time, place and purpose of said meeting. At least forty-eight (48) hours advance notice must be given to all Parent Board Members of such meetings. 4
5 ARTICLE VI OFFICERS The Officers of the CANTON LIONS JR. FOOTBALL CLUB shall be, the President, Football Unit Director, Cheerleading Director, Vice-President, Treasurer, Equipment Director, and Secretary, list is in hierarchy. Executive Board will be elected by the active members. 1. PRESIDENT: a. The President shall be chief executive officer of the CANTON LIONS JR. FOOTBALL CLUB and shall preside at all meetings of the Executive Board and/or parent members. b. The President shall have general supervision over all business activities of this club and shall be responsible for putting into effect all policies and orders as stated by the Executive Board. c. The President shall oversee the all members of stand committees and shall be a member thereof Any such decisions or actions of the President may be overruled by simple majority vote of the Executive Board. d. The President shall fulfill any vacant Executive Board position until the vacant is filled. e. The President shall report to the Parent Board of Directors. f. The President is entitled to one vote in the event of a tie only. g. The President shall be co- custody of all Canton Lions Football Jr. Club funds. 2. VICE-PRESIDENT: a. The Vice-President shall serve as an alternate and assistant to the President. b. The Vice-President shall oversee all volunteer positions. c. The Vice-President shall establish Fundraising and supervise the process. 3. SECRETARY: a. The Secretary shall preserve in the books of the Club the minutes of all proceedings of Executive and Parent Board meetings. b. The Secretary shall give all notices required to these bylaw resolutions. c. The Secretary shall maintain a complete roster of all Members and participants together with all pertinent information. d. The Secretary shall keep all technology passwords of the club and maintain a copy of all contracts for the club. 4. TREASURER: a. The Treasurer shall have co-custody of all CANTON LIONS JR. FOOTBALL CLUB funds and shall keep full and accurate accounts of all receipts and disbursements of the Club in books belonging to the Club. 5
6 b. The Treasurer shall deposit all monies in the name of the CANTON LIONS JR. FOOTBALL CLUB and in such depositories as maybe designated for that purpose by the Executive Board. c. The Treasurer shall disperse funds of the Club only as authorized by the Executive Board with proper authorization, itemized invoice and receipts. d. The Treasurer shall keep the club informed on budget performance. e. Two signatures shall be required on all checks and withdrawals from the club account. These two signatures must be the President and Treasurer. f. The Treasurer will also be responsible for the filing of all necessary tax forms for the CANTON LIONS JR. FOOTBALL CLUB. 5. FOOTBALL UNIT DIRECTOR: a. The Football Unit Director shall be responsible for the formation and supervising of all football squads. b. The Football Unit Director shall supervisor all football coaches. c. The Football Unit Director shall deliver to the existing league all required information regarding Executive Board, representatives to league from this Club and other copies of pertinent materials which are required by the league. d. The Football Unit Director shall fill out and mail/ in all game reports to the R&E committee of the league and designated Head Referee. e. The Football Unit Director shall be responsible for the supervising of player weigh-in prior to the start of the game. f. The Football Unit Director shall collect and exchange the eight (7) player cards with opposing Football Unit Director and with their three (3) Head Coaches in compliance with the league 21 point rule. g. The Football Unit Director shall recommend Head Football Coaches for all squads, and/or removal off all said Coaches, pending approval of the Executive Board. h. The Football Unit Director shall appoint assistants as needed. i. The Football Unit Director shall maintain a roster to the Parent League and to the Club Secretary. j. The Football Unit Director shall keep this football roster updated and shall give placement and advancement of alternative players. k. The Football Unit Director shall procure from the registration forms all necessary waivers from members and handle insurance forms in case of injuries for football players. (In the case of the Football Unit Directors absence the Cheerleading Director will fulfill the responsibility). l. The Football Unit Director is required to contact emergency medical service personnel to be present at all Club home games. m. The Football Unit Director shall report directly to the Club President. n. The Football Unit Director shall be responsible for enforcement of all rules and regulations of the Parent League. o. The Football Unit Director shall prepare a roster of all players and give this roster to the Coaches. 6. CHEERLEADING DIRECTOR: a. The Cheerleading Director shall be responsible for the formation and supervising of all cheerleading squads. 6
7 b. The Cheerleading Director shall select and recommend all Cheerleading Coaches for all squads and/or the removal of said Coaches, pending approval of the Executive Board. c. The Cheerleading Director shall maintain a roster of all registered cheerleaders for each respective squad and shall submit this roster the Parent League and Club Secretary. d. The Cheerleading Director shall keep this roster updated and shall strictly administer the placement and advancement of the alternative players. e. The Cheerleading Director shall be in charge of the cheerleading uniforms and equipment. A list of new uniforms or equipment should be presented to the Board Members before purchases are made and considered for the budget for the current or upcoming season. f. The Cheerleading Director shall make an annual inventory of all uniforms and equipment and present this inventory to the Executive Board annually or as requested by the Executive Board. g. The Cheerleading Director shall set-up and run all practices and shall be responsible for the conduct of all cheerleading personnel at all times. h. The Cheerleading Director shall appoint assistants as needed. i. The Cheerleading Director will be responsible for all Homecoming and Half-Time activities. j. The Cheerleading Director shall be responsible to ensure all squads are prepared and ready for Cheer Rally. k. The Cheerleading Director shall be responsible to organize the Cheer Rally if Canton Lions Jr. Football Club is responsible to be the host for a given year. An assistant should be put in place by the Executive Board and Cheer Director to help with the duties for this given year. l. The Cheerleading Director shall procure from the registration forms all necessary waivers from members and handle insurance forms in case of injuries for cheerleader. (In the case of the Cheerleading Director is absence the Football Unit Director will fulfill the responsibility). 7. EQUIPMENT DIRECTOR: a. The Equipment Director shall be directly in charge of and responsible for all equipment including first aid equipment and supplies held by the CANTON LIONS JR. FOOTBALL CLUB. b. The Equipment Director shall be responsible for the inspection, cleaning, sorting, maintenance and storage of the Club s equipment and supplies. c. The Equipment Director shall distribute and collect all equipment to each player. d. The Equipment Director shall repair or send out for repair any broken or defective equipment if repair is possible. e. The Equipment Director shall be responsible for the delivery, set-up and return of all equipment needed at home and away football games. f. The Equipment Director shall keep and maintain any necessary inventory records, files and equipment catalogs in a permanent file. g. The Equipment Director shall prepare a list of equipment and/or supplies that are needed by the Club and submit them to the Executive Board for purchase approval. h. The Equipment Director may appoint one or more assistant(s) to help with these responsibilities. 7
8 i. The Equipment Director shall report directly to the Unit Director. 8. CONCESSION STAND CHAIRPERSON: a. The Concession Stand Director shall be responsible for the complete operation of the concession stand for all home games. b. She/he shall turn in all funds collected directly to the Club Treasurer on a timely basis. c. She/he will supervise all concession stand volunteers. d. She/he shall purchase or arrange to be purchased all supplies and equipment needed for the concession stand after approval of said purchases by the Executive Board. e. The Concession Stand Director shall report directly to the Vice-President. 9. FOOTBALL HEAD COACHES: a. All applicants for Head Coaching positions shall be required to submit a coaching application in writing to the Football Unit Director prior to the start of the season or at such time as requested by the Football Unit Director. b. Four (4) Head Coaches, one for each squad, will be recommended for approval by the Executive Board prior to the start of the upcoming season. c. Head Coaches for each squad shall select assistant coaches as needed and submit same to the Football Unit Director for his approval. d. Each Head Coach shall be responsible for the actions for assistant coaches and/or players at all times. e. All Head Coaches shall conduct operations in complete compliance with all rules and regulations as established by the Club Parent League and in accordance with the National Federation of State and High School Association. f. All or any Head Coaches will be called upon to account for any violation(s) of these rules and regulations. Failure to comply with these rules and regulations could and will result in disciplinary action as recommended by the Football Unit Director with the approval of the Executive Board and may include dismissal as Head Coach. g. All Head Coaches will maintain an updated roster of all players in his squad and will advise any changes to the Unit Director immediately. h. A Head Coach shall only hold this position within the Club, he or she may be a Parent Board Member but CANNOT be a member of the Executive Board. ARTICLE VII FUNDRAISERS From time to time the Club may need to enter into fund raising projects. Once a fund raising project is approved by the Executive Board, full member participation is expected from all persons currently affiliated with the Club. All monies generated by such fund raisers are to be promptly turned over to the Club Treasurer and said monies will be used as approved by a simple majority vote of the Executive Board of less than $5, and 8
9 no monthly cost. No person(s) is authorized to raise funds in the name of the CANTON LIONS JR. FOOTBALL CLUB without authorization from the majority vote of the Executive Board. Special fund raising projects may be allowed upon approval of the Executive Board on a case by case request. ARTICLE VIII CAPITAL EXPENDITURES During the monthly Executive Board meetings, the various committees will bring forward recommendations for capital expenditures required to provide a safe, efficient junior football program for the community. All recommendations of the committees will be thoroughly considered and researched prior to approval by the Executive Board. The Executive Board will approve or deny any and all recommendations for capital expenditures through motions, discussion and vote. Capital expenditures must be approved by a simple majority vote. Final selection will be made from the supplier providing the best over all price, service, quality, and warranty and delivery date as decided by the Executive Board. Expenditures for the upcoming season shall be decided as early as possible to allow enough time to properly secure the necessary information required prior to approval. ARTICLE IX INSTRUMENTS & CONTRACTS No contract, conveyance or other instrument may be signed or brought under agreement by a singular member of the Executive Board. All such agreements must be recommended, reviewed and approved by a 2/3 majority vote of the Executive Board. ARTICLE X FISCAL YEAR The fiscal year for this club shall begin on January 1 st of each year and end on December 31 st of the same year. ARTICLE XI AMENDMENT(S) OF BYLAWS These Bylaws may be amended, added to or repealed by the affirmative vote of 2/3 majority of the Board at any regular or special meeting, provided that such notice of said meeting shall include a specification of the proposed amendment(s) thereof, addition(s) thereof, or repeal(s) thereof in a suitable form whenever possible. 9
10 By-Laws must be reviewed every two years and approved by Parent Board. ARTICLE XII ELECTIONS 1. At the regular September meeting the nominations will be made for the following season for all executive officers. 2. At the regular October meeting elections will be held. 3. At the scheduled Executive Board meeting by January all records, files and/or other pertinent information will be passed on to the incoming officers. 4. Special elections may be held as required to fill any and all open vacancies within this Club. A simple majority vote of the Parent Board will be required for approval of any and all candidates necessary to fill the open vacancies. 5. Voting members and Active Member will have voting rights. ARTICLE XIII Executive Board 1. The business, property and all affairs of this club shall be managed by the Canton Lions Executive Board of Directors. 2. Executive Board members shall be members in good standing and are encouraged to serve more than one consecutive term. Vacancies will be filled on a volunteer basis, subject to approval of the Executive Board. 3. The Parent Board shall elect an Executive Board consisting of the President, Vice President, Secretary, Treasurer, Unit Director, Cheerleader Director, and Equipment Director. 4. The President with the approval of the Executive Board shall have the power to appoint such other Officers, Directors or Agents as necessary for the proper transaction of business of the CANTON LIONS JR. FOOTBALL CLUB. Any Officer, Director or Agent appointed may be removed by a simple majority vote of the Executive Board whenever, in the judgment of the Executive Board, it is in the best interest of the Club. 5. The Executive Board, Officers, Director or Agents may have himself/herself relieved from their position within the Lions club by submitting his/her resignation in writing to the Executive Board. 6. An Member or Executive Board Member may be removed from his/her position upon proof of just cause and at least two thirds (2/3) majority vote of all remaining Board Members whenever it is deemed to be in the best interest of The CANTON LIONS JR. FOOTBALL CLUB. ARTICLE XIV VETERAN AWARDS A veteran player or cheerleader who has achieved the following shall be awarded with a plaque and their game shirt or sweater at the annual Awards Banquet. Only one shirt or 10
11 sweater and one plaque will be awarded to a veteran player or cheerleader over their entire eligibility period. 1. They have played at least four consecutive years for the Canton Lions. 2. If after four or more consecutive years they are going on to High School or are no longer eligible due to their age to participate for the Canton Lions. 3. If after four or more consecutive years as a player and in their last year of eligibility they are no longer eligible to participate due to weight restrictions, but they have participated in practice and were at the games. 11
