1 SIMI HILLS MEN'S GOLF CLUB ARTICLE I - NAME The name of this organization shall be: SIMI HILLS MEN'S GOLF CLUB. ARTICLE II - PURPOSES A. To bring together a group of men who desire to create and maintain a golfing organization; B. To promote and foster among its members a closer bond and fraternity for their joint and mutual benefit, and to promote and conserve the best interests and true spirit of the game of golf as embodied in its ancient and honorable traditions; C. To enforce uniformity in the rules of the game by creating a representative authority; D. To maintain a uniform system of handicapping as set forth in the regulations of the Southern California Golf Association and the United States Golf Association; E. To afford a convenient and authoritative body to govern tournament and other golfing events; and F. To provide a framework through which golfing and/or social events and excursions may be organized as desired by the members through the Board of Directors. ARTICLE III - MEMBERSHIP Section 1: The active membership of the Club shall be limited to male members 18 years and older, who have applied for and been accepted for active membership by the Board of Directors in accordance with the adopted Bylaws. The number of members of the Club shall be unlimited. Section 2: The Board of Directors may confer honorary memberships upon those members whom they feel have contributed to the advancement of golf. The unanimous affirmative vote of the Board shall be required to approve such action. Section 3: All membership dues shall be set and payable annually on or before the Annual meeting and shall beas established by the Board of Directors from time to time in such amounts as they deem to be adequate to operate and maintain the Club. Section 4: In the event any member of this organization shall be delinquent in payment of dues, shall commit any act which in the sole discretion of the Board of Directors reflects discredit or disrepute thereonto the Club or a member or members, or shall refuse or revised 11104; 12/05; 09/09 Page -1 -

2 neglect to comply with the rules and regulations adopted by the Board of Directors of the duly appointed officers, such member shall be subject to suspension or expulsion after ten days written notice and the right to be heard, by a vote of two-thirds of the Board of Directors at any regular meeting or special meeting called for such purpose. ARTICLE IV - MEETING OF MEMBERS Section 1: The Annual Meeting of the active members shall be held on the first Wednesday of the month of November of each year; the Board of Directors shall provide for the holding of such other meetings as may be deemed necessary or desirable. Section 2: A legal quorum at any meeting of the members shall be twenty-five active members present in person or by written proxy duly signed. Each active member in good standing shall be entitled to one vote. ARTICLE V - BOARD OF DIRECTORS Section 1: The Board of Directors shall consist of not more than ten members, each of whom must be an active member in good standing of the Club, and they shall exercise all powers of management not specifically excepted by these Bylaws. The Directors shall be elected at each Annual Meeting of the members and assume their respective offices on the first day of January of the year immediately following the Annual Meeting. Section 2: At least five weeksone month prior to the Annual Meeting, the Board of Directors shall appoint a nominating committee consisting of at least two active members of the Club who are not officers or Directors (the "Nominating Committee.-T-hts-e") The Nominating Committee may not nominate its own members. At least three weeks prior to the Annual Meeting, this-ethe Nominating Committee shall submit to the Board and shall post a list of nominees to be Directors for the ensuing year. Names of other active members in good standing may be nominated by petition signed by at least ten members and submitted to the secretarynominating Committee at least two weeks prior to the Annual Meeting. Additional nominations may be made from the floor during the election meeting if proposed by a member and seconded by two other members; these names may be written in on the ballot. Section 3: At the Annual Meeting, the election of Directors shall be by written ballot, and the nmeten names receiving the greatest number of votes cast by those present at the meeting shall be declared to be elected. The President shall appoint a cnominating Committee of judges who are not members of the Board or candidates for election toshall supervise the election. If the past President chooses not to run for reelection to the Board, he may act as an ex officio, non-voting member of the incoming Board of Directors. Section 4: The Board of Directors shall meet at such times and places as they may select, and a majority of the Board shall constitute a quorum at any meeting. Section 5: In the case of any vacancy through death, resignation, disqualification, or other cause the remaining Directors even though less than a quorum, may elect a successor by majority vote to hold office tor the unexpired term of the Director whose place shall be revised 11/04; 12/05; 09/09 Page -2-

3 vacant, and until the election of his successor. ARTICLE VI - OFFICERSCHAIRS AND COMMITTEES Section 1: Within 30 days following the Annual Meeting and election, without notice required, the Board of Directors shall meet and elect the officers. Section 2: The offteetschairs shall consist of President, Vice-President, Secretary, Treasurer, Tournament BtfeetefChair and Handicap and Membership DirectorChair, and their duties shall be such as their title would indicate of such as may be respectively assigned to them by the Board of Directors from time to time. Section 3: Any offteetchair may resign, or may be removed with or without cause, by the Board of Directors at any time. Vacancies caused by death, resignation, or removal of an officer shall be filled by appointment by the Board of Directors. Section 4: The Board of Directors shall authorize and define the powers and duties of all committees. A chairman for each committee shall be appointed by the President, subject to confirmation by the Board of Directors, and he shall serve until their resignation, removal by the Board of Directors, or the next Annual Meeting, whichever first occurs. The work of all committees is subject to review and acceptance by the Board. ARTICLE VII - CLUB CHAMPIONSHIP, PRESIDENT'S CUP AND TOURNAMENT OF CHAMPIONS Section 1: The Tournament DirectorChair shall arrange annually, as directed by the Board of Directors, tournaments to determine the gross and net Club Champions, the President's Cup winner and runner up, and the Tournament of Champions winner. 4 2.2.3 All players will play to their low index. 2.3 Qualifications for Advancing to 2 nd and 3 rd Rounds, Net & Gross: All players within 8 strokes of the leader or top 16 players and ties, whichever is greater, will qualify to advance to 2 nd and 3 rd rounds In addition to above, to advance to 2 nd and 3 rd rounds, a player must notify in person, the Tournament Director prior to leaving the golf course after the 2nd qualifying round. If a player fails to notify the Tournament Director, such player will not qualify to advance to the 3rd and 4th rounds If a player commits to play in the 2 nd and 3 rd rounds, and fails to make his tee time of either or both the 3fd2 nd and 4th3 rd rounds, such player will owe the Club for any green fees that may have been paid to the golf course. Eligibility for the Club Championship the following year will be determined by the Board of Directors. 2.4 Awards: Trophies will be awarded for 1st Place-Gross, Runner Up-Gross, 1st place-net, and Runner Up-Net. 5 3.3.2 In addition to above, to advance to the match play rounds, a player must notify in person, the Tournament Director prior to leaving the golf course after the qualifying round. If a player fails to notify the Tournament Director, such player will not qualify to advance to the match play rounds The defending President's Cup winner will qualify to match play if he is eligible for tournament Qualifiers will be divided equally into 4 flights Within each flight, the top qualifier will play low qualifier All players who wish to advance to match play will be responsible for green fees. If a player commits to play in the match play rounds, and fails to make his tee time for any match, such player will owe the Club for any green fees that may have been paid to the golf course. Eligibility for the President Cup the following year will be determined by the Board of Directors. 3.4 Match Play: The 1st week of match play will be played the Sunday following the qualifying round. Tee times and pairings will be set up by the Tournament Director All players advancing to the 2nd and following match play rounds must complete their matches by the Sunday following the previous match, unless Tournament Director issues a hiatus from play The player on the top portion of the ladder is responsible for making a tee time. If no agreement is reached regarding when the match is to be played, the match must be played on the Sunday following the prior match, unless the Tournament Director issues a hiatus from play. tournaments There will be no match play on the weeks of regular monthly After flight winners are determined, the "A" Flight winner will play the "C" Flight winner. 6 Section 4: Rules for Tournament of Champions 4.1 Qualification: A member must have won a non-team postable Club tournament (either gross or net) in any flight during the preceding year In addition to above, a member must be a member in good standing fefduring the year in which the Tournament of Champions is played Tournament Rules: allow it Play will be from the blue tees unless course management will not All USGA and local rules will be observed All players will play to their low index. 4.3 Awards: Trophies will be awarded for 1st Place-Gross, Runner Up-Gross, 1st Place-Net, and Runner Up-Net. Section 5: Rules for Representing the Club in the SCGA Four Ball Tournament 5.1 Qualification: A member must be a member in good standing fefduring the year in which the SCGA Four Ball tournament is played A member must have played in at least six tournaments, with no less than four home tournaments, in the twelve months preceding the SCGA Four Ball tournament The Board of Directors may grant any member an exemption to the foregoing qualifications after review of such member's appeal A member must also qualify pursuant to the qualification requirements established by the SCGA for the SCGA Four Ball tournament- ARTICLE VIII - AMENDMENTS TO BYLAWS The Board of Directors shall have the power to repeal or amend any of these Bylaws, provided that such action shall not be effective until approved by the vote or written assent of a majority of the active members in good standing, or the vote of a majority of a quorum of revised 11/04; 12/05; 09/09 Page -6-

ARTICLE IX - PROFESSIONAL ADVISOR The Professional Advisor shall be a representative of Simi Hills Golf Course.
