1 LAKE ARBOR LADIES GOLF ASSOCIATION 18 HOLE (Established 1973) (last printing 2017) CONSTITUTION and BYLAWS CONSTITUTION ARTICLE I: NAME The name of this Club shall be the LAKE ARBOR LADIES GOLF ASSOCIATION (LALGA). ARTICLE II: PURPOSE The purpose of the LALGA shall be to promote good fellowship and interest in golf and to enable its members to enjoy organized competition and social activities. ARTICLE III: MEMBERSHIP AND DUES A. Membership shall be made effective by written application, payment of annual dues and approval by the Board of Directors. B. Membership in the 18 Hole Club is open to all ladies 18 years of age and older with previous golf experience, knowledge of rules and etiquette, and the ability to complete the 18 hole round of golf in the required four hour time limit. C. Should membership be closed, dictated by Lake Arbor s Head Professional, seasonal or midseasonal vacancies shall be filled from an established waiting list in order of application date. Full dues, including GHIN fee, will apply. D. Dress code of membership shall be enforced. Proper golf attire, including soft spike golf or tennis shoes must be worn. No tube tops, halters, or short shorts will be permitted. Violations could result in termination of membership. ARTICLE IV: DUTIES OF THE BOARD OF DIRECTORS The Board of Directors shall consist of any and all elected officers: 1 President, 2 Vice President/ Membership, 3 Secretary, 4 Treasurer, 5 Tournament/ Awards, 6 Handicap, and * 7 Rules Chairwomen. The immediate Past President shall maintain membership on the Board as a non-voting advisor. Each board member should have and is responsible for appointing her own assistant(s). A. The term of office shall be for one year and officers shall assume duties following the end of the current golf season. B. The power vested in the Board of Directors shall embody all activities pertinent to the welfare of the LALGA, and shall give the Board executive control of activities of the Club between meetings. C. It shall be the duty of the Board to interpret and enforce the intent of this Constitution and By-Laws and to promote the general aims of good sportsmanship and fellowship of the game of golf. Members who defeat these purposes may have their membership and/or offices terminated by a majority vote of the Board. D. A quorum or majority of the Board must be present for voting purposes. If a quorum is not present, the vote must be delayed until the next meeting, or if the matter is urgent, a telephone vote may be taken by committee. E. Any Board members not attending two consecutive meetings, without a legitimate excuse and prior notification, can be terminated by a majority vote of the Board. F. In situations where the Board must appoint a replacement for an office, changes shall be voted on by the Board and the new officer presented at the next Membership Meeting. --Exception-- The office of the President shall be filled by the Vice President and a new Vice President appointed from the Board. 2 G. An auditing committee of two (2) or more members shall be appointed prior to the Fall Meeting, to check the financial status of the Club. ARTICLE V: MEETINGS A. Roberts Rules of Order, Newly Revised, shall govern Club Meetings. B. A January Board Meeting of new officers is required. The purpose of the meeting shall be to appoint a budget committee, prepare for the Annual Membership Drive Coffee, and the printing and mailing of applications. C. Board Meetings shall commence with a January meeting and terminate with the Fall Meeting. Additional Board meetings shall be called as needed. D. General Membership Meetings shall commence with the Membership Drive ACoffee@ and terminate with the Fall Installation of Officers Meeting. Additional meetings may be held during the season as needed. E. (See also ARTICLE IV: D. and E. of Constitution.) ARTICLE VI: CONSTITUTIONAL CHANGES A. A copy of the Constitution and By-Laws shall be posted in the Clubhouse at all times and a copy made available for members requesting it. B. Proposal(s) to amend this Constitution must be submitted to the Board in writing. After adding any needed explanations or recommendations, the Board shall post the proposal(s) for thirty (30) days prior to a vote for acceptance or refusal. Upon acceptance by two-thirds (2/3) of the membership attending any meeting, the amendment(s) shall be added to this Constitution. C. The Board of Directors may, however, renumber, revise, codify and correct any part of this Constitution and By-Laws, to eliminate errors in spelling, grammar and numbering and to bring about the proper order and sequence, but in so doing it shall not change the meaning of any provision so changed or renumbered. (Constitution completely redone in Changes made in >94, >96, >97, 99, & 2002C(02 removed G. -Pres & VP must have served 1 previous year on the Board...Art. IV. H. then became G.) Combined Constitution with Bylaws in BYLAWS (includes changes in 2017) ARTICLE I: MEMBERSHIP DUES, MEETINGS A. DUES: The current Board of Directors shall set the due date and amount of dues. Renewing members must pay dues by the deadline or be assessed a late fee, (currently $5.00). Eligibility for play with the club will start with payment of dues. B. MEETINGS: 1. Follow our Constitution, Article V for Board and Membership meetings. 2. A Budget meeting, chaired by the President and attended by the Vice President, Treasurer and Tournament/Awards chairwomen shall be held to prepare a proposed budget before the season starts. A final budget should then be prepared and posted as soon as possible following the membership deadline. ARTICLE II: TOURNAMENT PLAY A. With the exception of Match Play tournaments, games played for Club awards must be played on Club play days during specified tee times. B. All tournament play shall be flighted according to handicap. New members must establish a handicap, requiring a minimum of five (5) 18 hole rounds, before being eligible for awards. Page 2 of 5 (Article II: Tournament Play, continued)

3 C. The CLUB CHAMPIONSHIP / PRESIDENT S TROPHY TOURNAMENT shall be conducted over no less than 2 consecutive days or weeks and be based upon a format of gross and net awards within each flight, low gross taking precedence over low net. Each season s membership shall vote on its preference for the number of days/weeks to be played. 1. Eligibility requires that participants play in all required number of scheduled rounds and have, prior to the first round, played and posted at least five (5) Club play days during the current season. 2. Over the field, the low gross score will be Club Champion and the low net score (based on a maximum 40 handicap), the President s Trophy. One player cannot win both. 3. Ties for Club Champion will be by sudden-death playoff immediately following the last round, witnessed by two Board members and with permission from the Pro-shop. President s trophy ties will be broken by a scorecard play-off beginning with the first handicap hole on the last round played. 4. Tee times will be assigned, the first round based upon handicaps and flighted only for those participating and thereafter upon gross score standings within flights, with no order to how flight groups are given tee times. ARTICLE III: DUTIES OF OFFICERS AND ASSISTANTS Each officer is responsible for appointing her own assistant(s). The duties of Assistants shall be to assist the officer, being prepared to fill that office in the absence of or resignation of that officer, and hopefully, to assume that office the following year. Each officer has the responsibility to maintain and transfer all records to her successor at the season's end. A. PRESIDENT 1. Oversee fulfillment of all officers' duties. 2. Review the Constitution and By-Laws with the board, once a year. 3. Preside at all Club and Board Meetings and act as ex-officio at committee meetings. 4. Represent the Club at meetings of the Colorado Women's Golf Association, or appoint an alternate to attend. 5. Chair the annual budget meeting. 6. Appoint a nominating committee of at least two (2) members who shall, by August 30, post a slate of officer candidates for next season. Additional nominations may be accepted from the floor at the final Installation of Officers Fall Meeting. 7. As stated in our Constitution, Article IV, G., appoint an auditing committee of 2 or more members to audit the books at the end of each season. 8. Maintain a complete file of suggestions, comments and other pertinent information related to the Club's operation, for transfer to future successors. 9. The past President should serve on the Board as a non-voting advisor. B. VICE PRESIDENT / MEMBERSHIP VICE PRESIDENT: 1. Assist the President in carrying out her duties and preside at Club or Board meetings in the absence of the President. 2. a. Oversee all social functions of the Club, such as Membership Meetings, Fall Awards Banquet, Invitational or Guest Day, etc. b. Supervise or personally manage extraneous events within the auspices of the Club (such as M & M, Side Pockets, or collecting for putts, etc.). 3. Act as Chief of Communications to the Club Members and the public. Notify the news media of any important information concerning the Club. Maintain communication with individual members through a telephone committee or other effective means. 4. Attend the Budget meeting. 5. Prepare and present some form of recognition to the outgoing President at the completion of her term in office. Page 3 of 5 (Duties of Vice President/Membership, continued)

4 MEMBERSHIP: (Duties begin in January) 1. a. Prepare and distribute Membership Drive information and posters as appropriate. b. Prepare and mail applications at least two weeks prior to the Membership Drive Meeting. c. Contact possible new members and non-renewing members before the deadline to determine their intent to join. 2. Collect applications and dues. a. Verify and record all information from the applications. Give lists of members to the Handicap and Tournament Chairwomen, Treasurer and President. Transfer all monies and a list of Hole-In-One members to the Treasurer. b. Compile all information necessary for and publish the Membership Directory. C. SECRETARY AND ASSISTANT 1. Keep in permanent form an accurate record of all meetings of the Club and Board. 2. Notify Board members of meetings when necessary. 3. Prepare and read minutes of the previous meetings. 4. Handle all correspondence, cards and notices. 5. Post in Clubhouse: a. Minutes of the Membership Meetings, (copy to President.) b. Findings of the Nominating Committee, (copy to President.) c. Budget (copies to President, Treasurer, Tournament/Awards Chairwoman.) D. TREASURER AND ASSISTANT 1. Collect, bank, and disburse all monies of the Club. Except for carryover funds for Hole-in-one or other such funds, and a carry-over amount of not less that $300 or more than $500 for the following season s start-up, each season s income shall be spent for the benefit of the current season s members. 2. Prepare a financial report for all Club and Board meetings and be prepared to report on the Club's financial status to the Membership or Board as required. 3. Prepare and maintain a list of paid members for the President, verifying the list with the Membership and Handicap Chairwomen. Maintain a list of Hole-in-One participants. 4. Attend the Budget Meeting. 5. Submit a current year's financial statement to be presented at the Annual Fall Meeting. 6. Fulfill all the Bank's requirements before transferring the records to your successor. E. TOURNAMENT / AWARDS CHAIRWOMAN AND ASSISTANT 1. In January, meet with all assistants and subcommittees to organize the season s tournaments, (avoid conflicts with state, city or local tournaments). Submit a list to the President for approval and the Vice-President / Membership for the Directory. Club tournaments are to be flighted by handicap. 2. Attend budget meeting. 3. Weekly duties include: a. Post weekly and monthly tournaments, with instructions if necessary. b. Have the following week(s) tee time sheets posted before play on Club Days. c. Collect score cards after play, determine and post names of winners. d. Arrange for appropriate awards or report names and amounts won to the Treasurer for deposit in the member s Lake Arbor account. 4. Retain score cards for the season, maintain a list of the season s winners for a permanent record. 5. For the Most Improved Award, a member must have an established 20 game handicap history by the first revision in April and play at least nine (9), eighteen (18) hole rounds of club play during the current season. Date range for handicap improvement shall be from the first revision in April through the last revision before the year-end meeting/banquet. Page 4 of 5 F. HANDICAP CHAIRWOMAN AND ASSISTANT

5 1. Utilize CWGA's computerized handicap service (GHIN), following their instructions. 2. Compute an individual's temporary handicap when necessary, (use CWGA-GHIN formula). 3. Post current GHIN Handicap lists upon receipt. 4. Assist members with ESC, (Equitable Stroke Control - adjusting scores), course ratings and SLOPE, as necessary. G. RULES CHAIRWOMAN 1. Coordinate and enforce USGA-CWGA and local rules for club members. 2. Notify (post a notice for) members of any special play of the day rules when or if normal playing conditions warrant a temporary change. ARTICLE IV: BY-LAW CHANGES A. Members may submit written proposal(s) to the Board, for changes or additions to the By-Laws. Proposal(s) must be passed by the Board and posted for thirty days prior to the next Membership Meeting, at which time the members shall vote for acceptance or refusal of said proposal(s). B. Accepted changes or additions to the By-Laws may be made in the form of addenda. When updating, the changes shall be incorporated into the main body of the text. Constitution and Bylaws combined in 2009 Bylaws Originally rewritten in Changes and additions were made in 1994, 96, 97, 99, 2000, 2003, 2007, 2009 & Changes to Article II C.
