I. TERMS 1. A copy of the mares registration papers must accompany this contract. 2. The booking is valid to the mare named and may not be transferred without consent of the stallion owner or manager. 3. This contract cannot be sold by mare owner. 4. A stud fee of $1000.00 (non-refundable) of the above fee is due/payable with this contract and must be paid in full prior to the first shipment of semen. This contract is not approved until all fees are paid and a Breeder s certificates will be not issued until payment is received 5. The breeding season enforced for this contract will start Feb 10, 2017 Aug 14, 2017 6. This contract is good for one (1) foal. Multiple foals from the same mare in the same breeding season will require a separate contract and breeding fee for each resulting foal II. LIVE FOAL GUARANTEE 1. Live foal means the foal shall stand and nurse. It is understood that if the mare proves barren, aborts her foal, or if foal is stillborn a return season is guaranteed for the following year only, providing proper notification is given. Proper notification is written certification by a licensed veterinarian within 7 days that the mare has absorbed, aborted, or produced a non-viable foal Booster rhinopneumonitis vaccinations must be administered as indicated by the individual drug manufacturer as the mare progresses through her pregnancy. Failure to do any of the above will VOID the live foal guarantee If outstanding breeding fees are not settled by Oct 31 in the year of this contract, the live foal guarantee will be null and void.
P a g e 2 III. CONDITIONS 1. Mare Owner should ensure the healthful condition and breeding soundness of the mare prior to insemination. Breeder makes no guarantee on any reaction of the mare to the cooled semen 2. Parties agree that if the mare dies prior to insemination or after examination by a licensed veterinarian is found to be unfit to breed, another mare may be substituted with the consent of Breeder or stallion manager, with the same terms and conditions applying. This provision does not apply to mares being bred under the authorized rebreed privileges 3. If the mare fails to get pregnant in the year of this contract, rebreed privileges will be carried over for the term of one year, with the same terms and conditions 4. If the mare will be an embryo donor, this must be stated in writing to the Breeder prior to the breeding of the mare If multiple embryos are recovered, a stud fee for each additional foal will be due to the Breeder at the time of the foal s birth and prior to any Breeders certificate being issued 5. It is the Breeder s responsibility to ship semen in viable condition to the mare owner. The semen will be analyzed for sperm count & motility, and the collection & packaging procedures will meet industry standards This stallion has been tested negative for EVA and has had one set of negative CEM cultures for the 2017 breeding season 6. Mare Owner understands and must comply with the following: Notify the Alliance Stud when the mare is in early heat This will help the Stallion Manager plan the stallions collection schedule so the Mare Owner receives a quality product 7. Veterinarian or Mare Owner must contact Alliance Stud by 10am EST the day of collection although 24 hour notice is preferred Stallion will be collected Monday, Wednesday, Friday. o Exceptions may be made if stallion is not busy, call for availability) Stallion will not be collected two days in a row a. Collecting two days in a row increases the chance that semen quality will be decreased o Approval for collecting off schedule must be approved by Breeder Saturday collections are available at an additional cost to mare owner (airline fees) Stud fees, shipping fees, and collection charges must be paid by the Mare Owner prior to the semen being shipped from Alliance Stud Semen is shipped via Federal Express; Airline is available at an additional cost (airline & courier fees apply) Mare Owner or agent may cancel the shipment up until 12pm EST on the day of shipment at no penalty, unless the stallion has already been collected at an earlier time to accommodate the Mare Owners request Mare owner must submit semen shipment form prior to shipment to confirm details
P a g e 3 8. Breeder will make every attempt possible to ship two (2) doses of semen for every mare, however only one (1) dose is guaranteed. All requests for semen are filled as received and subject to availability. Mares housed in house have preference to any semen being shipped out on a given day. If the mare fails to settle for any reason, the Mare Owner will hold the Breeder blameless 9. Mare Owner must have the mare inseminated by a licensed veterinarian within 48 hours after delivery of the semen After 48 hours remaining semen should be discarded and Mare Owner should call to have the stallion collected again Stallion will be collected no more than 2 times per cycle (2 shipments) without approval from Alliance Stud veterinarian 10. This stallion will be collected at Alliance Stud LLC. It is the Mare Owner s responsibility to arrange a billing account with Alliance Stud prior to the shipment of the semen. It is also the Mare Owner s responsibility to complete and return the mandatory Semen Shipment Agreement (attached with this contract). Semen will not be shipped without a completed agreement on file and payment in full being received. 11. Mare Owner has the option of paying fees by credit card. Mare Owner must fill in the information on the lines below. Third party credit card use is not allowed without written permission from the third party and verification by Breeder at least ten days prior to shipment Mare Owner is responsible for keeping a current and valid credit card number on file with Alliance Stud LLC Cards accepted: Visa, MasterCard, American Express and Discover Type of Card: Expiration Date: \ Card number: Security Code: (3 digit code on back of card) Name on Card: Signature: 12. Mare Owner agrees to return the shipping container in a timely manner to Alliance Stud LLC. If Mare Owner fails to return equitainer within given time period provided by Alliance Stud, a penalty fee may be charged on a per day basis or may include replacement costs of the equitainer 13. Mare Owner agrees to observe ordering and administration protocol for the shipment of cooled semen as determined by Breeder. 14. Breeder is not responsible for the integrity and quality of the cooled semen once the semen has been shipped from Alliance Stud LLC. Once the shipment arrives, it should be inspected immediately. Any claims regarding the integrity of the shipment must be filed on the day the shipment arrives; the equitainer s latch should be closed with a plastic zip tie (if possible) and the securely wrapped with duct tape for the equitainer return. A report of damaged semen must be filed by the Mare Owner within 24 hours of delivery. Insurance of $499 per container is placed on
P a g e 4 each semen shipment. The mare owner or agent must communicate to shipper if they would like a greater amount of insurance on the equitainer and its contents. 15. Mare Owner must have mare checked for pregnancy by a licensed veterinarian at 12-18 days of gestation, 25-30 days gestation, and again after 45 days of gestation, and must inform the Breeder of the mare s pregnancy status to be eligible for a completed breeding certificate to be issued 16. In the event that the mare is sold after breeding, Breeder makes no guarantees to the new owner in regard to the health or success of the pregnancy 17. Should it be necessary for Breeder to employ an attorney to enforce an of the terms of this agreement including collection of money owed, Mare Owner shall pay all responsible attorney s fees, cost of suits, and other expenses reasonably related to enforcing this agreement 18. Parties agree that should the above stallion die or become unfit for any reason, Mare owner has two options: Contract shall become null and void. Both parties are relieved of any further obligation hereunder. Likewise, any monies heretofore paid by the Mare Owner toward the stallion fee, with exception of the NON-REFUNDABLE booking fee, shall be refunded to the Mare Owner. However, the Mare Owner shall pay for all expenses actually incurred A substitution stallion will be provided upon the Breeders consent 19. This contract cannot be assigned or transferred by Purchaser. There shall be no right of return to the stallion if the mare is sold or otherwise changes ownership after having been served by the above stallion. 20. This contract is not valid unless completed in full. When Mare Owner signs and returns the contract and booking fee to Breeder a representative will notify the Mare Owner within 15 days of approval. Upon notification, it will become a binding contract on both parties, subject to the above terms and conditions. 21. This contract is governed by the laws of the State of Kentucky and shall be construed and enforced under the laws of the State of Kentucky. All accounts are due and payable in Shelby County, Kentucky, in U.S. dollars. P a g e 5 Alliance Stud, agent for above named stallion, will adhere to the following guidelines for the year of 2016: 1. All collection and shipping fees will be paid in full before any semen will be shipped. 2. Collection days for this stallion are Monday, Wednesday, Friday; beginning on Feb 10, 2017 August 14, 2017 Alliance Stud must be notified, BY PHONE no later than 9am EST the morning of collection; 24 hour notice is preferred and semen availability may not be able to be accommodated if proper notification is not given Stallion may be able to be collected on an off day if schedule allows; will not collect stallion two days in a row due to increased risk of decreasing the quality of semen. Stallion Owner & Veterinarian authorization required. 3. Mare owner agrees to pay all shipping fees. If mare owner has their own Federal Express account number, this may be used, but must be provided at the time the collection is scheduled - prior to shipment (indicate on the bottom of this form). 4. All semen is shipped via Federal Express. If this service is not available in your area, please provide Alliance Stud with an alternate mode of transportation and we will do everything possible to accommodate this request. Courier fees may apply. 5. Same day service (airline) is available at an additional charge. Mare owner must provide the airport of choice to be used for this type of service. 6. Collection fees: Fed Ex shipments: $250.00 + shipping Airline shipments: $250.00 + air cargo (approx. $100) + courier fee 7. Alliance Stud will email mare owner or designated agent with tracking numbers for the shipment the day of collection. Please make sure Alliance Stud has updated information in regards to email addresses to verify this information. If you do not hear from us by 4pm EST the day the shipment is to have been shipped, please call our office. 8. Containers are the responsibility of the mare owner to make sure they are returned to Alliance Stud in a timely manner 9. Alliance Stud is not responsible for shipments once the container has left our hands.
