STALLION SERVICES AGREEMENT This agreement for services is made and entered into as of 2014, between No Limit Farm and, the mare owner or lessee (hereafter referred to as Mare Owner ). 1. Services. Upon the receipt of all applicable fees and deposits, and upon execution of this Agreement by No Limit and Mare Owner, No Limit hereby confirms reservation for breeding to the to the following stallion: Capone 1 for the breeding season running from February 1 through October 1 of the year 2014 provided that said stallion is alive and fit to breed. This limited breeding right is sold for the mare identified below. 2. Identification of Mare. Mare s Stable Name: Mare s Registered Name: Date of Birth: Registered Breed: Registration Number: Color: 3. Semen Reservations. Mare Owner has requested the breeding date of approximately. No Limit Farm will make every reasonable effort to
accommodate the breeding of your mare on the requested date. Please give us as much advance warning as possible regarding an upcoming collection, so that we can work to ensure your stallion is available on the days required and is not in transit to a show or otherwise unavailable for collection. The earlier you notify us of your actual request for a shipment, the more likely we can get it shipped. Email or phone is best. Nolimitfarm@gmail.com 4. Shipping and collection cost. We charge $300 per shipment, which includes administrative charges, veterinary expenses, and supplies for the shipment and collection. Our shipments are done using disposable Equine Express II, shipping containers. There is no deposit, and once you are done with the container it can be recycled. Nearly all of our shipments are done via Federal Express; depending on your address and time requirements, we will ship either normal FedEx or priority. We generally ask FedEx to bill recipient of the package, which is basically COD. If you have a FedEx account and want us to bill that directly, give us that information in advance so that we have it with us when we ship. 5. Exclusive Use of Semen Absent the prior written consent of No Limit Farm, the Mare Owner agrees to use the shipped semen only on the mare named above. Generally, we ship two breeding doses of extended semen in each shipping container. Most veterinarians will inseminate one on the day of receipt, wait one day, and inseminate using the second dose. However, this is up to you and your veterinarian to decide; there are a number of theories regarding the right way to breed using extended semen, and usually the best answer depends on the mare in question. However, if you use only one breeding dose, please do not just go ahead and use the second on a second mare that is available and ready. If this circumstance presents itself, let us know and we can work out a discount on a second-mare breeding. However, your purchase of semen from our stallions entitles you only to use that semen on the mare listed on this contract - you are not allowed to breed any other mares with left over semen unless you arrange that with us in advance. We ll be flexible, but please ask first!
6. Re-breeding rights ( live foal guarantee ). We offer a so-called live foal guarantee that is designed to be simple, straightforward, and easy for mare owners to use. After you have booked and paid for your breeding for the 2014 breeding season, you may re-breed your mare as many times as necessary in 2014 to get her in foal and properly settled. Remember that each shipment incurs a $300 shipping fee plus the FedEx charge; being accurate in the timing of your semen order is critical and will save you money. If you come to the end of the 2014 breeding season and your mare is still not settled, we will carry forward your breeding into 2015 and will only ask that you pay a new booking fee for the 2015 season (our booking fee is $500). You need not pay the balance of the breeding fee again, even if the price of the stallion s breeding goes up in 2015. Additionally, if your mare aborts her foal during the winter of 2014/2015, you can rebreed her again in 2015 simply by paying the booking (and shipping) fee; no need to pay the breeding fee again. Once you have had a live foal, our breeding agreement is completed and no special rates for re-breeding are guaranteed. However, in the past if a mare owner loses a foal during or shortly after birth, we generally offer substantial discounts to re-breed that mare in the following season, as we know how heartbreaking this scenario is for everyone involved. Remember that proper veterinary oversight of the process from your end will greatly increase the chances of getting your mare in foal quickly, safely, cost-effectively, and easily. We do everything possible to ship the best quality extended semen possible, from there it is up to you, your mare, and your vet! Don t frustrate yourself by guessing as to when to breed your mare; with proper ultrasound protocol and veterinary oversight, conception rates for healthy mares using fresh-cooled semen are 90+%. If your mare misses two times in a row even after proper management, we suggest you consider a uterine biopsy as it is likely there is a problem other than timing. However, as always work with your properly trained reproductive vet! 7. Mare Substitution If the mare fails to become pregnant after being bred one or more times, or you decide before breeding but after booking that you would like to use a different mare, let us know and we can arrange the paperwork properly. However, understand that your booking to the stallion listed above is only to be used on a mare you own or lease. You may not re-sell your breeding to somebody else it is non-transferable.
If, for some reason, you cannot use your breeding in 2014 let us know and we can carry the breeding into 2015 on reasonable terms. If you really do need to sell your breeding right to somebody else, let us know and we will make arrangements. 8. Booking and Breeding Fee The booking fee for this breeding agreement is $500.00, which must be returned with this signed agreement before a reservation for service is accepted. This fee, payable by check or money order, will be applied in entirety toward the breeding fee. The total breeding fee for the stallion listed above is $2500.00. The balance of the breeding fee must be paid before you request your first shipment of semen. If you are planning to breed your mare in a short time within signing the contract please include entire payment to avoid problems when you need semen. If you wait too long and have not paid your breeding fee before you call to request semen, be aware! We cannot, ship semen until the breeding fee is paid in full. That way, you are paid in full through your first shipment and need not worry about any lastminute rushing about while you are trying to get your mare pregnant. 9. Breed Registry; Registry Fees. It is up to you to decide what (if any) registry you want to present your foal to for papers and/or branding. In North America, there is a cornucopia of registries from which to choose. As stallion managers, we must remain generally agnostic with regards to which ones are better or worse. Remember that, for most registries, both the mare and the stallion must be approved in some manner for the foal to be registered and/or branded. Additionally, most registries levy activation fees every year on the stallion so the cost of that pedigree can get very high indeed. You are solely responsible for payment in advance of any surcharge for breeding assessed by the breed registry to which this service will be reported. Each registry imposes specific guidelines and restrictions, and while No Limit Farm will make every effort to fulfill the requirements of the registries, we make no guarantee regarding any registry s acceptance of a foal from this service. In other words, you are solely responsible for determining the register ability of the foal resulting from this breeding. No Limit Farm will fill out any required breeding certificate from your registry of choice, and we will work with you to activate a specific stallion in a specific registry if
this is what is required to get your foal papered therein. However, if the cost of this activation is not small and there are not other mare owners interested in your registry of choice, we will ask you to cover some or this entire activation fee. 10. Unavailability of Stallion. If the stallion dies, becomes unfit for service, or is sold before the mare is serviced and settles, No Limit Farm may, in its sole discretion, provide that stallion's frozen semen. 11. Liability. The parties agree the Mare Owner shall assume all responsibility for the condition of the mare and shall bear all risk of loss or damage to the mare whether by death, disease, injury, infection, or otherwise, and by any cause whatsoever, and therefore agrees to hold No Limit Farm or any person employed by or associated with No Limit Farm, harmless for any and all damages associated therewith. 12. Severability. If any term or provision of this Agreement is found to invalid or unenforceable to any extent, the invalid or unenforceable term shall be deemed deleted and remainder of this Agreement shall continue in full force and effect. 13. Waiver. The waiver by either party of a breach of any provision of this Agreement shall not operate or be construed as a waiver of any subsequent breach. To be effective, a waiver must be in writing. 14. Controlling Law. This Agreement is executed and delivered in the Province of British Columbia and shall be construed and enforced in accordance with the laws of that Province. The parties expressly agree that jurisdiction and venue for any and all disputes arising under this Agreement shall be proper only in British Columbia, Canada.
15. Entire Agreement. This Agreement represents the entire agreement between No Limit Farm and Mare Owner with respect to the subject matter herein. It supersedes all prior agreements and understandings, whether written, oral or implied.
