SOUTH DAKOTA HIGH SCHOOL RODEO ASSOCIATION, INC. CONSTITUTION AND BY-LAWS NAME OF ORGANIZATION A SOUTH DAKOTA NON-PROFIT CORPORATION ARTICLE I The name of this non-profit organization shall be the South Dakota High School Rodeo Association. ARTICLE II PURPOSE AND AIMS OF THE SOUTH DAKOTA HIGH SCHOOL ASSOCIATION A. To maintain order and standards set by the National High School Rodeo Association and the South Dakota High School Rodeo Association among contestants at its functions. B. To promote High School and Junior High Rodeo on a statewide scale and work toward this by bringing statewide recognition to this activity for students who are under 20 years of age at the first of the SDHSRA year (August 1) and are or have been enrolled in the 9th, 10th, 11th, and 12th grade for the High School Division and are or have been enrolled in the 6th, 7th, and 8th grade for the Junior High Division the year just preceding the National Finals Rodeo the contestant is entering. To promote high school contestant rodeoing on a state and national scale and to work towards this by bringing recognition to this program as an organized activity. (Change 1-31-15) C. To promote the highest type of conduct and sportsmanship at the various rodeos by setting up standards to be met to reach this end. D. To promote high school rodeo and junior high rodeo and the young people who will participate in high school and junior high rodeo events. (Change 1-31-15) E. To increase and maintain interest in regional rodeos, the South Dakota High School Rodeo, and other functions throughout the state. F. To encourage boys and girls to continue in school and participate in rodeos and then go on to college and the Intercollegiate Rodeos. G. To allow only the winners recognized by their Regional Rodeos to participate in the State High School Rodeo. The Junior High Rodeo State Qualification guidelines shall be outlined in the South Dakota Junior High By-Laws. H. To insure the contestants are under twenty (20) years of age as of August 1 of the applicable calendar year and have been enrolled in the 9 th, 10 th, 11 th, or 12 th grade for the High School Division and are or have been enrolled in the 6th, 7th, and 8th grade for the Junior High Division the year just preceding the National Finals Rodeo the contestant is entering; maintain scholastic eligibility as required by the National High 1

School Rodeo Association; restrict participation in South Dakota High School Rodeo to not more than four (4) years; and to preclude contestants from participation for acts of misconduct. (Change 1-31-15) MEMBERSHIP ARTICLE III A. Membership in this Association shall be open to all adult non-rodeo contestants. B. The annual membership fee shall be established by the Board of Directors. ARTICLE IV OFFICERS, DUTIES OF OFFICERS, TERM OF OFFICE Section 1: A. The officers of this association shall be a President, a Vice-President, a Secretary and a Treasurer. The President and the Vice-President will be annually elected by and from the Board of Directors. The Secretary and Treasurer will be appointed by the Board of Directors and need not be a member of the Board of Directors. The offices Secretary and Treasurer may be combined and when combined, the appointed officer shall be designated the Executive Secretary. The President and Vice President may serve no more than three (3) consecutive terms. (Change 9-2001) B. The officers of the association shall perform the duties usually performed by such officers together with such duties as shall be prescribed by the by-laws of the Association or the Board of Directors. Section 2: A. The President shall be Chairman of the Board of Directors, the Advisory Council, and the Executive Committee and an Ex Officio member of all committees, except the committee of nominations. B. In the absence of the President, the Vice-President shall assume the duties of the President. In the event a vacancy occurs in the office of the President, the Vice- President shall serve until the next annual election of officers. C. The Executive Secretary/Treasurer shall keep minutes of all meetings of the Association and the Board of Directors and shall have custody of the corporate seal and shall preserve all documents of the Association. The Executive Secretary/Treasurer shall issue membership certificates to all members of the association. The Executive Secretary/Treasurer shall collect, receive and have charge of all funds of the Association and shall deposit such funds in the bank designated by the Board of Directors. The Executive Secretary/Treasurer account is open for review upon request of any director. The Executive Secretary/Treasurer shall perform such duties as set forth by the Board of Directors. 2

Section 3: A. The terms of office of all officers elected at any annual meeting shall commence at the adjournment of that meeting and shall serve until adjournment of the next annual meeting. Section 4: A. The contestants in each region shall elect one delegate to represent them. These delegates will be elected at the regional qualifying rodeos. At the South Dakota High School Rodeo Association State Finals Rodeo ( State Finals Rodeo ) the contestants shall elect a President, Vice President and a Secretary for the term of one year from the chosen representatives. Contestant officer delegates and state queen shall be members of the Board of Director s and, collectively, shall have one vote. (Change 9-27-14) ARTICLE V BOARD OF DIRECTORS A. There shall be a Board of Directors of the Association, which shall consist of not less than four (4) nor more than thirteen (13) adult directors. Each region shall elect one director from their region. (Change 9-24-2011) One director at large shall be elected from the two (2) Eastern regions by association members of the regions and one director at large shall be elected from the two (2) Western regions by association members of the regions. Contestant Officers and the State Queen shall be members of the Board of Directors and, collectively, shall have one vote. The National Director shall be a member of the Board of Directors. The host site of the State Finals Rodeo shall appoint three directors. Directors for the host site may not vote on the selection of any regional or state rodeo host site. (Change 9-27-08) B. The Regional Directors and Directors at Large shall serve for a three (3) year term. Contestant Directors and the State Queen shall serve for a one (1) year term. C. The Board of Directors shall fill any vacancy on the Board by appointment of a replacement director from the same region. Any replacement director shall serve until the next annual meeting, at which time the vacancy shall be filled to complete the unexpired term. D. The directors are obligated to attend every meeting or to delegate, in writing, a person to attend in their place. A director who has missed two (2) consecutive state meetings shall be deemed to have resigned. E. A majority of the Board of Directors elected shall constitute a quorum. F. The Board of Directors shall appoint a Secretary and a Treasurer. The same person may be appointed to fill both offices. G. The Board of Directors shall nominate a National Director to represent this Association at meetings of the National High School Rodeo Association for the purpose of carrying out the wishes of South Dakota. The board shall certify the National Director to the National High School Rodeo Association. Each National Director may appoint or select a Junior High Director for his/her state/province to handle some of the duties of the 3

Junior High division. The Junior High Director would report to the National Director as well as the State/Province Board of Directors. (Change 10-20-15) H. The Board of Directors shall appoint a public relations person to carry out a program to assist the State High School Rodeo Contestants. I. The Board of Directors shall be responsible to annually audit the books and records of the Association and shall present the audit at the annual meeting. MEETINGS ARTICLE VI A. Unless otherwise ordered by the Board of Directors, the annual meeting shall be held on the last Saturday of September in Pierre/Ft. Pierre, South Dakota, at a place to be designated by the President. B. A winter meeting of the Board of Directors shall be held at a time and place to be designated by the President at the annual meeting. C. A special meeting of the Board of Directors may be called by the President or any member of the Board of Directors upon three (3) days prior notification to each Director. The notice shall specify the time, place, date, and purpose of the meeting.(change 9-28-2013) D. A special meeting of the Association may be called by the Board of Directors. The Secretary shall notify members of the Association at least ten (10) days prior to the meeting. The notice shall specify the time, place, date and purpose of the meeting. E. Ten (10) members shall constitute a quorum for a meeting of the Association. F. All meetings shall be conducted under Roberts Rules of Order, as amended. REGIONAL RULES ARTICLE VII There shall be four (4) regions serving the state. The regional boundaries will be set by the Board of Director s making each region near equal in number of contestants as possible.(change 9-27-08) The location of the Regional and State Finals High School Rodeos shall be set by the Board of Directors. The State Finals Rodeo location shall be awarded for a two (2) year term and a location may be extended for an additional two (2) year term by a majority vote of the Board of Directors.(Change 9-27-03) The Board of Directors shall establish written criteria for the location of the State Finals Rodeo. A. All grievances at the South Dakota High School Rodeos shall be filed with the Board of Directors for investigation and ruling. The Board of Directors shall follow the guideline established by the National High School Rodeo Association Rule Book under General Rule #7. B. To promote fair and equal competition and to equalize the number of contestants, the Board of Directors shall have the authority to designate the regional rodeo at which a 4

school may participate. Each regional rodeo shall be considered to be two (2) separate rodeos. First Weekend - Saturday #1 Rodeo, Sunday #2 Rodeo, Second Weekend - Saturday #3 Rodeo, Sunday #4 Rodeo.(Change 9-26-2015) Contestants are eligible to enter any or all rodeos of choice, either 1,2,3,4 or a combination of any four rodeos. A contestant will not be considered for the All-Around title if they do not compete in a Saturday and Sunday rodeo the same weekend.(change 9-24-2016) No money will be refunded for any reason after the regional application has been forwarded to the Executive Secretary. The regional applications must be postmarked on or before the deadline set by the Board of Directors. There are no exceptions to the standards established by this paragraph. C. Trophies and prizes awarded at the regional rodeos shall be as near the same as possible. Value and quality shall be determined by the Board of Directors. D. Rules governing South Dakota High School Rodeos shall be those established by the National High School Rodeo Association. Any deviation from established rules must be approved by the Board of Directors and published to the membership of the Association, before they are effective. E. Judges and timekeepers at all South Dakota High School Rodeos shall not be a close relative of any contestant involved in that rodeo. No judge or timekeeper may judge their own horse. F. A financial statement of all Regional and the State Finals Rodeos must be filed with the Treasurer not less than twenty (20) day prior to the annual meeting. AMMENDMENTS ARTICLE VIII This constitution and the by-laws of this organization may be amended at a duly called general or special meeting of the members of the Association. Those adult members eligible to present a by-law change proposal must have been an adult member of the SDHSRA for three consecutive years.(change 9-24-2011) Any proposed amendments must be submitted in writing to the Secretary not less than forty (40) days prior to said meeting. The Secretary shall distribute copies of the proposed amendments to all members prior to the meeting as designated. ADOPTION OF AMEMDMENTS ARTICLE IX Any adoption of amendment(s) shall require two-thirds (2/3) of a majority approved of all members present. 9-24-2016 5
