CONSTITUTION, ARTICLES of ASSOCIATION and BY LAWS of NORTHERN DISTRICT TAXI GOLF CLUB Updated 26th February 2016

1. MEMORANDUM of ASSOCIATION of (a) The name of the organisation (hereinafter called the Club) is Northern Districts Taxi Golf Club. (b) The registered address of the Club shall be that of the elected Secretary from year to year. 2. THE OBJECTIVES FOR WHICH THE CLUB IS ESTABLISHED ARE: (a) To promote, encourage and supervise the game of golf amongst members of the Club. (b) To conduct competitions for members of the Club. (c) To conduct, promote and organise social activities for members. (d) To purchase, hire, lease or otherwise acquire for the purpose of the Club any real or personal property and any rights or privileges which the Club may deem necessary or convenient for the carrying out of these objectives. (e) To invest or deal with any of the monies of the Club not immediately required for the purposes thereof, upon such securities, and in such a manner as may be deemed fit, and time to time vary and realise such investments. (f) To accept or reject any gift of money, property or goods, whether subject to any special conditions, trust or not. (g) To reimburse any member who may incur or having incurred any personal liability for the benefit of the Club. (h) To carry on all such activities as may be necessary or convenient to the purposes of the Club. (i) To preform all such acts, deeds and matters and to enter into such agreements as are incidental and conducive to attaining the objects of the Club. NON PROFIT CLAUSE Any income or property of the Club whensoever derived shall be applied solely toward the promotion of the objectives of the Club and no portion thereof shall be paid or transferred directly or indirectly by way of dividend bonus or otherwise, howsoever by way of profit to the members of the Club, provided that nothing herein shall prevent payment in good faith of remuneration to any officer or servant of the Club or any member of the Club in return for any service actually rendered to the Club or reasonable and proper rent for premises let by any member of the Club. 3. DISSOLUTION CLAUSE The Club shall not be dissolved except at an Extraordinary General Meeting of the Club specifically convened for the purpose and by resolution carried by a majority of threequarters of the votes recorded in respect of same. If upon the winding up or dissolution of the Club there remains, after the satisfaction all debts and liabilities, any property whatsoever the same shall not be paid to or distributed among the members of the Club, but shall be donated or transferred to some other institution or organisation having objectives similar or in part similar to the objectives of the Club, and is exempt from income tax under section 23 of the income tax assessment act. Such institutions to be determined by the members of the Club at or before the time of dissolution or in default thereof by the Chief Justice of such Court as may have or acquire jurisdiction in the matter.

4. FINANCIAL PROCEDURE True accounts and records shall be kept by the Treasurer in respect of money received or expended by or on behalf of the Club, and the matters in respect of which such receipt and expenditure takes place, and of the property, credits and liabilities of the Club, subject to any reasonable restrictions as to time and manner of inspecting same that may be imposed by the Club for the time being, shall be open for the inspection of all affiliated members. 5. MEMORANDUM of FURTHER AUTHORITY Northern Districts Taxi Golf Club agrees to be bound by the Constitution of the NSW Taxi Golf Association Inc and the Australian Taxi Golf Association and to conform with all decisions and rulings thereof, and to abide by all decisions made on all matters of dispute referring to the game of golf and further to accept Golf NSW as the ruling and authoritative body controlling the game of golf in New South Wales.

ARTICLES of ASSOCIATION of 1. DEFINITIONS In these articles unless there is something in the subject or context inconsistent therewith, or any expression to the contrary:- (a) ASSOCIATION - Shall mean New South Wales Taxi Golf Association Incorporated. (b) GOLF ASSOCIATION - Shall mean Golf New South Wales. (c) COMMITTEE - Shall mean the duly elected Committee of the Club. (d) AFFILIATED CLUB - Shall mean any Taxi Golf Club which has applied and been granted affiliation with New South Wales Taxi Golf Association Inc or the Australian Taxi Golf Association. (e) ANNUAL GENERAL MEETING - Shall mean the annual meeting held each year as required by these Articles. (f) MONTH - Shall mean a Calendar Month (g) BY-LAWS - Shall mean the By-Laws of the Club for the time being in force 2. MEMBERSHIP (a) Membership of the Club shall be available to any person desirous of joining same for the purpose of playing golf. (b) Persons wishing to join the club shall play a minimum of 3 games ( stroke if they do not have a GA Handicap ). Any objection to the applicant wishing to join the Club must come from a financial member and be lodged with the Committee during the interval of the 3 games, the Committee will consider all facts available and shall have the power to grant or deny membership to the applicant. (c) Any affiliated members of New South Wales Taxi Golf Association Inc or Australian Taxi Golf Association will be granted membership at the discretion of the Committee. (d) Membership will remain open for renewal to all previous members at the discretion of the Committee. 3. FEES and SUBSCRIPTION (a) Competition fees and annual subscription shall be such sum as members at the Annual General Meeting from time to time decide, and shall be due at the Annual General Meeting for the ensuing year. (b) Should any member fail to pay their annual subscription at the Annual General Meeting, their annual subscription shall be paid with competition fees at their first game in the new competition year. (c) Visitors joining fee will be waived by playing 3 rounds in our weekly competition at full playing fee rate. (d) Affiliated members who play 3 competition games with the Club will have an annual subscription fee taken from any prize money won. 4. LIFE MEMBERSHIP Life membership may be conferred upon a member of the Club by resolution passed at an Annual General Meeting. No member shall be made a life member unless in the case of exceptional or distinguished service to the Club endorsed by two-thirds (2/3) majority of the members present and entitled to vote at an Annual General Meeting. 5. COMMITTEE (a) The Committee shall consist of President; Vice President; Secretary; Treasurer; Captain and Handicapper. (b) The Committee shall be elected at the Annual General Meeting and hold office until the ensuing Annual General Meeting

5. PROCEDURE for VOTING (a) Nominations for any position on the Committee, with the consent of the nominee, shall be made at the Annual General Meeting. (b) In the event of 2 or more nominations for any one position, a secret ballet will be held, the person with the least vote will be eliminated until only one candidate remains. (c) Only financial members can cast a vote and vote only once. (d) The chairperson has the casting vote in the case of any ties. (e) Proxy vote are not permitted. (f) Voting will be by show of hands. 7. MATCH and PLAYING COMMITTEE (a) The Match and Playing Committee shall consist of Captain, Vice President and Handicapper. (b) The Match and Playing Committee shall adjudicate on all disputes referred to it, the nature of any dispute shall be communicated to a member of the Match Committee within 15 minutes of completion of play. The Match and Playing Committee s decision shall be final and binding on all members. 8. VACANCIES on COMMITTEE If a Committee member resigns or is expelled, his office as a Committee member shall be declared vacant, and the Committee shall appoint a member of the Club to fill the vacancy until the next Annual General Meeting. 10. POWERS of the COMMITTEE (a) Is to control and manage the affairs of the Club. (b) May exercise all such functions as may be exercised by the Club, other than those functions that are required by this constitution to be exercised by a general meeting of members. (c) Has the power to preform all such acts and do all such things as appear to the Committee to be necessary or desirable for the proper management of the affairs of the club. 1 - Appoint Sub Committee s. 2 - Make, amend or rescind By-Laws. 3 - Fix or adjust fees as deemed necessary. 4 - Enforce observance of rules and By-Laws. 5 - Determine penalties. 6 - Determine Prizes and rewards. 7 - Organise playing calander. 11. DUTIES of COMMITTEE MEMBERS President - shall preside at all meetings of the Club, Annual, Special etc. - shall be available to assist any other Committee member with his duties. Vice President - shall assist the President and in his absence assume the duties of the President Secretary - it is the duty of the Secretary to; 1 - Maintain a register of all members. 2 - Keep minutes of all meetings. 3 - Keep records of all appointments of office bearers and committee. 4 - Record attendances of members and committee at all meetings. 5 - Book courses and carts in advance to promote confidence with members.

Treasurer - It is the duty of the Treasurer; 1 - That all money due to the Club is collected and received and that all payments authorised by the Club are made. 2 - That correct books and accounts are kept showing the financial affairs of the Club, including full details of all receipts and expenditure connected with the activities of the Club. Handicapper - It is the duty of the Handicapper to; 1 - Be responsible for ensuring the accurate maintenance of it s members handicap records. 2 - Be responsible for entering daily scores into Golf Link on the same day as the competition. Captain - It is the duty of the Captain to; 1 - Be responsible for the proper conduct of all competitions matches. 2 - Be responsible for the orderly hit off on all competition days. 3 - Have absolute control of play at all times. 4 - Keep up to date any point score of all events played by the Club. 12. GENERAL MEETINGS The Annual General Meeting of the Club shall; 1 - Be held prior to the 31st December. 2 - Confirm the minutes of the previous AGM and any Special meeting held during the year and attend to any matters arising from those minutes. 3 - Receive the yearly financial statement, together with reports from the President, Secretary, Treasurer, Captain and Handicapper hereinafter called the Annual Report 4 - Accept the Committee s appointment of office bearers and Committee members 5 - Attend to motions of which due notice has been given are put. 6 - General business, minor items only. Special General Meetings 1 - Can be convened by the Committee 2 - Can be convened if more than 5 or 25% of the financial members request it. - Must state the purpose of the meeting - Must be signed by the members making the request for the meeting - Must be lodged with the secretary. - Must be convened within 1 month of being requested. 3 - The date time and venue of general meetings shall be communicated to all members at least 14 days prior to the date of such meeting. 4 - Member desiring to bring any business before a general meeting may give written notice of motion to the Secretary which must be included in the notice of meeting. 5 - Special Resolutions must be communicated to members 21 days prior. 6 - No other business other than in the notice of motion can be discussed except in the case of the AGM. No item of business is to be transacted at a general meeting unless there is a Quorum. A Quorum is at least 5 or 25% of financial members.

BY-LAWS 1. All players shall observe the rules and etiquette of the game of golf. 2. It is the responsibility of every member to ensure he is familiar with the rules of golf and with the Memorandum and Articles of Association, including any amendments thereto. 3. To qualify for a Club subsidy for Presentation Day or special events, a member shall have played with the Club at least 10 times in the previous years competition ( not including Gala days ). Exceptions are at the discretion of the Committee. If not so qualified, Those members will be required to pay the appropriate fee charged by the Club. 4. Motorised buggy s, GPS and Range finding devices are allowed to be used in any competition. 5. Club Championship a trophy event shall be a Net competition played in 1 grade, played over 4 stroke rounds, the best 3 to count. GA Handicap to be set at commencement of the first round. 6. The Spring Cup a trophy event to be played coming into Spring, 1 grade over 4 stableford rounds, best of 3 to count and played off the players daily handicap. 7. In both events a tie will be decided by an 18 hole play off, at a neutral course. Should there be a second tie, the Winner will be determined by count back. 8. Match Play a trophy event the method of play to be conducted organised and regulated by the Captain. 9. Eclectic a trophy event shall be determined from all rounds played at Penrith and Windsor. With handicaps determined by a players Daily handicap at each course, the results added together and divided by 2. A weighting formula for handicaps will apply;- ( Hcp 1-8 x 1/2, Hcp 9-16 x 9/16, Hcp 17-24 x 5/8, Hcp 25-36 ) 10. 2 Players will be considered a social game. 11. 3 Players will be considered a competition, but will only be played for the ball run down and 1 nearest the pin. The prize money will be split equally between the members playing as a reward for attendance. 12. 4 Players or more will follow the rules of our normal competition. 13. NDTGC pays $30 for 1st place, $20 for 2nd. 2nd Place is paid only if there are 7 or more full fee paying players in the field 14. Only NDTGC members or members of other Taxi Golf Clubs can play for prize money in our weekly competition. 15. A ball competition is played weekly and is open to all players with an GA or Taxi Golf Club handicap. Balls distributed in place order after prize money placings, next best - 3 balls, 2 balls each until balls equals the number of full fee paying players. (Green Srixon Soft Feel ) 16. Nearest the pin (1 Titleist Pro V1 ball ) is played for on the basis of 1 NTP for every 2 full fee paying players in the field. 17. Long Drive (1 Titleist Pro V1 ball ) is played for with a minimum field of 4 full fee paying players. 18. Members receive a bonus round after paying for 10 rounds in our weekly competition (1/12/** - 30/11/** inclusive)
