BY-LAWS Offense Defense Football League REVISED 2009 Purpose: The purpose of the organization shall be to provide a recreational program for all youth interested in playing and developing the skills of football and to further the development of cheerleading skills. Goal: The goal of this organization shall be to: (1) provide participants an opportunity for fun and enjoyment through a football and cheerleading program, (2} to develop good sportsmanship and physical fitness, and (3) to teach skills and techniques of the game of football and cheerleading. Article 1 Membership 1.01 By-Laws All by-laws written by ODFL are superseded by any rule or regulation set down by the Current Governing Body. The latter to be imposed if there is a discrepancy, conflicting, or non-existing ODFL regulation that is in question. By-laws will be reviewed and revised every odd numbered year and changes will take effect immediately upon approval by the Board of Directors. 1.02 Members Members of the Offense Defense Football League shall consist of all football players and cheerleaders on participating teams, their coaches and spouses, parents or legal guardians, volunteers, and board members and their spouses.. 1.03 Termination of Membership Membership in the organization shall be terminated by resignation, suspension, or expulsion for good cause. Initial complaints against members should be filed with the Director or Assistant Director prior to submission of the formal complaint to the entire Board of Directors. Expulsion proceedings shall be instituted by written complaints, naming the member complained against; specifying reasons for said complaint. Proposed expulsion shall be submitted to the Board of Directors for verification and action to be taken. 1.04 Definition of Suspension Suspended football players or cheerleaders must sit in their designated area wearing their approved uniform during the game or games of their suspension. Suspended football players/cheerleaders/coaches will remain suspended until they have completed their penalty. Suspended coaches may not remain on the sidelines. Coaches may be required to leave the field if it appears they are continuing to coach the team while suspended. 1.05 Disciplinary Procedures

The following actions by members in the Organization will result in set penalties which range from expulsion from the league to guideline penalties. Any member of the Board of Directors may enforce these guidelines. The member complained against shall be guaranteed an opportunity to present his or her case to the Board of Directors. Expulsion or disciplinary action taken by the Board of Directors shall be final. The field to join in altercation Penalty Current Governing Body Guidelines Any adult striking another person Penalty Current Governing Body Guidelines In the event of an incident on the field, unauthorized person{s) who enters onto the field (this includes the practice field, playing field and side-lines) with good or bad intentions Penalty Current Governing Body Guidelines 1.06 Authorized Personnel The only persons authorized on the playing field/practice field {including the sidelines) shall be current members of the Board of Directors, designated coaches, and approved volunteers. Not to exceed Current Governing Body Guidelines. Unauthorized person(s}on the playing/practice field, or designated area will be asked to return to their designated area. If this is complied to, there will be no further action taken. Failure to comply could result in having law enforcement respond to remove the violating person(s). Article 2 Meetings 2.01 General Membership Meetings General membership meeting shall be held at least annually at a time and place designated by the Board of Directors. Additional meetings may be hold as often as the Board of Directors shall deem necessary. 2.02 Board of Directors Meeting The Board of Directors meetings shall be held monthly January through December on the third Sunday of each month unless otherwise changed by the presiding Director. Special Board meetings shall be held if either the Director, three (3) other members of the Board of Directors, or five (5) general members with voting rights deem necessary. General members' requests for special meetings must be submitted in writing to the Organization Director and Secretary. This written request must be acted upon within seven {7} days of receipt of notice. 2.03 Quorum A simple majority of the Board of Directors constitutes a quorum for the transaction of business. A 2/3 vote of the quorum present constitutes a legal vote. If there is less than a quorum, the meeting will be adjourned and a new date set by the Director. 2.04 Parliamentary Procedures

Robert s Rules of Order shall be the parliamentary authority for all meetings of the full membership and the Board of Directors. Article 3 Fiscal Year 3.01 Duration The fiscal year of the Organization shall start on January 1 st of each year and shall end on December 31 st of that same year. Article 4 Election of Officers and Directors 4.01 Nominations The existing Board of Directors shall act as the nominating committee each election year and shall, by majority vote, elect the league Director for the following term before the election meeting. The Director will then appoint his or her assistant Director. Nominations for the remaining Board positions will also be accepted from the members prior to the elections meeting. 4.02 Voting members Board members and their spouse, coaches and their spouse, and parents or legal guardian, are legal voting members. Exceptions may be made with board approval (volunteers with no children, etc.). Must be of legal voting age. (See Article 1.02) 4.03 Elections Elections of Officers and Directors shall be held prior to December 31 st of each election year. Elections will be held in odd numbered years. 4.04 Notice of Elections Written notice of time and place elections are to be held must be given. 4.5 Eligibility Only Current ODFL members will be eligible for nomination or election to a board position. Current ODFL members who have resigned or been removed from the Board of Directors are ineligible for the next scheduled election. Must be at least 21 years of age. 4.6 Non-Eligibility Anyone under suspension will not be eligible for a board position or coaching position until completion of suspension. 4.07 Voting Majority vote shall rule.

Article 5 Board of Directors 5.1 Composition of the Board of Directors. The board of Directors may consist of the following members: 1. Director 2. Assistant Director 3. Secretary 4. Treasurer 5. Athletic Director 6. Cheerleading Coordinator 7. Concession Coordinator 8. Football Equipment Manager 9. Registrar 10. Sergeant at Arms 11. Fund-raising Coordinator 12. Team Parent Coordinator 13. Groundskeeper 14. Public information Representative 15. Video Coordinator 5.2 Assistants must be voted in as a board position: Assistants will assume the same responsibilities and duties, including attending all Board meetings. Assistants will be limited to one (1) per the following positions, Athletic Director, Cheerleading Coordinator, Concessions Coordinator, and Football Equipment Manager. 5.3 Authority of the Board of Directors The board of Directors shall be empowered to conduct all business affairs of the Organization, appoint standing committees, and establish such rules and regulations as they deem necessary for the proper conduct of affairs of the Organization, subject to conformity with the Current Governing Board guidelines. 5.4 Meeting Attendance Any Board Member whom fails to attend two (2) consecutive regularly scheduled Meetings without notifying the Director, the Assistant Director, or the Secretary will be removed and replaced at the discretion of the Director. 5.5 Vacancies

The league Director shall be empowered to fill any vacancy occurring during the current term. That position will be voted on at the next regularly scheduled meeting by a majority vote. 5.6 Terminations All Board Members shall be subject to Article 1.02, 1.04, 4.05, and 4.06. Article 6 Duties of the Beard of Directors 6.01 Director The Director will determine the policies, fiscal matters, appointment of staff, and personnel affairs; as well as represent ODFL at the Current Governing Body with a common vote in the most professional matter possible. The director will monitor all activities to insure personnel directives are being effectively handled. The Director shall nominate replacements for any and all vacancies on the Board. The Director will establish practice times and schedules for all football and cheerleading teams. In summary the Director will assume full responsibility for the guidance and direction of all affairs relating to the Offense Defense Football League. 1. Be non-partisan. 2. Preside at all meetings. 3. Make all ODFL committee appointments, subject to board approval. 4. Represent ODFL and promote its interest. 5. Perform all other duties necessary to the 6. Serve as a Board Member; attend all Board meetings and ODFL functions 6.02 Assistant Director 1. Be non-partisan in Directors absence. 2. Represent ODFL at Current Governing Body meetings in the absence of the Director. 3. Chair ODFL Board Meeting in the absence of the Director. 4. Be custodian of all funds and security of this organization. 2. Keep a record of accounts of the organization and give a monthly financial report at each regular Board Meeting. 3. Prepare any fiscal reports as required by Current Governing Body or by-law. 4. Deposit all monies of the organization in the name of ODFL, in the bank

designated by the Board of Directors: Subject to withdrawals for Board authorized purpose with two (2) of the three (3) designated ODFL Board Members signatures. 5. Ensure that all persons using ODFL funds furnish accurate receipts and purpose for expenditures. 6. All expenses should be paid by ODFL check in lieu of cash for proper accounting records. 7. All Treasurers accounts shall be audited at any time by any Certified Public Accountant the ODFL Board may appoint or employ. 8. Record minutes of all meetings and write up minutes expeditiously. 2. Read minutes at next meetings and give copies of minutes to all members of the Board of Directors. 3. Carry out all of the organization s correspondence. 4. See to the provision of all necessary forms and office supplies. 5. Give notice of all meetings required by statutes and by-laws. 6. Prepare letters of reprimand as needed with Board approval. 7. Prepare sign-in and guest sign-in for all Board meetings. 8. Obtain from the Team Parent Coordinator incident reports immediately following any occurrence at an ODFL function with all pertinent information. 9. Follow up on insurance claims made with the Current Governing Body to insure member coverage. 10. Assist Director as needed and perform all other duties necessary to the 11. Serve as a Board Member; attend all Board meetings and ODFL functions including home games from set-up to clean-up. 6.05 Athletic Director 1. Attend all practices, ODFL, and Current Governing Body functions. 2. Select all football coaches for Board approval. 3. Ensure all football coaches and players display sportsmanlike behavior and conform to ODFL and Current Governing Body disciplinary guidelines. 4. Strictly enforce all coaching rules with safety and teaching of basic football 5. Act as a board liaison all coaches and assistant coaches to give any information from the ODFL board. 6. Responsible for football player/coaching personnel discipline. 7. Ensure all football players and coaches are in complete uniform on game days and any ODFL function. 8. Prepare a preseason camp to consist of types of exercise (warm-ups), types of blocking, tackling drills, etc. 9. Responsible for making all required copies of football rosters three (3) prior to every game.

Attend all Cheerleading Coordinator meetings and distribute information to the ODFL Board. 2. Attend all practices and ODFL functions. 3. Select all Cheerleading Coaches for Board approval 4. Ensure all Cheerleading coaches and participants display sportsmanlike behavior and conform to ODFL and Current Governing Body disciplinary guidelines. 5. Strictly enforce all coaching rules with safety and teaching of basic cheering skills of prime importance. 6. Act as board liaison to all coaches and assistant coaches to give information from the ODFL Board. 7. Responsible for cheerleader/coaching personnel discipline. 8. Ensure all cheerleaders and coaches are in complete uniform on game days and any ODFL function. 9. Responsible for distribution, collection, designated storage, sale of equipment, and maintenance of all cheerleading equipment. 10. Must receive voucher before issue of equipment. 11. Prepare of preseason camp to consist of types of exercises and assessments of the cheerleaders abilities. 12. Responsible for returning in all monies to be deposited to the treasurer daily. 13. Responsible for making all required copies of cheerleading rosters three (3) prior to every game. 14. Assist Director as needed and perform all other duties as necessary to the 15. Responsible for the buying of all the goods for sale and keeping a detailed leg of all monies spent and collected. 3. Responsible for giving a detailed report of the monies spent and monies made to the Board of Directors at regular meetings. 4. Responsible for turning in all bills to be paid and all deposits to be made to the treasurer of the league daily. 5. Work with Team Parent Coordinator to secure volunteers for both practice and home games in the concession.

Responsible for the registration of all football and cheerleading players. 2. Coordinate with treasurer that all fees are paid in a timely manner. 3. Make a report for financial assistance or sponsorship to the Board of Directors at scheduled meetings. 4. Work in conjunction with the Athletic Director and Cheerleading Coordinator on team placement and writing lists. 5. Responsible for turning in all monies to be deposited to the Treasurer daily. 6. Issue vouchers to participants when registration is complete. 7. Responsible for preparing hard cards and rosters. 8. Assist Director as needed and perform all other duties as necessary to the 9. Serve as a Board Member; attend all Board meetings and ZPAL functions 6.09 Team Parent Coordinator 1. Act as information distribution source from the Board of Directors to all Team Parents. 2. Work with Head coaches to recruit team parents. 3. Work with Team Parents to secure volunteers for gate and chain crew for all home games. 4. Work with Concession Coordinator and team parents to secure volunteers from each family to work volunteer hours. 5. Obtain all incident reports from team parents immediately following any occurrence at ODFL function to turn in to the secretary. 6. Assist Director as needed and perform all other duties as necessary to the 7. Serve as a Board Member; attend all Board meetings and ODFL functions 6.10 Football Equipment Manager 1. Responsible for the distribution, collection, and maintenance of all football equipment. 2. Responsible for keeping an up-to-date inventory of all equipment. 3. Report to the Board of Directors, for approval, the need to replace or buy any new football equipment. 4. Be available daily during the season to replace or fix any equipment broken or missing. This includes game day.

Responsible for turning in all monies to be deposited to the treasurer daily. 8. Assist Director as needed and perform all other duties as necessary to the 9. This includes game day. 5. Responsible for the operation and maintenance of all field equipment used on the field of play. {i.e.: sideline markers, yard lines on the field, blocking sleds, etc). 6. Article 7 General ODFL Requirements 7.01 Pre-Registration and Open Registration 1. Pre-registration is limited to those members who were on the official roster the previous season and their siblings. Preference will be given to returning participants. 2. Registration will be on a first-come first-served basis. 3. Registration will be conducted from January 1 st to date set by Current Governing Body or until all rosters are full. 4. Once a roster is full, a waiting list must be formed and positions filled as they become available. 5. A participant is not registered until the registration is complete. 6. No football player or cheerleader will be issued any equipment or be allowed to participate until registration is complete. Registration is complete when all of the following have been received: A. Fees paid in full or payment arrangements made. B. Copy of an official Birth Certificate. C. Current physical (within current calendar year) D. Current photo (no older than l year) E. Registration hard card signed by legal guardian F. Proof of residency. (i.e.: picture id, utility bill, etc.} 8. Team placement is NOT guaranteed until registration is complete. 9. Squad size will be determined by the Current Governing Body. 7.02 Official Files l. The official file must be maintained on each participant which contains all of

the registration requirements. 2. Additions to the roster will be determined by the Current Governing Body. 3. An official roster with all eligible players must be sent to the Current Governing Body per their requirements. 7.03 Physical Condition 1. Participants should be in sound physical condition and are required to maintain that level of conditioning throughout the season. In case of injury resulting in medical treatment, the football player/cheerleader must submit a physician s statement to their league Director or his/her designee indicating approval for their Practice Schedules. 7.04 Practice Schedules 1. The Current Governing Body will determine practice procedures, start date, and required hours. 7.05 Eligibility 1. Bowl or out-of-league participation must be approved by Current Governing body 2. Eligibility for teams or squads will be determined by the Current Governing Body. 3. Eligibility for coaches of teams/squads will be determined by the Current Governing Body 7.06 Competitions and Scrimmages 1. Non-league games and competition must be approved by the Current Governing Body prior to scheduling. 7.07 Other Activities 1. Coaches will encourage their team/squad to participate in all ODFL functions. It is the responsibility of the head coach to prepare his/her team/squad for away and bowl games. Head coaches, or designees, from their staff must be in attendance at these games. During bowl or out-of-conference games, only players approved through the Current Governing Body procedures may participate. 7.8 Sportsmanship 1. At all times, participants should conduct themselves in a manner in keeping with the ideals of sportsmanship and fair play. Their behavior should be a credit to themselves, their families, their organizations, and the Current Governing Body. Any actions not keeping with these ideals should avoided. Players should treat themselves and others respect them at all times. Article 8 Coaches 8.1 Head Coaches of football and cheerleading 1. Must be at least 21 years of age.

2. Must be approved by Current Governing Body. 3. Must be approved by ODFL Board of Directors. 4. Must sign and follow coaches agreement. 5. Must report football players and cheerleader absences of 1 week or more to Director, Athletic Director/Cheerleading Coordinator, and Registrar. 8.02 Assistant Coaches of football and cheerleading 1. Must be at least 18 years of age. 2. Must be selected by approval Head coach. 3. Must be approved by ODFL Board of Directors. 4. Must be approved by Current Governing Body. 5. Must sign and follow coach s agreement. 8.03 Head coaches and assistant coaches may be removed by the league Director at any time during the season for failure to function according to Current Governing Body or ODFL by-laws. Article 9 Budget 9.1 Budget 1. The following areas shall submit to the Board of Directors their operating budgets for the season when requested by the Directors: A. Concession Coordinator B. Cheerleading Coordinator C. Football Equipment Manager D. Groundkeeper Article 10 Amendments and changes to By-law All Board Members and/or the Director may submit for consideration written documents or changes to these by-laws. The Board of Directors may appoint a Rules Committee to recommend amendments or changes to these by-laws. These by-laws may be amended or changed by: A. Changes are approved by simple majority vote. B. A 4/5 majority of the Board must approve a discussion of a change in the by-law on an emergency basis. A 2/3 vote of all Board members is needed to make a change on an emergency basis.
