BYLAWS OF THE COLORADO DRAFT HORSE ASSOCIATION (CDHA) (Article Revision January 1995) (Chapter Revision Spring 1997) (Article Revision July 2008) (Article Revision December 2016) ARTICLE I NAME - OBJECTIVE - PURPOSE I. Name: The name of this organization shall be the COLORADO DRAFT HORSE ASSOCIATION. II. Objective: The overall objective of the organization shall be to promote the breeding and use of draft horses for recreation, farming, showing, pulling and agricultural purposes. III. Purpose: The Purpose of this organization shall be: (a) To promote appreciation and interest in draft horses by demonstrating the use of draft horses and by participation in civic affairs. (b) To encourage wholesome individual and group activities relating to draft horses. (c) To increase knowledge of the use of, and the care for draft horses. I. Insignia: The insignia of the organization shall be an emblem of a draft horse on a background of the Colorado State flag with the words "Colorado Draft Horse Association, or abbreviated CDHA. ARTICLE II INSIGNIA ARTICLE III ORGANIZATION I. District, State and National Affiliation: The Colorado Draft Horse Association shall not have any affiliation with other District, State or National organizations. The State Association may choose to participate in other organizations. This does not imply that as a member of the Colorado Draft Horse Association you are a member of that organization. 1

II. Registered Draft Horse Breed Organizations: The Colorado Draft Horse Association shall encourage compliance with rules and guidelines established by various Draft Horse Associations such as: Percheron Horse Association of America American Suffolk Horse Association Belgian Draft Horse Corporation of America American Shire Horse Association Clydesdale Breeders of the United States Spotted Draft Horse Association Pinto Draft Registry Inc. American Cream Draft Horse Association The Secretary of the Colorado Draft Horse Association shall be authorized to revise this section as needed to reflect the established breed organizations. III. Chapters: Chapters of the Colorado Draft Horse Association may be established in any distinct geographical area where, in the judgment of the Board of Directors, there if sufficient interest and potential membership to support a chapter organization of the Colorado Draft Horse Association. Each chapter will hold its own meetings, conduct its own activities for the members of the chapter, and will be encouraged to coordinate its activities with the other chapters of the Colorado Draft Horse Association. Each chapter will be responsible for submitting a proposed list of activities for the approval of the Board of Directors, and a current member list, prior to April 1 st of the new fiscal year. IV. Chapters Established: The initial chapters of the Colorado Draft Horse Association and the geographical areas served by each shall be as follows: (a) Northern Chapter, serving the area from the Continental Divide east, and from the Adams/Arapahoe county line (as extended) north. (b) Southern Chapter, serving the area from the Continental Divide east, and from the Adams-Arapahoe County line (as extended) south. (c) Mountain Chapter, serving the area from the Continental Divide west. (d) Western Slope Chapter, serving the area from the Continental Divide west. (e) North Eastern Chapter, serving the area east of Weld County and north of Arapahoe County. The Secretary of the Colorado Draft Horse Association shall be authorized to revise this section from time to time as necessary to reflect the establishment of chapters by the Board of Directors. Members are free to attend meetings of any chapter, but pay dues and vote only in one chapter. 2

ARTICLE IV MEMBERSHIP I. Active Membership: Any individual aged 19 and over, or any family as defined below who is interested in draft horses may become a member with current paid dues. (a) family, for membership purposes, will be defined as follows: mother, father, legal guardian, spouse or child (aged 21 years or younger as of January 1st of the current paid year). (b) any person aged 22 years or older, as of January 1 st of the current paid year, will be required to purchase their own yearly membership to the Colorado Draft Horse Association, regardless of family membership status. II. Colorado Draft Horse Association Dues: Each chapter will determine their membership dues, to include an amount, determined by the Board of Directors, per membership to be paid to the Colorado Draft Horse Association by April 1st of the new fiscal year. The dues paid to the Colorado Draft Horse Association can be changed only after a majority vote from all chapters of the Colorado Draft Horse Association. The treasurer of each chapter will be responsible for forwarding the dues collected for the operation of the Colorado Draft Horse Association. III. Membership Levels: Membership in the Colorado Draft Horse Association will be determined using the following criteria: Membership - Allowed up to two votes in Colorado Draft Horse Association matters. An amount determined by the Board of Directors shall be forwarded to the Colorado Draft Horse Association entitled to one copy per membership of C.D.H.A. newsletters and correspondence. Votes must be from two separate eligible members of that membership. IV. Fiscal Year: The fiscal year for the Colorado Draft Horse Association shall begin January 1 and terminate December 31. 3

ARTICLE V OFFICERS I. Colorado Draft Horse Association Officers: The Colorado Draft Horse Association will be governed by the following officers; President Vice President Secretary Treasurer Newsletter Editor Board of Directors The officers of the Colorado Draft Horse Association will be elected from the Board of Directors, by the Board of Directors at its first meeting of the new fiscal year. The exception could be the Newsletter Editor who may be chosen from the general membership. II. Board of Directors: The Board of Directors of the Colorado Draft Horse Association shall consist of an officer and two members from each chapter. III. Officer Qualifications: The officer-elect shall have been a voting member of the Colorado Draft Horse Association for at least one full year prior to election. They must be actively engaged in the trade, or ownership of draft horses or any activity involving the Colorado Draft Horse Association, with the following age restrictions; President - 21 years of age or older Vice President - 21 years of age or older Secretary - 21 years of age or older Treasurer - 21 years of age or older Newsletter Editor - 18 years of age or older IV. Officer Terms: The offices shall perform their duties for the following terms; President - 2 fiscal years Vice President 1 fiscal year Secretary 2 fiscal years Treasurer 1 fiscal year Newsletter Editor 1 fiscal year 4

V. Voting Allocation for the Board of Directors: Each chapter should be represented by a minimum of one and a maximum of three Board of Director votes; (a) In the case of tie votes, the President of the Colorado Draft Horse Association has tie-breaking authority. (b) Alternate members may vote in place of an absent board member, as long as they have been duly designated by their respective chapters or recognized by the State Board of Directors for voting purposes at a particular meeting. (c) Should an officer of the Board of Directors be in the second year of a two year term, but not chosen to represent his/her chapter for that fiscal year, they shall be allowed to finish out the remainder of their term with voting privileges. VI. Officer Duties: President - Responsibilities are to preside over all general meetings, preside over all meetings of the Board of Directors, appoint all committees and have the option to serve as an ex-officio member of those committees. Determine all state meeting dates, times, and places. In conjunction with the secretary, develop meeting agendas. Vice President - Responsibilities include, but are not limited to, assumption of the president's role in his/her absence, or if the President is unable to fulfill his/her obligations. It is also necessary that this person attend all meetings of the Board of Directors. Secretary - Responsible for keeping an accurate record of the Board of Directors meetings and reporting the minutes of the last meeting for approval and publication in the C.D.H.A. newsletter. The secretary is also responsible for forwarding the minutes of all Board meetings to the presidents and secretaries of each chapter. Treasurer - Responsible for keeping an accurate membership list and record of the receipts and disbursements, and to report the financial status of the organization at each Board meeting. This person shall be responsible for making approved disbursements. Newsletter Editor - Duties shall include the collection of news and other information for publication in the C.D.H.A. newsletter, and submittal of news to draft horse related publications. Board of Directors - The Board of Directors shall be responsible for conducting all general business, activities and meetings of the Colorado Draft Horse Association, and coordinating the activities of the chapters. The Board of Directors shall report back to their respective chapters on Colorado Draft Horse Association matters and be responsible for the approval of events sanctioned by the Colorado Draft Horse Association. 5

ARTICLE VI STATE AND CHAPTER YOUTH REPRESENTATIVES I. The selection committee for the Colorado Draft Horse Association Youth Representative will elect a new Reserve Youth Representative each year. The current Reserve Youth Representative will then assume the title and duties of the reigning Youth Representative at the end of his/her term. II Qualifications: The Youth Representative candidates and Reserve Youth Representative candidates must be able to meet the following qualifications: (a) His/her age must be 13-18 years of age as of January 1 st of the year he/she is applying for. (b) In order to serve as a Youth Representative, he/she must have a current Colorado Draft Horse Association membership. (c) He/she must be able to provide his/her own chaperon. (d) The Reserve Youth Representative, as a Youth Representative candidate, shall meet the same qualifications as the Youth Representative chosen by the Selection Committee, should he/she be unable to complete his/her term. III. Functions: The Youth Representative and Reserve Youth Representative must be able to perform the following functions: (a) He/she may be asked to hand out ribbons and trophies at Shows and horse pulls statewide. Additionally, he/she will act as a representative of the Colorado Draft Horse Association in the capacity of the Association's voice to youth. (b) He/she must be willing to assume other duties the Colorado Draft Horse Association Board of Directors requires pertaining to special events. (c) He/she must be willing to follow the responsibilities and guidelines set forth by the C.D.H.A. Board of Directors. IV. Selection: The selection committee will be comprised of three current members, age 19 years or older, who are not related to any of the candidates. Neither the current reigning Youth Representative nor the Reserve Youth Representative may serve on the selection committee for at least one year following their active term. V. Final Vote: The selection committee of the Colorado Draft Horse Association will announce the selected candidate at the last state board meeting of the fiscal year, and the candidate chosen by the selection committee will serve as the Reserve Youth Representative for the following year. The selection committee, under extenuating circumstances, reserves the right to appoint or remove any candidate to /from the position as needed. 6

ARTICLE VII MEETINGS I. General Meetings: There shall be at least one general meeting of the entire membership of the Colorado Draft Horse Association each year at a date and place selected by the Board of Directors. II. Chapter Meetings: The business meeting of each chapter shall be held during the months of March, May, September and December. The time and place is designated by the membership of the chapter. III. Committee Meetings: Once a committee is designated, the committee shall be responsible for determining a place and time to meet. Progress of the committee should be reported at the regular business meetings of the Board of Directors. ARTICLE VIII AMENDMENTS I. Amendments: Amendments to these Bylaws can be proposed at any general meeting of the Board of Directors of the Colorado Draft Horse Association. Proposed amendments approved by the Board of Directors must be mailed to all voting members of the Colorado Draft Horse Association one month prior to voting. II. Amendment Voting: Each ballot must contain a typed amendment, mailed to every member of the Colorado Draft Horse Association and voting must be by secret ballot. Amendments are passed by a 2/3 majority of votes presented at the meeting. III. Absentee Ballot: If a person is absent and wants to vote, the responsibility lies with himself/herself to put the ballot in a sealed envelope and return it the Secretary of the Colorado Draft Horse Association to be counted at the time the vote is held. -BYLAWS ADOPTED BY THE MEMBERSHIP ON DECEMBER 21, 1985. -FORM REVISED BY THE BOARD OF DIRECTORS TO REFLECT INCORPORATION OF THE ASSOCIATION ON DECEMBER 19, 1988. -BYLAWS REVISED BY THE BOARD OF DIRECTORS ON JULY 11, 2008 -BYLAWS REVISED BY THE BOARD OF DIRECTORS AND MEMBERSHIP ON DECEMBER 16, 2016 (ARTICLE IV & ARTICLE VI, re: YOUTH REPRSENTATIVE) 7
