Gary congratulated the winners of the recent Club Championship Tournament: Women s 9 Hole Nancy Carson, Women s 18 Hole- Susie Purdy, Women s Net Division Diane Teftt, Men s A Division Bob Thompson, Men s Club Champion Doug Weiss. Nominating Committee Chairwoman Pam Dulin presented the slate of candidates. They were Carl Carroll, Dave Daley, Barry Hanchett, Tom Reeber, Deb Richter and Doug Whitney. The candidates in attendance were given time to talk of their experience. At this time, anyone who had not voted was given the opportunity to do so. Minutes Minutes of last month s meeting were reviewed and approved according to the email approval process adopted by the CFGA Executive Committee. In addition, they were approved at the meeting as required by the Bylaws. The minutes will be posted on the golf web site. Hard copy of the Minutes was posted on the bulletin board outside the locker room. It was moved and seconded to approve the minutes. Motion passed unanimously. Treasurer s Report See attached PGA Professional s Report Next Scramble to benefit the Step Enhancement Program will be held September 2 nd at 9 AM Member/Guest Tournament is September 15-17. Chairman Jerry Muench reported that there would be a practice round on Thursday. Eighteen holes will be played on Friday and again on Saturday to determine the flight winners, and overall champion. Social and dinner will be held on Saturday evening. Cost is $280 per team.

193 more rounds of golf played in July 2011 than in July 2010. Breakdown of play is as follows: 35% from members, 18% from property owners and 34% from non-property owners. The Twilight Golf is credited with the increase. The course will reopen this weekend During the recovery period fees will be: Golf fees will be $25 for Property Owners and Non Property owners at any time through the 4th Golf package member s cart fees will be $13. The Twilight golf rate will go to $25. Superintendent s Report The report was read by Dianne Gudger as Joey Galloway was not able to attend. See Attachment Finance Committee Norm Coleman stated that the committee is proposing to the CFPOA Board that the golf rates for 2012 remain the same. Green Committee Report Dianne Gudger reported that the Divot and Ball Mark Repair Program was completed before the Club Championship. Tournament Committee Club Championship numbers were down. Reasons could be: Cost Apathy (Men s 9 and Men s 18 Hole green divisions cancelled) Tom Perry inquired as to which tournaments have residency/membership qualifications. This year it was only the Club Championship. Golf and Grub This is the 9 Hole Scramble held once a month on Saturdays and is doing very well. End of Year Classic will be held in October There will be two more of the 6-5-4-3 Tournaments to benefit Connestee Rocks The Scholarship Tournament may be moving to September next year Handicap Committee Help is still needed Publicity Committee The following newsworthy events have been submitted to the Transylvania Times as well as to the Connestee Falls News: Head Professional, Brian Fox, had a Double Eagle on Hole #15 recently Results of the Club Championship An article on long time Green Committee Chairman, Loran Smith Jerry asked that anyone who has any news or a story, to please let him know.

Constitution & Bylaws Committee The proposed revision of the bylaws is complete. A motion was made by Norm Coleman n and seconded by Bob Thompson to approve the revision. The motion passed unanimously, by all members of the CFGA present at this annual meeting. See the attached new bylaws Ladies 18 Hole Report The Ladies 18 Hole League was represented in the Connestee Falls 40 th Anniversary Boat Regatta the boat crossed the finish line! The funds will continue to go for golf course enhancement New Business CFGA last Friday of the month golf tournament (6-5-4-3-2) August date moved to September 2 nd September date moved to October 14 Amenities Fund Request Jerry Thimme noted that the CFGA through CFGA dues, tournaments and donations, a considerable amount of money has been raised by the members for golf course enhancement. He suggested that a small group go before the CFPOA Board to ask for monies from the amenities fund, to be used for further golf course enhancement.

CFGA Executive Committee Comments Norm Coleman had it brought to his attention that at the Johnson City, TN border literature on various golf communities could be found. However, nothing about Connestee Falls. It was suggested that he check with Brian Fox, as there is some literature available A motion was made and passed unanimously that Norm take this up with the Marketing Committee on the CFPOA Board CFGA Member Comments Martha Whitney, speaking for the Ladies 18 Hole League, explained that they participate in the Blue Ridge Ladies Golf Association. There are 11 participating clubs, and every 11 years Connestee Falls host a two day tournament. This year is Connestee Falls turn to host the tournament in October. She requested $200 to help fund this event. The two day event will bring in revenues to the Club and the Pro Shop A motion was made by Norm Coleman and seconded by Jerry Thimme to approve the funds. The motion passed unanimously President Gary Dodge thanked outgoing Executive Board Members Dianne Gudger, Tom Perry and Mary Stam for their service and each received a gift certificate. At the same time long time Green Committee Chairman Loren Smith and Handicap Chairwomen Martha Whitney were thanked for their service and also given a gift certificate. Announcement of Newly Elected Officers The following were elected to the CFGA Executive Committee: Dave Daley Deb Richter Doug Whitney The meeting was adjourned at 3:55 PM

Article I: NAME CONSTITUTION AND BYLAWS of the CONNESTEE FALLS GOLF ASSOCIATION This organization shall be known as the Connestee Falls Golf Association (CFGA). Article II: OBJECTIVES The objectives of this association are as follows. 1. Advise the Golf Professional, the Golf Superintendent, the General Manager (GM) and the CFPOA Board regarding golf improvements, maintenance, long range planning, and financing of golf operations. 2. Serve as the consultation and recommending body for any activity affecting the golf program and facilities at Connestee Falls. 3. Plan and sponsor golf and social events for CFGA members. 4. Contribute to golf course enhancements such as beautification projects not covered in the budget of the Golf Professional or the Golf Superintendent. 5. Serve as the coordinating body for all golf leagues and golf groups. Article III: MEMBERSHIP Membership in the CFGA shall be open to anyone who is a Member, Associate Member, or Alumni Member of the CFPOA as defined in the legal documents of that organization. Non-Property owners may be CFGA members but may not hold elective office or vote on CFGA matters. All appointed committee members shall be CFGA members. Dues for CFGA membership shall be established by the CFGA Executive Committee and shall be adequate for the operation of this association in keeping with the aforementioned objectives.

Article IV EXECUTIVE COMMITTEE 1. The executive functions of this Association shall be vested in an Executive Committee of seven* elected members. *For the year ending in 2012 there will be nine elected members. For the year ending in 2013 there will be eight elected members and during this year the president may vote only to break a tie. For the year ending in 2014 and thereafter, there will be seven elected members. See Article VI ANNUAL MEETING & ELECTIONS. 2 If a vacancy occurs on the Executive Committee by resignation, death or any other cause, the remaining members of the Executive Committee shall appoint a member of the association to fill the vacancy until the next Annual Meeting. At that Annual Meeting the CFGA members shall elect a member to fill the unexpired term. 3 The Executive Committee shall create committees necessary to fulfill its objectives. The committees shall include but are not limited to the following: Finance, Green, Handicap, Publicity, Nominating and Tournament Committees. The Chairperson of these committees shall be appointed by the President. An Executive Committee member shall be designated to serve on the Finance, Green, Nominating and Handicap committees. a. Finance Committee The Finance Committee will include the CFGA Treasurer the Golf Professional, the CFPOA General Manager and at a minimum two appointees by the President who have experience in business, management, finance and/or CFPOA affairs. They will make recommendations to the Association annually regarding proposed changes to Fee Schedules for all the services provided by the golf course. The Chairperson must be a member of the Executive Committee. Terms of office shall be limited to three years. The Finance Committee shall prepare and recommend an annual budget which is to be presented to the Executive Committee at the beginning of the CFPOA fiscal year. b. Green Committee The Green Committee will work with the Golf Professional and the Golf Course Superintendent and will advise the Association on the condition and maintenance of the golf course and related facilities. The committee will also propose and recommend improvements or changes to the course. Recommendations for changes should be made to the Green Committee and not to the Golf Professional or Golf Course Superintendent.

c. Handicap Committee The Handicap Committee will ensure compliance with the USGA Handicap requirements. It will maintain the integrity of the players Handicap Indexes and will regularly review the timely posting of members scores and compliance with USGA Equitable Stroke Control adjustments. The Committee will provide the instruction and information players need to comply with the USGA Handicap system. d. Publicity Committee The Publicity Committee shall post notices of all upcoming CFGA meetings on the golf bulletin board and in the FRIDAY FLYER. The committee shall also coordinate all golf news for publication in community and local newspapers. e. Tournament Committee The Tournament Committee will be composed of CFGA members appointed by the Executive Committee. It will plan the tournament schedule with the Golf Professional and the Clubhouse Manager. 4 The Executive Committee will meet at the Overlook Clubhouse at least monthly during the months of April through November and as needed during December through March. The date and time of such meetings will be posted on the golf bulletin board at least 7 days in advance of the meeting and whenever possible a notice of the meeting will be published in the FRIDAY FLYER. All CFGA meetings at which a vote on any issue is called for shall be open to all CFGA members. 5 A majority of the members of the Executive Committee shall constitute a quorum for any meeting of the Executive Committee. Attendance for the purpose of participation in meetings shall be in person or by other realtime electronic or telephonic means. Article V. OFFICERS 1. The officers shall be elected by the Executive Committee from among its members following the Annual Meeting. 2. They will include a President, Vice-President, Secretary and Treasurer. The President or Vice President must be a permanent resident of Connestee Falls. The Vice-President will preside over meetings of the Executive Committee and perform other duties of the President as may be required in the absence of the President. 3. The President shall preside at all meetings and shall direct the activities of the Association, including the appointment of chairpersons and members of committees necessary to implement programs of the Association.

4. The Vice President shall perform duties assigned by the President or Executive Committee and shall perform duties of the President in his/her absence. 5. The Secretary shall record minutes of all meetings. The draft copy of all minutes shall be sent via email to all Executive Committee members within five business days of each meeting. Executive Committee members shall respond with corrections/additions within five business days. The minutes shall then be amended and sent to all Executive Committee members with a copy posted on the CFPOA Website and on the Golf Bulletin Board. The Secretary shall maintain custody of all records of the Association. 6. The Treasurer shall be responsible for receipt and disbursement of all Association funds and shall keep accurate records of all transactions. The Treasurer shall present a written financial report at each meeting. The Treasurer shall coordinate receipt of dues paid and membership status with the CF Administrative Staff. All files and records shall be open to inspection by any CFGA member upon request. Article VI ANNUAL MEETING & ELECTIONS 1 The date and time of the August Annual Meeting of the members of this Association will be determined by the Executive Committee. The date and time of the meeting will be published in at least two issues of the FRIDAY FLYER immediately preceding the meeting date and will be posted on the golf bulletin board and the CFPOA web site at least ten days in advance of the meeting. 2 At least three months prior to the Annual Meeting the President will appoint a Nominating Committee of three members, only one of whom will be a member of the Executive Committee and who will be the Chairperson. The Nominating Committee will select at least one candidate for each upcoming vacancy on the Executive Committee; at least two-thirds of the nominees must be permanent residents of Connestee Falls. After each nominee has agreed to stand for election and to serve if elected, the Nominating Committee will communicate its slate of candidates to the membership by publication in the issues of the FRIDAY FLYER carrying the notice of the Annual meeting. 3 If there are more candidates nominated than vacancies for the Executive Committee, absentee ballots will be made available by the Nominating

Committee. These ballots will be available in the Pro Shop at least 14 days prior to the Annual Meeting. Absentee ballots must be signed, dated and sealed by the voting CFGA member. The candidates with the most votes will be elected to the vacancy with the longest term. If there are unexpired terms to be filled, the next candidate receiving the most votes will be elected to the unexpired term. 4 The election will be by written ballot unless there is no contest for positions on the Executive Committee; in this instance the vote may be by voice. 5 Seven*members of the Executive Committee shall be elected for terms of three years each. Two or three being elected each year so that their terms are staggered and shall not be eligible for re-election until lapses of at least one year after their terms expire. Election of members shall occur at the Annual Meeting. *For the year ending in 2012 three members will be elected for a total of nine, for the year ending in 2013 two members will be elected for a total of eight, for the year ending in 2014 two members will be elected for a total of seven. In subsequent years two or three members will be elected depending on the number of expiring terms in order to maintain an Executive Committee consisting of seven members. 6 Not less than 10 percent of the membership will constitute a quorum at the Annual or any special meeting of the Association. Article VII: AMENDMENTS AND PROCEDURES 1. The CFGA shall not adopt Bylaws or change this Constitution and Bylaws in any way which is inconsistent with the Restrictive Covenants, Rules, Regulations, and Policies heretofore or hereafter adopted by the CFPOA Board. 2. These Constitution and Bylaws may be amended at any annual meeting or special meeting of CFGA members provided that the proposed amendments will have been posted on the CFPOA website for a period of at least 30 days preceding the meeting. 3. Roberts Rules of Order-Revised shall be used as a guideline for conducting all meetings.

CFGA EXECUTIVE COMMITTEE MEETING August 24, 2011 Called to order at 4PM President Gary Dodge noted that all existing officers had stated that they would be willing to stay on in their current positions. It was moved and seconded to accept the current officers for 2012. Motion passed unanimously. Superintendent s Report We are still suffering some from the heat, but the cooler weather of late is as welcome to the course as it is to the staff. Thunderstorms this month have been rough on our irrigation system. Lots of blown up electrical components occurred. Annual Bluegrass Weevil (previously known as the Hyperodes weevil), Listronotus maculicollis Dietz has been found on several area golf courses in populations that poses a threat. We have been scouting for it for the past three years and have found but a few. This devastating pest of annual bluegrass (poa annua) has traditionally been in the northeast. Poa annua is the primary turf on our course. Dr. Lucas estimates some of greens to be 75%+ poa annua. Aeration has gone relatively well, thus far. There have been a few minor problems (knocking on wood). The worst has been the rain. We got off to a good start on Friday, then that afternoon and night we got 1.5 inches of rain. Saturday was a slow go as a wet course doesn t plug or drag very well. Another inch of rain Saturday night washed lot sand off. We finished punching most greens and tees on Sunday. Monday and Tuesday have been GREAT! As of this writing, we are sanding/seeding/dragging tees and greens and are still aerating and seeding fairways, approaches, fringes and rough. Chuck Thillman has been a big help with spreading plugs and seeding bad spots. HAVE A GREAT DAY! A
