Your binding formal offer should comply with the Terms and Conditions of the Offer stated in Appendix II of this document and, the Appendix Nos. IV, V, VI and VII should be perfected according to the terms and conditions of the offer. If your company intends to submit the offer in association with any other organization or institution for the purpose of production, marketing or advertising, please submit to us details of such organization or institution. IN JANUARY / FEBRUARY 2011 1. DEFINITIONS Television and Radio rights shall mean the exclusive right to broadcast and transmit within the territory by way of any and all forms of television and / or radio means, the coverage and distribution of matches / tournaments played in Sri Lanka. Without limiting the generality thereof the said rights shall include but not be limited to broadcast and transmission of images and information via all forms of commercial television whether live or recorded, terrestrial, cable and satellite, pay per view, home video, CD-1, CD ROM, film and the use of programs to create news and highlights. Film rights shall mean the exclusive right to exploit visual images of the matches by means of cinematograph film throughout the territory by any means of transmission and / or exhibition and / or reproduction now existing within the territory in any form of technology now available or may become available in the future. Internet (broadband) Rights shall consist of the exclusive right to develop and operate an internet web site, incorporate contents of the matches and distribute such sites to users in the internet. Internet rights also include, live video/ audio broadcasting on internet services, archived video broadcast, highlights etc. Mobile (wireless) Rights shall include the exclusive right to live audio broadcast, video clippings, highlights and live streaming of video on mobile phone devices. Sponsorship rights shall include the exclusive Title Sponsorship, minimum 42 A-Boards (ground runners), boundary line tape (BLT) and advertising signage from ground level at the venues owned by SLC except spaces reserved for SLC s Sponsors / Partners.. Title Sponsorship Right shall mean the exclusive Title Sponsor package and the Title Sponsor will be entitled to place logos on the two (02) sight screens, all ground mats, six (06) stumps, eight (08) A-Boards (20 x 3 ground runners) with first choice of position, naming rights of the event, naming rights on tickets, steward clothing, naming rights on official brochure if published and the drinks trolley and the backdrop in the presentation ceremony area / podium. Such rights shall no way conflict with the Team Sponsorship rights and guidelines laid down by ICC. The selected Title Sponsor should not be an institution operating in Sri Lanka whose product / service category is in competition with the Product / service category of the existing Sri Lanka Team Sponsor. Title Sponsor will meet the costs of match awards and trophies and will provide a cash award for each Man of the Match and a cash award for the Man of the Series, amounts to be agreed. Matches shall mean Three ODI Matches between the National Teams of Sri Lanka and West Indies. Territory shall mean the world excluding Sri Lanka in the case of Terrestrial Broadcasting Rights. 5

Terrestrial Broadcasting Rights shall mean the Broadcasting of Video and/or Audio within the territory of Sri Lanka in respect of Television, Radio and Mobile rights. The Terrestrial TV broadcaster would be permitted access during play with the approval of the International Broadcaster at the grounds to film non-play activities. Tournament shall mean Three ODI Matches of one day duration between National Teams of Sri Lanka and West Indies. Benefits available for the Television, Radio, Mobile, Internet and Sponsorship Rights offered are listed under the Appendix IX. 2. RIGHTS RETAINED BY SRI LANKA CRICKET (SLC) a) All remaining A - Boards (Ground Runners) will belong to SLC for its own sponsors/ partners. Sri Lanka Team Sponsor will have the right to display six (06) A Boards (Ground Runners ), 2 on either side of the wickets in front of the Sight Screen and 1 each at Mid Wicket position, subject to the Team Sponsor having four (04) A Boards in front of the Sight Screen at each end of the pitch. b) Players individual sponsor rights. c) Offer of special awards and conduct of promotional events not conflicting with title sponsor. d) Signage above 15 feet from ground level at the match venues. e) Clothing and headwear of the players. f) Branding / advertising rights on the LED giant video screen at match venues. g) Branding / advertising rights on the Scoreboards at match venues. 3. REQUIREMENTS The offeror shall agree to comply with the requirements listed under Appendix VIII 4. PARTIES TO THE OFFER 6

The offer documents should be prepared and forwarded in the name of the party who will ultimately enter into the formal agreement with SLC for Television, Radio, Mobile, Internet and Sponsorship Rights. 5. CLOSING DATE All offers will close at 4.00 p.m. on Friday 28 th January 2011. 6. DOCUMENTS REQUIRED The offeror is required to submit the following documents: a) A copy of the certificate of incorporation certified by a Notary. b) A copy of the company s Articles of Association certified by a Notary/ Company Secretary. c) Annual reports including the audited financial statements for three years immediately preceding the date of the offer. d) In the case of consortia, each member of the consortium must furnish a letter of intent to form a consortium or constitute him or herself into a separate entity. In addition, the information requested above must be provided for each member along with Appendix V. 7. TERMS OF PAYMENT All bids should be for a minimum guaranteed price. The minimum guaranteed price should be net of taxes and bank charges to SLC. The minimum guaranteed price in respect of the bid shall be payable to SLC in the following manner, a) 50% of the price shall be paid on signing the agreement, b) 50% of the price shall be paid at the commencement of the tour, The tour shall be deemed to commence on the first day of play of the first match of such tour and end on the last day of the last match. The consideration for the sale of Television, Radio, Mobile, Internet and Sponsorship Rights should be given, by completing Appendix VII. 8. PRODUCTION QUALITY AND PRODUCTION COSTS 7

The production quality shall conform to internationally recognized standards in keeping with ICC regulations. The offeror shall give details of the cameras and graphics intended to be used/ provided. All production and satellite costs in relation to the respective rights will be borne by the offeror. Clean Stadia All items and objects at the venues around the perimeter wall shall be free from commercial or promotional messages, advertising, displays of facilities of any kind except for the ground runners and others retained by SLC under Clause No. 2. A clean stadium is for the period of forty-eight (48) hours before and after the conclusion of the Matches so that the Title Sponsor may exercise its rights without any hindrance. Each offeror must make its own assessment as to the facilities available at each venue. Any prospective offeror who wishes to visit the venues will be facilitated to the extent possible by SLC. 9. BANK GUARANTEE In the event that the offer is accepted, an Irrevocable Unconditional on demand Bank Guarantee covering all payments due to SLC for the tour should be provided, on signing the agreement by the offeror in favour of SLC, according to the agreed payment terms for Television, Radio, Mobile, Internet and Sponsorship Rights. Such Irrevocable Unconditional on demand Bank Guarantee should be obtained from a reputed international bank of standing to SLC and which has a correspondent bank situated within Sri Lanka. The format of the bank guarantee which should be provided is given in Appendix X. 10. PERFORMANCE BOND In the event that the offer is accepted a Performance Bond should be provided in favour of SLC according to the Terms and Conditions of the Agreement to be entered into with SLC. 11. AGREEMENT SLC shall provide the form of agreement to be entered into. 12. COMMUNICATION AND CLARIFICATION All communication and clarifications regarding the offer should be in writing under the title Offer for Television, Radio, Mobile, Internet and Sponsorship Rights to the following address. 8

DECISION SLC reserves the unfettered right and absolute discretion at any time to: a) Waive off such terms as SLC thinks fit for non-compliance or late compliance by any offeror or prospective offeror, pertaining to any provisions of this invitation. b) Negotiate all or any of the term with all or any offeror/s in order to arrive at a conclusive decision. The final venues and dates will be subsequently announced. These venues and dates will be subject to change at the discretion of SLC. SLC shall have the sole discretion when selecting and awarding the above rights on an exclusive and / or shared rights basis. 14. BID REJECTION Any bid submitted by an entity, which fails to satisfy the eligibility requirements set out in this invitation, may be accepted or rejected by SLC in its absolute discretion. SLC shall not pre-judge or advise a offeror whether he is qualified or not. The offeror must submit its bid in accordance with the process specified in this invitation and enable SLC to then evaluate the bid. In particular, a offeror must be able to demonstrate to SLC that it has substantial broadcast reach in the Territory. Potential offerors should also be aware that any bid submitted by any entity which is currently in default of, any contractual obligation or undertaking owed to the SLC or in any dispute with SLC (including, without limitation, any payment obligation) or which is otherwise affiliated with (including by way of being a subsidiary undertaking or a parent company or part of a group of companies under common ownership and/or control) any entity which is currently in default of, any contractual obligation or undertaking owed to the SLC or in any dispute with SLC (including, without limitation, any payment obligation) may be rejected by SLC in its absolute discretion notwithstanding that such entity otherwise fulfils the eligibility criteria set out in this invitation. 9

15. NO CONDITIONALITY Offerors may not make any bids subject to any form of conditionality or limitation including, without limitation, the identity of, or particular arrangements being put in place with any other third party, the location of any proposed Match venue, scheduling of Matches, or other specific requirements relating to the Rights Agreement 16. SELECTION OF WINNING BID Each Offer will, unless SLC decides in its absolute discretion not to proceed with the bidding process or to re-invite bids for any of the rights contained in this invitation, be awarded to the offeror with respect to the Territory (or any part thereof) which, following evaluation by representatives of SLC is, in SLC's view, the most suitable and advantageous to SLC. For the avoidance of doubt, SLC is not obliged to accept the highest monetary offer made in respect of the rights on offer for this Tender. Although every care has been taken to ensure that there are no discrepancies or ambiguities within this document, in the event that SLC determines that any part of this invitation could be clarified to the advantage of offerors, it shall be entitled to do so. Furthermore, offerors may be asked to clarify points of detail following SLC's opening of their bid(s). Any clarifications provided by the offerors in respect of their bid(s) shall be confirmed to SLC in writing. 17. OBLIGATIONS SLC is obliged to use its best endeavours to provide the tour given in Appendix VII. 18. INSURANCE Inability to exercise the rights due to natural disasters or any other hazards beyond the control of the SLC should be insured by the offeror through an appropriate insurance cover. 19. FORCE MAJEURE An event or circumstance beyond the control of either party, which shall include (but shall not be limited to) acts of God, riot, civil commotion, including acts of local government and parliamentary authority, whereby such party will not be able to comply with the terms of the agreement. 20. CONFIDENTIALITY All information contained in this offer document is proprietary to SLC. The offerror is required to maintain strict confidentiality and shall not disclose the contents directly or indirectly to any third party otherwise than is required to process the offer document without the prior written consent of SLC. 10

21. GOVERNING LAW The offer shall be governed in accordance with the laws of Sri Lanka. 22. GENERAL No warranty or representation (express or implied) as to the reliability, completeness or accuracy of the information in this invitation or any other information at any time made available to the offeror is given by SLC or any person claiming any right or authority is expressly excluded. In furnishing this invitation, SLC does not undertake or agree to or acknowledge any obligation to provide to the offeror any additional information or any roving queries or to update this invitation or to correct any inaccuracies, which may become apparent. Neither the issue of this invitation nor any part of its content is to be taken as any form of commitment or acknowledgment on the part of SLC to proceed with any bid or any offeror and SLC reserves the unfettered right to annul, terminate, reject any bid or vary or terminate the tendering procedure at any time or stage without giving any reasons. SLC reserves the unfettered right and absolute discretion at any time and without any liability whatsoever to any offeror to cancel the entire tendering process at any stage prior to SLC's execution of a binding Rights Agreement. SLC shall also be at liberty to amend, vary, waive and/or modify any or all of the terms and conditions of this invitation without any reason or prior notice whatsoever being provided to any offeror. SLC shall in no circumstances be responsible or liable for any costs or expenses whatsoever incurred or any loss whatsoever suffered in connection with or in consequence of the preparation or delivery of any bid, or compliance with, or with a view to compliance with, any of the requirements of the invitation by any offeror, or in respect of any departure from any of the provisions/ conditions of the invitation. Any concealment of material fact may lead to disqualification of the offeror in SLC's absolute discretion. The grant of any Rights or other rights shall be conditional upon the offeror entering into a fully signed and binding Rights Agreement and not otherwise. 11

Appendix VIII REQUIREMENTS 1. Commitment to broadcast live every ball of each game. 2. SLC should be informed two (2) days ahead of the series, of the countries in which the game will be broadcast and the Commentators in the International Commentary Panel. 3. Include at least two Sri Lankan TV Commentators in concurrence with SLC in the panel for each match. 4. Include into live telecast 3 minutes of post cards during play of a match each day (1 / 1.5 minutes per session) with descriptions by International TV commentators free of charge to promote the beauty and attractions of Sri Lanka. 5. Offer a clean feed free signal to local TV and Radio broadcasting rights holders and also provide direct live TV signal to Sri Lanka dressing room for cadability operation. 6. Produce highlights of each match and provide free library copies after match / series. 7. Grant rights to use footages of the matches by Sri Lanka Cricket and / or ICC and / or ACC. 8. Permit the offer of match awards not granted or conflicting with title sponsor and give adequate coverage during presentation from podium by sponsor. 9. Production and management cost of all signage including A boards (Ground Runners) other than those retained by SLC should be met by the Sponsorship rights holder. 10. Any patent right payments for use of prism / toblerone shape BLT advertising to be met directly to such owning party. 11. Make payment for required telephone connections and all call charges to televise play from every venue. 12. Meet all costs connected with the production, satellite uplink etc., and contracting of commentators / crew for tour. 13. Notify SLC of prospective title/other sponsors at least 2 days prior to commencement of the match. 14. Indicate the minimum number of cameras being used. ICC regulations enforced from time to time should also be adhered to. 15. The Title Sponsor will meet the cost of match awards and the trophies. 18

16. Advertising in respect of Tobacco, Liquor and Gambling would not be permitted as Title Sponsor and / or Ground Signage. 17. The Title Sponsor will provide a cash award of at least US$. for each Man of the Match and a cash award of at least US$... for the Man of the Series. In addition the Sponsor will offer the Winner of the Series US $... in addition to the Winners of each match being offered prize money. ( The specific amounts for cash awards should be indicated by the Offerer). 18. All tickets providing entry to various enclosures at the Matches will bear the logo or name of the Sponsor in the event the Title Sponsor bears the cost of printing the tickets. However, the designing and printing will be arranged by SLC. 19

Appendix IX BENEFITS AVAILABLE FOR OFFERORS TV RIGHTS The availability of Clean Stadia around the perimeter wall except for those retained by SLC, at the venue where the matches would be played. One A/C Box for the commentators and camera platforms above the sightscreens behind the wicket and at one mid wicket positioned each venue. An enclosed area to be used as the Control Room would be provided if needed but own generator and A/Cs would need to be hired. Assist in obtaining necessary permission, clearances, and licenses etc. from relevant department/ authority of the Sri Lankan Government for any equipment and personnel needed. An underground cable facility would be available for installation of stump vision camera. RADIO RIGHTS At each venue up to one radio commentary box together with table and chairs will be provided for nominees of each successful offeror to enable broadcasting to take place. SPONSORSHIP RIGHTS The One Day International Match Series will be accorded such designation as the Sponsor may select, for example Y One Day Series, with Y being the name or trademark of the Sponsor. The Sponsor may add a neutral non-commercial designation to the series subject to the prior approval of SLC, for example, the X Friendship One Day Series. The Sponsor will have the right to have its logo or trademark displayed at both ends of the grounds behind the wickets. The specifications of the same shall be as is customary in the case of One Day International Matches and the size of each logo or trademark shall not exceed 30 x 20 or such other size as may be approved by SLC. Any paint used should be bio-friendly and should neither damage the grass on the grounds nor should they present any danger for the players. It also should not interfere with play. The use of paints or mat shall be subject to approval by SLC. 20

The stumps at both ends could bear the logo of the Sponsor at the top end on both sides in size not exceeding half height of the stumps. The presentation ceremony at the end of each match will be held on a platform bearing the Sponsor s branding in addition to SLC s logo on backdrop. Two persons nominated by the Sponsor will also be accommodated on the platform with other SLC officials/ nominees. The man of the match will be referred to as the X Man of the Match and the man of the series as the X Man of the Series, X being the trademark or name of the Sponsor. The Sponsor will have the right to display its products on the grounds during the drinks break and intervals provided this does not interfere with play nor with the spectators and such display will be restricted to spaces specified by SLC. Provide thirty (30) best category complementary tickets comprising ten (10) premium and twenty (20) reserved tickets for each match for distribution among the title sponsor and others. 21
