FOREST GLEN GOLF & COUNTRY CLUB 18-HOLE LADIES GOLF ASSOCIATION BY-LAWS Article I NAME - Forest Glen Ladies 18-Hole Golf Association (FGLGA) Article II PURPOSE - To provide a positive and friendly atmosphere where women can improve their golf skills and learn the rules and etiquette of the game through regular play, competition and special events. To promote safe and courteous play among the members while establishing fellowship within residents of Forest Glen. To organize 18-Hole FGLGA tournaments and to liaise with the Forest Glen Men s Golf Association (FGMGA) and Forest Glen 9-Hole Women s Golf Association (Glen Golf Gals). Article III MEMBERSHIP - Membership shall be open to owners, and transfer members (tenants) 18 years of age or older of Forest Glen Golf & Country Club who wish to participate in Association play. Owners and transfer members (tenants) of Forest Glen Golf & Country Club are eligible for membership in the 18-Hole Ladies Golf Association upon payment of current dues. All members in good standing may attend Association events. Guests are not permitted to play in Association events except for member/guest events. Members must pay annual dues, as determined by the Board of Directors prior to play. Annual dues will be automatically charged to member account in October. Transfer members (tenants) of owner members will be automatically charged upon arrival. Application for membership will be provided on the 18-Hole LGA website as well as in the Golf Shop and subsequently collected by the 18-Hole LGA Treasurer or the Golf Shop. After Association play commences, dues will not be prorated or refunded. Transfer members (tenants) will enjoy the golfing privileges of owner/member during Association play. They will be considered non-voting members and will not be eligible to hold office. All members of the 18-Hole FGLGA must have an established handicap at Forest Glen or a current USGA handicap from another club to be used temporarily while establishing a - 1 -

handicap at Forest Glen. New members, who do not have a handicap, must establish a handicap by posting five (5) attested rounds of golf at Forest Glen Golf and Country Club. All members must pay a GHIN handicap fee to the Golf Shop. The membership year shall be November 1st through April 30 th. The award season runs from November 1 st to one week before the Annual Meeting in March. Acceptance of membership shall bind each member to uphold all rules of this Association and Forest Glen Golf & Country Club; to observe laws, rules and etiquette of golf as set forth by the USGA; and to accept and abide by all decisions of the Board of Directors. Any member whose attitude or behavior, in the judgment of the Board of Directors, is not compatible with the stated purpose of this Association may be penalized by majority vote of the Board. Article IV ADMINISTRATIVE OFFICERS (BOARD) - Officers shall be owners of property in Forest Glen Golf & Country Club. Officers shall consist of President, Vice President, 2nd Vice President, Secretary and Treasurer. The President, Vice President and 2nd Vice President will each be elected for a two-year term during even-numbered years. The Secretary and Treasurer will each be elected for a two-year term during odd-numbered years. The immediate Past President will serve on the Board and act as advisor for one year. The Golf Professional shall be an adhoc member of the Board and all committees. The Board shall fill any vacant term of office by majority vote. Officers may not be eligible for re-election to the same office without a two (2) year interval. However, an officer is eligible to hold a different office upon completion of her current term. The Board has the authority to establish or otherwise bring forth any policies or procedures necessary and appropriate to the operation of the Association. Article V DUTIES OF THE OFFICERS PRESIDENT - The President shall preside at all meetings of the Association and all Board meetings. She shall appoint all committee chairpersons as necessary to the function of the Association. - 2 -

She shall appoint a Chairperson of the Nominating Committee reporting to her. The Executive Board and Administrative Officers will appoint a nominating committee of three to five (3-5) members every two years in January prior to the Election Meeting to prepare a slate of candidates who have agreed to accept a position if elected. The President or any of the league s officers cannot be a member of the Nominating Committee. The Nominating Committee will present its slate of candidates at the March Membership Meeting, so long as the proposed slate shall be posted fourteen (14) days prior to such meeting. VICE PRESIDENT - The Vice President shall perform the duties of the President when she is absent. She shall be the tournament director and shall plan the schedule for the golf season in cooperation with the Golf Professional. She will oversee the Ringer Chairperson. The Vice President shall perform any and all other duties as assigned by the President.. SECOND VICE PRESIDENT - The Second Vice President shall oversee the Publicity and Hospitality Committee Chairpersons. The Second Vice President shall also perform any and all other duties as assigned by the President. SECRETARY - The Secretary shall record the minutes of the Board Meetings and the Membership Meetings. She shall make available the minutes of the Board Meetings and Membership Meetings in the 3-ring binder located in the ladies locker room. She shall handle correspondence as necessary, at the direction of the President. She shall handle correspondence related to functions of committees, as mutually agreed upon by the Committee Chairpersons and the Secretary. The Secretary shall perform any and all other duties as assigned by the President. TREASURER - The Treasurer shall receive all monies, handle all financial transactions of the Association and keep an accurate accounting of same and have available to the membership.. The Treasurer shall present a Financial Report at each Membership Meeting. The Treasurer shall be responsible for submitting information and meeting timelines for financial reports. She shall be responsible for records of all member dues status, eligibility, and receipt of dues prior to Association play. The Treasurer shall oversee the Membership Committee Chairperson. The Treasurer shall perform any and all other duties as assigned by the President. IMMEDIATE PAST PRESIDENT - The Immediate Past President shall be a member of the Board for a one (1) year term and act in the capacity of advisor to the Board in matters pertaining to the operations of the Association and policies of membership or given a specific responsibility by the current President. Article VI THE EXECUTIVE BOARD - The Executive Board shall consist of the Administrative Officers and Chairpersons of the Standing Committees and be responsible for the management of 18-Hole FGLGA. The Executive Board shall encourage development of - 3 -

skills, plan tournaments and special events, oversee and supervise course etiquette, and enforce all rules and regulations as established by Forest Glen Golf and Country Club Golf Association. The Executive Board shall conduct the business of the Association, have the power to create or dissolve any Standing Committee or rule by a two-third (2/3rd) vote until ratified by an amendment, and have the power to fill any vacancy in an elected office for the expired term. The Treasurer, in concert with Committee Chairpersons, shall prepare an annual budget for the Executive Board Approval. Article VII STANDING COMMITEES HANDICAP COMMITTEE - Shall consist of two (2) or more women and shall be responsible for the validity of the handicap index of the Association members. Chairperson will present a report to the Board at their regular scheduled meetings. They shall spot check the scores that are entered into the computer system on a regular basis. The Chairperson reports to the President and will represent the 18-Hole LGA on the FGGCC Handicap Committee. NOMINATING COMMITTEE - Shall consist of three to five (3-5) members. They shall solicit and prepare a slate of officers to be presented at the Annual Meeting in March of the election year. The committee shall organize and moderate the election held at the Annual Meeting during election year as well as tabulate votes and announce newly elected board to the membership. Chairperson will present a report at appropriate monthly Board meetings on any revisions/updates recommended for the nomination process. The Chairperson reports to the President. RINGER COMMITTEE - Shall be responsible for the ringer book and determine winners of gross and net scores, birdies, hole-in-one, eagles and most improved player to be awarded at the Annual Meeting in March. Chairperson will present a report to the Board at their regular scheduled meetings. She may recruit committee members as deemed necessary and may assign specific duties to committee members; i.e., birdie tree, etc. The Chairperson will report to the Vice President. PUBLICITY COMMITTEE - Shall be responsible for notifying the Naples Daily News of the results of any league tournaments, updating 18-Hole LGA webpage, preparing flyers, posting information to the 18-Hole LGA bulletin board in the ladies locker room, keeping club photographs and any records or clippings of activities of the league. The Chairperson will present a report to the Board at their regular scheduled meetings. She may appoint one or more members to assist her. The Chairperson reports to the Second Vice President. MEMBERSHIP COMMITTEE Shall present a report to the Board at their regular scheduled meetings. Responsibilities include maintaining a membership list and - 4 -

providing new member information promptly to the Hospitality Committee. The Chairperson reports to the Treasurer and may appoint one or more members to assist her. RULES COMMITTEE Shall be responsible for interpreting USGA rules should a question arise. The Rules Committee Chairperson is responsible for the clarification of the rules after consulting with the Head Golf Professional if deemed necessary. The Chairperson will work with the Head Golf Professional to educate membership on rules in a variety of formats. The Chairperson will present a report to the Board at their regular scheduled meetings and may appoint one or more members to assist. The Chairperson reports to the President. BY-LAWS COMMITTEE Shall review by-laws to determine if they continue to be relevant and present clear and concise direction to the 18-Hole LGA as well as determine if they comply with the Florida State Golf Association. The Chairperson shall present any suggested changes and/or amendments to the Board for approval; prepare Board approved amendments to be presented to membership. The Chairperson shall present a report to the Board at their regular scheduled meetings and may appoint one or more members to assist. The Chairperson reports to the President. HOSPITALITY COMMITTEE Chairperson shall maintain close association with Membership Chairperson in maintaining up-to-date listing of all 18-Hole LGA members. Committee members will make a personal phone call to welcome a new member and meet with same to acquaint each with policies, procedures and activities. They will assist Event Committees as needed on Opening Day and Welcome Back events. The Committee Chairperson shall present a report to the Board at their regular scheduled meetings. The Chairperson reports to the Second Vice President. Article VIII WEEKLY TOURNAMENTS - Weekly tournaments shall be held on the day of the week designated by the Golf Professional. Weekly tournaments shall be played only with members of the league. USGA rules shall apply except and where modified by local rules. Tournament fees will be determined based upon the event. Article IX MEMBERSHIP MEETINGS - A Fall meeting shall be held on opening league day to meet members and acquaint them with plans for the year. A January meeting shall be held to meet those members returning for the season. An Annual Meeting shall be held in March for the purpose of awarding prizes and conducting any league business. A Board member with due notice and purpose, given ten days in advance, may call a special meeting. Regular Board Meetings shall be held monthly from November through April. - 5 -

Article X NOMINATIONS There will be an election of the President, Vice President, and 2nd Vice President on even-numbered years every two years, and for the Secretary and Treasurer on odd-numbered years every two years. No one shall be eligible for office until she has been a member of the 18-Hole LGA league for at least one (1) year. No member shall serve consecutive terms in the same office without a two-year interval. The Nominating Committee shall present the slate of appropriate officers each year at the Annual March Meeting at which time an election and installation of officers will be held. Nominations may be allowed from the floor. If the slate is not contested, the Secretary shall cast one (1) ballot in favor of the proposed slate. AMENDMENTS - The By-Laws may be amended at any 18-Hole LGA Membership Meeting, November 1st through April 30th, by the majority of the membership present. The proposed amendment must first be posted on the 18-Hole LGA bulletin board ten (10) days in advance of an approved meeting date from November 1 st through April 30 th. ARTICLE XI ADOPTION - By-Laws will be adopted after the final draft has been posted on the 18- Hole LGA bulletin board ten days prior to a general business meeting of the membership and after the majority vote approval. 01/11/2011 latest version (approved 3/31/2011) Staggered terms amendment approved 01/10/2012-6 -
