Article 1 - NAME The name of the golf club governed by these by-laws shall be the Carmel Mountain Ranch Men s Golf Club, herein referred to as the Club or the acronym CMRMGC. Article 2 PURPOSE (1) To promote and foster among the members a closer bond and fraternity for their joint and mutual benefit, and to promote and conserve the best interests and true spirit of the game of golf as embodied in its ancient and honorable traditions. (2) To encourage conformance to rules of the game by creating a representative authority and to maintain a uniform system of handicapping as set forth in the regulations of the Southern California Golf Association (SCGA). (3) To provide an authoritative body to govern and conduct club tournaments and other golfing events. Article 3 - CLUB AFFILIATIONS 3.1 Southern California Golf Association. The Carmel Mountain Ranch Men s Golf Club is an affiliate member of the Southern California Golf Association (SCGA). Yearly membership fees charged by the CMRMGC include the cost of SCGA membership. As a member of the SCGA, Club members have access to the United States Golf Association (USGA) Handicap System that governs amateur competitions throughout the United States. 3.2 Carmel Mountain Ranch Country Club. The Carmel Mountain Ranch Country Club, located in the Carmel Mountain Ranch area of San Diego, provides the home golf course for the Club. The Country Club reserves weekly tee times on Saturday mornings between 7:00-8:00 for Club members. These tee times are used by the CMRMGC for either monthly Club tournaments or non-tournament competition known as weekly sweeps competition. At various times, Saturday tee times will not be available to the Club due to the Country Club s tournament scheduling to accommodate groups other than the CMRMGC. The Carmel Mountain Ranch Country Club also provides discounts on pro shop merchandise to Club members and maintains a ledger of member prize credits that can be used for pro shop merchandise, green fees or food purchases. Article 4 - CLUB OPERATION 4.1 Non-Profit Organization. All monies collected by the Club during a single fiscal year, between January 1 and December 31, shall accrue to the benefit of the membership with all Club-operating practices consistent with those of a non-profit organization. Yearly membership fees and dues shall not exceed the amounts needed to adequately operate and maintain the Club for the membership year for which the fees are collected. 4.2 Amateur Competition. All golf tournaments conducted by the Club shall be in accordance with the USGA Rules of Amateur Status with prize limits set at or below the amounts specified in Section 3-2 of these rules. All CMRMGC members shall be required to maintain their amateur status as specified by the USGA Rules of Amateur Status to be eligible to represent the Carmel Mountain Ranch Men s Golf Club in SCGA-sponsored tournament. Article 5 MEMBERSHIP 5.1 Membership Eligibility. Membership to the Carmel Mountain Ranch Men s Golf Club is open to the public. Anyone above the age of 18 wishing to join may do so without review by Club management or vote by Club members, regardless of handicap or any other consideration. 1

5.2 Types of Membership. The CMRMGC has three types of memberships: 5.2.1 Regular Membership. Regular membership fees and dues are currently set at $150. This fee includes the cost of SCGA membership and money required for Club operation throughout the fiscal year. Membership is required for eligibility for monthly CMRMGC tournaments and weekly sweeps competition. 5.2.2 Honorary Membership. The Board of Directors may confer honorary memberships, at a reduced yearly membership rate, to those whom they feel have contributed to the advancement of golf. The unanimous affirmative vote of the Board shall be required to approve such action. Honorary membership entitles full participation in all Club tournaments and activities. 5.2.3 Board of Director Membership. The Carmel Mountain Ranch Men Golf Club Board of Directors, comprised of those Club officers described in Article V, receive yearly Club memberships at 50% of the regular membership rate and also receive a discount on monthly tournament entry fees. Board members are not restricted in any way regarding participation in all Club tournaments and activities. 5.3 Membership Fees. The amount of yearly fees and dues shall be subject to change by order of a unanimous vote of the Board of Directors. The current costs of yearly membership are: Regular Membership: $150 Honorary Membership: $75 Board of Director Membership: $75 Associate Members: $50 (convertible to full membership: $75 first 3-6 months; $50 first 6-12 months) 5.4 Membership Duration. Club membership is for one calendar year beginning with each member s date of original membership and/or his annual membership renewal date. The following rules apply to new and renewing members: 5.4.1 New Members. New member applications will be accepted year-round. New members joining after the beginning of the year will be enrolled as an SCGA member for an entire year beginning on their date of enrollment and their SCGA and CMRMGC memberships will expire one year from their enrollment date. 5.4.2 Membership Renewals. Current Club members must renew their memberships before their annual renewal dates to be eligible to participate in a Club tournaments or weekly sweeps. Those not renewing in a timely fashion will be dropped from the CMRMGC membership roster. 5.4.3 Associate Memberships. Associate memberships will be accepted in accordance with SCGA guidelines. Associate members will not be eligible for club competition unless explicitly invited by the club to participate. 5.5 Member Responsibilities. Each member is responsible for his own conduct including abiding by all rules set by the CMRMGC, the SCGA, or the USGA. He also has an obligation to the membership to report any violation of said rules he personally observes. Furthermore, the acceptance of membership in the Club shall bind each member to uphold all the provisions of these by-laws and other rules of the club, and to accept and enforce all rules and decisions of the Board of Directors, officers and committee chairmen acting within their jurisdiction. 5.6 Member Handicaps. Each member is responsible for maintaining his handicap by entering scores into the SCGA-handicapping system for all rounds of golf. A new Club member that was not a recent SCGA member will not have an official handicap established until he has posted 20 scores on the computergenerated SCGA handicap tracking system. A provisional handicap, however, can be established by 2

posting as few as five scores. Until a provisional handicap is assigned to a member by the SCGA, official competition in any Club tournament is disallowed. Article 6 - BOARD OF DIRECTORS 6.1 Members of the Board. The Carmel Mountain Ranch Men s Golf Club shall exercise all powers of management of the Club not specifically excepted by these By-Laws. Any additions or revision to the Board are subject to a majority vote of Club membership at a meeting conducted in which a membership quorum is present. Each officer of the CMRMCG shall be elected and serve for a period of two years with half of the officers elected/reelected each year. The CMRMCG Board of Directors shall be composed of the following officers: 6.1.1 President. The President shall preside at all meetings of the Club and of the Board of Directors. The President shall also perform such duties incident to office and shall advise such action as may be deemed likely to increase the usefulness of the Club. He shall appoint the elected or appointed members of the board to chair the specific committees or carry out the specific jobs that are included in these by-laws or have been deemed necessary by the Board. 6.1.2 Vice-President. The Vice-President shall preside at all formal Board meetings in the absence of the Club president and shall be responsible for all duties and responsibilities delegated by the Club President. 6.1.3 Communications Director. The Communications Director shall keep the records of all meetings of the club and of the Board of Directors. He shall give and serve all notices of meetings and Club tournaments. He shall be responsible for, and have charge of, all correspondence, files, records and papers of the Club. The Carmel Mountain Ranch Men s Golf Club has a web site that is a member site of the SCGA web site (www.ghin.com/eclub/carmel_mountain_mens_gc) The CMRMGC Communication Director shall be responsible for all web site content, such as Club membership application, Club news, and tournament entry applications and results. 6.1.4 Treasurer. The Treasurer shall keep full and accurate accounts of all moneys received, and shall deposit the same in the name of the Club in such depositories as may be designated by the Board of Directors. He shall disperse all moneys under the direction of the Board of Directors. He shall have the authority to receive and to give receipt for all moneys due and payable to the Club from any source whatever, and to endorse on behalf of the Club all checks, drafts, notes, warrants and orders, and to give full discharge for same. He shall sign all checks, drafts, notes, warrants and orders for payment of Club funds. He shall present at each monthly meeting of the club, a written report of the financial affairs of the club from the previous month, and shall make such report available whenever requested by the Board of Directors. He shall prepare an annual report to be audited as may be directed by the Board of Directors. He shall perform all duties incident to the office. 6.1.5 Tournament Chairman. The tournament chairman shall have ultimate authority for all tournament formats and rules that apply to those formats. He shall also coordinate with the Carmel Mountain Ranch Country Club to reserve dates for each monthly tournament. 6.1.6 Handicap Chairman. The Handicap Chairman is responsible for establishing handicaps for new members that are not current members of the SCGA. He shall also be responsible for observing that all Club members enter their scores in to the SCGA handicap tracking system following all Club tournaments and sweeps competitions. He shall advise the Tournament Chairman when a member should or should not post his score for a specific tournament format. 6.1.7 Rules Chairman. The Rules Chairman shall be the final arbiter in all disputes arising from play, and with the Tournament Chairman, shall formulate any necessary local rules, in accordance with the policies of the USGA and local rules of the Carmel Mountain Ranch Country Club. 3

6.2 Club Meetings. The Board of Directors will conduct all Club meetings with the Club President, Vice- President, or Club officer appointed by the President as the presiding officer. The Roberts Rules of Order shall be the parliamentary authority for the conduct of all Club business. All Club meetings conducted by the Board of Directors shall be open to all members. The Board of Directors shall provide for the holding of such other meetings as may be deemed necessary or desirable and they shall call special meetings when required. 6.2.1 Annual Club Meeting. The Annual Meeting of the Carmel Mountain Ranch Men s Golf Club shall be held in the month of September at a date and place established by the Board of Directors. During the Annual meeting, Club officer elections shall be held in accordance with the rules specified within Article 5 of these by-laws. 6.2.2 Board of Director Meetings. Board of Directors meetings shall be conducted when needed at the discretion of the Club President. 6.2.3 Special Meetings. The Board of Directors shall provide for the holding of such other meetings as may be deemed necessary or desirable and they shall call special meetings when required. 6.2.4 Meeting Quorums. A legal quorum at any at-large meeting shall be a majority of the Board of Directors and membership represented by at least ten members. Each active member in good standing shall be entitled to one vote on any matter presented for membership approval. A legal quorum for any Board-only meeting shall be a majority of the Board of Directors. 6.3 Officer Elections. At least five weeks prior to the annual meeting, any CMRMGC member may inform the President that he would like to be considered for a position on the Board of the Directors, identifying the office he wishes to hold. Prior to the meeting, a notification shall be made to all members listing the offices that are up for election and the members that will be on the ballot for each position. At the annual meeting, a secret ballot will be conducted for those offices that have multiple members vying for that position. A voice vote shall be called for each position on the ballot that is uncontested. Officers shall be elected by a majority vote and shall serve on the Board for a term of two years. 6.4 Board Vacancies. In the case of any vacancy through death, resignation, disqualification or other cause, the remaining directors, even though less than a quorum, may elect a successor by majority vote to hold office for the unexpired term of the director whose place shall be vacant, and until the election of his successor. Article 7 - TOURNAMENTS 7.1 Home Tournaments. The home golf course for the CMRMGC shall be the Carmel Mountain Ranch Country Club in Carmel Mountain Ranch, San Diego, California. Home tournaments shall be conducted at least once a month on a Saturday morning during which the Club has regular tee time reservations. Once a year the Club shall host a two-day Club Championship tournament. This tournament will be conducted on Saturday and Sunday mornings of the same weekend. 7.2 Tournament Road Trips. From time to time during the season, the Club shall organize tournaments to be played on golf courses other than the Carmel Mountain Ranch Country Club. The Club Board of Directors shall determine the tournament format and make arrangements with the course where the tournament is to be played. 7.3 Saturday Sweeps Competition. On Saturday mornings when Carmel Mountain Ranch Men s Golf Club tournaments are not being conducted, members may sign up for sweeps competition. The format for this competition will be individual low nets and closest to the hole competition. Green fees 4

and entry fees will be collected by the Carmel Mountain Ranch pro shop during tee time sign in. Prize money for the top 3-5 low net scores in each flight will be in the form of script. Script can be redeemed for green fees, pro shop merchandise, or food/beverages in the CMR restaurant/bar. 7.4 SCGA-Sponsored Tournament Rules. The following SCGA rules apply to the Carmel Mountain Ranch Men s Golf Club tournaments that are conducted to select Club representatives for regional SCGA-sponsored competition: 7.4.1 Match-Play Eligibility. A Club member must have a low index as stated in SCGA rules to participate on the Match-Play Team that represents the CMRMGC in SCGA-sponsored tournament play. Each member of that team also must have joined the CMRMGC in the time frame specified in the SCGA team play rules. 7.4.2 Two-Man Better-Ball Eligibility. A Club member must have a current index as stated in the SCGA rules for this event to represent the club in the SCGA-sponsored Two-Man Better-Ball Tournament. 7.4.3 SCGA Team Play Eligibility. To be eligible for SCGA Team Play events, you must have participated in at least three monthly Club tournaments and at least three Saturday sweeps events during the prior calendar year. This requirement is in addition to the SCGA minimum participation guidelines. 7.5 Club Championship Eligibility. A CMRMGC member must have participated in at least three monthly tournaments in the prior twelve months to represent the club as the Low-Gross or Low-Net Club Champion. However, members that do not meet this requirement may play in the two-day Club Championship tournament and compete for prizes other than the overall championship awards. 7.6 Posting of Tournament Scores. Each member is responsible for the posting of his scores each and every round except for the following Club tournaments: - Club Championship (Handicap Chairman will post all scores) - Presidents Cup (Handicap Chairman will post all scores) - Team Match Play (the team captain will post all scores) - Any sanctioned SCGA Area or Regional Tournament, where the SCGA is responsible for posting Article 8 - AMENDMENTS TO BY-LAWS The Board of Directors shall have the power to repeal or amend any of these By-Laws. The repeal or amendment of any by-law may be suggested by any club member but requires sponsorship of a club Board member and a two-thirds affirmative vote of all CMRMGC members. 5
