AUM DIXIE BASEBALL LEAGUE P.O. Box 240654 Montgomery, AL 36124 BYLAWS (Last updated 1/12/18) Article I Name The name of this organization will be the AUM Dixie Baseball League, otherwise referred to as AUM. Article II Purpose The primary purpose of AUM will be to support the Montgomery Parks & Recreation Dept. of The City of Montgomery, Alabama (MPR) by administering programs that help children grow physically, mentally, and emotionally through participation in baseball and softball. The organization will strive to produce wellrounded players with good technical skills and sportsmanship by focusing on development of the individual. AUM shall be an affiliate of the MPR and claims all the benefits and privileges of being a municipal agency. Article III Programs The objectives outlined in Article II will be pursued through a Recreation program, where emphasis is to be placed on having fun, teaching sportsmanship and developing fundamental skills. Article IV Affiliation AUM will be affiliated with Dixie Youth Baseball (DYB), so long as directed by the MPR and will follow the rules and guidelines specified by each organization, including any enacted and permissible local option rules. AUM may also seek affiliation with any other organizations from which it may benefit. Article V Membership Section 1 Eligibility and Classes Any person sincerely interested in active participation to support the objectives of this Organization may apply to become a member. Such membership roster shall include the following classes of members: Player Members: Any boy or girl meeting the requirements set forth by the Board of Directors and who resides within the authorized boundaries of the Organization shall be eligible for participation, but shall have no rights, duties or obligations in the management or in the property of the Organization. Regular Members: A member of the league is any interested person acknowledged and confirmed by the Board of Directors. All positions on the Board of Directors, all managers, coaches, parents, volunteers, and/or other elected or appointed officials are active members in good standing. Section 2 Termination Membership may be terminated by resignation or by action of the Board of Directors due to just cause. To eliminate any vagaries, just cause shall be defined as acts or deeds of any member, player or regular, that are contrary to the welfare of the Organization or its players, or to the objectives as outlined in Article II and III, either within the confines of AUM or as representatives of AUM. The Board of Directors, by a two-thirds vote of those present at any duly constituted meeting shall have the authority to discipline or suspend or terminate the membership of any members of any class when the conduct of such person is considered detrimental to the best interests of AUM as defined above. The

member involved shall be notified of such meeting, informed of the general nature of the charges and given the opportunity to appear at the meeting to answer such charges. The Board of Directors shall, in the case of a player member, give notice to the manager of the team of which the player is a member. Said manager shall appear, in the capacity of an adviser, with the player before the Board, (refer to Article 9), which shall have the full power to suspend or revoke such player s right to future participation. Any manager or coach who is ejected from a game will not be allowed to coach the next game. Anyone ejected for the second time in a season shall appear before the Executive Board, which shall have the full power to suspend or revoke such manager s coaching right to future participation. Any Manager or Coach (All star or Regular Season) that resigns or quits during the season or post-season will not be allowed to manage or coach unless approved by the board of Directors. Article VI Governing Body (AUM Board of Directors) AUM shall be governed by a Board composed of appointed members as listed below. Appointed members will be selected by majority vote of the elected officers and will serve until they voluntarily resign or are asked to resign by a majority vote of the Board of Directors. Individuals may hold no more than two positions. Each Board member will have a single vote except for the Commissioner, who will only vote in case of ties. In cases where an individual holds two offices, he/she will only have a single vote. The AUM Board must approve the hiring of persons who will fill paid positions, including the compensation to be paid. Board of Directors 1. Commissioner 2. Vice-President of Dixie Majors 3. Vice-President of Dixie Boys 4. Vice-President of Ozone 5. Vice-President of Minors 6. Vice-President of Pre-Minors 7. Vice-President of T-Ball 8. League Administrator (Secretary/Treasurer) 9. League Representatives Each year, no more than 3 League Representatives can be appointed by majority vote of the elected officers. The duties of a League Representative will be determined by the AUM Board of Directors. A member of the Board of Directors may resign by delivering a written resignation to the Commissioner or Secretary of the Organization. Such resignation shall be effective upon receipt (unless specified to be effective later by the resigning member) and acceptance thereof shall not be necessary to make it effective unless so stated in the resignation. Article VII Replacement of Elected Officials and Appointed Members Should any elected officer or appointed member of the Board be unable to complete his/her term, he or she may be replaced by majority vote of AUM Board members present at the first AUM Board meeting following his or her resignation, or at a subsequent AUM Board meeting if deemed appropriate.

Article VIII Meetings AUM Board Meetings AUM Board meetings will be held as deemed necessary by the Board at times and locations to be set by the AUM Board, unless canceled by a majority vote at a prior AUM Board meeting. A quorum of one-half of the voting AUM Board members must be present for AUM Board to proceed. In the absence of a quorum, the meeting will be rescheduled. The Commissioner or a designee will notify by telephone or in writing/email of the rescheduled meeting AUM Board members. Members present at the rescheduled meeting shall constitute a quorum and may transact business on behalf of the league. Article IX Rules of Order The rules contained in the ROBERTS RULES OF ORDER shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with the Bylaws of this League. Article X Geographic Area AUM will draw its players from within the boundaries as set by the City of Montgomery, but will accept any player deemed eligible to play for AUM by the MPR and DYB. Article XI Seasonal Year AUM s seasonal year will begin on January 1 and end on December 31 the following year. AUM s colors will be Kelly Green and Gold. Article XII Colors Article XIII Finances and Accounting The Board of Directors shall decide all matters pertaining to the Finances of the Organization. Section 1 The Board of Directors shall decide all matters pertaining to the finances of the Organization and all income shall be deposited into an authorized depository bank account. Financial statements and bank statements will be available for Board members on a monthly basis. Section 2 The Board of Directors shall no permit the disbursement of Organization funds for purposes other than the conduct of league activities. Section 3 The Board will designate those who are authorized to make purchases on behalf of the AUM. Section 4 No director, officer, or member of the Organization shall receive directly or indirectly any salary, compensation, or emolument from the Organization for services rendered as director, officer, or member unless specifically authorized. (Concessions workers could be members). Section 5 The fiscal year of the Organization shall begin on the first day of January and shall end on the last day of December. Section 6 As an affiliate of the MPR, the activities of the Organization are not subject to income taxes or sales taxes. The Board recognizes this may be disputed by the State and some vendors, but with the assistance of the MPR will defend our claims as stated. The Organization is also not under any tax filing requirements.

Article XIV Amendments Any proposals or motions to amend the Constitution and Bylaws of this Association must be filed with the Secretary in writing prior to a scheduled Board Meeting. A majority vote of the Board members present will be required to carry the amendment. Article XV Director of Umpires Shall be responsible for the training of umpires for all AUM leagues. Shall be responsible for procuring the services and scheduling umpires for all games. Shall be responsible for receiving invoices from the umpires and authorizing payment thereof. Other duties deemed necessary by the Board. Priority of Coaches AUM will use the seniority system as a guide in the selection of Managers for each league. League Officials and returning Managers from the prior year and in good standing will have first priority in their age group. Managers moving up will have 2 nd priority. Assistant Coaches in any age group will have 3 rd priority. The VP of each age group will be responsible for ensuring that there are enough qualified Managers. In addition, the VP will bring to the Board s attention any issues regarding the status of returning Managers. The Board of Directors will have the final decision with an emphasis on emotional control versus coaching ability. Registration Registration will be held on the weeks set by the MPR & Dixie in February. Each VP is responsible for ensuring someone will work their table at signups. The VP is responsible for ensuring the forms are collected and a master list is developed and is correct. All players must sign up for their age group. If a parent wants their child to play in a different age group, they must submit their request in writing. All players must attend tryouts for their age group. Excluding a child with a handicap, it is strongly suggested that each player play in his or her age group. The Tryouts It is very important that all players participate in tryouts. During signups, the parents will be informed of the date and time of tryouts. The tryouts will be organized and start on time. The League VP will be responsible for the tryout. If at all possible, in Pre-Minors and above, all players that do not come to tryouts will be contacted and will be scheduled for another tryout before the draft occurs. All players must try out for their age appropriate group or higher. Players can not try out for a lower league. Once player has participated in the try outs, the coaches will confer and if considered a safety and ability issue, the League VP can allow a player to be moved down. The Draft All players will be placed on a master list. This includes the Manger s son. All players (except manager s sons) will be eligible to be drafted by any of the approved managers of their age group. The player agent will not be recognizing any frozen assistance coach picks. The talent level and ability of any player who does not participate in tryouts for any reason will talked about extensively, even if the player agent has to call the parents or the players last Coach, before the draft begins, to put all Managers on the same information level. All players will be selected. Blind draws will not be utilized unless deemed appropriate by the League Board of Directors in a case where a player is unknown by a majority of the league managers and did not participate in evaluations.

Brothers in the same age group will be placed on the same team unless written parental instructions say otherwise. The older brother will be drafted first, and the younger player will be placed on that team in the agreed upon round of his talent level. Brothers in the same age group will be discussed prior to the draft, and will be placed in the appropriate rounds. A random drawing of drafting sequence will take place just prior to the draft. A league representative or the designated player agent will lay a number of cards equal to the number of teams in the draft face down on a table. These cards will be numbered one (1) through the number of teams represented. Each manager will come to the table and turn over one card (where all can see) indicating his position in the draft for the older age group. The draft will consist of two (2) separate drafts; one for each age group, with the older age being drafted first. A reverse order will be put in place for the younger age group. All players in the older age group will be drafted before the younger age begins, unless we cannot finish a complete round. In this case, the partial round of un-drafted older players will be added to the pool of the younger age players. At the completion of the draft, the next team that would have made a pick will be next in line to receive a player in the event of a late signup. The next team will be then receive the next late sign up and so on, until the League VP decides to close registration for that league. It at all possible, all teams will have the same number of players. Divisions will be set by random draw by a Dixie League representative. If a Dixie League representative is not present, a League Official will conduct the random draw of divisions. Uniforms Non-altered, league issued jerseys and caps must be worn by all players during all regular season games and tournament games. Violation of this rule will result in a forfeit of the game by the offending team. Exceptions: 1) A player s first name or last name professionally placed on the back of the player jersey above the player s number is acceptable. 2) A player s number professionally placed on the back of the player s cap is acceptable. 3) The Vice President of a league can waive the forfeiture penalty if a limited number of players from a team simply forgets their cap or jersey and wears an appropriate replacement. Pulling Up a Player from a Lower League A coach is allowed to pull players from the next lowest league if he/she cannot field a complete defense for a specific game (10 in Pre-Minors and Minors, and 9 in Ozone and Dixie Boys). The coach can only pull up enough players to field a complete defense for that game. Only players who are part of the oldest age group in their league can be pulled up to play. The coach will pull up a player or players from the lower league team that has the same team name. The lower league team will be selected by a draw at the beginning of the season for those teams that do not have a matching lower league team. If no players are available on that lower league team then the coach will be allowed to pull a player from any available lower league team as long as their age is appropriate. Any player or players pulled up to play in a game will play in the outfield and bat last. A pulled up player can play in the infield (not pitch) if other players on the team cannot play infield due to safety reasons or based on the parents request. If there is any discrepancy with this rule between opposing coaches, then the league VP will make the decision where the pulled up player(s) can play. If the league VP is a coach in the game, then the League Commissioner will make the decision.

If for any reason a regular player on the team shows up to play, they will be immediately inserted into the game. The pulled up player will be removed from the game if the maximum number of players on defense is reached. Coaches should inform the opposing coach and league VP about pulling up a player or players before game time. Additional Rules for Ozone and Minors related to Intentional Walks A defensive team in Ozone and Minors can intentionally walk a batter by requesting an intentional walk from the umpire prior to the 1st pitch being thrown to the batter. The batter is automatically awarded 1st base without the pitcher having to throw 4 intentional balls to the catcher. The intentional walk does count as 4 pitches in the pitcher s pitch count. An offensive player may only be intentionally walked once per game. Only one intentional walk per inning No more than two intentional walks per game All-Star Voting Every child that participates in the minimum number of games as specified by DYB will be listed. Managers rank all nominees from first to last. A Manager may not rank or include his own players. The Player Agent will tally the votes to determine the top 10. The Manager of the tournament team will complete the roster with two additional picks. The Board of Directors will select the Manager and Coaches of all tournament teams. State Tournament or World Series Teams Any team advancing to the State Tournament will receive an amount equal to 2 nights lodging for each player and coach at the hotel selected by the tournament host. Teams advancing to the World Series will receive an additional $1500.00. Please note that the host team in World Series play must provide housing and meals.
