By-Laws For The KINGWOOD MEN S O.F.W.W. Golf Association Of Kingwood Country Club The following documents are the By-Laws by which the Kingwood Men s O.F.W.W. Golf Association (OFWW) will operate. These By-Laws may be altered or amended by 2/3 vote of the members present at the annual or any special meeting of the OFWW membership. ARTICLE I: OBJECTIVES The objectives of the OFWW Men s Golf Association (OFWW) are: To provide friendly golf competition with other retired members of the Kingwood Country Club. To encourage active participation of its members in playing golf and partaking in golf competitions conducted in accordance with the rules of the USGA, except as those rules are modified by local rules. To schedule and conduct golf tournaments and social functions. To manage the Senior Interclub program and encourage the participation of OFWW members in Senior Interclub. To offer constructive suggestions and recommendations to management of Kingwood Country Club and the Kingwood Men s Golf Association (KMGA). ARTICLE II: MEMBERSHIP, DUES & ENTRY FEES Section 1: Any male with golfing privileges at the Kingwood Country Club, 50 years or older who has retired from full time employment is eligible to become a member of the OFWW by paying annual dues. Section 2: Dues are $15.00 per calendar year. The Club will bill and collect OFWW membership dues via monthly statements in December each year for the following calendar year. Members joining after January 1 will be billed as follows for the period in which they join: January through April - $15, May through August - $10 and September through December - $5.

Section 3: All meetings of the OFWW shall be held at the Kingwood Country Club. Section 4: Special membership meetings may be called at any time by order of the President or Vice President in the absence of the President. Additionally, any three members of the OFWW Board may also call a special meeting. The Secretary shall give fifteen days notice to the general membership for special meetings. All OFWW notices will be posted at Kingwood Country Club on the OFWW bulletin board and sent to all members via email. Section 5: Each year a Christmas Party will be held by the OFWW for the members and their spouses or companions. In addition, the OFWW Board will consider additional social functions throughout the year as permitted by the budget. ARTICLE III: ORDER OF PLAY Section 1: Playdays shall be every Tuesday and Thursday on scheduled courses unless otherwise stated on the monthly calendars posted on the OFWW bulletin board, website and sent to all members via email. Section 2: The procedures for sign-ups for regular and limited play days will be posted on the OFWW bulletin board and on the OFWW website. These procedures may need to be changed occasionally due to weather or course conditions / closings. Changes will be communicated via emails and the monthly newsletter and posted on the bulletin board and website. Section 3: Each member shall have a valid handicap from Kingwood Country Club. The primary tee will be the White tee markers. However, individuals may elect to play from the Gold, Blue or Forward tee markers instead. (Forward tees apply only to players who meet the qualifications of handicap index plus age totaling 95 or more.) Handicaps will be adjusted according to USGA guidelines for playing from different tees. Section 4: Play will be according to USGA rules, with the exception that putts within one scorecard length of the closest edge of the hole may be picked up, counting as one stroke and considered holed out. If a ball is picked up outside of the length of one scorecard without marking, the player will incur a penalty of two strokes and if the ball is not replaced and putted within one scorecard length of the hole, the player will be subject to disqualification. The ball will be played down March through October with the following exceptions: players will be allowed to lift, clean and place their golf balls during this time period on holes marked "cart path only" and by the weather (announced by the Starter prior to tee off). From November through February, players will be allowed to lift, clean, and place their golf ball within one scorecard length (without change of

environment, i.e. rough to fairway, fringe to green) no closer to the hole from tee to green, excluding hazards. Section 5: Each player will be charged $3.00 at the end of each normal Playday. The $3.00 is placed in one of three handicap flights. Payoff spots in each handicap flight will be based on the number of players in that flight. Skins are also awarded in each handicap flight. A small percentage of the pots from each flight goes to the OFWW treasury to support OFWW functions. Any player who makes a hole-in-one on a given Playday will receive $10 from the OFWW Treasury, and, if he is a participant in the hole-in-one pot, the proceeds of that pot. Section 6: Each OFWW member is required to perform Starter duties. Each Starter is responsible for moving the daily signup sheet to the appropriate tee by 7:15 a.m. Each Starter will be notified by mail, email or by notice of the monthly play schedule posted on the OFWW Bulletin Board at the Kingwood Country Club and on the OFWW website http://pages.suddenlink.net/ofww.. Section 7: A special OFWW Tournament, called the Bash, is usually scheduled each month. Signup for the Bash will be done on the OFWW website http://pages.suddenlink.net/ofww. Each player will be charged a tournament fee of $6.00 prior to the start of each Bash. Payoff for the tournaments will be with Pro Shop Credit. ARTICLE IV: OFFICERS AND THEIR DUTIES Section 1: The Officers of the OFWW shall be President, Vice President, Treasurer, Secretary, Tournament Chairman, Communications Coordinator, and Interclub Captains of the Marsh and Lake Teams. This group will make up the Board of the OFWW. The Board will be the governing body of the OFWW in carrying out its purposes and objectives. Section 2: The President shall preside at all meeting of the OFWW and shall have general supervision of all affairs of the OFWW. The President will represent the OFWW on the KMGA Board, on the Kingwood Steering Committee, and the Clubs of Kingwood Golf Committee. He will work with the Head Pro to develop the Playday, Tournament and Senior Interclub schedules for the following year, and handle any issues associated with the current Playday schedule. Section 3: The Vice President shall perform the duties of the President in his absence. He will be responsible for posting the handicap sheet from the club each month, and will have overall responsibility for the Scorers and Starters. He will be responsible for assigning monthly scorers to calculate and summarize the results at the end of each Playday and assigning starters for Playdays.

Section 4: The Treasurer shall collect and keep all monies of the OFWW and disburse them as directed by the OFWW Board. He shall keep accounts and books belonging to the OFWW and they shall be available at all times for review by the OFWW Board. He shall make a quarterly report to the OFWW Board and a yearly report on the general financial conditions of the association to the general membership at the annual meeting. Section 5: The Secretary shall keep the record of the OFWW Board meetings and membership meetings and have responsibility for assisting the newsletter editor in publishing the monthly newsletter. Section 6: The Tournament Chairman will be responsible for organizing each monthly Bash for the OFWW membership. He will determine the tournament format and will be responsible for running the tournament. The Tournament Chairman will give notice of all tournaments in the monthly OFWW newsletter and with postings on the OFWW web site. Section 7: The Communications Coordinator will be responsible for maintaining the membership roster and the e-mail addresses for the general membership. He will be the focal point for collecting, editing and distributing information to the membership. Section 8: Interclub Captains Marsh and Lake Teams. The Captain of each team shall be responsible for coordinating all Senior interclub activities for their Teams. This includes: - attending all meetings of the North Houston Retired Senior Men s Golf Association; - soliciting for team members before the Interclub season starts in February; - soliciting for players for the weekly matches; - and collecting fees for individual interclub events. In addition, each Captain will collect annual dues and money for year-end prizes from the OFWW Treasurer for the Senior Interclub if necessary. Section 9: Officer vacancies, other than annual elections, are filled by the following procedure: If for any reason the President s position is vacated, the Vice President will become the President for the remainder of that year and can be elected the following year. The OFWW Board shall appoint all other officer vacancies. Should any officer of the current Board be unable to complete his duties, or resign from his position during the calendar year, that officer must give a minimum of 60 days notice to the OFWW Board to allow sufficient time to find a replacement. Section 10: The Board may assign some duties to other OFWW Non-Board members, such as statistician, web support, monthly newsletter coordinator, volunteer activities coordination or other duties as necessary.

ARTICLE V: ELECTIONS Section 1: The OFWW will elect officers for the next year at the annual meeting on or about the middle of November. All officers will be elected at this meeting and will take office on January 1, of the following year. Officers shall be elected by a majority vote by the membership in attendance at the annual meeting. Prior to that meeting the President shall appoint a Nominating Committee of five members, with approval by the OFWW Board. One member of the Nominating Committee can be on the OFWW Board. The slate of nominees selected by the Nominating Committee shall be posted on the OFWW website and communicated in the monthly newsletter two weeks prior to the election date. Nominations will also be accepted from the floor.
