SASKATOON BASEBALL COUNCIL INCORPORATED Incorporation # 207408 BYLAWS Whereas Saskatoon Baseball Council Incorporated, was incorporated under the Non-Profit Corporations Act on the 18 th day of March 1985; And whereas the Saskatoon Baseball Council Incorporated is empowered under the Act to make bylaws; Therefore, the Saskatoon Baseball Council Incorporated makes the following bylaws: ARTICLE I DEFINITION AND INTERPRETATION 1. These bylaws may be cited as the bylaws of the Saskatoon Baseball Council Incorporated. 2. In these bylaws: a) Resident means an individual whose principle residence is within the corporate limits of the City of Saskatoon in the Province of Saskatchewan. b) Any word or expression used but not defined has, unless the context otherwise requires, the same meaning as the Act. ARTICLE II OBJECTIVES The objectives of the Saskatoon Baseball Council Incorporated are: 1. To coordinate the efforts of all it s members for the promotion of baseball in the City of Saskatoon. 2. To provide the opportunity for all those interested in baseball to participate as a player, as a coach or as a member of the Saskatoon Baseball Council Incorporated. 3. To promote the mutual interests of all it s members. 4. To maintain a central registration system for all baseball players and coaches and executives of the various baseball leagues of the City of Saskatoon in the Province of Saskatchewan. 5. To maintain a zoning system for baseball within the boundaries of the City of Saskatoon. ARTICLE III MEMBERSHIP 1. The membership in the Saskatoon Baseball Council Incorporated shall consist of: a) Directors, as set out in Article V - Section 1.b to 1.h inclusive ; (1995) b) Regular members; and c) Associate members. 2. A regular member is entitled to all privileges of membership including the right to vote. 3. An associate member is entitled to all the privileges of membership except the right to vote, the right to make a motion and the right to second a motion made. 4. a) A regular member in the Saskatoon Baseball Council Incorporated shall be the person who is elected or appointed to represent the following Baseball Leagues or classifications that operate in the City of Saskatoon; provided that if in the following classification the team or teams in that classification play in a league outside of Saskatoon, that team or teams shall select a regular member. 1-Rookie 2-Mosquito 3-Pee Wee 4-Bantam 5-Midget 6-Junior 7-Senior Men s 6-Senior 9-Twilight 10-Saskatoon & District Baseball Umpires Association b) A regular member in the Saskatoon Baseball Council Incorporated shall be a person who is a representative from each of the zones operating in the City of Saskatoon, for baseball, whose representative shall be a member of the executive of the zone association for that zone. Each zone executive shall notify the secretary of the Saskatoon Baseball Council Incorporated of the members of its executive of the zone association. c) It shall be a condition of membership that a baseball team within the zone known as the City of Saskatoon, shall be a member of the Saskatchewan Baseball Association. d) A regular member in the Saskatoon Baseball Council Incorporated shall be all those elected and appointed members as listed in article iv, section 1. (1997) 5. Any resident of the City of Saskatoon who is at least 18 years of age is eligible for admission to membership as an associate member if he or she is interested in furthering the sport of baseball in the City of Saskatoon. 6. The membership fees payable by regular and associate member shall be established in each year at the annual spring meeting, and such a membership fee shall continue to be payable on an annual basis, until such time as a new fee for membership is established. The membership fee shall be payable on or before the annual spring meeting of the Saskatoon Baseball Council Incorporated. 7. Upon termination of membership for any reason, a member is not entitled to any refund of membership fees paid. ARTICLE IV MEETINGS OF MEMBERS 1. There shall be two meeting of members held in each year; one such meeting to be held in September (fall meeting) and the other to be held in March (spring meeting). 2. The president may call a special general meeting of the members at any time, but shall do so upon written request of at least 25% of the regular members. 3. All business transacted at meetings, except consideration of the financial statements, and the election of directors and approval of the minutes of a previous meeting of the members, is deemed to be special business. 4. No special business may be transacted at a meeting of members unless the notice of the meeting states the nature of the business in sufficient detail to permit members to form a decent judgment thereon. Any member may submit to the secretary of the Saskatoon Baseball Council Incorporated written notice of any matter that he or she proposes to raise and discuss at the meeting, which notice Saskatoon Baseball Council Inc. shall be given to the secretary at least forty-five (45) days prior to the meeting, and a notice of the proposal shall be given with the notice of the next meeting of members. 5. Notice of the time and place of a meeting of members shall be sent not less than fifteen (15) days, nor more than thirty (30) days before the meeting, by ordinary mail, to each member entitled to attend the meeting. The notice shall be sent to the address shown as the address for the member. The notice shall be deemed to be received four (4) days after the same is sent by mail. 6. a) The president or his/her designate shall preside at meetings of the Saskatoon Baseball Council Incorporated, and at meetings of the directors. b) At every meeting of the Saskatoon Baseball Council Incorporated, each regular member is entitled to one vote on each question. c) At every meeting of the Saskatoon Baseball Council Incorporated, a director is entitled to one vote on each question. d) No person shall have more than one vote in the event that he or she may be entitled to more than one vote. e) Voting at a meeting shall be by show of hands except where a ballot is demanded by a member either before or after a vote by a show of hands. Voting for the election of directors shall be by ballot. f) All ordinary business shall require a vote of greater than 50% of members attending to be passed, and all special business shall require a vote of greater than 66% of the members attending to be passed. g) The quorum of a meeting of the Saskatoon Baseball Council Incorporated shall be nine (9) voting positions personally present at the opening of the meeting. ARTICLE V DIRECTORS 1. The directors of the Saskatoon Baseball Council Incorporated shall consist of: a) all past presidents of the Saskatoon Baseball Council Incorporated (1996) b) a president c) a vice president d) a secretary e) a treasurer f) the Governor for the Saskatchewan Baseball Association in Zone 6, which is the City of Saskatoon, or such other zone in which the City of Saskatoon may be designated. g) four (4) of the directors for the Saskatchewan Baseball Association in Zone 6, which is the City of Saskatoon, or such other zone in which the City of Saskatoon may be designated. (1997) h) registrar 2. The directors, as set out in 1b) to 1h) inclusive, shall be elected at the annual fall meeting, by the members, which meeting is to be held in September of each and every year. Each elected director shall hold office until the end of the annual meeting held in September of each year, following his or her election. 3. The Saskatoon Baseball Council Incorporated, may, by special resolution at a meeting of the members called, remove any director for directors from office. Saskatoon Baseball Council Inc. 4. The directors may fill any vacancy among the directors by appointing a director to hold office for the unexpired term of the director or directors whom they are replacing. 5. Except as to a person to which ARTICLE V, paragraph 1f) or 1g) applies, a director must be a member to qualify or hold office as a director. 6. Directors meetings; a) Every director shall be given by letter, telephone or otherwise at least seven (7) days notice of every meeting of the directors. b) The directors at any meeting may decide to hold further regular meetings by adopting a resolution stating the day, hour and place of the regular meeting and no further notice of those meetings shall be required. c) A director may waive notice of a meeting by his or her attendance at a meeting or, if not in attendance by stating so by letter, telephone or otherwise. d) The directors shall meet at least four (4) times per year. 7. A majority of directors constitutes a quorum at a meeting of the directors. 8. The directors shall manage the activities and affairs of the Saskatoon Baseball Council Incorporated. 9. Every director of the Saskatoon Baseball Council Incorporated shall act honestly and in good faith with the view to the best interest of the Saskatoon Baseball Council Incorporated, and to promote its objectives. ARTICLE VI FINANCIAL 1. The fiscal year of the Saskatoon Baseball Council Incorporated shall end on the 31 st day of December of each year. 2. The directors shall cause to be kept proper records and accounts of all transactions. 3. a) The directors shall place before the members at the annual spring meeting, the financial statements for the year ended on the past December 31 st and shall present any further information respecting the financial affairs of the Saskatoon Baseball Council Incorporated as may be required. b) The financial statements shall be prepared within two months after December 31 st in each year and the directors shall meet to approve the financial statements and shall evidence their approval by the signature of the treasurer and the president. c) The directors shall cause a copy of the financial statement to be sent to each member with a notice of the annual spring meeting. 4. a) All funds of the Saskatoon Baseball Council Incorporated shall be deposited in one or more accounts in the name of the Saskatoon Baseball Council Incorporated at a Chartered Bank, Trust Company or Credit Union, designated by the directors. b) All cheques and other such documents and contracts, shall be executed in the name of the Saskatoon Baseball Council Incorporated and shall be signed in accordance with resolutions passed by the directors for that purpose. 5. No remuneration, excepting proper disbursements shall be paid to the directors other than compensation for travel out of the City of Saskatoon, while on business involving the Saskatoon Baseball Council Incorporated, unless approved by a meeting of the members. ARTICLE VII LIQUIDATION OR DISSOLUTION In the event of a liquidation or dissolution of the Saskatoon Baseball Council Incorporated, the remaining property of it, after payment of all debts and liabilities, shall be distributed in accordance with the Articles of Incorporation, which state that the property shall be distributed to the City of Saskatoon to be used by the City of Saskatoon to donate the same to various baseball leagues operating which have been members of the Saskatoon Baseball Council Incorporated in Saskatoon on an equal basis. ARTICLE VIII BYLAWS, AMMENDMENT OR REPEAL 1. The directors may, by resolution, amend, repeal or make any bylaw to regulate the activities and affairs of the Saskatoon Baseball Council Incorporated. 2. The directors shall submit any bylaws, or amendment or repeal thereof to a meeting of members and the members may, by a special resolution, which is deemed to be special business, confirm, reject or amend the bylaws, amendment or repeal. 3. Except in the case of the first bylaws, every bylaw, amendment or repeal thereof shall state an effective date which shall not be more than thirty (30) days from the day on which the bylaw, amendment or repeal is confirmed by the members. 4. There may be a bylaw or amendment to the bylaws or a repeal of a bylaw proposed at a meeting of the members, where no notice has been given of the making, amendment or repeal provided that there is a quorum at the meeting and there is a unanimous consent to hear the matter. It is not required that any vote be unanimous, but the other provisions dealing with voting shall apply. ARTICLE IX ZONING AND REGISTRATION 1. For all registration and league play the Saskatoon Baseball Council Incorporated shall use the APPENDIX A map. The Midget League shall use a two zone system and the South Saskatchewan River shall be the dividing line in the City of Saskatoon. 2. In order to determine an accurate registration count, all players from Midget age and down shall register in the baseball zone of their residency. Appendix B Addendum: GUIDELINES GOVERNING NON-RESIDENT BASEBALL PLAYERS The Saskatoon Baseball Council Inc. shall adopt Resolution #20 of the Saskatchewan Baseball Association as adopted at the Annual General Meeting of the Saskatchewan Baseball Association on October 5, 1991, which states: Be it resolved that the decision to allow any player wishing to play baseball in a zone other than the zone of his/her primary residency, de determined by the Governors of the two zones involved. And be it further resolved that the player wishing to change zones shall have written documentation from his/her home community and/or sports organization that baseball in his/her age division is not available to that player within a reasonable area. Reasonable area to be determined by the two Governors involved. 1. Non resident baseball players must submit documentation from his/her home community/sports organization (to the effect that baseball is not available in his/her zone) to the Zone Governor by May 1 st of each year. 2. Non-resident baseball players living east of the South Saskatchewan River shall only play in the Zones Blue Jays, Cardinals and Braves. Non-resident baseball players living west of the South Saskatchewan River shall only play in the Zones Red Sox, Rays (amendment 1996-05-07). This shall apply to all Rookie, Mosquito, Pee Wee, Bantam and Midget Leagues. Guidelines Governing Non-Resident Baseball Players were adopted at the Saskatoon Baseball Council General Business Meeting held 1992-01-29 with effective date 1992-01-29. Saskatoon Baseball Council Inc. APPENDIX B-1 ADDENDUM SASKATCHEWAN BASEBALL ASSOCIATION REGULATIONS & GUIDELINES WHICH GOVERN NON-RESIDENT PLAYERS APPLYING FOR ELIGIBILITY TO REGISTER IN SASKATOON. A. Individuals in those areas that are adjacent to the City of Saskatoon City Limits, and who do not have a baseball program in Zones 5 or 7 (their zone of residence) in reasonable proximity to their residence, will be accepted to apply for eligibility to play in Saskatoon. Individuals are to participate in the baseball programs in their zone of residence. B. A player wishing to change provincial zones shall complete the letter of documentation with proper approval from their home community or sports organization stating that baseball in their age division is not available to that player in reasonable proximity to their residence. Reasonable proximity will be determined by the two zone governors involved. 1. The requirement for written documentation applies to the following Saskatoon Leagues, age divisions and team categories, provincial and non-provincial as follows: Rookie, Mosquito, peewee, Bantam, Midget, Junior and Senior 2. The Saskatchewan Baseball Association does not recognize a letter of release, only the properly completed letter of documentation is acceptable. C. The residency deadline for all players is June 1st of the current year. A paper residence will not be permitted. D. If a player changes zones for the purpose of earning a wage or career opportunities, they shall notify the SBA Zone Governors of the two zones involved. The request will be reviewed by the Governors and if the request is reasonable and they are in agreement, then the transfer shall be authorized. The June 1st current year residency rule will apply in these situations. The decision of the Governors will be final. E. If a player changes zones without the letter of documentation, and/or the deadline of June 1st is passed, and/or their eligibility is invalid, that player is ineligible for any SBA playdowns, Provincial Championship Tournaments, Western Canadian/Prairie Regional Championships or National Championship Tournaments for the current year. F. An individual may be eligible to play baseball in Saskatoon if they are attending a school in Saskatoon. They shall have the letter of documentation signed by a representative of the school they are attending. The name of the school will be shown on the Rec. Board line. These individuals are not to register with a Saskatoon Baseball Zone Organization during the March registration. They are to forward the completed letter of documentation to the Zone Governor. G. An individual who is currently going to school or playing another sport out of the province and is returning to play baseball in Saskatoon for the season shall be properly registered with the Saskatchewan Baseball Association. The June 1st residency rule will apply. H. There is no grandfather clause or elite player clause. Saskatoon Baseball Council Inc. Page 9 of 15

Saskatoon Baseball Council Inc. APPENDIX B-2 ADDENDUM THE SASKATOON BASEBALL COUNCIL INC. REGULATIONS WHICH GOVERN ALL NON-RESIDENT BASEBALL PLAYERS APPLYING TO PLAY BASEBALL IN SASKATOON 1. A non-resident baseball player living east of the South Saskatchewan River shall only be eligible to play in one of the following zones: Cardinals, Blue Jays, Braves. A non-resident baseball player living west of the South Saskatchewan River shall only play in of the following zones: Rays, Red Sox. This applies to the following divisions and categories: Rookie, Mosquito, Pee Wee, Bantam and Midget. 2. A non-resident is any baseball player that resides outside the corporate limits of the City of Saskatoon as of June 1st of the current year. Even though a baseball player has a Saskatoon rural route address, this does not qualify them as a Saskatoon resident and they shall submit a letter of documentation each year that they wish to play baseball in Saskatoon. Where a player lives, not their postal code or address shall be used to determine their eligibility. 3. The non-resident baseball players do not register with any of the Saskatoon City Baseball Zone Organizations during the March registration. They shall submit a letter of documentation, receive approval and by contacted by the appropriate League President. 4. A baseball player may not create a paper residence in Saskatoon for the purpose of playing baseball whether they are from one of the Saskatoon zones or a non-resident from outside of Saskatoon. A player who creates a paper residence shall be suspended. 5. The letter of documentation shall be sent to the SBA Zone 6 Governor: 6. The acceptance period for the letter of documentation shall be from March 15th to April 10th. The SBA Zone Governor shall contact the appropriate league, which shall place the non-resident player in one of the zones. The SBA Zone Governor shall contact the non-resident player and notify them of the decision. The non-resident player may not practice or play with a Saskatoon team until they have been notified by the Zone Governor. 7. With the submission of the letter of documentation, a non-resident agrees to abide by all Saskatchewan Baseball Association Inc., and Saskatoon Baseball Council inc. and League regulations that apply. Saskatoon Baseball Council Inc. APPENDIX C - ADDENDUM SPECIAL PROJECTS COMMITTEE A. The name of the committee shall be The Special Projects Committee. B. Membership is restricted to the past presidents of the Saskatoon Baseball Council Inc. and the current president of the Saskatoon Baseball Council Inc. C. The chairman of the committee shall rotate yearly. D. The committee shall have a separate banking account and separate signing authority from the current Saskatoon Baseball Council Inc. accounts. E. The fund shall not be entirely spent in one year. If there are sufficient applicants, 20% to 30% will be distributed. The remaining amount will be invested in a GIC. F. Applications are due June 1 st of each year and the committee shall make every attempt to pay out 2/3 of the monies by July 1 st of the same year with the remaining 1/3 paid out upon submission of follow up receipts and report, due by August 31 st of the same year. G. Applications shall be available at the SBCI Spring Semi-Annual Meeting of each year. H. There shall be no total funding of a project. I. Only Saskatoon Leagues, Zones and the Saskatoon & District Baseball Umpires Association may apply. J. No funds shall be provided for operating expenses or team travel. K. Eligible projects may include, but are not limited to: 1. field improvements fences, shale, facility up-grade, etc. 2. new baseball diamonds 3. major purchases pitching machines, etc. 4. reference library books videos, etc. ADDENDUM TO THE BY-LAWS OF THE SASKATOON BASEBALL COUNCIL INC. Saskatoon Baseball Council Inc. APPENDIX D - ADDENDUM REGULATIONS FOR FORMING TEAMS Policy for teams entering Provincials for AAA Category cities that have formed at least two Zones within that city. Only those city zones that have registered a team in the Provincial AAA category be permitted to enter teams in the Provincial AA category and that only those city zones that have registered at least one provincial team in both the Provincial AAA and Provincial AA categories be permitted to enter teams in the Provincial A category. APPENDIX E - ADDENDUM DISCIPLINE COMMITTEE OUTLINE The following will be used by the SBCI to deal with any/all discipline within Zone 6 and will be effective for all baseball activities within Zone 6. The discipline committee shall consist of: The SBCI President or his/her delegate The Zone 6 Governor or his/her delegate One representative form each of the 5 zones within Zone 6 One representative of the Saskatoon and District Baseball Umpire Association The following categories of game ejections and suspensions will be automatic and in effect immediately. A> A routine ejection form a baseball game by an Umpire First offense: the game suspension Second offense: 3 game suspension Third offense: 10 game suspension Fourth offense: suspension for the remainder of the season B> Verbal abuse by a coach, player, manager including not leaving the field after a routine ejection, obstructing the game or causing a nuisance First offense: 2 game suspension Second offense: 5 game suspension Third offense: 10 game suspension Fourth offense: suspension for the remainder of the season C> Physical contact with the Umpire, opposing coach, manager, fan, official by a coach, manager, player First offense: 5 game suspension and 1 year probation Second offense: suspension for the balance of the season and 2 years probation D> Physical abuse, threats, intent to injure an Umpire, coach, player, manager, fan by a coach, manager, player or umpire First offense: immediate suspension until the hearing date offender will appear before the Discipline Committee to determine the length of suspension minimum suspension will be 10 games and 2 years probation When initiating a complaint against a coach, manager, umpire, player, official - it must be received the SBCI President within 48 hours of the offense. The Discipline Committee will render a decision within 10 days. If the Discipline Committee s decision is appealed, the appeal must be received by the SBCI President within 48 hour of receiving the decision, and will be handled and a decision rendered within 10 days. The cost of the appeal will be $100 and must be received by the SBCI President with a written letter of appeal. The appellant will remain under suspension until a decision is made unless recommended otherwise by the League/Zone and only at the discretion of the SBCI President. Each League and Zone within Zone 6 will be responsible for forwarding any/all ejection forms, formal complaints it receives to the SBCI President within 48 hours. Saskatoon Baseball Council Inc. Any player, coach, manager, umpire, official on probation that commits any offense while on probation will appear before the Disciplinary Committee. While under suspension, players, coaches, managers, umpires officials are not allowed to participate in any SBA activity or event. The includes any/all baseball activity outside of Zone 6. Any coach, manager, official or umpire that knowingly allows a person under suspension to participate in any baseball activity (including practices), will appear before the Discipline Committee and may face suspensions for violating a Disciplinary Order. Appendix F Addendum Saskatoon Baseball Council Inc. Regulations that Govern a Players Eligibility 1. All Rookie, Mosquito, Pee Wee, Bantam and Midget age players shall register and play in the age appropriate division as determined by Sask Baseball. 2. This shall apply to all players participating in a Saskatoon Zone 6 League. 3. Non resident players and teams from outside of Zone 6 shall abide by all regulations while participating in a Zone 6 League. 4. Under certain circumstances, Saskatoon Zone Executives may apply to allow players to move up one age division. a) Application to do so must will be made in writing, and directed to the Saskatoon Baseball Council Inc. or it s designate. Application must be made prior to the start of the current baseball season. b) The designate members of the Saskatoon Baseball Council Inc. shall rule on the matter. c) The designate shall be: i) President of the applicable League (to who the application shall be directed) ii) Sask Baseball Director for the applicable age division iii) Past President of the Saskatoon Baseball Council Inc. d) If permission is granted, the player shall not be eligible to return to the younger age division for the remainder of the season. 5. Players in the last three years of the Mosquito division, and in the Pee Wee, Bantam and Midget divisions may play up to five games in a season in the next higher category or Division. 6. Players allowed to move up a category or division on a game by game basis shall abide by the following conditions: a) to make up the eleventh player on the team b) allowed for League or Tournament play c) allowed to move up one division only d) must fulfill commitment to own team first e) for emergency use only, not to be used on a regular basis f) applies to any and all teams playing in Zone 6.
