FOREWORD PAGE 1 SOUTH AUSTRALIA S BREEDERS & OWNERS INCENTIVE SCHEME, (SABOIS), HAS NOW COMPLETED SEVENTEEN SEASONS OF OPERATION, AND IN THE PAST SEASON IT PROVIDED OWNERS, BREEDERS, TRAINERS AND RIDERS WITH SABOIS BONUS PAYMENTS OF $1,462,175 FROM OVER 500 SABOIS RACES CONDUCTED AT RACETRACKS ACROSS SOUTH AUSTRALIA. The SABOIS bonus payments list for 2015/16 was topped by the Lloyd Kennewell trained threeyear-old Viddora with $57,500 in bonuses, while two-year-old Nodoubtaboutit, trained by Phillip Stokes claimed $18,800 in bonus payments for its connections. Through SABOIS Plus, Rivers Lane added an additional $15,600 in bonuses to his earnings for his owners. The Thoroughbred Racing SA Board introduced in 2013/14, and implemented once again in 2015/16, a policy to cap the total SABOIS bonus payments available each year and for the 2016/17 financial year this will again be $1.4M. However to ensure there is an appropriate level of SABOIS bonuses available throughout the full year, the cap on bonuses will be implemented on a quarterly basis, with the quarterly cap based on the average of the SABOIS bonuses paid out in each quarter over the last three years. As a further incentive to nominate your 2015 foal for SABOIS, Thoroughbred Racing SA will schedule a two-year-old race (to be run in July 2017), and a three-year-old race in 2018, both with prize money of $100,000 with each event only open to SABOIS fully qualified horses. A fully qualified horse is where both the Breeder and Owner Nomination Fees have been paid. This year saw the second running of a race for qualified two-year-olds, with the winner being the Mark Crawford bred and part owned Time Out, trained by Richard Jolly, with Richard also training the winner of what was the first race for qualified three-year-olds (foaled in 2012), with Karlovasi. Thoroughbred Racing SA congratulates all of last season s SABOIS bonus winners, in particular those horses who featured in the 2015/16 SABOIS Premierships, and wishes all SABOIS participants continued success in the upcoming season.

IT MAXIMISES INTEREST IN QUALIFIED HORSES AND PROVIDES FINANCIAL REWARDS TO BREEDERS OR NOMINATORS, OWNERS, TRAINERS AND JOCKEYS OVER AND ABOVE PRIZEMONEY EARNED. Who Does SABOIS Apply To? Horse eligibility falls into three categories: South Australian sired horses (Category 1) South Australian breed backs (Category 2) Horses of South Australian breeders (Category 3) Anyone who breeds or races horses, from the hobbyist to the professional, can be involved. Trainers and jockeys also derive significant benefits from SABOIS. Where Will SABOIS Bonus Races Be Run? Every racing club in South Australia will host SABOIS bonus races. 2015 foals nominated for SABOIS are eligible to compete for bonuses in over 400 races throughout the whole of South Australia. When Do SABOIS Nominations Close? SABOIS breeder nominations for foals born in 2015 close January 31, 2017. SABOIS owner nominations for foals born in 2015 close May 31, 2017. Breeders may also pay the owner nomination fee any time up to May 31, 2017. Late nomination fees to fully qualify foals born in 2015 can be paid by June 30, 2017. When Do SABOIS Races Commence? Foals born in 2015 will begin racing for SABOIS bonuses after August 2017 when they turn two-years-old.

Fill out the nomination form enclosed with this information guide, or downloaded from the website; 2. Sign the nomination form or have their authorised agent sign for them; 3. Check that the nominated horse(s) are eligible and listed on the nomination form in the correct category with the correct fee. 4. Complete the required details regarding nominator(s) GST registration status on the back of the nomination form. See page 10 for a detailed explanation of what is required. Please use a separate form if partners percentages vary from horse to horse. 5. PAGE 10 GST REQUIREMENTS IS GST PAYABLE ON NOMINATIONS? Under the Federal Government s Tax Regime Thoroughbred Racing SA Limited has registered for GST and must therefore charge GST on nomination fees. The nomination fees in this Information Guide include GST. WHEN IS GST PAYABLE ON BONUSES? GST is payable on SABOIS bonuses only to suppliers who are registered for GST for their breeding business and have submitted details to SABOIS. On the back of the nomination forms are details required from you for SABOIS to correctly gross-up bonus payments to include GST for GST registered nominators. GST is not payable to suppliers who are not registered for GST. WHAT DO I DO ABOUT GST? If you have not sought professional advice as to whether you should apply for an Australian Business Number (ABN) and register for GST, TRSA recommends to do so immediately. One or more nominators of a horse must provide: 1. Full name(s) and 2. Australian Business Number (if applicable to this activity) and 3. GST Registration Status (YES or NO) and 4. Percentage of Ownership or Details 1, 3 and 4 to indicate their status as a hobbyist. GST is payable to owners/breeders who have an ABN for their racing/breeding enterprise and have registered for GST. For owners receiving prizemoney and SABOIS bonuses, the details 1, 2, 3 and 4 must be supplied to the Registrar of Racehorses, Racing NSW, Level 7, 51 Druitt Street, Sydney NSW 2000 or faxed to (02) 9551 7519 on the Registrar s prescribed form. Forms can be obtained from Thoroughbred Racing SA, Morphettville Racecourse or. The GST component of bonuses paid to GST registered nominators, owners, trainers and jockeys must be included in their monthly or quarterly business activity statement (BAS). Failure to provide Thoroughbred Racing SA with the required information may result in SABOIS deducting 46.5% withholding tax from bonus payments under the PAYG legislation. If you are registered for GST, you can claim a tax credit for GST included in the SABOIS nomination fee.

INTRODUCTION SABOIS Bonus payments (including any applicable GST) will be paid by TRSA to the Owner and/or Breeder or Nominator of horses (as the case may be) that participate in the SABOIS scheme under these Rules and Conditions if the conditions are met. SABOIS Bonus payments are not part of the stakemoney payable under the Australian Rules of Racing for a race. The SABOIS Bonus payments are not taken into account when deciding the eligibility of a horse in the balloting conditions applicable to a race under the Rules of Racing. 2. ADMINISTRATION 2.1 TRSA will administer SABOIS. 2.2 TRSA reserves the right at any time to: terminate or change SABOIS. amend any of these Rules and Conditions. TRSA may, in its absolute discreation (but is not obliged to) consult with and consider the views of the SABOIS Working Party as to any changes to these Terms and Conditions, but TRSA has absolute discretion as to any changes made. Neither TRSA, nor its officers, servants or agents shall be liable to any person in any way if SABOIS is terminated. amend the level of any SABOIS Bonus payment on any race. 2.3 No refund, in full or in part, of a Nominator Fee is payable except as follows: (a) If TRSA terminates SABOIS, TRSA shall determine and refund, to such SABOIS Nominators as it determines, the proportion (if any) of the balance of the fees paid to it in respect of SABOIS which at its sole and unfettered discretion it determines is appropriate after deducting expenses incurred in relation to SABOIS and liabilities (contingent or otherwise) incurred in respect of SABOIS and SABOIS Plus bonuses paid or liable to be paid by it. 2.4 Notice of the termination of SABOIS or the changing of these Rules and Conditions must be published. Such a publication, in the discretion of TRSA may be in either The Races, the official publication of TRSA, or on the Industry website, www., or both. 2.5 If there is any dispute about the application or interpretation of these Rules and Conditions or about the payment of a SABOIS Bonus payment or if any other issue arises not apparently covered by these Rules and Conditions, TRSA s adjudication about, and/or decision on, the dispute or issue (as the case may be) will be final and binding. 2.6 TRSA is not liable for any loss or damage of any kind whether arising from its acts or omissions in the administration of SABOIS or otherwise. 3. ELIGIBILITY 3.1 A horse, to be eligible to participate in SABOIS, must comply with one of the following categories. Category 1 South Australian Sired By a stallion which stood at stud in South Australia during the season when the horse was conceived, or; Category 2 South Australian Breed Back From a mare that was served by a stallion which stood at stud in South Australia in the season when the horse was born, or; Category 3 South Australian Breeder Horses by stallions that do not stand in South Australia provided the horse is owned, at birth, by a South Australian Breeder or the dam is bought by a South Australian Breeder with the horse, as a weanling or foal at foot of that mare. The Nominator of the horse must have completed and delivered to TRSA a Nomination Form together with the Nomination Fee by the due date. 3.2 If a mare was not able to be served by a stallion which stood at stud in South Australia in the season when the horse was born because of veterinary problems, the horse is deemed to be a Category 2, if with the Nomination Form the Nominator provides written evidence of: the mare being resident in South Australia for a continuous period of 4 months during the season in which the horse was born and; a booking to a South Australian based sire, and; a veterinary certificate confirming the veterinary problem for the mare not able to be served.

PAGE 12 RULES AND CONDITIONS 3.3 A South Australian Breeder is; A natural person who ordinarily lives in South Australia or, A South Australian company whose members ordinarily live in South Australia who beneficially own shares in the South Australian company which carry: the right to exercise at least 50% of the voting power in that South Australian company and; the right to receive at least 50% of dividends that the South Australian company may pay, and; the right to receive at least 50% of any distribution of capital of the South Australian company. A partnership in which at least 50% of the partnership capital is beneficially owned by; natural persons who ordinarily live in South Australia, or; South Australian companies, or; both. A syndicate in which at least 50% of the syndicate is beneficially owned by; natural persons who ordinarily live in South Australia, or; South Australian companies, or; both. 4. NOMINATIONS 4.1 It is a precondition of entry to SABOIS that a participant, and by signing the Nomination Form the participant agrees to, indemnify and hold harmless TRSA against all liability howsoever arising from any incorrect statement in the Nomination Form. 4.2 If a Nomination Form contains any incorrect statement in relation to eligibility for the scheme, when discovered, the horse will automatically cease to participate in SABOIS and TRSA is entitled to recover all SABOIS Bonus payments paid to the Owner and the Breeder or Nominator of the horse before the incorrect statement was discovered. 4.3 Only one nomination for a horse will be accepted but the fee for same may be split in the ways described in Rule 5 hereof. 4.4 If the Nominator is not the Breeder of the horse, the Nominator must own the horse when it is nominated. 5. NOMINATION FEE 5.1 The Nomination Fee may be paid: 5.1.1 in full by the Breeder within the times specified in these Rules and Conditions; 5.1.2 in the alternative; (a) in part by the Breeder ( Breeder s Contribution ) within the time specified in these Rules and; (b) as to the balance, by the Owner ( Owner s Contribution ) within the time specified in these Rules. 5.2 The Breeder s Contribution must be paid no later than January 31 of the season in which the nominated horse is a yearling. The Owner s Contribution must be paid no later than May 31 of the season in which the nominated horse is a yearling. A late fee applies to any nomination of a horse for which the Breeder s Contribution has not been paid on or before January 31 of the season in which the nominated horse is a yearling. In such an event such horse shall be deemed to be Fully Qualified. 5.3 In the event that only the Breeder s Contribution is paid for a particular horse as at the due date for payment of a Nomination Fee, the Breeder or Nominator shall be entitled to the SABOIS Bonus payment specified in Rule 6 of these Rules and Conditions as payable to a Breeder or Nominator but no other SABOIS bonus payment is payable either to the Breeder or Nominator or Owner or any other person. 5.4 In the event that the Nomination Fee is paid in full either pursuant to 5.1.1 or 5.1.2 (b) then the SABOIS Bonus payment is payable to each of the persons identified in Rule 6. The Nomination Fees (GST inclusive) are: 5.5 For eligible horses born in 2015 to be Breeder Paid the following fees must be paid by 31 January 2017: $330 for a horse in Category 1, $550 for a horse in Category 2, $825 for a horse in Category 3;

RULES AND CONDITIONS PAGE 13 5.6 For horses born in 2015 that have been Breeder Paid by 31 January 2017, to be Fully Qualified the following additional fees must be paid by 31 May 2017: $330 for a horse in Category 1, $550 for a horse in Category 2, $825 for a horse in Category 3; 5.7 For eligible horses born in 2015 that have not been Breeder Paid by 31 January 2017 to be Fully Qualified the following fee must be paid by 30 June 2017: $1,320 for a horse in Category 1, $2,200 for a horse in Category 2, $3,300 for a horse in Category 3; 5.8 For a horse that has been Breeder Paid pursuant to 5.1.2(a) and has also been catalogued for sale at an auction sale held by Magic Millions Sales Pty Ltd or William Inglis and Son Limited between 1 May 2017 and 30 June 2017, to be Fully Qualified the fees as prescribed in Rule 5.6 must be paid within 28 days of the auction date or 30 June 2017, whichever occurs first. 5.9 If a horse is eligible to participate in SABOIS and is eligible in more than one category of qualification, the Nomination Fee payable shall be the lowest fee payable for the categories under which the horse is eligible. If a Breeder or Nominator elects to pay the Nomination Fee by a deduction from sale proceeds due after the sale of the horse at an auction held by Magic Millions Sales Pty Ltd or William Inglis and Son Limited, the Breeder or Nominator must sign the Authority to Deduct Fee from Yearling Sale Proceeds on the Nomination Form and lodge the form with TRSA prior to the date of the Sale or 31 January 2017, whichever occurs first. 5.10 The signing of the Authority to Deduct Fee from Yearling Sale Proceeds by the Breeder or Nominator does not release the Breeder or Nominator from the liability to pay TRSA the nomination fee in full. 6. BONUSES The following SABOIS Bonus payments will be made to an eligible horse accepted into SABOIS for races programmed by TRSA and designated, at its discretion, by TRSA as carrying a SABOIS Bonus. 6.1 For programmed SABOIS non Black Type two or three year old races run at South Australian Metropolitan Saturday and Public Holiday race meetings, for which the advertised prizemoney for the race is at least $25,000. to the Owner of a Fully Qualified horse: - the winning horse, $9,500 - the second placed horse, $3,000 - the third placed horse, $1,500 to the Breeder or Nominator of a Breeder Paid horse: - the winning horse, $4,000 - the second placed horse, $1,350 - the third placed horse, $650 6.2 For two or three year old horses placing in programmed SABOIS races at South Australian Metropolitan midweek, Provincial and Country TAB race meetings. to the Owner of a Fully Qualified horse: - the winning horse, $3,750 - the second placed horse, $1,200 -the third placed horse, $600 to the Breeder or Nominator of a Breeder Paid horse - the winning horse, $1,550 - the second placed horse, $600 - the third placed horse, $300; 6.3 For a four year old horse winning a programmed SABOIS Maiden race at South Australian Metropolitan midweek, Provincial and Country TAB race meetings, for the avoidance of doubt, a SABOIS Bonus payment is only payable to a four year old horse upon that horse winning its first race and not thereafter. to the Owner of a Fully Qualified horse: - the winning horse, $3,750 to the Breeder or Nominator of a Breeder Paid horse - the winning horse, $1,550 6.4 For two or three year old horses placing in programmed SABOIS races at South Australia race meetings at which the off-course totalisator is not authorised to conduct betting to the Owner of a Fully Qualified horse: - the winning horse, $1,300 - the second placed horse, $450 - the third placed horse, $225; to the Breeder or Nominator of a Breeder Paid horse: - the winning horse, $650 - the second placed horse, $250 - the third placed horse, $125; 6.5 For a four year old horse winning a programmed SABOIS Maiden race at a South Australian race meeting at which

PAGE 14 RULES AND CONDITIONS the off-course totalisator is not authorised to conduct betting to the Owner of a Fully Qualified horse: - the winning horse, $1,300 to the Breeder or Nominator of a Breeder Paid horse: - the winning horse, $650 6.6 For two or three year old horses placing in selected Group One, Group Two or Group Three races run in South Australia: to the Breeder or Nominator of a Breeder Paid horse - the winning horse, $7,000 - the second placed horse, $2,000 - the third placed horse, $1,000 6.7 For two or three year old horses placing in selected Listed races run in South Australia: to the Breeder or Nominator of a Breeder Paid horse - the winning horse, $3,500 - the second placed horse, $1,000 - the third placed horse, $500 6.8 For SABOIS Plus Bonus races, the following SABOIS Bonus payments will be made for races programmed by TRSA carrying a SABOIS Plus Bonus. Such programming is at the sole discretion of TRSA. to the Owner of a Fully Qualified horse: - the winning horse, $4,500 - the second placed horse, $1,500 - the third placed horse, $750 to the Breeder or Nominator of a Breeder Paid horse - the winning horse, $2,200 - the second placed horse, $700 - the third placed horse, $350 6.9 For a horse to be eligible for a SABOIS Plus Bonus they must have qualified for SABOIS in the season in which such horse was a yearling, subject to Conditions 3, 4 and 5. 6.10 GST will be added to SABOIS Bonus payments made to suppliers registered for GST who have submitted the appropriate details and declarations as required by TRSA and the Registrar of Racehorses. 7. BONUS PAYMENTS 7.1 TRSA may withhold SABOIS Bonus payments until it is satisfied that: inquiry procedures under the Rules of Racing have been completed, or the horse has tested negative to a swab taken. 7.2 Subject to clause 7.1, the SABOIS Bonus payment is payable according to the placings when correct weight is declared for the race. 7.3 Should there be a dead-heat for any placing, the Owner and Breeder or Nominator of the horse(s) that participates in SABOIS will be paid the total of the SABOIS Bonus payment available for the horses had they finished in successive places and not dead-heated, divided by the number of horses that dead-heated. 7.4 SABOIS Bonus payments are subject to the same deductions for the trainer and jockey as applies to prizemoney under the Rules of Racing. 7.5 TRSA may deduct 46.5% withholding tax from SABOIS Bonus payments if it has not received: (a) a declaration of GST registration and ABN or, (b) a hobbyist declaration. 8. ACCIDENTAL DEATH OF YEARLING REFUND POLICY 8.1 Where a yearling nominated for SABOIS dies as a result of an accident as a yearling on or before June 30, the paid portion of the SABOIS Nomination Fee will be refunded in full, provided:- 8.1.1 The horse is aged one as determined by Australian Rule of Racing AR.46, 8.1.2 The Nominator has provided to TRSA a veterinary certificate noting the time, date and cause of death and the opinion of the veterinarian as to whether the death was caused by or contributed to by the wilful or negligent act of any person and; 8.1.3 The horse has not been exported from Australia and; 8.1.4 The application for refund is received on or before June 30 in the year that the horse is a yearling. 8.1.5 The SABOIS Breeder Nomination Fee was paid in full on or before January 31 in the year that the horse is a yearling or; 8.1.6 The SABOIS Breeder and Owner Nomination Fee was paid in full on or before January 31 and May 31 respectively in the year that the horse is a yearling or;

RULES AND CONDITIONS PAGE 15 8.1.7 The SABOIS late Nomination Fee was paid in full on or before June 30 in the year that the horse is a yearling. 8.1.8 Subject to Conditions 8.1 through 8.1.7 only the SABOIS Nomination Fee will be refunded. 8.2 Where a yearling dies after June 30, TRSA may, at its absolute discretion, consider an application for refund. 8.3 For the purposes of this clause, accidental death does not include the death of a horse that has been caused by the wilful or negligent act of any person involved in the Ownership, care or management of the horse or to which such person has contributed by their actions 8.4 All persons making application for a refund in accordance with this policy shall supply TRSA with such information as may be requested to assist in the determination of the application. 8.5 All decisions by TRSA in relation to an application for a refund under this condition shall be final and binding on all parties and shall not be the subject of any challenge however so arising. 9. NOMINATION CREDITS A Breeder/Nominator or Owner can apply to Thoroughbred Racing SA Ltd for a credit of the applicable nomination fee paid to SABOIS if a horse that they entered for SABOIS has not had a start in South Australia and remains a Maiden as a 5 year old. This credit can be applied to either the Breeder or Owner Nomination fee for any future foal crop. 10. DEFINITIONS The Breeder or Nominator of a horse is the person, syndicate or company named on the Nomination Form as the Breeder or Nominator (as the case may be). Breeder Only is where only the Breeder or Nominator section of the Nomination Form for a horse being entered into the scheme has been completed and only the Breeder or Nominator fee has been paid. Fully Qualified is where both the Breeder or Nominator and Owner sections of the Nomination Form for a horse being entered into the scheme has been completed and both the Breeder/Nominator and Owner fee have been paid. Group and Listed Races have the same meaning as they have in the Rules of Racing. Nomination Form is the form that is to be completed to enter an eligible horse into SABOIS. Midweek Metropolitan race is a race run at a metropolitan racecourse for which the prizemoney of the race does not exceed $25,000. Owner the Owner of a horse is the person, syndicate or company registered with TRSA as the Owner of a horse and if the horse is leased, the Owner is the registered lessee. Rules of Racing are the Australian Rules of Racing and the Local Rules of Racing adopted by TRSA. SABOIS is the South Australian Breeders and Owners Incentive Scheme established under these Rules and Conditions. SABOIS and SABOIS-PLUS refer to the scheme previously referred to as SABIS and vice versa. SABOIS Bonus payment is the additional payment on races nominated by TRSA as carrying a SABOIS Bonus made to eligible horses entered into SABOIS. SABOIS Plus Bonus is the additional payment on races of distances of 1800m or further in which horses entered may be four years old or over, and are nominated by TRSA as carrying a SABOIS Plus Bonus made to eligible horses entered into SABOIS. SABOIS Working Party is a group established by TRSA comprising representatives from TRSA, the South Australian Jockey Club, the South Australian Racing Clubs Council, the South Australian Thoroughbred Breeders Inc. and the Australian Trainers Association (South Australian Branch) Season is the thoroughbred racing season between 1 August and 31 July in a particular year. TRSA is Thoroughbred Racing SA Limited. 11. INTERPRETATION Headings are for ease of reference only and do not affect the interpretation of these Rules and Conditions; References to a person include a corporation or a syndicate; References to a person include that person s executors, administrators, and successors and permitted assigns; The singular includes the plural and the plural the singular; Words of one gender may include both or other genders; Breeder means a natural person, company or partnership with a financial interest in the horse at the time of birth; Nominator means a natural person, company or partnership with a financial interest in the horse at the time of nomination; GST means Goods and Services Tax.
