KENNESAW BASEBALL ASSOCIATION, INC. KENNESAW, GEORGIA CONSTITUTION AND BY-LAWS ARTICLE I: NAME This organization shall be known as the Kennesaw Baseball Association, Inc. ARTICLE II: OBJECTIVE Kennesaw Baseball Association seeks to implant in the youth of the community ideals of good sportsmanship, honesty, loyalty, courage, and reverence so that they may be finer, stronger, and happier youth who will grow to be good, clean, healthy adults. This objective will be reached by providing supervised, competitive athletic games. The supervisor shall bear in mind at all times that the attainment of exceptional athletic skills or the winning of games is secondary and that the molding of future citizens is of prime importance. ARTICLE III: GOVERNMENT A. The government of the Association shall be under the direct supervision of the Board of Directors. B. Administrative personnel includes adult persons connected with the League. C. Officers of the league shall include President, Vice President/Finance, Vice- President/Purchasing-Equipment. Vice-President/Concessions. Director/Sponsorships, Secretary, Local League Directors (5&6 year old, 7&8 year old, 9&10 year old, 11&12 Year old 13&14 year old Leagues.) Director Competitive/Travelling Division (Ages 12, 13, 14, 15 and 16) and Tournament Field Director. These officers shall constitute the BOARD OF DIRECTORS. President of the Association shall not be eligible to perform as a team Manager or coach, but as an Assistant coach only. League Directors shall be eligible to perform as an assistant coach within their own league, providing League Director is not involved in any decisions or controversies during his/her game. D. At the annual organization meeting administrative personnel shall elect from its membership the officers stated in (C) above. These officers shall hold office for one year, but may be eligible for re-election. Term of office shall be from August 1 through July 31. E. All major matters of policy concerning the Association shall be directed by a vote of the administrative personnel. AMENDMENT TO CONSTITUTION & BY-LAWS 1-6-99 ARTICLE III - GOVERNMENT SECTION C

-2- F. A protest committee shall be made up of League Directors with the right to appeal to the Board of Directors. G. Duties of the officers shall be as follows: 1. PRESIDENT Presides at meetings and heads Board of Directors, supervises at functions for various committees, and in general sees that By-Laws, policies, and principles of the Kennesaw Baseball Association are carried out. Insure that the pay to is filled in before signing checks. 2. VICE-PRESIDENT/FINANCE: Presides in the absence of the President and serves as financial officer of the Association. Charged with collection of Association funds. Utilizes form TR-1 for registration money and form TR-2 for concession stand money. When collecting for deposit these funds will be reconciled by the VP Concessions after each deposit. Charged disbursement of Association funds, to maintain balanced checkbook, when at the ballpark or official Association function, will have checkbook and current budget report for viewing by any Association member. Insure that current budget report is available at each concession stand during the season. Use computer program Quicken to maintain data by categories and for the printing of reports. Insure two signatures are on each check issued, authorized to sign Association checks VICE PRESIDENT PURCHASING/EQUIPMENT: Responsible for purchase and inventory of baseball equipment and uniforms. Set dates for issuance and collection of equipment to and from league directors. Authorized to sign Association checks. 3. VICE-PRESIDENT/CONCESSIONS: Responsible for purchasing concession stand Stock and equipment. Secures concession stand coordinators and receives weekly stock order forms. Reconciles deposits of Association funds with VP Finance using forms TR-1 or TR-2, against deposit slip totals and dates. Assists VP Finance. 4. DIRECTOR/SPONSORSHIPS: Responsible for securing team sponsors. Insures sponsors are recognized at end of the season. 5. SECRETARY Responsible for recording all official Association meetings. Insure copies of minutes are available at each concession stand during season. Handles official Association correspondence.

-3-6. LOCAL LEAGUE DIRECTOR: Includes 5 & 6 year old League, 7 & 8 year old League, 9 & 10 year old League, 11 & 12 year old League and 13 & 14 year old League. Responsible for inventory, issuance and collection of league equipment to and from team managers. Sets drafts, skilltests, practice schedule and game schedule of local leagues. Recommends manager and coach candidates to Board of Directors for approval. 7. COMPETITIVE /TRAVELING DIVISION DIRECTOR: Responsible for organization, selection, practice and game schedules of all competitive travelling teams. Handles all correspondence concerning these teams including special requirements and any tournaments. 8. TOURNAMENT/FIELD DIRECTOR: Responsible for coordination of local League all stars and tournament teams. Liaison between Association and City of Kennesaw Director of Parks and Recreation. H. Each officer shall be allowed to appoint an assistant who in the absence or unavailability of that officer shall assume the duties and responsibilities of the officer being assisted. Assistants shall be approved by a majority vote of the Board of Directors. I. Upon the resignation of any officer, the Board of Directors is empowered to appoint a replacement, who shall assume the duties and responsibilities of the office and shall serve the unexpired term of the office. ARTICLE IV: MEETINGS A. A meeting of the administrative personnel shall be conducted some time between January and March for the reading of reports and organization for the following season. B. A meeting of the administrative personnel shall be conducted in June for the purpose of election of officers for the next year. League Directors shall not schedule games from time of General Meeting 1-1/2 hours before or after, so as not to interfere with election procedures. C. Additional meetings may be called by the President upon written request of at least Six (6) members of the administrative personnel. The President must call a meeting within two weeks. D. Those attending a publicly announced meeting of the administrative personnel shall constitute a quorum, and a majority vote of those present shall govern. E. Roberts Rules of Order, Revised shall govern the proceedings of all meetings, except where same conflicts with the constitution of the association.

-4- ARTICLE V: MANAGERS AND COACHES A. Managers of Local League Teams and Competitive/Travelling Teams shall be selected And approved by the Board of Directors prior to skills test and/or try-outs. They shall be responsible for their teams conduct on or off the fields. B. After the draft up to three coaches who will assist managers in the training and direction Of players may be selected by each manager under the following conditions: 1. The selections must be approved by the Board of Directors within one week after the Draft. 2. It is preferable that coaches be selected from the parents of players drafted or returning from that team, or be selected from other qualified adults not having children on competitive teams within the same league. C. If a manager or coach is ejected from a game by the umpire, he or she will be brought before the Board of Directors for disciplinary action as soon as practical. D. All managers with the Kennesaw Baseball Association must become certified with the N.Y.S.C.A. and must actively seek lifetime certification. E. Once selected to manage a Kennesaw Baseball Association local regular season team, all managers shall be committed to this baseball team only. No one shall be allowed to manage another baseball team inside or outside Kennesaw of the Kennesaw Baseball Association, Inc. (Excluding the 15 & 16 year old league and High School players.) ARTICLE VI: MEMBERSHIP A. Anyone meeting the requirements as to age and residence as set forth by the Kennesaw Baseball Association, Inc., shall be eligible for participation provided he/she is properly registered per ARTICLE VI, SECTION E. B. Anyone having an active interest in the program of this association may be invited by the administrative personnel to become an honorary member. C. The Board of Directors shall have the authority to suspend, discharge, or otherwise discipline any member manager, coach, player, umpire or other person whose conduct is considered detrimental to the best interest of the association. No manager, member, coach, player, board member or umpire shall be disciplined without an opportunity to know his/her alleged offense, and to offer defense to the Board of Directors. D. Officers shall upon evidence of misconduct of any player, notify the manager of the team which the player is a member within 24 hours of the act. The said manager shall appear in the capacity of an advisor with the boy/girl before the Board of Directors within three (3) days of the act, for appropriate action.

-5- E. Registration shall consist of completing of registration forms, parental consent terms And paying registration fees (unless hardship papers are filed with Board of Directors). No player shall be allowed to register after 6p.m. on day of draft unless a team roster drops below 12 players. A waiting list is to be maintained for each league and players Shall be placed teams according to that list, starting with first name on list. The President will keep this list. F. No one shall participate in the baseball program unless he/she is five (5) years old Before August 1, of year of participation. League ages will be in increments of 2 years, for example, 5/6, 7/8, 8/9, 9/10/ 11/12, 13/14, 15/16 and 17/18. League age is determined as to the age on July 31 of current year/season. The League Director may split a league into two individual leagues of single age groups, if it will be in the best interest of the league. The league decision must be approved by the Board of Directors. ARTICLE VII: FINANCIAL POLICY A. The Board of Directors shall decide all matters pertaining to the finances of the association. It shall be a general policy to place all income in a common treasury, directing the expenditures of same in such a manner as equipment and so forth. The Board of Directors and administrative personnel shall discourage the contribution of funds to individuals of teams and shall solicit the same for the common treasury of the association. This regulation is an endeavor to equalize the benefits of the association. ARTICLE VIII: RULES A. The rules of the particular franchise currently being played shall be approved by the Board of Directors at a meeting to be held not less than 30 days prior to the first Regularly scheduled game of each season to govern the playing of all leagues ages 7 through 18. Local 5 & 6 year old League rules shall be adopted by the 5 & 6 year old League Director and Managers, and these rules shall be approved by the Board of Directors at a meeting to be held not less than 30 days prior to the first regularly scheduled 5 & 6 year old League game. B. Deviations from these rules and regulations shall be agreed on by the Board of Directors before league play. C. All league play shall end by the last Saturday in June, except 15 & 16 year old League and 17 & 18 year old League. D. All-Star selection procedures and final rosters shall be approved by the Board of Directors. ADDITION TO CONSTITUTION & BYLAWS 1-18-99 ARTICLE VI - MEMBERSHIP - SECTION F

E. Participation requirements are as follows: -6-1. In local league play ages 5 through 12, every player will bat in continuous order. All players in these leagues will play a minimum of 2 defensive innings in a full game (4-1/2 to 7 innings) and bat once. Players on disciplinary restriction shall be designated to the opposing manager and scorekeeper in writing, prior to the beginning of the game. In local league play ages 5 through 12, all players who sit out one defensive inning, will play the next defensive inning so that no player will sit out for 2 consecutive innings. A free substitution rule will be adopted in each of these leagues to accommodate this rule. Players not participating in the minimum (1 at bat and 2 defensive innings) because of an abbreviation in the game shall start the next game and play the remaining requirements for the first game and the entire requirements for the present game. 2. In local 13 & 14 Year Old League play all players not on disciplinary restriction will play a minimum of 2 defensive innings (6 outs) and 1 at bat in full game (5-1/2 to innings). Players not participating in the minimum because of an abbreviation in the game shall start the next game and play any defensive or offensive requirements not met in the abbreviated game and at least the minimum for the present game. 3. Failure to comply with any part of the above rules shall result in the team manager being brought before the Board of Directors for disciplinary action. ARTICLE IX: TEAM COMPOSITION AND DRAFTING A. The local League Director is responsible for the draft with participation from all team managers or representatives. B. The following sub-articles, C through L, apply to league ages 5 through 12 on mandatory basis and may be used by league ages 13 through 16 on an optional basis. C. Team rosters shall be maintained from year to year with the following exceptions: 1. Parents may request in writing a player be put back in the draft pool, by the first day of tryouts in the year of participation. However, the Board of Directors must approve this. 2. The team manager may request in writing a player be put back in the draft pool by the first day of tryouts in the year of participation. However, the Board of Directors must approve this.

-7-3. Teams who lose players as a result of 1 and/or 2 above shall be equitably compensated immediately before the draft. Fair compensation shall be determined majority of that league s team manager s vote with approval from the league director. Compensation will come from the draft pool and not returning players. D. At the beginning of the draft, the following players may be automatically placed on a team. 1. Brothers (or other living I the same household) 2. Manager s son or brother (or other living in same household). Coaches shall be officially selected AFTER the draft, and coach s sons shall NOT be automatically selected in the draft. 3. Any other player automatically selected in the draft are subject to approval of the Board of Directors beforehand on an individual basis. E. Teams receiving automatic selections in the draft shall forfeit draft choices as follows: 5 & 6 Year Old League - 6 yr. old.2 nd pick 5 & 6 Year Old League - 5 yr. old.3 rd pick 7 & 8 Year Old League - 8 yr. old.2 nd pick 7 & 8 Year Old League - 7 yr. old.3 rd pick 9 & 10 Year Old League - 10 yr. old.2 nd pick 9 & 10 Year Old League - 9 yr. old.3 rd pick 11 & 12 Year Old League - 12 yr. old.2 nd pick 11 & 12 Year Old League - 11yr. old.3 rd pick 13 & 14 Year Old League - 14 yr. old...2 nd pick 13 & 14 Year Old League - 13 yr. old...3 rd pick 15 & 16 Year Old League - 16 yr. old 2 nd pick 15 & 16 Year Old League - 15 yr. old 3 rd pick F. Teams losing returing players because of an automatic selection to another team shall be compensated the forfeited draft choice as prescribed in E above. G. Odd draft rounds shall be in the INVERSE order of the team standings the previous Year (last place team draft first.) Even rounds shall be in the EXACT order of the team standings of the previous year. H. Every effort should be made to equalize the teams according to the following guidelines:

-8-1. The number of players on a team shall be equalized during the draft between the second and third rounds. Equalization shall occur according to the following priorities: a. The team with least number of players shall draft first. b. When two or more teams have equal number of players equalization drafting shall continue according to the won-loss record of the previous year (see G above for drafting pattern). 2. The approximate number of older boys should be equalized among the teams during the draft by honoring a pre-draft agreement between the coaches & league director regarding the older boys equalization numbers. I. Selection of players for expansion team(s) shall occur according to the following process: 1. Selection of players to provide a core of expansion teams shall occur as follows: a. The expansion team(s) shall draft a core of players, equal to the minimum number of players on returning teams of the oldest age from the draft pool (i.e., players who did not play in this league the previous year.) This selection shall occur before round one of the regular draft. b. In the event not enough older age boys are available to supply the minimum core for the expansion team, the expansion team shall draft from the regular draft pool to create this minimum. This selection shall occur before round one of the regular draft. 2. The expansion team shall be considered to have the poorest won-loss record of the previous year, and as such will draft first in round one and last in round two. In the case of two or more expansion teams, draft selection ordering of the expansion teams shall be determined by a drawing or coin flips in the presence of the league director immediately proceeding the draft. J. When a league shrinks to fewer teams, a team(s) will be dropped. The returning players from the team(s) dropped will be put in the draft pool prior to any drafting. K. Any trading of players (for transportation or other good reason) shall be among drafted players only, immediately following the draft (within one hour) with the approval of affected managers and the league director. Any other trades shall require approval of the Board of Directors. L. Sponsors of teams are discouraged if automatics are involved. Approval of the Board of Directors is required and draft forfeit conditions specified in D and E above shall apply.

When 13 and 14 year old League regular season games are scheduled with other parks and associations, the 13 & 14 year old League may adopt a set of rules for team composition and drafting which is to be reviewed and approved by the Board of Directors of Kennesaw Baseball Association, Inc. prior to the first registration. Otherwise, the sub-articles C through L will apply to 13 & 14 Year old League team composition and drafting. N. In the event the 12 through 18 year old league ages choose to establish a team or teams of age on a Travelling/Competitive format, the 13 & 14 year old age teams will need to consist of at least two-thirds (2/3) Kennesaw players, which would be persons who played with the Kennesaw Baseball Association the previous year. These teams will come under the Direction of the Director Competitive/Travelling Division: and governed by the policies established by the Director and Board in conjunction with the rules and regulations of the Associations in which they will complete. O. The league age 15 through 18 may, at their option and with the approval of the Board of Directors of Kennesaw Baseball Association, Inc. before May 10 of the playing season, choose to adopt sub-article C through L, M, and N, for league ages 15 through 18 team composition and drafting. P. Once selected to play on a Kennesaw Baseball Association regular season team, all players shall be committed to this baseball team only. No one shall play for another baseball team outside of the Kennesaw Baseball Association, Inc. (Excluding the 15 & 16 year old league and High school players). ARTICLE X: AMENDMENTS A. These constitution and by-laws may be amended by a majority vote of those present at publicly announced meeting of the administrative personnel. B. Proposals for amendments shall be presented at a publicly announced meeting of the administrative personnel, but no vote will be taken at that meeting. C. Proposals for amendments properly presented shall be voted on at the next publicly announced meeting.
