MEMBERSHIP REGULATIONS OF ALL ENGLAND NETBALL ASSOCIATION LIMITED DATED 19 SEPTEMBER 2015 1. DEFINITIONS AND INTERPRETATION 1.1 Words and expressions in these Membership Regulations shall have the same meaning as in England Netball's Articles of Association. 1.2 In these Regulations: 'Accredited Deputy' means a person who is appointed by resolution and is a voting member of the body being represented. 'Affiliation fees' means the total of County Membership Fee, Regional Membership Fee and Subscription fee. 'Authorised Intermediary' means an intermediary, other than a County Association appointed by the Board for the purposes of collecting England Netball's annual subscriptions. 'Board' means the Directors of England Netball in accordance with the Articles. 'Clubs' means a group of at least seven Personal Members admitted from time to time by the Board as members in accordance with Article 11 (b). 'College' means a registered group of Individuals who are students in full-time education at a further education college or Institution, plus one lecturer. 'Counties' means the counties in a geographical area recognised by the Board from time to time. 'County Associations' means those associations admitted from time to time as county association members in accordance with Article 11 (b). 'FENA' means the Federation of European Netball Associations. 'First claim club' means the nominated Club registering a Personal Member and collecting the England Netball subscription. 'Geographical Area' means the boundaries of the County as agreed by the Board. 'Honorary Life Members' means the persons appointed from time to time to be the Honorary Life Members of England Netball in accordance with Article 13 (c). 'Honorary Life Membership Club' means a club to which all Honorary Life Members are eligible to join in accordance with Article 14. 'Individual' means a participant within College, University or School who does not have their own affiliation to England Netball, County Association or Regional Association. 'Individual Member' means any person who plays, coaches, umpires, officiates or organises netball or is in any way connected with the game of netball and has joined a Group Member. 'Independent Member' means any person who coaches, umpires, officiates or organises netball or who is in any way connected with the game of netball but who is not linked to a club. An Independent Member may join England Netball through a Group Member (other than a Club) or directly. 'Members' means Personal Members and Group Members. 'Membership Cards' means a card issued by England Netball to Individual Members upon payment of the annual Subscription. 'Membership Fees' means the fees payable by members to Regional Associations and County Associations. 'Personal Member' means a person who is either an Individual Member, an Independent Member or an Honorary Life Member in accordance with Article 13. 'Netball Magazine' means the official magazine of England Netball. 'Non-Voting Group Member' means a group member of England Netball entitled to attend but not vote at General meetings of England Netball. 'Region' means the regions in a geographical area recognised by the Board from time to time. 'Regional Associations' means those associations admitted by the Board from time to time as regional association members in accordance with Article 12. 'Schools' means those schools admitted by the Board from time to time as school members in accordance

with Article 11 (b). 'Subscriptions' means the England Netball fees payable by members. 'Voting Group Member' means a group member of England Netball entitled to attend and vote at General meetings of England Netball. Voting Group Members shall be the members of England Netball for the purposes of the Companies Act 2006 as further modified by any statutory modification or reenactment thereof for the time being in force. 'Young Persons Group' means a registered group of Individual Members 18 years and under (on 1 September in the year of membership), and up to two nominated non-playing leaders over 18. 'University' means a registered group of Individuals who are students attending higher education institutions including universities, plus one lecturer. References to writing include references to any visible substitute for writing and to anything partly in one form and partly in another form. Words denoting the singular number include the plural number and vice versa; words denoting the feminine gender include the masculine gender; words denoting persons include bodies corporate (however incorporated) and unincorporated, including unincorporated associations of persons and partnerships. Headings are inserted for convenience only and do not affect the construction of these Membership Regulations. 2. CATEGORIES OF MEMBERSHIP In accordance with Article 11, England Netball shall have two classes of Member: (a) Personal: persons who play, coach, umpire, officiate or organise netball or are in any way connected with the game of netball. (b) Group: certain organisations as specified in theses Membership Regulations. The benefits of membership of England Netball will be not be available until the relevant Subscriptions have been paid to England Netball. In accordance with Article 13, the sub-categories of Personal Member shall be: (a) Individual Member: any person, who plays, coaches, umpires, officiates or organises netball or is in any way connected with the game of netball and has joined a Group Member. (b) Independent Member: any person, who coaches, umpires, officiates or organises netball or who is in any way connected with the game of netball but who is not linked to a club. An Independent Member may join England Netball through a Group member (other than a Club) or directly. (c) Honorary Life Member: any person who has been awarded Honorary Life Membership of England Netball as may be conferred by the Directors upon any person who has rendered special service to England Netball at national level. In accordance with Article 14, an Honorary Life Member may, at the discretion of the Directors, receive a notice of general meetings. An Honorary Life Member is automatically entitled to join the Honorary Life Members Club, which itself is not a member of a county or a region and joins England Netball directly. In accordance with Article 12 Individual Members and Independent Members shall not be entitled to receive notice of, attend or speak at, general meetings of England Netball unless as a representative or proxy appointed by a Voting Group Member. In accordance with Article 14, an Honorary Life Member may, at the discretion of the Directors, receive a notice of general meetings. In accordance with Articles 15 the sub categories of Group Member shall be:

(a) Voting Group Members who shall be entitled to receive notice of, and to attend, speak and vote at general meetings. (b) Non-Voting Group Members who shall be entitled to receive notice of, and to attend and speak at general meetings but shall not be entitled to vote. Voting Group Members shall consist of: (a) Schools (paying the higher rate schools' subscriptions) Each school paying the higher rate schools' subscription shall be entitled to send a representative, who must be in current employment at that school, to attend, speak and vote at general meetings. Such school shall be eligible for membership of England Netball and shall pay such subscriptions and enjoy such rights and privileges as the Board from time to time determine. School membership shall be open to: (i) any school of any age range; (ii) any other educational establishment at which students of less than 19 years of age, on 1 September of the current education year, are in full-time attendance. A member school shall also be eligible for membership of the County Association in which their main school building is located, upon payment of the appropriate County Association Membership Fee for the school. Benefits of membership of a County Association will be not be available until the relevant County Association Membership Fee has been paid to the County, or England Netball on behalf of the County Association. A member school shall also be eligible for membership of the Regional Association in which their main school building is located, upon payment of the appropriate Regional Association Membership Fee for the school. Benefits of membership of a Regional Association will be not be available until the relevant Regional Association Membership Fee has been paid to the Region, or England Netball on behalf of the Regional Association. (b) Clubs A Club with at least seven Individual Members, which is either a netball club; or the netball section of a sports club; or the netball section of a community club; or an aged 18 and under Young Persons Group (on 1 September in the year of membership) shall be eligible for membership of England Netball, and shall pay such Subscriptions and enjoy such rights and privileges as the Board shall from time to time determine. A Club shall also be eligible for membership of the County Association in which their club is located, upon payment of the appropriate County Association Membership Fee for the club. Benefits of membership of a County Association will be not be available until the relevant County Association Membership Fee has been paid to the County, or England Netball on behalf of the County Association. A Club shall also be eligible for membership of the Regional Association in which their County association is located, upon payment of the appropriate Regional Association Membership Fee for the club. Benefits of membership of a Regional Association will be not be available until the relevant Regional Association Membership Fee has been paid to the Region, or England Netball on behalf of the Regional Association. Each Club in membership shall be entitled to send an Accredited Deputy to attend, speak and vote at

general meetings (c) County Associations A County Association, which is an association of Leagues, Clubs, YPGs, Groups and Schools, shall be eligible for membership of England Netball, and shall pay such Subscriptions and enjoy such rights and privileges as the Board shall from time to time determine. A County Association shall agree and determine its own constitution provided it shall not conflict in any respect with the Memorandum or the Articles or the Regulations and provided it shall have been approved by the Board. Each County Association in membership shall be entitled to be represented by their respective chairman or Accredited Deputy, to attend, speak and vote at general meetings (d) Regional Associations A Regional Association, which is an association of Counties as determined by the Board, shall be eligible for membership of England Netball, and shall pay such subscriptions and enjoy such rights and privileges as the Board shall from time to time determine. A Regional Association shall agree and determine its own constitution provided it shall not conflict in any respect with the Memorandum or the Articles or the Regulations and provided it shall have been approved by the Board. Each Regional Association in membership shall be entitled to be represented by their respective Chairman or Accredited Deputy, to attend, speak and vote at general meetings. (e) Young Persons Group A Young Persons Group with Individual Members who are 18 years and under (on 1 September in the year of membership), and up to two nominated non-playing leaders who are over 18 shall be eligible for membership of England Netball subject to the approval of the Board, and shall pay such subscriptions and enjoy such rights and privileges as the Board shall from time to time determine. A Young Persons Group shall also be eligible for membership of the County Association in which their main building is located, upon payment of the appropriate County Association Membership Fee for the Young Persons Group. Benefits of membership of a County Association will be not be available until the relevant County Association Membership Fee has been paid to the County, or England Netball on behalf of the County Association. A Young Persons Group shall also be eligible for membership of the Regional Association in which their County Association is located, upon payment of the appropriate Regional Association Membership Fee for the Young Persons Group. Benefits of membership of a Regional Association will be not be available until the relevant Regional Association Membership Fee has been paid to the Region, or England Netball on behalf of the Regional Association. Each Young Persons Group in membership shall be entitled to be represented by their respective leader or Accredited Deputy, to attend, speak and vote at general meetings. (f) Honorary Life Membership Club The Honorary Life Membership Club shall be entitled to send one accredited representative to attend, speak and vote at general meetings. Non-Voting Group Members shall consist of: (a) Schools (paying the lower rate schools' membership fee) A school paying the lower rate schools' subscription shall be eligible for membership of England Netball, and shall pay such subscriptions and enjoy such rights and privileges as the Board from time to time determine.

School membership shall be open to: (i) any school of any age range; (ii) any other educational establishment at which students of less than 19 years of age, on 1 September of the current education year, are in full-time attendance. A school shall also be eligible for membership of the County Association in which their main school building is located, upon payment of the appropriate County Association Membership Fee for the school. Benefits of membership of a County Association will be not be available until the relevant County Association membership fee has been paid to the County, or England Netball on behalf of the County Association. A school shall also be eligible for membership of the Regional Association in which their main school building is located, upon payment of the appropriate Regional Association Membership Fee for the school. Benefits of membership of a Regional Association will be not be available until the relevant Regional Association Membership Fee has been paid, to the Region, or England Netball on behalf of the Regional Association. Each school, shall be entitled to send a representative, who must be in current employment at that school, to attend and speak at general meetings but not vote. (b) College A college with students in full-time education, plus one lecturer, shall be eligible for membership of England Netball, and shall pay such subscriptions and enjoy such rights and privileges as the Board shall from time to time determine in accordance with Article 11 (b). A college shall also be eligible for membership of the County Association in which their main building is located, upon payment of the appropriate County Association Membership Fee for the college. Benefits of membership of a County Association will be not be available until the relevant County Association Membership Fee has been paid to the County, or England Netball on behalf of the County Association. Colleges in membership shall be entitled to send a representative to attend and speak at general meetings, but not vote. (c) Universities A university s students, plus one lecturer, shall be eligible for membership of England Netball, and shall pay such subscriptions and enjoy such rights and privileges as the Board shall from time to time determine in accordance with Article 11 (b). A university shall also be eligible for membership of the County Association in which their main building is located, upon payment of the appropriate County Association Membership Fee for the university. Benefits of membership of a County Association will be not be available until the relevant County Association Membership Fee has been paid to the County, or England Netball on behalf of the County Association. Universities in membership shall be entitled to send a representative to attend and speak at general meetings, but not vote. 3. COLLECTION OF SUBSCRIPTIONS The Board may appoint an Authorised Intermediary as an agent for England Netball, covering a designated area, for the purposes of collecting annual Subscriptions from members within that area, on such conditions as the Board may determine and may at any time remove such appointment.

4. RIGHTS AND OBLIGATIONS Each category of member shall enjoy such rights and privileges as are contained in the England Netball Memorandum and Articles and additionally: (a) each Group Member shall be entitled to a copy of England Netball's Handbook and the Annual Report and Accounts (b) all Personal Members who are registered individually with England Netball shall receive a copy of the Netball Magazine (c) pupils at affiliated schools and Individual Members, who are registered through Clubs or Young Persons Groups, students at Colleges and Universities and young people at Youth Clubs have the right to play netball organised within England Netball (d) an Individual Member may be a member of more than one Club, but must be a first claim member of only one Club, notifying each Club of her claim. The first claim club is responsible for the collection of the England Netball subscriptions and an Individual Member need only pay one subscription per membership year (e) an Individual Member must pay the full annual Affiliation Fees through her first claim Club (f) it is the responsibility of each Club to ensure that the subscription due is paid direct to England Netball or other Authorised Intermediary as appointed by the Board (g) no Group Member may enter a team for open tournaments or Individual Members for trials, courses or awards until the current year's Affiliation Fees are paid (h) Personal Members and Individuals have the right to take part in netball through playing, umpiring, coaching, scoring, timekeeping, refereeing, mentoring, tutoring and testing, and may participate in the services supplied by England Netball (i) each Personal Member shall send to the England Netball Head Office or cause to be sent by the other Authorised Intermediary, their name and address to whom all communications are to be sent, and shall keep the England Netball Head Office informed of any change in the name and/or address (j) each Group Member shall send to the England Netball Head Office or cause to be sent by the other Authorised Intermediary, the name and address of its secretary or other accredited representative, to whom all communications are to be sent, and shall keep the England Netball Head Office informed of any change in the name and/or address of such representative (k) Membership Cards will be issued annually to all Personal Members (l) except for Regions and Counties, membership cards may be issued, at the discretion of England Netball, to all Group Members (m) any Personal Member is entitled to seek advice and/or technical assistance from England Netball (n) in accordance with Article 108, Members shall be bound by and subject to and shall act in accordance with the Articles, these Membership Regulations, codes of conduct, procedures, byelaws and the Rules of the Game and any standing orders, decisions, rulings or other findings or orders of any nature made pursuant to any regulations or the Rules of the Game (o) each Group Member shall be responsible for ensuring that all of its players, officials, coaches, spectators,

and all persons purporting to be its supporters or followers, conduct themselves in an orderly fashion and refrain from violent, threatening, abusive, obscene or provocative behaviour, conduct or language, whilst attending or taking part in a match, tournament or event in which the member is involved 5. SCHOOLS Application for membership by a school as defined above shall be made by completing an application form obtainable from England Netball and returning it with the appropriate fee. Pupils in full-time education at schools affiliated to England Netball, together with up to three members of staff in employment at such schools, may participate in awards, courses and events organised by England Netball and any other service offered by England Netball. 6. CLUBS/YOUNG PERSONS GROUPS Application for membership by a Club/Young Persons Group as defined above shall be made by completing an application form obtained from England Netball, the County Association or other Authorised Intermediary in whose area the Club's headquarters is situated and returning it with the appropriate fee. The headquarters is considered to be the home ground or hired court on which the Club's home matches are played unless otherwise agreed by the Board. The Board shall transfer on request an isolated club situated on the border of one area, to another, if it is supported by the Counties and Regions concerned, and if the Board is of the opinion that it is in the interests of netball or of the Club. 7. COUNTY ASSOCIATIONS Each County Association shall agree its own constitution provided it shall not conflict in any respect with the Memorandum, Articles of Association or these Membership Regulations. Each County Association shall have autonomy in organising and administering the game within its area but shall have no power to alter the official Rules of the Game or to overrule the decisions of the Board. Each County Association shall be administered by a County Committee and shall be responsible for the actions, decisions and finances of its Association. Each County Association shall be a constituent member of the Region within whose boundaries it is situated. The boundaries of each County Association shall be agreed by the Board after consultation with the County Associations concerned. Where a geographical county is divided, the County Associations concerned shall agree upon the boundary dividing lines. These boundary lines shall be shown on an Ordnance Survey map of the County and forwarded to the England Netball Head Office for approval by the Board. The Regulations of all leagues and tournaments within the jurisdiction of a County Association shall ensure that every player taking part shall be a Personal Member of a Club or Young Persons Group, pupils in fulltime education at schools affiliated to England Netball, unless otherwise specially authorised by the County Association concerned. Each County Association shall be responsible for disseminating relevant information from England Netball to members within its County boundary.

National competition shall normally take place in accordance with the fixture dates published in advance by England Netball. 8. REGIONAL ASSOCIATIONS Each Regional Association shall comprise County Associations, as determined by the Board, and each County Association shall be a member of its constituted Regional Association. There shall be nine Regional Associations constituted as follows: East comprising the County Associations of: Bedfordshire, Cambridgeshire, Essex East, Essex Thurrock, Hertfordshire, Norfolk, Suffolk East Midlands comprising the County Associations of: Derbyshire, Leicestershire, Lincolnshire, Northamptonshire, Nottinghamshire London and South East comprising the County Associations of: Essex Metropolitan, Kent, Middlesex, Surrey North East comprising the County Associations of: Durham North, Durham South and Cleveland, Northumberland, Tyne and Wear North West comprising the County Associations of: Cheshire, Cumbria, Greater Manchester, Isle of Man, Lancashire, Merseyside South comprising the County Associations of: Berkshire, Buckinghamshire North, Buckinghamshire South, Guernsey, Hampshire, Isle of Wight, Oxfordshire, Sussex South West comprising the County Associations of: Avon, Cornwall, Devon East, Devon West, Dorset, Gloucestershire, Jersey, Somerset, Wiltshire West Midlands comprising the County Associations of: Birmingham, Herefordshire, Shropshire, Staffordshire, Staffordshire South, Warwickshire, Worcestershire Yorkshire comprising the County Associations of: Humberside, Yorkshire North, Yorkshire South and Yorkshire West The boundaries of each Regional Association shall be determined by the Board after consultation with the Region and its constituent County Associations. Each Regional Association shall agree its own constitution provided it shall not conflict in any respect with the Memorandum, Articles of Association or Membership Regulations or other Regulations. Each Regional Association shall be an autonomous body responsible for carrying out the administrative plans made and the policies formulated by the Board under the terms of these Membership Regulations, but shall have no power to alter the Official Rules of the Game or to overrule the decisions of the Board. Each Regional Association shall serve as a forum to coordinate and organise activities, regional competitions, arrange technical courses, elect representatives to serve on National Committees and in particular to plan and help in the growth and development of netball within the Region.

Each Regional Association shall be administered by a Regional Management Board. Each Regional Management Board shall be responsible for the actions, decisions and finances of its Regional Association. Each Regional Association shall be responsible for disseminating relevant information from the National Committees to its member County Associations. 9. COLLEGES Application for these Group Memberships as defined above shall be made by completing an application form obtained from England Netball and returning it with the appropriate affiliation fee. Individuals within these Group Members in England are entitled to attend courses, take awards or take part in events organised by England Netball but by special arrangement, may be offered advice and technical assistance. Each of these Group Members is entitled to receive a copy of England Netball's handbook, annual report and accounts and the Netball magazine as published. Individuals within Colleges are not eligible to participate within Member Clubs without paying the appropriate full affiliation fee through that Member Club. 10. UNIVERSITIES Application for these Group Memberships as defined above shall be made by completing an application form obtained from England Netball and returning it with the appropriate affiliation fee. Individuals within these Group Members in England are entitled to attend courses, take awards or take part in events organised by England Netball but by special arrangement, may be offered advice and technical assistance. Each of these Group Members is entitled to receive a copy of England Netball's handbook, annual report and accounts and the Netball magazine as published. Individuals within Universities are not eligible to participate within Member Clubs without paying the appropriate full affiliation fee through that Member Club. 11. PERSONAL MEMBER Application for registration as an Individual Member as defined above shall be made by applying directly to a Club or completing an application form obtained from an Authorised Intermediary. Application for registration as an independent Member as defined above shall be made by applying direct to the relevant Group member that is not a Club or completing an application form obtained from an Authorised Intermediary. Personal Members are entitled to participate in courses, awards and events organised by England Netball and any other service offered by England Netball. They are also eligible to serve as a member of a National Committee or Sub-Committee. Only a Personal Member or an Individual affiliated via a school paying the higher rate schools membership fee shall be eligible to serve as: (a) an elected Director of England Netball (b) an honorary officer of a Regional Association

(c) an honorary officer of a County Association An individual shall not be eligible for election or appointment under the above if, within a period of four years prior to such proposed election or appointment, the individual has a proven Disciplinary Charge under England Netball Disciplinary Regulations. 12. HONORARY LIFE MEMBERS Recommendation for the award of Honorary Life Membership may be made by the directors or by any two Regional Associations. The recommendation shall be forwarded in writing to the Chief Executive at any time and must contain information to lend support to it. The directors shall consider each recommendation and have the power to confer Honorary Life Membership upon any person who has rendered outstanding service to England Netball at a national level in accordance with the criteria contained in the notes to the application form. The award may be announced immediately and normally made at the next general meeting or other national event. An Honorary Life Member shall be automatically invited for membership of the Honorary Life Membership Club and also granted the same rights and privileges as all other Personal Members. 13. SUBSCRIPTIONS Subscriptions are valid from the date cleared funds are received by England Netball until 31 August. Subscriptions for new Personal Members may be submitted by their club at any time. Subscriptions may be set according to criteria established by the Board and approved in accordance with Article 24(b). The subscriptions may vary within the sub-categories of Personal Members depending on the criteria including but not limited to subscription rates dependent on age categories. Subscriptions payable from 1 September each year are advised on the England Netball website: www.englandnetball.co.uk. England Netball's annual subscriptions collected by each Authorised Intermediary must be held in trust for England Netball and should be forwarded monthly but must be received by England Netball no later than the dates advised annually by England Netball. Benefits of membership of England Netball will be not be available until the relevant England Netball subscription membership fee has been paid to England Netball. England Netball annual subscriptions collected by each Authorised Intermediary must be held in trust for England Netball in a separately designated bank or building society account. Each Authorised Intermediary shall at all times maintain records clearly distinguishing the money it has received on account of England Netball's annual subscriptions from its other money. Implications arising from the late receipt of membership fees from an Authorised Intermediary will be determined by the Board and penalties, including a fine, a charge to interest on late payment, a competition ban, a period of suspension or any combination of these, may be imposed.
