1 Pg 1 of 6 UNITED STATES BANKRUPTCY COURT SOUTHERN DISTRICT OF NEW YORK x : In re : Chapter 11 : WAYPOINT LEASING : Case No (SMB) HOLDINGS LTD., et al., : : (Jointly Administered) Debtors. 1 : x ORDER SCHEDULING HEARING TO CONSIDER DEBTORS PROPOSED WAC2 SALE TRANSACTION Upon the filing of the motion (the Motion ), dated December 10, 2018 [ECF No. 64], of Waypoint Leasing Holdings Ltd. and certain of its subsidiaries and affiliates, as debtors and debtors in possession (collectively, the Debtors ), seeking, among other things, entry of an order (a) authorizing and approving the sale of substantially all of the Debtors assets, and (b) scheduling one or more hearings with respect to the approval of the sale of the Debtors assets (each, a Sale Hearing ); and having taken into consideration this Court s prior order, dated December 21, 2018 [ECF No. 159] (the Bidding Procedures Order ), 2 approving bidding procedures for the sale of substantially all of the Debtors assets and granting related relief, including authorizing the Debtors to schedule one or more additional Sale Hearings in connection therewith; and Wells Fargo Bank, N.A., in its capacity as the WAC Facility Agent for the WAC Lenders in WAC 2, having submitted a 363(k) Credit Bid (the transactions contemplated thereby, the WAC2 Sale Transaction ); and the Debtors having designated such 1 The Debtors in these Chapter 11 Cases, along with the last four digits of each Debtor s federal tax identification number, as applicable, is annexed hereto as Exhibit A. 2 Capitalized terms used but not otherwise defined shall have the meanings ascribed to such terms in the Bidding Procedures Order.

A hearing to consider the WAC2 Sale Transaction will be held on March 12, 2019, at 10:00 a.m. (Eastern Time) (the Hearing ) before the Honorable Stuart M. Bernstein, United States Bankruptcy Judge, in Room 723 of the United States Bankruptcy Court for the Southern District of New York, One Bowling Green, New York, New York Notice of the Hearing shall be given promptly by serving a copy of this Order on the Standard Parties and the Affected Parties (each as defined in the Case Management Procedures) 3 by , overnight mail, facsimile, or personal delivery by Wednesday, February 27, 2019 (Eastern Time) which service shall constitute good and sufficient notice thereof. 3. Any responses or objections to the Motion must be filed and served by March 5, 2019, at 4:00 p.m. (Eastern Time). 4. This Court shall retain jurisdiction to hear and determine all matters arising from or related to the implementation, interpretation, and/or enforcement of this Order.
