(Principal: Larry Leatham, Event Co Chairman, Location: Sonora, California) for law enforcement services during the barbecue events to be held at the Rowell Ranch Rodeo Park on May 14, 2008 and May 17,2008. SUMMARY / DISCUSSIONS / FINDINGS: Rowell Ranch Rodeo, Inc. has requested the Alameda County Sheriff's Office to provide law enforcement services for the barbecue events to be held at the Rowell Ranch Rodeo Park, located at 9711 Dublin Canyon Road in unincorporated Castro Valley, California from 1700 hours to 2300 hours on Wednesday, May 14 th, 2008 and from 1700 hours to 2300 hours on Saturday, May 1i h, The Sheriff agrees to supply law enforcement personnel fully equipped with radios and other necessary equipment. Rowell Ranch Rodeo, Inc. will pay the Sheriff's Office for the actual costs of the services provided. FINANCING: No additional appropriation is required. 2 -. CONTRACTUAL AGREEMENT This agreement is entered into thisld~ day ofr'1~2008 by and between the County of Alameda (hereinafter referred to as "County") and Rowell Ranch Rodeo, Inc. (hereinafter referred to as "Rowell Ranch Rodeo"). TERMS AND CONDITIONS COUNTY, through the services of the Alameda County Sheriff's Office ("Sheriff'), hereby agrees to undertake, carry out and complete all work required by this contract in a professional and efficient manner, and ROWELL RANCH RODEO agrees to pay for said services. AurHORITY The signatories to this contract warrant that they have authority to bind their respective parties to the terms set forth herein. The SHERIFF has authority to render the services set forth herein pursuant to Government Code section SCOPE OF SERVICES The SHERIFF agrees to supply law enforcement services to ROWELL RANCH RODEO during the barbeque events it is organizing to be held at the Rowell Ranch Rodeo Park, located 9711 Dublin Canyon Road in unincorporated Castro Valley on the dates set forth herein. SHERIFF agrees to supply law enforcement personnel fully equipped with radios and other necessary items from 1700 hours to 2300 hours, on Wednesday, May 14th, 2008, and from 1700 hours to 2300 hours, on Saturday, May 17th, 2008 to provide barbeque security. The SHERIFF may, at his discretion, assign supervisory personnel to supervise deputies assigned to the event. PERFORMANCE AND DURATION Services under this contract by the SHERIFF shall be for the Rowell Ranch Rodeo, Inc., barbeque events held at Rowell Ranch Rodeo Park, located 9711 Dublin Canyon Road, on Wednesday, May 14, 2008, and Saturday, May 17, COMPENSATION Rowell Ranch Rodeo, Inc., shall pay to the SHERIFF all actual costs of the services provided under this agreement, including but not limited to law enforcement personnel including all costs of supervisory personnel, services and supplies, equipment and indirect costs at rates determined by the SHERIFF, in accordance with the policies and procedures established by the Alameda County Board of Supervisors. The SHERIFF shall deliver to ROWELL RANCH RODEO within thirty (30) days after the event an itemized invoice that sets forth the actual cost of providing all services performed during the event, and ROWELL RANCH RODEO shall pay the SHERIFF the full amount invoiced within thirty (30) days after the date of delivery of said invoice. If such payment is not received by the SHERIFF at the office which is described on said invoice within thirty (30) days after the date of receipt on said invoice, the SHERIFF is additionally entitled to recover interest from ROWELL RANCH RODEO on the amount due. Said interest shall be at the rate of one (1) percent per calendar month or any portion thereof calculated from the last day of the month in which the services were performed and may be collected as provided for by law. INTEREST OF SHERIFF SHERIFF certifies that he and his office have no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner with the performance of services under this contract, except as allowed by law.

3 SHERIFF further certifies that, in the performance of this contract, no person having any such interest shall be employed hereunder. INDEMNIFICATION To the fullest extent permitted by law, Contractor shall hold harmless, defend and indemnify the County of Alameda, its Board of Supervisors, employees and agents from and against any and all claims, losses, damages, liabilities and expenses, including but not limited to attorneys' fees, arising out of or resulting from the performance of services under this Agreement, provided that any such claim, loss, damage, liability or expense is attributable to bodily injury, sickness, disease, death or to injury to or destruction of property, including the loss therefrom, or to any violation of federal, state or municipal law or regulation. which arises out of or is any way connected with the performance of this agreement (collectively "Liabilities") except where such Liabilities are caused solely by the negligence or willful misconduct of any indemnitee. The County may participate in the defense of any such claim without relieving Contractor of any obligation hereunder. MISCELLANEOUS PROVISIONS 1. The SHERIFF shall permit the authorized representatives of ROWELL RANCH RODEO to inspect and audit all data and records related to performance under this contract, unless otherwise provided by law. 2. The SHERIFF shall not assign or transfer any interest in this contract without prior written consent of Rowell Ranch Rodeo, Inc. 3. In the performance of the contract for services, County of Alameda, the SHERIFF, and their agents or employees shall not be deemed agents, officers or employees of Rowell Ranch Rodeo, Inc. Therefore, SHERIFF shall be responsible for all applicable payroll taxes and tax deposits as required by federal, state and local regulations. 4. The SHERIFF and ROWELL RANCH RODEO assure compliance w~h the Americans with Disabilities Act and Title VII of the Civil Rights Act of 1964 and assure that no person shall on the grounds of race, creed, color, disability, sex, sexual orientation or national origin, age, religion, Vietnam Era Veteran's status, political affiliation, or any other non-merit factors be excluded from participation in, be denied the benefits of, or be otherwise subject to discrimination under the Agreement.

4 TERMINATION FOR CONVENIENCE The parties may terminate this contract, upon providing ninety (90) days written notice, or earlier upon written mutual consent. The SHERIFF shall be paid its costs, including contract close-out costs, on work performed up to the time of termination by ROWELL RANCH RODEO. The SHERIFF shall promptly submit its termination claim. AMENDMENT No alteration or variation of the terms of this Agreement shall be valid unless made in writing and signed by the parties hereto.
