1 CONSTITUTION of the SPACESAILER 22 ASSOCIATION OF WESTERN AUSTRALIA (Inc.) 26th July 1985 AS AMENDED 26/6/90, 21/8/95, 10/9/96, 23/10/01, 26/11/09 & 24/9/10 1. TITLE 1.1 The full title of the Association shall be SPACESAILER 22 ASSOCIATION OF WESTERN AUSTRALIA (INC.) 1.2 The Class shall be known as the SPACESAILER 22 CLASS. A Spacesailer 22 Class Yacht is a yacht which conforms to the standard set out in the Rules in the Appendix. 2. OBJECTS The objects of the Association shall be: 2.1 To encourage and promote Spacesailer 22 Class racing under uniform rules in Western Australia. 2.2 The organisation of the championship and other events, and to act as liaison with other yachting organisations in Western Australia and to promote social interaction between members. 2.3 To ensure that all racing takes place under the current Rules of the International Yacht Racing Union and the prescriptions of the Australian Yachting Federation, the special regulation of the Yachting Authorities of the States of the Commonwealth of Australia and the Rules of this Association. 3. POWERS The Association has the power to do any such things as are necessary, incidental or conducive to the attainment of the objects of the Association including:- (a) (b) obtaining ownership of property such as the copyrights as to the Spacesailer 22 mould, sail plans and construction together with such moulds and dealing with the same in such manner as may seem appropriate to promote the objects of the Association. 4. NON PROFIT
2 The income and property of the Association shall be applied solely towards the promotion of the objects of the Association. No portion of the income or property shall be paid, transfered or distributed directly or indirectly to the members of the Association, provided that nothing shall prevent the payment in good faith of remuneration to any officer or employee of the Association or to any person other than a member, in return for services rendered to the Association. 5. MEMBERSHIP Membership of the Association shall be open to anyone interested in the Spacesailer 22 Class yacht. (i) (ii) (iii) Sole owners Part owners where ownership is registered in more than one name Non yacht owners 6. VOTING 6.1 Only financial members may vote at general meetings. Decisions are by simple majority unless otherwise provided herein. 6.2 Only registered yacht owners and part owners may vote on matters involving alterations to the Spacesailer 22 Constitution and/or rules. Part owners will have only one vote between them per yacht. 6.3 Members who are unable to attend a General Meeting of the Association may record their vote in writing by proxy on any motion set out in the agenda of that meeting. 6.4 In the event of a tie, the Chairman shall have the casting vote. 7. MEETINGS 7.1 The Annual General Meeting shall be held in the period 1st July to 30 September annually. 7.2 A Special General Meeting may be called by the Committee at any time on 14 days written notice to members. 7.3 On a written request of not less than 40% of financial members, stating the purpose of such meeting, the Secretary shall call a Special General Meeting of the members to be held within two calendar months of receipt of the notice calling the meeting. 7.4.a The quorum for an Annual General Meeting or Special General Meeting (hereinafter in Section 7.4 called meeting ) shall be 25% of the number of eligible voters in terms of clause 6.2.
3 7.4 b If a quorum is not present within 30 minutes after the notified commencement time of a meeting, the meeting shall stand adjourned to the same venue and time at a date not less than 7 days nore more than 14 days after the date set for the adjourned meeting. The Secretary shall give notice in writing to all members of the time, date and place when the adjourned meeting shall reconvene. 7.4.c. If a quorum is not present within 30 minutes of the time appoined by rule 7.4.b for the resumption of the adjourned meeting, the members who are present in person or by proxy may nevertheless proceed with the business of that meeting as if the quorum were present. Only business left unfinished, or on the agenda at the time when the meeting was adjourned, shall be transacted at a reconvened meeting. 7.5 The quorum for Committee Meetings shall be MANAGEMENT 8.1 The affairs of the Association shall be managed by an elected committee of up to six financial members of the Association i.e. Chairman, Hon. Secretary/Registrar, Hon. Treasurer, Measurer, Handicapper and a General Committee Member of whom no fewer than four are owners or part owners of registered Spacesailer 22 Class yachts. Officers are to be elected at the Annual General Meeting. The quorum of the Management Committee shall be three. 8.2 The Chairman shall not hold office for more than three consecutive years. 8.3 The Committee shall have the power to co-opt another member to replace the Committee member who retire before an Annual General Meeting. 8.4 The Committee shall have the power to elect sub-committees as and when required at their discretion. 8.5 The Committee shall have the power to co-opt other members as nonvoting committee members. 9. OFFICE BEARERS 9.1 Chairman At all meetings, the chair will be taken by the Chairman. In the absence of the chairman, the committee may elect a chairman for that meeting. 9.2 Hon.Secretary/Registrar It shall be the duty of the Hon. Secretary/Registrar to keep a true record of all proceedings of all meetings of the Association; to keep a
4 correct roll of Association membership and a register of all yachts; to take charge of the official correspondence; to call general meetings and any meetings of the committee. 9.3 Hon.Treasurer The Treasurer shall have charge of the funds of the Association; making payments as the committee may require; and keep an accurate record of the Association's financial affairs. 9.4 Measurer The Measurer shall have power over all matters affecting the measurement and specification of yachts, including, but not limited to, reviewing Measurement Declarations, recommending acceptance / rejection for Eligibility for Class Racing and interpreting (but not changing) the class specifications. He shall keep an up to date register of all relevant data. 9.5 Handicapper The Handicapper shall determine the handicaps to be applied to each yacht during the Championship Series to decide the Consistency Champion. Handicaps shall be based on relative performance of each yacht and shall be recalculated after each race. The handicapper shall maintain and publish results for the Championship Series. 10. FINANCIAL 10.1 An annual subscription per member shall be payable prior to the scheduled date of the first State Championship race each season, or on joining the Association. The annual subscription will be determined from time to time and by a general meeting Subscriptions and all other income shall be deposited in bank account, "Spacesailer 22 Association". There shall be three signatories, any two to sign per cheque or withdrawal The Treasurer shall present unaudited annual accounts comprising Balance Sheet and Income & Expenditure Statement to the members of the Association in General Meeting at least once per year.the financial year end shall be 30 th June of each year. The members of the Association, by resolution at a General Meeting, may require that the accounts be audited. 11. EXPULSION 11.1 A member of the Association may only be expelled in the event that such member acts or behaves in a manner unbecoming to the objects of the Association or in such a manner as to bring the Association into disrepute.
5 11.2 Should there be a formal complaint in writing lodged with the Committee by any member against another member alleging facts that could lead to any reprimand or expulsion then the same should be given to the member the subject of such complaint. The committee shall also have the power to initiate the expulsion of any member provided always that before the same is considered due notice shall be given to the said member The member the subject of such complaint or notice shall be entitled to appear before the committee to oppose his or her expulsion The committee shall have the power to expel any such member providing the procedure above described is followed and provided further that the expelled member shall thereafter have a right to appeal to the next Special Meeting or Annual General Meeting of the Association should such member wish to be reinstated or have his or her expulsion overturned. 12. ALTERATIONS This constitution shall not be amended or altered save and except pursuant to the following procedure: Any proposed amendment shall be the subject of due notice served on all financial members of the Association giving at least 14 days notice of a Special Resolution to be held at an Annual General Meeting or Special Meeting For any such alteration to be validly passed there must be quorum of members present and at least 75% of such members shall have to vote in favour of any such resolution. 13. COMMON SEAL 13.1 The common seal of the Association engraved with the name of the Association shall be kept in the care of the Chairman. The seal shall not be used or affixed to any deed or other document except pursuant to the resolution of the committee and in the presence of the Chairman and two members of the committee both of whom shall subscribe their names as witnesses In the event that the Chairman is not available at any time then he or she shall arrange for the common seal to be kept by another office bearer on the committee and subject to approval by the committee such other office bearer shall be entitled to use the common seal (together with two members of the committee) in place of the Chairman. 14. DISSOLUTION
6 The Association may be dissolved or wound up by a resolution at any General Meeting or at a Special General Meeting called for such purpose. If upon the dissolution or winding up of the Association there remains, after the satisfaction of all its debts and liabilities, any property whatsoever, the same shall not be paid to, transfered or distributed amongst the members of the Association. It shall be given to some other Association institution or body having objects similar wholly or in part to the objects of the Association, provided that the Association institution or body shall prohibit the distribution of its income and property among its members, or it shall be paid to or transfered to some charitable object, which Association institution, body or object shall be determined by the members of the Association at or before the time of dissolution or winding up. In default of any such resolution such payment, transfer or distribution shall be determined by a Judge of the District Court.
7 APPENDIX TO CONSTITUTION OF SPACESAILER 22 ASSOCIATION OF WESTERN AUSTRALIA (INC.) SPACESAILER 22 CLASS RULES 26th July 1985 AS AMENDED 26th June 1990, 21st August th September 1996 and 23 rd October APPLICATION AND GENERAL INTENT These specifications shall apply to all yachts taking part in races held for Spacesailer 22 Class Yachts. The Spacesailer 22 is a one design yacht designed for racing and cruising. It is intended to provide, at a reasonable cost, high performance racing for inshore and limited offshore events, while at the same time providing simple and spacious accommodation to exploit the cruising potential of the boat. It is with this racing and cruising potential of the yacht in mind that the rules of the Class have been framed. It is fundamental to the interpretation of the Class rules and specifications that racing in Spacesailer 22 events shall be a test of skill and seamanship in boats which are essentially the same. Any boat which differs from the rules and specifications of the Class shall not be accepted as eligible for the Spacesailer 22 Class. 2. REGISTRATION The Secretary and/or Measurer shall keep a record of all registered SS22 Class yachts, including details of weighing, and other measurement information deemed appropriate by the committee from time to time. 3. MEASUREMENT DECLARATION 3.1 The Association membership application/renewal form shall incorporate a declaration, signed by the skipper/owner, which should include, but not be limited to, confirmation that the yacht: Has been weighed, or has been made available for weighing, and continues to meet minimum weight requirements, and The yacht meets measurement requirements as laid out in the Appendix to the Constitution
8 The form shall also include a sail wardrobe declaration in terms of Appendix Rule Eligibility for SS22 class racing will apply to all yachts which conform to the class rules and pass measurement requirements. The Measurer shall review measurement declarations and upon his/her recommendation, the committee shall confirm acceptance or rejection of Eligibility for Class Racing 3.3 Provisional Eligibility for Class Racing may be granted to a yacht that does not meet the measurement requirements. The Measurer shall inspect the yacht, and upon his/her recommendation, the Committee shall confirm acceptance or rejection of Provisional Eligibility for Class Racing. 3.4 The Committee shall have the power to withdraw, confirm, or restore Eligibility for Class Racing, and provisional Eligibility, on the recommendation of the measurer when there has been a change in the condition of the boat or when re-examination shows that previous eligibility was inappropriate 4. MEASUREMENT PROCEDURE 4.1 To be eligible for class racing, the owner/skipper of a previously unregistered yacht shall apply to the committee for measurement of the yacht. 4.2 Following repairs to extensive damage to a registered yacht or its equipment, the owner shall notify the Association in writing. 4.3 Following 4.1 or 4.2, the Association shall advise the owner the name and contact details of the measurer and it shall be the responsibility of the owner to affect a mutually convenient arrangement with the measurer to inspect and measure the yacht. The owner may be required to meet reasonable travelling and out of pocket expenses of the measurer, including weighing costs. 4.4 The measurer, or a person nominated by the committee, shall have the right to inspect any yacht competing in class racing events either prior to, or immediately following the event. 4.5 Prior to the commencement of the summer sailing season, the Association may hold one or more general measuring days. 5. MEASUREMENT FORMS The Committee will cause to be prepared and distributed as necessary, a measurement form which lists the measurements, tolerances, features, etc. which may, from time to time, be deemed by the Association to be necessary
9 to determine whether any yacht is acceptable to the Association for certification as a Spacesailer SPECIFICATIONS 6.1 All specifications as set out below shall be in accordance with the detailed plans and specifications the copyright of which was acquired from Swarbrick Bros. and held by or on behalf of the Spacesailer 22 Association. 6.2 Hull, Rudder and Deck 6.3 Keel All hull, rudder, deck and hatch cover mouldings shall be standard Spacesailer 22 mouldings in GRP. All mouldings shall be constructed in accordance with the lay-up details shown in Appendix C. Bowsprits, bumpkins and other outriggers designed to extend the effective dimensions of the hull are prohibited. No material may be removed from the hull, deck or rudder except for the installation of legitimate hardware. All hatches shall be mechanically fixed to the deck or cockpit except for the anchor well cover which may be loose fitted. The keel shall be the standard Spacesailer 22 cast iron keel. The keel may be filled to fair the surface to a thickness no greater than 4mm but no alteration to the basic shape is allowed. 6.4 Deck Layout Deck layout and fittings are optional except for the following:- (a) (b) (c) No running rigging shall be used below decks except through standard hatches. Hydraulic equipment is not allowed. A pullpit and pushpit the main frames of which shall be stainless steel tube of diameter not less than 25mm shall be fitted. The pullpit and pushpit shall be of minimum height 500mm above deck and the sides shall extend at least 500mm from the bow and stern measured at deck level. The pullpit shall have 4 uprights and the pushpit shall have 5 uprights. All existing pullpits and pushpits as at 12 October 1989 shall be accepted.
10 (e) A safety grab rail of minimum length 1m fitted on each side of the cabin top. 6.5 Rigging and Spars All rigging will be as per the sail plan for Spacesailer 22 keel yachts as attached (Appendix A) and as follows:- 6.6 Accommodation Mast stands not more than 8.13m above cabin trunk at centreline. Spinnaker pole not more than 2.77m effective length. If twin forestays or double track forestays are fitted one headsail must be completely lowered before replacement is hoisted. All spar measurements may have a tolerance of plus 25mm. Mast height shall be construed as the height between the cabin top and the centre pin of the highest sheave. The internal fitout of the yacht shall include:- (a) (b) Floorboards of plywood between 9mm and 16mm for a minimum length of 2,000mm and the full width of the floor webs or between the bunks. Four fixed adult sized berths constructed of GRP or of plywood not less than 6mm thickness. An adequate double vee berth forward may be counted as two berths. 6.7 Minimum Yacht Weight 6.7a The minimum yacht weight shall be 1300kg. During weighing, the yacht shall be fitted out with the items detailed in Clause 6.6 and shall be complete with all standing and running rigging plus mast, boom and one spinnaker pole. The yacht shall be free of water. All removable items such as sails, anchor and tackle, outboard motor, fuel tank, battery, winch handles, spinnaker and jib sheets, tools, eating and cooking utensils, mattresses and cushions, shall be removed before weighing. 6.7b If underweight, compensating weights shall be added and located as follows:- First 0 to 30kg Securely fastened to hull in two equal weights positioned such that all of the weights are in front of the mast and are more than 300mm to port and starboard of the yacht centre line.
11 Weight in excess Securely fastened to underside of deck within 300mm of inside of hull and in front of the outer shroud anchor point and equally distributed port and starboard. 7. SAILS 6.7.c Upon the recommendation of the measurer, the Committee may approve Provisional Eligibility for Class Racing for a yacht which has not previously been weighed. 6.8 Appendix C "Lay Up Details" attached shall be incorporated into the Class Rules. 7.1 Only one suit of sails, consisting of FOUR headsails, ONE mainsail and TWO spinnakers may be used in any ONE season. Storm sails as per sail plan NOT INCLUDED. The full suit shall be declared and, if required, measured before the first State Championship race each season. Replacement during the season is only permissible when damaged beyond repair or when otherwise agreed to by the Committee. 7.2 All sails shall be measured dry under 4.53kg spring pressure. 7.3 The dimensions of the sails listed are maximum only. Sails of smaller dimensions may be carried. 7.4 Sail Sizes Except for fully battened mainsails, maximum sail sizes shall be shown on the attached sail plan (Appendix B). Mainsails Fully battened mainsails may be used. These shall have four battens evenly spaced down the leach. The maximum tolerance on spacing shall be +/-50mm. Measurements for mainsails shall be:- 1/4 height maximum 2130mm (MGL) 1/2 height maximum 1600mm (MGM) 3/4 height maximum 950mm (MGU) Head width maximum 120mm (including bolt rope) Leach length maximum 7700mm
12 Foot and luff measurements shall be controlled on the mast and boom by 20mm wide bands of contrasting colour:- Mast bands. The upper edge of the lower band shall be 7320mm below the lower edge of the upper band. The mainsail shall at all times be set between these two bands. A Boom Band with its inner edge 2450mm from the aft face of the mast. The foot of the mainsail shall not extend beyond the inner edge of this band. 7.5 Battens will not be used in headsails. 7.6 Bloopers or similar sails are not permitted. 7.7 Deleted 11/ Sail Exemptions 8. CREW Sails manufactured and complying with the rules in force before the 1st September 1994 shall be allowed. 8.1 In all State Championship Races, the crew shall be at least three, and no greater than five. 8.2 A person who is not a Regular Crewmember of a yacht and who meets the definition of a Group 3 Competitor under the ISAF Sailor Classification Code (whether he/she is classified or not) is excluded from competing in any Association or Club Championship race. A Regular Crewmember of a yacht is a person who satisfies the Association Committee that he/she has crewed on that yacht for at least 3 of the preceding 6 races that the yacht has completed. 9. SAFETY A yacht when racing in Class or Association races shall, at all times, comply with the Yachting Australia Safety Regulations. In addition, a yacht shall comply with the requirements of any Government Body or other Authority having jurisdiction. 10. IDENTIFICATION 10.1 When racing in Association Races the Association identification flag must be flown from the backstay at a height of approximately 2.0m above the deck.
13 10.2 The Association identification flag shall be a BLACK rectangle with a vertical WHITE band in the centre, approximately 1/3 measurement. Black 1/3 Total - Minimum flag dimensions : 300mm x 200mm - White 1/3 Total Black 1/3 Total 10.3 Association Insignia The asociation insignia shall be a black stylised SS containing a cut out 22 in its centre, as detailed below. The insignia is encouraged to be affixed to existing mainsails, and shall be affixed to all new mainsails made after 1 st January Mainsail insignia dimensions are approximatley 320mm high x 270mm wide
