3 PART A GENERAL RULES 1. GENERAL "Centrebet", we, us and our, are references to William Hill Australia Wagering Pty Limited A.C.N a company registered in Australia under the Corporations Act 2001 (Cwlth) which operates Centrebet. Centrebet is licensed by the Northern Territory ( N.T. ) Government in the Commonwealth of Australia to accept wagers by the Internet. William Hill Group means William Hill Australia Wagering Pty Limited (which operates William Hill and Centrebet). By opening a Centrebet Betting Account or placing a bet with Centrebet via the Centrebet website, you agree to be bound by the terms and conditions set out below (the Rules ) so please read the Rules carefully. For the avoidance of doubt, if you do not agree to these Rules, please ensure your account has a zero balance and refrain from using it. The Rules are subject to change without notice and it is the responsibility of any person seeking to rely on the Rules to ensure they are making reference to the most recent Rules by visiting our website at or by contacting Centrebet by LiveChat or only on centrebet@centrebet.com. In the interpretation of these Rules, no rule of construction shall apply to the disadvantage of Centrebet merely on the basis that Centrebet prepared these Rules or seeks to rely on these Rules or any part thereof. Centrebet may assign, transfer or novate any or all of its rights and obligations under these Rules to any third party at any time without notice to you. You may not assign, transfer or novate any of your rights or obligations under these Rules to any third party. Centrebet operates as a digital only business. Wagers will be accepted only via the Centrebet website and Apps. Clients acknowledge that wagers cannot be placed with Centrebet via the telephone and all Client contact with Centrebet is limited to LiveChat via the Centrebet website or via to centrebet@centrebet.com. 2. CLIENT RESPONSIBILITY A "Client" is a person who is 18 years or older who has a Centrebet Betting Account. Clients are responsible for ensuring that their records, in particular address, telephone number and payment/bank details, are kept up-to-date. In the event that a Client has not kept their records up to date, Centrebet reserves the right to suspend the Account. 3

4 Clients agree that by registering for a Centrebet Betting Account that their details, including their address, mobile number and mailing address, may be used by the William Hill Group to keep them informed about products, promotions, services and events of the William Hill Group. Centrebet shares personal information with the William Hill Group in a strictly controlled manner and does not sell personal information to other companies. There are limited circumstances in which third parties may be given access to your personal information. We may use or disclose your personal information: to enable Centrebet to perform its obligations to the Client under Centrebet's Rules; to enable Centrebet to ensure that the Client performs their obligations under Centrebet s Rules; to a credit reporting agency; to maintain a credit information file in relation to the Client; to carry out a credit assessment on the Client; for planning, research, promotion and marketing of our products and services; to Centrebet s contractors and external service providers associated with the operation of Centrebet s business and provision of its services, including, without limitation, associated data centres, web hosting providers, payment service providers, identification verification service providers, advertising agencies, mailing houses, printers, call centres, market research analysts, IT consultants, professional advisors and consultants; to law enforcement agencies to assist in the prevention of criminal activities; to government and regulatory authorities and other organisations as required or authorised by law or otherwise permitted under the Privacy Act; to Australian racing/sports controlling bodies where such controlling bodies request information to protect and maintain the integrity of the racing/sports code or where we consider any betting activity to be suspicious or unusual; and to a successor entity in the event of a business transition, such as a merger, corporate reorganisation or to a purchaser of part of all of Centrebet s assets. Should the information be transferred to a third party, Centrebet will use reasonable endeavours to ensure that the information disclosed is protected by the third party under contractual arrangements and in accordance with the Privacy Act. You maintain ownership rights to your personal information, however in the event of a business transition, such as a merger or a purchaser of part of all of Centrebet s assets, we may transfer your personal information to a successor entity. 4

5 If you want to change your contact mechanism (specifying direct mail or ), or opt out of any communications from Centrebet, you can do so by amending your details on the Centrebet website under Account Details. It is the Client's responsibility to ensure that they keep their user name and security details confidential. If a Client suspects that their details may no longer be confidential, they should notify Centrebet immediately, whereupon new details may be given. Upon notification of the new details, Centrebet reserves the right to invalidate any future transactions which utilise the previous details. 4. Clients will be responsible for all wagers in which their user name and security details are used for any activity on their Centrebet Betting Account, unless they have notified Centrebet in accordance with Rule 3 above. Subject to Rule 38, any bet (wager) made via Centrebet s website (including via an app) where the user name and security details have been used will be regarded by Centrebet as being valid and may not be changed, cancelled or modified. 5. Clients must not open or attempt to open a Centrebet Betting Account using another person s identity (including but not limited to using another person s name, date of birth, address, telephone number or address). Clients must not access, attempt to access or otherwise use another person s Centrebet Betting Account. 6. Clients must not permit another person to access their Centrebet Betting Account. Centrebet Betting Accounts must not be used on behalf or for the benefit of any other person. 7. Clients consent and agree that upon opening a Centrebet Betting Account, information regarding the Client s Betting Account can be sent to the Client by post and/or electronic means, including but not limited to SMS messaging and . For the avoidance of doubt, it is accepted by the Client that there is a risk that information may come into the possession of another person not entitled to receive such information. Accordingly, the Client acknowledges that whilst Centrebet will take all reasonable steps to protect the Client s privacy, it accepts no liability for breach of confidentiality or damages for any loss that the Client may suffer, provided Centrebet can show it communicated to the Client at a physical address, postal address, electronic address or phone number supplied by the Client or later discovered by Centrebet using any information supplied by the Client. 8. CLIENT IDENTIFICATION REQUIREMENTS AND CONSEQUENCES In line with all Australian Financial Institutions under the Anti-Money Laundering and Counter- Terrorism Financing Act 2006 (Cwlth), all Centrebet Betting Account holders are required to provide Centrebet with adequate identification for the purposes of complying with the Act. The provisions of 5

6 the Act provide for Australian Government standards of identification for proof of name, age and residential address. This is the same process required when opening an Australian bank account. Upon registering with Centrebet all Clients consent to have their Identification Details, as provided to Centrebet, passed to organisations for the purposes of Centrebet verifying their Identification Details in compliance with the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cwlth). Identification Details (ID) means your Name, Address and Date of Birth, as provided to Centrebet upon registration. After registering with Centrebet, Centrebet will automatically and on behalf of the Client, supply the Client s Identification Details to a third-party organisation for the purpose of ID verification. If this process is unsuccessful, Centrebet offers Clients three methods of complying with the government regulations. We recommend Option 1. OPTION 1: ONLINE VERIFICATION AVAILABLE TO AUSTRALIAN CITIZENS ONLY Our online identity verification system is for Australian Clients use only. Go to the My Account section of the Centrebet website and click on Not Verified. To make the process easier, we recommend that you have with you any two of the following pieces of information: (i) Your Tax File Number; (ii) Your Medicare Card; (iii) Your Australian Passport. Please note that Centrebet does not have access to this information as it is collected by a government authorised body for the purposes of complying with Australian Government legislation. In agreeing to use our online verification, all Clients consent to have their name, date of birth and/or recorded address passed to the government agencies selected for the purposes of their identification verification. By accepting these Rules you give consent for Centrebet to disclose your name, residential address and date of birth to a credit reporting agency for the purpose of obtaining an assessment of whether that personal information so disclosed matches (in whole or in part) the personal information held by the credit reporting agency. This process assists us in verifying your identity as required by the Anti- Money Laundering and Counter Terrorism Act The credit reporting agency may prepare and provide Centrebet with such an assessment and may use your personal information including your name, residential addresses and date of birth as contained in any credit information file relating to you and other individuals for the purposes of preparing that assessment. If you disagree with having your identity verified by a credit reporting 6

7 agency, please contact Centrebet Customer Service by LiveChat or by at so that we can arrange other options with you. OPTION 2: VERIFICATION USING AUSTRALIA POST You can submit your 100 points of verification at your local Australia Post Office: (i) Please print the Australia Post 100 Point Check Form located at Centrebet 100 Point Check. (ii) Read the form carefully, complete it and take the original and the copies of information requested on the form to any Australia Post Office. OPTION 3: VERIFICATION USING CERTIFIED DOCUMENT COPIES We require a certified true copy of either: (i) (ii) (iii) (iv) (v) (vi) (vii) A current driver s licence showing current address, photo and date of birth OR A passport and a Utility provider s statement or invoice, which has been issued within the preceding three months (showing your current name and address). Clear legible copies should be made of the original documents. Clients should print their name and PIN on the copies of the original documents and sign the documents in front of the Certifier. The Certifier should then state "I certify that this copy is a true copy of the original document that I have sighted. The Certifier should sign and date the documents and include their: - Full name - Address - Work telephone and mobile number - Capacity of certification The documents should then be posted (not faxed) to the address below: Centrebet PO Box A214 Sydney South NSW 1235 Australia. Centrebet reserves the right to ask for additional information to be supplied if the copies are illegible/unclear, or if we need further information in compliance with government legislation. 7

8 Centrebet reserves the right, at any time, to request a Client undergo additional identity checks, including but not limited to, re-verification of Client identification and requesting additional identification documents from a Client. Failure to provide verification of your identity will result in closure or suspension of your Centrebet Betting Account. 9. If a Client's identification is not received by Centrebet within 45 days of activation or such earlier date as may be specifically requested by Centrebet, the Centrebet Betting Account will be suspended and any balance in the Centrebet Betting Account will remain frozen until the Client s identity is verified. 10. Centrebet may request a Client provide such evidence as Centrebet deems to be required, as is necessary to establish the bona fides of the Client, including but not limited to, a Statutory Declaration outlining details of assets, any bank/credit card accounts linked to the Client s Betting Account and liabilities, together with copies of financial statements, tax returns and assessments. Centrebet may suspend a Client s Betting Account until such time as Centrebet receives and is, in its absolute discretion, satisfied with the evidence provided by a Client. If Centrebet does not receive the requested evidence within the time frame specified by Centrebet (which may be prior to the period of 45 days mentioned in Rule 9), or where Centrebet does not, in its absolute discretion, deem that evidence to be satisfactory, Centrebet may close the Client s Betting Account without further notice to the Client. 11. Under the terms of our Northern Territory Licence to Conduct the Business of a Sports Bookmaker, if a Centrebet Betting Account is suspended under Rule 9or 10, all bets will stand. CENTREBET S RESERVED RIGHTS Subject to our Northern Territory Licence to Conduct the Business of Sports Bookmaker, Centrebet reserves the right (at any time), to refuse any wager or part of a wager without giving a reason, if any one or more of the following occur: (a) the Client is less than 18 years of age; (b) the Client is betting on behalf of a person who is less than 18 years of age; (c) the Client is in breach of these Rules; and/or (d) Centrebet considers it is expedient or necessary to do so in its absolute discretion 8

9 13. Centrebet cares strongly for its public reputation and does not permit persons under the age of 18 years to hold a Centrebet Betting Account or a Centrebet Member Account. If your children have access to the computer you are using to log into Centrebet's Internet service, we recommend the installation of a child protection software package (e.g. Cyber Patrol, Net Nanny). 14. In addition, Centrebet reserves the right to: (a) place restrictions on a Client s Centrebet Betting Account with or without notification; or (b) close a Client s Centrebet Betting Account and refund the balance of their account without further explanation. In this event, outstanding wagers will be honoured, unless the Centrebet Betting Account has been used for any suspected fraudulent transaction or purpose in which case outstanding wagers will be void; and (c) restrict the ability of the Client to use any William Hill Betting Account registered to the Client whilst the Client holds a Centrebet Betting Account. 15. A Client is deemed to have accepted these Rules and Centrebet's Privacy Policy by opening a Centrebet Betting Account or by placing a wager with Centrebet via the Centrebet website or Apps. Clients can view the Privacy Policy on the Centrebet website at Privacy Policy or request this in writing. Centrebet reserves the right to change, amend or add to these Rules and Centrebet's Privacy Policy as it sees fit without providing further notice other than posting the current Rules or Privacy Policy on the Centrebet website It is the Client s responsibility to ensure that they keep upto-date with the current Rules of Betting. 16. Centrebet reserves the right to provide Australian governing sporting bodies with: (a) records or documents in the possession or control of Centrebet (excluding bank account details, credit card details and government identifiers, except as necessary for verification of identity) relating to betting transactions of Clients; and (b) the names, contact details and similar identifying information in the possession or control of Centrebet relating to Clients. Such information will only be provided to assist in a legitimate inquiry conducted by the Australian governing sporting body to maintain the integrity of the sport or where Centrebet considers any betting activity to be suspicious or unusual. For the avoidance of doubt, the Client consents to Centrebet providing the above information to an Australian governing sporting body. "Australian governing sporting bodies" means any organisations charged with the administration of Thoroughbred Racing, Harness Racing, Greyhound Racing, NRL, AFL, Tennis, Golf, Rugby Union, Basketball, Cricket, Netball, Bowls and Soccer throughout Australia. 9

10 17. (a) A number of circumstances may arise where a wager is accepted, or a payment is made, by Centrebet in error. A non-exhaustive list of such circumstances is as follows: (i) where Centrebet mis-states any odds or terms of a wager to Clients including as a result of an obvious error, a palpable error or omission in inputting the information or setting up a market, or as a result of a computer malfunction; (ii) where Centrebet has continued to accept bets on a market which should have been suspended, including where the relevant event is in progress or had already finished (sometimes referred to as 'late bets'); or (iii) where an error is made by Centrebet as to the amount of winnings that are paid to a Client, including as a result of a manual or computer input error, such circumstances being referred to as an "Error" (b) Centrebet reserves the right, in the circumstances of an Error: (i) to declare a wager void and refund a Client s stake; (ii) if a wager is part of a multiple bet, recalculate the wager without the team/competitor which had the error; and (iii) to demand repayment of any monies paid to a Client, or credited to a Client s betting account, in error. (c) If a Client has been paid winnings or other funds in error (including where funds have been credited to a Client s account [pending clearing/subject to clearance] and those funds are subsequently not cleared), Centrebet shall be entitled to issue the Client with an invoice demanding repayment. In such circumstances, the invoice shall be evidence that the amount is due and payable. (d) Centrebet reserves the right to cancel, or recalculate a wager made by a Client at any time without notice where a Client s account has been incorrectly credited and has used those funds to place a wager or multiple wagers. 18. Notwithstanding anything in these Rules and for the avoidance of doubt, a Centrebet Betting Account may go into debit as a result of the normal operation of the Account, notwithstanding that the Account has not been granted a Centrebet Facility. If a Client Account does go into debit, the Client shall be responsible for repaying Centrebet the debit balance and Centrebet shall be entitled to issue the Client with an invoice demanding repayment. In such circumstances, the invoice shall be evidence that the amount is due and payable. 19. Centrebet has made considerable efforts to ensure its sports betting business operates in a fair, prompt and accurate manner. Save to the extent permitted by law (and only to such an extent), Centrebet 10

11 excludes all warranties (express or implied) relating to its sports betting business and shall not have any liability for direct, indirect or consequential loss, damage, expense or injury suffered by any Client. 20. Subject to Rule 19, Centrebet's liability in respect of any claim or loss shall be limited in amount to the relevant wager placed by a Client. 21. (a) Centrebet reserves the right to void any or all wagers where Centrebet reasonably suspects a wager has been made by any individual or group of people (including, but not limited to relatives, organisations, bookmakers and their employees) acting together either in an attempt to defraud Centrebet.; or (b) There is evidence that leads to a reasonable suspicion that Tote-based dividends or official starting prices have been manipulated by known or unknown persons. 22. All wagers are placed and received in the Northern Territory in the Commonwealth of Australia. These Rules shall be governed by and construed in accordance with the Laws of the Northern Territory and each Client irrevocably submits to the exclusive jurisdiction of the Northern Territory Courts in respect of any Dispute or matter arising from these Rules. In these Rules, a Dispute includes any dispute or matter between Centrebet and a Client arising from these Rules or relating to the products and/or services provided by Centrebet to Clients. Where a Dispute cannot be resolved between Centrebet and a Client, the Dispute must be dealt with in accordance with the Dispute Resolution provisions set out in Rule 45. Court or arbitration proceedings in relation to a Dispute must not be commenced until the Dispute Resolution procedure in Rule 45 has been followed, unless urgent interlocutory relief is sought. 23. Centrebet does not warrant or imply that participation in wagers complies with the legal requirements of any state or country other than the Northern Territory. Clients must satisfy themselves (and assume full responsibility) for the legality of: (a) applying to Centrebet for a Centrebet Betting Account; (b) remitting funds by credit card or other permitted means to a Centrebet Betting Account; (c) placement of wagers with Centrebet; and (d) receiving winnings from Centrebet. 24. A Client may only have one Centrebet Betting Account, unless otherwise agreed to by Centrebet. If a Client has additional Centrebet Betting Accounts, then the Centrebet Betting Account Balances of all associated Centrebet Betting Accounts shall be transferred into the original Centrebet Betting Account and: 11

12 (a) if, after the transfers, the original Centrebet Betting Account has a debit balance, then Centrebet shall be entitled to receive payment for the debit balance immediately; or (b) if, after the transfers, there is a credit balance in the original Centrebet Betting Account, the credit balance will be held by Centrebet until such time as a determination has been made by Centrebet as to whether or not there has been a breach of these Rules. 25. The regulatory authority is the Northern Territory Racing Commission, or such other authority authorised by the Laws of the Northern Territory for that purpose. 26. Centrebet reserves the right to withhold funds from Clients who have not completed the identification process. Funds will be released as soon as this process has been completed. Centrebet requires that any withdrawal of funds from a Client s Betting Account must be made to a financial institution account in the name of the Client. Centrebet reserves the right to request documentary evidence of a Client s financial institution account information prior to releasing funds to a Client. 27. Centrebet requires that any funds deposited to a Client s Betting Account be turned over (bet with) at least once prior to withdrawal. 28. Subject to the conditions of our Northern Territory Licence to Conduct the Business of a Sports Bookmaker, Centrebet reserves the right to refuse any wager. 29. Unless otherwise agreed at the time of striking a Futures Wager, Centrebet reserves the right to cancel or void any Futures Wager if the Client does not settle the wager in accordance with the Settlement Terms contained in these Rules. A Futures Wager is a wager in which the event occurs after the Settlement Period in which the wager was struck. 30. In no event will any delay, failure or omission (in whole or in part) in enforcing, exercising or pursuing any right, power, privilege, claim or remedy conferred by or arising under these Rules or by law, be deemed to be or construed as a waiver of that or any other right, power, privilege, claim or remedy in respect of the circumstances in question, or operate so as to bar the enforcement of that, or any other right, power, privilege, claim or remedy, in any other instance at any time or times subsequently. 31. TERMS UNDER WHICH WAGERS ARE ACCEPTED Clients must be 18 years of age or older. 32. As regards wagers placed by Clients: 12

13 (a) Clients must be 18 years of age or older before a Client can place a wager with Centrebet and Centrebet does not accept wagers from any person under the age of 18 and any wager purportedly made by a person under the age of 18 is void; (b) A wager placed by a Client can only be accepted by Centrebet and subject to these Rules, Centrebet reserves the right to not accept a wager in its absolute discretion; and (c) All wagers are accepted by Centrebet in the Northern Territory at the times as set out in these Rules and: (i) Wagers may be accepted in accordance with Rule 34, up to the advertised start time, actual start time, or such other time as determined by Centrebet. (ii) If a wager is inadvertently accepted in respect of an event after its start time or the time determined by Centrebet in accordance with Rule 32(c)(i), the wager shall be deemed to have been made invalidly and will be refunded to the Client. For the purpose of this clause, "inadvertently" means that Centrebet had no knowledge that the event in question had started and the wager was accepted in good faith. 33. Clients should check their Account Balance each time they log on to their Centrebet Betting Account or at the time they place their wager via the Centrebet website (including via an app). In the event of a query, it is the Client's responsibility to notify Centrebet at the earliest opportunity and provide the Client's own record of transactions since the Centrebet Betting Account Balance was last verified. 34. A wager via Centrebet s website (including via an app) is agreed and taken to have been accepted by Centrebet via its internet server and computer systems in the Northern Territory when all of the following have taken place: (a) the Client has selected Finalise, or Finalise Wager on the website or an app in relation to their selected wager; (b) Centrebet determines that there has been compliance with these Rules in relation to the ability of the client to make the wager (including but not limited to Rules 32, 39 and 47); (c) the Client has a sufficient credit balance in its Centrebet Betting Account, or if it has a Centrebet Facility, the Client has a sufficient available maximum debit balance in its Centrebet Betting Account; (d) that, subject to Rule 35, the Odds offered have not changed; (e) that Centrebet otherwise exercises its rights and discretions under the Rules as to whether or not to accept the wager; and 13

14 (f) Centrebet has determined that it will accept the wager, and has via its internet server and computer systems located in the Northern Territory, caused the wager to have been accepted via entries in such servers/computer systems. After acceptance of a wager by Centrebet, a Bet Receipt number will be issued to the Client. 35. Prior to acceptance of a wager by Centrebet, if: (a)the Odds decrease, an error message, stating the price has changed, will be displayed, and the Client will then be presented with updated Odds for that wager; (b) the Odds increase, the wager will, at Centrebet s sole discretion, be automatically submitted for acceptance by Centrebet at the increased Odds. 36. The minimum racing wager is $0.50, with the exception of Centrebet Exotics which are $0.01 wager per stake unit. The minimum sports wager is $ The Client acknowledges that where a dispute occurs which cannot be resolved by Centrebet, the Client agrees that any records of a Client's transactions and communications with Centrebet may be made available to the regulatory authority to enable the dispute to be determined in accordance with these Rules. 38. Clients are unable to cancel or change a wager once the wager has been placed by the Client and accepted by Centrebet, unless the Client informs Centrebet (by LiveChat or ) as soon as practicable after the wager is accepted by Centrebet (but before the event has commenced) that the wager was made in error. In such circumstances the Client must demonstrate that the initial wager was made in error and the initial wager shall only be voided and replaced with another wager at the sole discretion of Centrebet. 39. Centrebet has absolute discretion over which odds, prices or lines ( Odds ) it may choose to offer a Client. Centrebet reserves the right to refuse to accept a wager in its absolute discretion. All Odds (including fixed odds) displayed on the Centrebet website or apps are indicative only until the Client has logged in to their account, and may change before the wager is accepted by Centrebet. The only Odds offered by Centrebet are those that are displayed after the Client has logged in, and at the time the wager is confirmed by a Client. All Odds offered to a Client are subject to the wagering limits as described in these Rules, and are subject to variation until the time a wager is accepted by Centrebet. For tote derivative products the final price is not known until dividends are declared. 40. Win/Place wagers must be the same stake for the win and place portion. 41. Unless otherwise agreed in writing by Centrebet, and subject to any legal requirement to be compelled to accept a wager at a given amount: 14

15 (a) the maximum amount that may be paid out on any single win or win/place wager, including where the same wager is placed more than once, is $250,000; (b) the maximum amount that may be paid out on any multi wage, including any multi wagers with any repeated selections, is $100,000; (c) the maximum wager (or series of wagers) that Centrebet is compelled to accept at the odds it offers, is that wager amount so prescribed by law that when applied to the applicable Odds offered and the circumstances of the wager, would result in the maximum amount William Hill Australia Wagering Pty Ltd (comprising Centrebet and William Hill) is compelled by law to pay out on any wager or series of wagers (Betting Limits). Displayed at Appendix C to these Rules are the details and circumstances of the betting limits it is asserted Centrebet is compelled by law to adhere to. 42. Clients acknowledge that the Betting Limits displayed in Appendix C to these Rules apply to William Hill Australia Wagering Pty Ltd brands (Centrebet and William Hill) as a whole. For the avoidance of doubt, if William Hill has already accepted a Fixed Odds wager or a number of Fixed Odds wagers up to the Betting Limits on that horse from the Client and/or another Client (or Clients) acting as agent for that Client, Centrebet reserves the right to restrict such Client/s from placing wager/s on that horse to the Betting Limits. 43. All-In Betting means regardless of whether or not a particular competitor starts or completes the event in which a bet is placed, all bets stand and no refunds shall be payable or deductions apply. 44. Clients acknowledge that Centrebet does not offer any Bonus Bets or promotions. 45. DISPUTE RESOLUTION If any Dispute cannot be settled satisfactorily between Centrebet and the Client, the Dispute must be referred to a representative of the Northern Territory Racing Commission via the online gambling dispute form found at for final determination. Where a Dispute relates to a wager, the wager will be adjusted in accordance with the Commission s final determination. 46. PAYMENT TERMS Winnings will be credited to a Client s Centrebet Betting Account following confirmation of the final result. Should funds be credited to a Centrebet Betting Account in error for any reason, it is the Client's responsibility to notify Centrebet of the error without delay and the Client shall return to Centrebet any funds credited in error. Any wrongful credited amounts are immediately due and payable by the Client to Centrebet regardless as to whether any funds have been paid to the Client following the error or the Client has made wagers that negatively affect their Account Balance. 15

16 47. For the avoidance of doubt, on and from 17 February 2018, Centrebet Facilities as described in this Rule are no longer available for use by Clients. All outstanding debit balances must be repaid to Centrebet. In relation to Centrebet Betting Accounts: (a) each Client will be issued a Centrebet Betting Account, before wagers are accepted; (b) with the approval of Centrebet, a Client's Centrebet Betting Account may be granted a "Centrebet Facility"; (c) a Centrebet Facility is the maximum permissible debit balance for a Centrebet Betting Account; (d) Centrebet and the Client are required to pay the "Account Balance". An Account Balance is a debit balance, credit balance or nil balance; (e) the Account Balance is the difference between; (i) the sum of the unsettled wagers and settled unsuccessful wagers made by the Client and any payments or transfers out of the Client's Centrebet Betting Account; and (ii) the sum of any Client Deposits and settled winnings payable by Centrebet, for all Payment Periods. (iii) If the sum (after taking into account applicable adjustments) of subparagraph (i) exceeds the sum in subparagraph (ii), then there is a debit balance. (iv) If the sum (after taking into account applicable adjustments) of subparagraph (i) is less than the sum in subparagraph (ii), then there is a credit balance; (f) Unless otherwise agreed, for Clients that have been granted a Centrebet Facility, the Payment Period shall be weekly and the Account Balance shall be paid within 7 days of the end of the preceding betting week (being the week ending at midnight on Sunday); and (g) for Centrebet Betting Accounts without a Centrebet Facility, the Client may request any credit balance be paid to him/her by making a winnings claim. Any winnings claims are subject to any bonuses granted by Centrebet. 48. Payment means the full payment of an Account Balance for a Payment Period; and if there are unpaid Account Balances for prior Payment Periods, then those prior Payment Periods must also be paid. 49. For the avoidance of doubt, the granting of a Centrebet Facility is not to be taken as provision of consumer credit by Centrebet, but rather as the granting of time by Centrebet, to the Client, to allow the Client to pay its Centrebet Facility by the end of the Payment Period. 50. Where a Client has been granted a Centrebet Facility in accordance with Rule 47(a) above, the Client may be refused wagers by Centrebet if their Account Balance at any time exceeds their Centrebet Facility or if the effect of that wager would cause the Centrebet Facility to be exceeded. If Centrebet, in its discretion, allows a Client to make a wager even though the Centrebet Facility may be exceeded, the Client shall pay his/her resultant Account Balance when due. 16

17 51. For the avoidance of doubt, it is the Client's responsibility to monitor the balance of their Centrebet Betting Account and if, for whatever reason, the Account Balance exceeds their Centrebet Facility, it is the Client's responsibility to ensure that all amounts in excess of the Centrebet Facility is paid in accordance with these Rules when due. 52. Where a Client has not been granted a Centrebet Facility, the Client may be refused wagers by Centrebet if their Account Balance at any time is in debit or if the effect of any wager would cause the Centrebet Betting Account to go into debit. 53. In the event that a Client also holds a Betting Account with any other William Hill Group entity (such as Centrebet), the Client agrees that Centrebet can, without the Client s prior consent, set off and/or apply the credit balance of the Client s Betting Account held with such other William Hill Group entity against any debt owed by the Client to Centrebet. 54. Centrebet maintains bank accounts which at all times have sufficient funds to cover all monies owed by Centrebet to its clients. Monies in Centrebet Betting Accounts are not insured, guaranteed, sponsored or otherwise protected by any deposit or banking insurance system or by any other similar insurance system. As such, monies in Centrebet Betting Accounts are not protected in the event of insolvency. 55. RESULTS Where an event or match is postponed and rearranged to take place within 48 hours of the original scheduled starting time, all wagers will stand. If the event or match is rescheduled to take place more than 48 hours later than the original scheduled start time, all wagers will be void and stakes refunded. Affected multiples will be recalculated, excluding that leg. Please note that individual sports rules stating a different time period will override this Rule. 56. In the case of sports betting and all other contests that involve a set length of play or time limit, players must play and the event must run to the conclusion of the designated time, to be considered official for betting purposes. Please note that individual sport rules that state otherwise will override this Rule. 57. Unless otherwise stated in the event description or individual sport rules, overtime periods or extra time periods will count towards the final result, except in relation to soccer (see individual sport Rules for soccer below). Other individual markets noted as excluding extra time or overtime, and individual sports rules stating that extra time or over-time does not count will override this Rule. 58. Unless otherwise stated in the individual sports Rules, if a venue is changed and is not published or known to Centrebet at the time the prices are advertised, bets placed on that match will stand providing the match is not switched to the opponent's venue, in which case bets placed on that match will be made void. 17

18 59. For multiple wagers, if any leg/legs are void, the multiple wager will be recalculated excluding the voided leg/legs. 60. Unless otherwise stated in the individual sports Rules, the result of a match or event will be determined on the day of its conclusion for betting purposes, subject to confirmation by the relevant sports governing body. Any subsequent overturned decision will not be recognised by Centrebet, and original settlement of wagers will stand. 61. Unless otherwise stated, Centrebet does not offer traditional Each-Way betting. The specific Rules for "Win and Place" for horse racing wagers are as follows: (a) where there are 10 or more runners in a race and no Odds-on-Favourite, traditional Each-Way betting is offered by Centrebet, dividends shall be calculated in accordance with NSW Thoroughbred Racing Board Rules of Betting. (b) where there are 8 or 9 runners in a race, a place dividend shall be paid on 1st, 2nd and 3rd and where the Client takes "Fixed Odds Each Way", the dividend paid for a place shall be equal to the Tote Place dividend declared in the state in which the race is run; (c) where there are 5, 6 or 7 runners in a race, a place shall be paid on first and second places only and where the Client takes Fixed Odds Each Way, the dividend paid for a place shall be equal to the Tote Place dividend declared in the state in which the race is run (d) where there are less than 5 runners in a race, the wagers shall be "Win Only"; and (e) for the avoidance of doubt where there is an Odds-On Favourite in the field, regardless of the number of runners in the field, win and place wagers will be accepted and the dividend paid for a place shall be equal to the Tote Place dividend declared in the state in which the race is run. 62. When betting Each-Way, the place portion of the wager must be equal to or less than the win portion of the wager. 63. When wagering All-Up, there is to be no backwards betting. In the event that a wager is accepted that includes backwards betting, the wager will be accepted in the order that the race legs are running. An All-Up wager may only be up to four legs. Should one of the selections of the All-Up be scratched, the wager on the remaining selection and the initial stake will stand. 64. When making an All-Up bet, this shall include the original wager plus the winnings from the subsequent race legs. 65. Unless otherwise agreed with Centrebet, the maximum that a Client can win from an All-Up wager is AUD$50, A Dead-Heat occurs when two or more competitors are officially declared to have finished equal. This applies to both winners and place getters in a single event. Unless otherwise stated, the following rule, known as the Dead- Heat Rule applies: 18

19 (a) In the event of a Dead-Heat bets will be paid at the face value of the ticket divided by the number of competitors tying for that place; (b) In any event for which each way betting is available, place ties will be paid such that the place portion of the face value of the ticket is multiplied by the remaining number of places available and divided by the number of competitors tying for those available number of placings; (c) in the event that there is a Dead-Heat in an Australian horse or harness race, and a protest occurs and is subsequently upheld, the payout on the runner that is relegated will be half the face value of the ticket. 67. HORSE RACING Where a race meeting is transferred from one racecourse to another, all betting Rules will apply as if the meeting was not transferred. 68. If a race meeting is postponed, all wagers on the postponed meeting are cancelled. 69. Where a race meeting is transferred from one racecourse to another, the limit shall be for the course on which the meeting should have been held. 70. In the event of a horse being withdrawn late by order of the stewards, all wagers will be paid as stewards direct, including deductions on remaining runners. 71. If a wager on a horse racing event is inadvertently accepted in respect of an event after its start time, the wager shall be deemed to have been made invalidly and the wager will be refunded to the Client s Account. For the purpose of this clause, "inadvertently" means that Centrebet had no knowledge that the event in question had started and the wager was accepted in good faith. 72. We reserve the right to refuse the whole or part of any wager. PART B RACING AND SPORTS WAGERING RULES 73. CENTREBET WAGER-TYPE RULES General The Centrebet products and wager types are intended for bona-fide Clients, that is, those Clients who act at all times in good faith, sincerely, without fraud and who place wagers with Centrebet for the purpose of recreation and entertainment. 74. A reference to Tote means the NSW TAB, TAB Vic or UBet. 19

20 A reference to Australian Totes means the NSW TAB, TAB Vic and UBet. 75. For races within Australia, a reference to Home Tote Dividend means the Win or Place dividend declared in the state in which the race is run with a maximum dividend of $101. In relation to races held in Europe, Africa or the Americas, Home Tote Dividend is defined as the dividend declared by NSW TAB, TAB Vic, UBet or Mid Tote as made available by Centrebet at the time the wager is placed. For all other overseas races, Home Tote means NSW TAB. 76. A reference to the Field Size Rule sets out how place dividends are paid. For all races within Australia and overseas the Field Size Rule is as follows: (a) where there are 8 or more runners in a race, a dividend shall be paid on 1st, 2nd and 3rd places; (b) where there are 5, 6 or 7 runners in a race, a dividend shall be paid on 1st and 2nd places only; and (c) where there are less than 5 runners in a race, the wagers shall be Win Only. 77. (a) A reference to Win/Place Fixed Odds" means the price quoted by Centrebet of a specified runner at the time of placing the wager. (b) Win/Place Fixed Odds refers to the Fixed Price quoted by Centrebet of a specific runner prior to placing a wager. These odds are fixed at the time of placing the wager. All Fixed Win/Place wagers are subject to the Field Size Rule (Rule 76). If a Fixed Price wager is struck once the Final Field is declared, such wagers are subject to scratching and deductions. (c) All deductions applied by Centrebet on Fixed Odds wagers struck after official opening prices have been announced will be sourced from the racetrack of race origin or, where applicable, with Rule 4 of the Tattersalls Committee Rules on Betting. In the event of a field reducing in size from 8 runners to 7 or less runners, Centrebet will pay three dividends on all fixed odds place bets struck prior to the field being reduced. These wagers will be subject to relevant deductions as declared by the stewards. (d) In the event of a field reducing in size from 5, 6 or 7 runners to less than 5 runners Centrebet will pay two dividends on all fixed odds place bets struck prior to the field being reduced. These wagers will be subject to relevant deductions as declared by the stewards. 20

21 (e) If a client places a Fixed Odds Place wager and there is only 5, 6 or 7 runners then Centrebet only pays 1st and 2nd regardless of whether the Tote pays 1st, 2nd and 3rd dividends courtesy of late scratchings. 78. Selected Tote means either the NSW TAB, TAB Vic, UBet or Mid Tote dividends as made available by Centrebet and/or chosen by the Client at the time of making a wager. Additionally, for overseas races in Europe, Africa and the Americas the Selected Tote means either the NSW TAB, TAB Vic, UBet or Mid Tote dividends as made available by Centrebet and/or chosen by the Client at the time of making a wager. If no Australian Tote dividend was made available by Centrebet and/or chosen by the Client at the time of making the wager, the Selected Tote is considered the official totalisator at the track where the race is held, and their rules governing dividends and winning combinations will be applied. 79. A reference to SP means the Starting Price as determined in accordance with Rule A reference to Mid Tote means the Australian Tote with the second highest official Win dividend. 81. The maximum win dividends payable for SP, Home Tote, Selected Tote and Mid Tote are: (a) $26 for Greyhound Racing; (b) $51 for Harness Racing; and (c) $101 for Thoroughbred Racing. 82. A reference to Pool means the total dollar amount of moneys held by the Selected Tote, TAB Vic or UBet (whichever is relevant) on a designated contingency or event less statutory deductions or takeouts. Centrebet reserves the right, for any wager type, in any location, to limit the maximum payout per Client per event to the size of the Pool for that contingency. 83. Notwithstanding anything to the contrary in these Rules, for races (Thoroughbred, Harness and Greyhounds) not conducted in Australia the maximum payout on any wager is AUD$10,000 per Client per event. 84. Where these Rules state that a dividend is to be paid as declared by a particular Tote, and that Tote fails to declare a dividend within ten (10) minutes of other Australian Totes declaring a dividend, Centrebet will pay the dividend which is the higher of the dividends that were declared by the other Australian Totes. 21

22 85. MaxiDiv Betting Rules When placing a MaxiDiv Win wager on a thoroughbred you will receive the better of the dividends declared by the three Australian Totes or the Official Starting Price (SP). For Win/Place wagers, MaxiDiv will provide the best dividend declared by the three Australian Totes or the SP for the Win and the better of the dividends declared by the three Australian Totes for the Place portion. Where the SP is not available for a particular race, MaxiDiv will provide the best dividend declared by the three Australian Totes. MaxiDiv is available on selected Metropolitan Thoroughbred meeting (Sydney, Melbourne, Brisbane, Adelaide and Perth) and major Provincial meetings also as nominated by Centrebet. 86. The maximum dividend paid out under MaxiDiv is $ Unless otherwise stated by Centrebet, the maximum net winnings paid out under MaxiDiv is $50,000. The balance of the winnings is paid using the Home Tote Dividend. 88. Place dividends will be paid in accordance with the Field Size Rule. 89. Best Tote Betting Rules Best Tote is available on selected non-metropolitan Thoroughbred meetings. Best Tote is available on selected Australian Metropolitan Thoroughbred meetings (Sydney, Melbourne, Brisbane, Adelaide and Perth). When placing a Best Tote Win only wager on a thoroughbred you will receive the better of the dividends declared by the three Australian Totes. For Win/Place wagers, Best Tote will provide the best dividend declared by the three Australian Totes for the Win and the Mid Tote dividend for the Place portion. 90. The maximum dividend paid out under Best Tote is $201. Best Tote winnings will be awarded to Client s accounts upon settlement of the event post correct weight being declared. 91. Place dividends will be paid in accordance with the Field Size Rule. 92. Best Tote Plus Betting Rules Best Tote Plus is available on selected Australian Thoroughbred meetings. 22
