2 Dear Friends and Supporters, On behalf of the Board of Directors of Mid-South Pride lnc., and our 100 percent dedicated volunteers from across the Mid-South region, we would like to introduce to you our sponsorship, vendor and parade opportunities to the 2013 Mid-South Pride Festival and Parade. Our 10th Annual Mid-South Pride will take place in downtown Memphis, TN, at the Robert Church Park and Beale Street Entertainment District on Saturday, October 12, Your support will be welcomed to the Beale Street venue by other supporters like Performa, the Beale Street Merchants Association, and the City of Memphis. The most important goal of Mid-South Pride has been our unwavering optimism for diversity and inclusion. Our annual, multicultural and educational event in Memphis highlights the continued need for better understanding, respect, fairness, justice and equality for all people regardless of their sexual orientation, gender identity or gender expression. 5 VENDOR/booth guidelines Please read and understand the following terms and conditions before proceeding with your application: By signing this agreement for the 2013 Mid-South Pride Festival, the undersigned Pride Market vendor ( Vendor ) agrees to be bound by each and every term set forth herein and the terms and representations set forth in the Pride Market Application, which is incorporated herein by reference as though fully set forth. If the Vendor violates any term of this agreement, Mid-South Pride ( MSP ) and/or the authorized agents of MSP may within their sole discretion and at any time (1) terminate this agreement, (2) require Vendor, immediately upon notice of violation of this agreement, to cease operations and vacate the premises, and (3) forfeit any and all fees paid to MSP for the right and privilege of participating in the Pride Market of the 2013 Mid-South Pride Festival. This agreement represents the entire agreement between MSP and the Vendor and may not be amended without the mutual consent of both parties set forth in writing and signed by authorized representatives of MSP and the Vendor. 1. MSP agrees to provide each Vendor of the 2013 Mid-South Pride Festival with a ten foot by ten foot assigned space. Vendor is responsible to provide a tent if they choose and furniture is available for rental if desired (one table and two chairs for 20). 2. Vendor agrees to obey all rules and instructions as directed by the Pride Festival Director during the festival weekend. Any failure to strictly adhere to such rules or instructions may result in the immediate termination of this agreement and immediate forfeiture of any and all fees paid to MSP. 3. Vendor hereby acknowledges its liability, and agrees to compensate MSP, for any damage(s) caused by, including but not limited to, its representatives, agents, employees, volunteers, members, vehicles, equipment, materials and objects to the environs and infrastructure of Robert Church Park which causes MSP to pay for repair, replacement, or other remuneration to the Memphis Parks Department and/or Memphis- Shelby County Metropolitan Government for such damage to the environs or infrastructure of Robert Church Park. 4. As a courtesy to other vendors and festival participants, any amplified sound or loud noise from Vendor s space is prohibited. 5. Only MSP and those individuals or groups which have signed Food Vendor Agreements shall be permitted to serve, sell or in any way provide beverages, including water, or food at any site or operation of the 2013 Mid- South Pride Festival. Violation of this provision and/or any portion of the health code are grounds for immediate expulsion from the festival grounds. Vendor must have a permit to sell. 6. Vendor shall not display, offer for view or sale any illegal or contraband items. The laws of the State of Tennessee and local ordinances of the Metropolitan Government of Memphis-Shelby County shall control. Vendors shall not display, offer for view or sale any items that are unlicensed and/or copies/interpretations of licensed or registered items at any site or operation of the 2013 Mid-South Pride Festival. 7. Vendor understands and agrees that the Mid-South Pride Festival 2013 is intended to be, and at all times shall be, a family-friendly event. Therefore, Vendor shall not openly display any materials that are obscene, sexually explicit, pornographic or indecent. Such materials, if not in violation of any local, state or federal law, may be present in a Vendor s space if and only if such materials are shielded from the view of persons outside the space and the Vendor posts sufficient signage to warn those entering the space that such materials are located therein. 8. Vendor shall not display, offer for view, take orders for or sell any items that are imprinted, emblazoned or marked in any manner with any or all of the following words or phrases without the express written consent of MSP: Mid-South Pride 2103 or any version of the 2013 Mid-South Pride Logo or Theme. Vendor shall not offer phrases, logos or artwork which closely approximate these words or phrases without the express written consent of MSP. 9. Vendor shall not sublet its space without the express written consent of MSP. MSP permits each space to be utilized by no more than two (2) organizations. 10. Vendor acknowledges and understands that it is their solely responsible for the collection of any sales or use taxes and shall in no way hold MSP or its representatives responsible for any type of permits other than for the festival itself. 11. Refund Policy: Exclusive of the 25 non-refundable application fee, a 50% refund will be given in response to a written request received by MSP by September 30, 2013 if and only if the space can be filled from an approved waiting list. No refunds will be given for any request received by MSP after September 30, No refunds shall be given due to cancellation or interruption of the festival for reasons beyond the control of MSP. These reasons include, but are not limited to weather, acts of God, acts of terrorism, or governmental intervention. 12. MSP and the Metropolitan Government of Memphis-Shelby County accept no responsibility for items left overnight. Vendor is solely responsible for the security for all its items at the festival location at all times. 13. MSP makes no representation or guarantees towards actual festival attendance. 14. 6 PARADE REGULATIONS The 2013 Parade will take place Saturday, October 12th. Line up for the parade will originate next to Robert Church Park at the intersection of 4th Street and Beale Street. Specific line up locations and exact parade route will be communicated via to all marching units a few weeks prior to the event. All entries will be lined up, at the discretion of the Parade Director and Logistics Team, based on the type of marching unit, logistics, and presentation significance. Line up for floats and vehicles will begin at 12:00 noon. Walking groups will line up at 12:30 PM. No entries will be permitted after 12:45 PM. The Parade will start at 1 PM and last approximately one hour. Parade Judging Mid-South Pride encourages participants to make use of the 2013 Theme as you dress and decorate your entries. The 2013 Theme will be "Decades of Pride." All entries will be judged in the following categories. Best of Show Best Use of Theme Best Rolling Group Best Walking Group Judging for the Parade will be conducted by a panel selected by the Parade Director and Logistics Team and managed by the Judging Coordinator. The judges will have the option of bestowing additional awards. Parade Representative Each group is required to designate a Parade Representative. The Parade Representative will serve as the primary contact with Mid-South Pride and be able to assist the Parade Director with set up and control of the marching unit prior to, during, and after the Parade. The Parade Representative will report to the Parade Director or Volunteer for entry verification and line up assignment at 12:00 noon. Etiquette during Parade and Festival Mid-South Pride Parade participants must understand and agree that this Parade is intended to be, and at all times shall be, a Family Friendly event. Therefore, Parade participants shall not display any materials, or behave in any way, that are obscene, sexually explicit, pornographic, or indecent as described in City, County, State, and Federal law. By signing the attached Parade Registration each group agrees to adhere to this policy. If individuals or groups do not comply, they will be subject to immediate removal from the Parade. The Mid-South Pride Parade Director, Volunteers, and the Memphis Police Department will be located in the line-up area and along the Parade route. They will be in place for your safety. Please listen to them and follow their instructions. The Parade must keep moving. Only the briefest stop in front of the Judges will be allowed. Do not stop in front of the Judges for more than 10 seconds. Parade Volunteers and Memphis Police will be on site to quickly move any unit along, or out of, the route. Float Dimensions Parade Floats may not exceed: 10 wide 25 long 10 high (from street to highest point on float) Float Standards Failure to comply with the standards listed may result in the disqualification of the group and possible removal from the parade. The throwing of beads, candy, or any items from a float, vehicle, or walking group is highly discouraged. Participants may hand such items to the crowd, but not throw them. Distribution of items must not interfere with the progress of the Parade. If groups do not comply, they will be subject to immediate removal from the Parade. If groups do hand out such items, they must provide volunteers to help with cleanup of the route the day after the parade Sunday, October 13th at 10:00 AM. No one may enter or exit their float, vehicle or walking group once the Parade has started. Trailers must be towed by an accompanying vehicle and have a turning radius of 90 degrees. A fire extinguisher must be on board each float and vehicle. Each organization must provide applicable insurance and proof of insurance for each float / vehicle entered. No horses will be allowed in the Parade, except for official Mid-South Pride entries. In an effort to maintain a safe and comfortable environment in the Parade line up area, and to limit the length of the Parade to one hour, the number of entries in the 2013 Mid-South Pride parade will be restricted to approximately 50 units, except for official Mid-South Pride entries. Acts of God Every effort is being made to insure that pride 2013 is a successful event. All participants understand that MSP cannot be held responsible for events beyond our control (Acts of God) that may cause the parade or festival to be delayed or cancelled. The event is scheduled to proceed even if there is a light rain. Acts of the City of Memphis All Participants agree and understand that Mid-South Pride and its officers cannot be held liable, and no registration fees will be returned in the event that the City of Memphis cancels Pride 2013, or if the Memphis Police Department removes any person or persons from the parade or festival. Disclaimer By signing the attached Parade Registration, each group agrees to release, indemnify and hold harmless MSP for any injury, loss or liability to itself or its members that might arise out of the participation of that group or its members in the parade or festival. In accordance with City, County, State and Federal Laws, no alcoholic beverages will be allowed during any portion of the Pride Parade or Festival except in the designated area. Additionally, no person under the influence of alcohol or other drugs shall be allowed to operate a motor vehicle during the Pride Parade. Please be advised that the Memphis Police Department is responsible for enforcing all applicable laws during the parade. Such laws may include, but are not limited to, public decency, alcohol and controlled substances.
