SEA TRAIL LADY NINERS CONSTITUTION Article I Article II Article III Article IV Article V Article VI Article VII The title of the Association shall be Sea Trail Lady Niners, hereafter referred to as STLN. The purpose of STLN is to promote interest and participation in golf for all women who play nine holes of golf, regardless of handicap; to encourage team play; to hold tournaments when scheduled. Membership is open to all female property owners at Sea Trail and Long Term Renters (LTR) who rent a minimum of 3 months annually at Sea Trail. Social memberships are available to non golfers with voting privileges, except on golfing issues, as determined by the Executive Board. The officers, President, Vice President, Secretary, and Treasurer, will be elected by 2/3 of votes cast. The term of office shall be one year, effective December 1. No officer shall be eligible for the same office longer than two consecutive years. The immediate past President shall serve as an advisor. Only full-time residents of Sea Trail are eligible to be officers. There shall be an Executive Board comprised of the officers and the standing committee chairs. There shall be four general meetings, including an Annual Meeting, on dates to be determined by the Executive Board. Notice of these meetings shall be posted two weeks prior to the meeting. This constitution may be amended by a 2/3 vote at a regularly scheduled meeting of STLN, provided the proposed amendment(s) has been posted at least two weeks in advance of the meeting. BY- LAWS Article I A nominating committee of no less than 3 or more than 5 will be appointed by the President. The committee will present their recommendations to the Executive Board before October 1 for their approval. The committee will post the proposed slate at least 2 weeks before the Annual Meeting. No officer shall be nominated who has not given her consent to serve if elected. The election shall be held at the Annual Meeting, at which time additional nominations shall be accepted from the floor. Two-thirds of votes cast shall constitute the election.
Article II I V Article III I V Duties of the Officers The duties of the President include: Appoint all committee chairs; schedule and preside over all meetings, including Executive Board meetings; call impromptu meetings when deemed necessary giving notice to the members at least five days prior to the meeting, obtain tee times and dates for all meetings, including Executive Board meetings. The duties of the Vice President include: Assume the duties of the President in her absence; assist the President as deemed necessary. The duties of the Secretary include: Record accurate minutes of all meetings including Executive Board meetings; maintain files, receive and respond to correspondence; make copies of the Constitution available to all members when necessary; distribute and receive absentee ballots upon request from paid -up members. The duties of the Treasurer include: Keep a full and accurate accoun t of all monies received and disbursed; collect dues and maintain a roll of the membership; reimburse members for STLN expenses; notify the President, Handicap Chair, and Membership Chair of new members. Duties of the Executive Board The Executive Board shall consist of the officers of STLN and the chairs of the standing committees. This Board shall meet at the call of the President and notice of all meetings shall be given all Board members. Shall have power to expend the funds of STLN and fill all vacancies of elected officers on the Executive Board. Two-thirds of the Executive Board shall constitute a quorum at any Board meeting Only the Executive Board shall determine when absentee voting will be permitted in deciding critical issues. Article IV Dues The amount of the annual dues shall be determined by the Executive Board. Members are responsible for payment of dues from the Annual Meeting to no l ater than December 15. Dues are not pro-rated for members joining later in the year. Dues will not be refundable or transferable. Dues must be paid to be included in weekly golf tournaments (does not apply to non golfers.) Voting Handicaps Play New officers shall be elected by 2/3 of votes cast at the Annual Meeting. Voting by proxy shall not be permitted. Absentee ballots for critical issues, as determined by the Executive Board will be available from the Secretary. Votes must be mailed and postmarked to the Secretary at least 5 days before the vote on critical issues. Eligibility: Members are required to play a minimum of 5 rounds of 9-hole golf to establish a handicap. A new member, with an established current handicap from another golf club, may submit her handicap card to the Handicap Chair for computer entry of scores, course rating, and slope. New members may play on league day but may not compete in tournaments until they establish a STLN handicap. Special Events: Participation in the Charm, Second Chance, Club Championship, and Member/Member tournaments shall include members who have played at least 5 rounds of golf on a league day one year from each respective tournament date. League Day: Members have a designated league day. All holes-in-one, birdies, and chip ins must be accomplished on a league day to be eligible for awards. Guests are welcome to play on league day providing space is available. The USGA Rules of Golf shall govern golf procedures. Amendments These By-laws may be amended at any time at a regular meeting of STLN by 2/3 of votes cast, provided the proposed amendment(s) has been posted at least two weeks in advance of the meeting. Educate members with USGA Rules and local rules with the assistance of the golf professionals; make final determination on golf and /or tournament questions that arise. Schedule and coordinate all special tournaments Charm, Second Chance, Club Championship, Member/Member throughout the year with the assistance of committee members and golf professionals. Arrange all lunches, including the Christmas luncheon, and any other social events that may be requested by the Executive Board. Send get well and sympathy cards to our members. Represent STLN at off campus non STLN meetings; report anything of importance from these meetings to STLN; submit USGA Index / Handicap for those tournaments held outside of Sea Trail; coordinate tournament when STLN hosts. Reserve tee times for STLN golf on a non-league day. Post and coordinate tee times each week. Keep records for each STLN golf on league day. Record birdie and chip ins; report the golfer who played the most league days. Enter tee times, board meetings, and other important information on the website. Enter golf data into the computer, add and delete members; run monthly handicaps; collect weekly score cards; check handicaps; report the most improved golfer, and the golfer with the lowest handicap. Promote good public relations by using all media including the Sea Trailer and Brunswick Beacon to report our activities. STLN on the Go Plan for golf activities off campus. Page 4
AD HOC COMMITTEES Awards Historian Chaplain Purchase prizes to be distributed at the Awards Meeting, i.e. Charm, Club Championship, Second Chance, Hole-in-One, Birdies, Chip ins, Most Improved Golfer, Golfer with the Lowest Handicap, Golfer who played the most league days. Collect published articles and photographs of STLN events in a scrapbook. Provide the prayer before our luncheons. Page 5
SEA TRAIL LADY NINERS LOCAL RULES 1. To speed up play, pick up after the STLN designated strokes (see chart on the Jones/Byrd bulletin board) unless playing in a tournament. In a tournament you must putt out or be disqualified. 2. Take relief from all ropes, roots, and railroad ties. Determine the point of nearest relief and drop the ball, without penalty, within one club length of that point. NO NEARER THE HOLE. 3. Take relief from fire ants, poison ivy, and poison oak. Determine the point of nearest relief and drop the ball, without penalty, within one club length of that point. NO NEARER THE HOLE. 4. Winter rules are in place all year. You may improve your lie 6 inches in the fairway. NO NEARER THE HOLE. 5. Waste areas are designated by the absence of rakes. Take relief if your ball lies in a footprint, rut, or tire track. Determine the point of nearest relief, drop your ball, without penalty, within one club length of that point. You may ground your club in a waste area. 6. Any drainage ditches (wet or dry) on the course will be played as a lateral hazard. Follow appropriate procedure as it applies to a lateral hazard. 7. Water hazards: (1) Where there is a designated drop area, try to get over the water once. If the ball goes in the water, carry to the drop area, add 2 strokes to your score (one for the shot, one for the penalty). Drop the ball in the drop area; or (2) where there is no designated drop area, try to get over the water the first time. If the ball goes in the water, carry it around and drop at the closest point on the other side of the water, adjacent to the green. (Right side of cart path on Byrd # 13 and left side of cart path on Jones # 8). Add 2 strokes to your score for the hole (one for the shot, and one for the penalty). IMPORTANT: THIS RULE APPLIES TO WATER HAZARDS ONLY (YELLOW STAKES) AND NOT LATERAL HAZARDS (RED STAKES). 8. When the game of the week is least putts, the procedure is as follows. A putt is counted ONLY when the ball rests on the green before the stroke is taken. 9. Take relief from only those landscaped areas designated by a BLUE STAKE. If such an area interferes with a player s stance or intended swing, the ball must be lifted, without penalty. Determine the point of nearest relief and drop the ball within one club length of that point, NO NEARER THE HOLE. If your ball lies in any other landscaped area not so marked, you must play the ball as it lies. 10. If your ball lies in pine straw anywhere on the course, you must play the ball as it lies. You do not get relief from a ditch that encircles the pine straw. Page 6

You may sign up at the Jones/Byrd Clubhouse in the computer room, or on your personal computer by 12 Noon on Monday for Thursday play. GUIDELINES FOR LONG TERM RENTERS: 1) Must annually present proof of rentership at Sea Trail. 2) Must pay annual membership dues for the fiscal year 11/1 10/31. 3) Not eligible for executive board positions. 4) No voting privileges. 5) LTR is required to have an STLN Handicap and 5 league days to participate on tournaments. 6) LTR may participate in tournaments but are not eligible for prizes in the Club Championship, Charm and 2 nd Chance Tournaments. 7) Membership of LTR may not exceed 10% of the total STLN property owners membership. 6.
