Partnership Agreement February 8, 2018 The following agreement exists between Thomas Ohmit (here forth referred to as the Competitor ) and (here forth referred to as the Sponsor ) and references Slave2Nothing (here forth referred to as the Charity ) relating to esport racing competition on the iracing.com simulation service. This agreement uses the trademarks iracing.com and Nascar as a reference to competition location and class only and not as parties of the agreement. Likewise, Slave2Nothing is not party to nor has any obligations based on the agreement. Thomas Ohmit has no affiliation with Slave2Nothing. The nature of this agreement is to raise donations and awareness for the Charity to fight human trafficking in exchange for the Competitor providing advertising exposure for the Sponsor. The effective date of this agreement begins and ends November 19, 2018. This agreement pertains specifically to the Competitor s participation in any Class A Nascar Cup car series/leagues on the iracing.com service and does not apply to participation in other classes or simulation services. The Competitor agrees to provide the following exposure for the sponsor: 1. Sponsor s logo to be placed on the Competitor s website (OhmitSimRacing.com) in the Business Partners section. 2. Sponsor s logo to be placed on the lower graphics bar of the Competitor s live stream during online broadcasts. At least one race will be streamed online per race week. 3. Sponsor s logo to be placed on the Competitors virtual car paint scheme either on the sides or top of the car at an available location. In exchange for the advertising exposure, the Sponsor agrees to contribute donations to the Charity in the following amounts based on race results (circle one): A Win: $15 B Pole: $10 OR One-Time Donation of $500 or more Top 5: $5 Option A Donations shall be made on a monthly basis. The Competitor will send the Sponsor a summary at the end of each month detailing race results. Option B Donation will be made within 1 week of the agreement effective start date. The Sponsor shall make donations to the Charity directly using the Charity s website (Slave2Nothing.org) and no funds shall be transferred to the Competitor. The Sponsor shall send the Competitor the donation receipt from the Charity as evidence of donation. The Competitor is not obligated to run a specific race, series, schedule or number of races. The more races run, the more potential to raise donations and awareness. The Competitor agrees that a $50 per month limit may be placed on Option A donations; Sponsor may choose to donate more at their own discretion. Partnership Agreement Page 4 of 2
Should the Sponsor not make the agreed donations, this agreement shall be broken and Competitor released from obligation to display Sponsor logos. Under no circumstance can this agreement be used to suggest any financial transaction or liability, past, present or future, between the Competitor and the Sponsor.
