IN THE UNITED KINGDOM All prices and dollar amounts stated herein, such as registration fees, and reward and refund amounts, are in U.S. dollars unless expressly stated otherwise. For those residing in Canada and the United Kingdom, all prices will be charged at the U.S. dollar amount, which will be converted by your bank or card issuer to your local currency at the then-current exchange rate. Note: you may also incur foreign transaction fees. Please check with your bank or card issuer for more information. 1. Challenge Description: Team Beachbody invites all Qualified Coaches (as defined below) to earn Elite Points in 2018 to be eligible to receive Premiere Rewards in 2019 (as each of those terms are defined or referenced below). These official rules ( Official Rules ) govern this Premiere Challenge. Sponsored by: Beachbody, LLC in the United States, Beachbody UK Ltd. in the United Kingdom (as the promoter), and Team Beachbody Canada LP in Canada (collectively, Team Beachbody ). This Premiere Challenge is not open to the general public. By participating in the Premiere Challenge, you expressly and unconditionally agree to these Official Rules, which are final and binding in all respects. PLEASE NOTE THAT ALL INFORMATION PROVIDED IN THESE OFFICIAL RULES, SUCH AS DATES, LOCATIONS, AND SCHEDULE INFORMATION IS SUBJECT TO CHANGE. As explained below, Premiere Rewards (referring to all the rewards a Qualified Coach may earn during the Premiere Challenge as outlined in Section 5, below) are based on Elite Points. For information on how to earn Elite Points, please see the Team Beachbody Elite Challenge 2019 Official Rules ( Elite Challenge Rules ) available through the Coach Online Office. For information on how to earn Success Club Points, please see the Team Beachbody Success Club Points Challenge Official Rules ( Success Club Rules ) also available through the Coach Online Office. 2. Challenge Period: The Team Beachbody Premiere Challenge 2019 ( Premiere Challenge ) begins on January 1, 2018 at 12:00 AM Eastern Time ( ET ), and ends on December 31, 2018 at 11:59:59 PM ET ( Premiere Challenge Period ). Team Beachbody s computer is the official time-keeping device for the Premiere Challenge Period. 3. Coach Eligibility: To participate in the Premiere Challenge and be eligible to receive Premiere Rewards, you must be a Team Beachbody Coach, current with all Coach Business Service Fees, in good standing, and in compliance with the Independent Team Beachbody Coach Policies and Procedures at all times during the Premiere Challenge Period, at the time any Premiere Reward is awarded, and at the time of each of the Events defined below ( Qualified Coach ). 1
Premiere Qualifications 4. Premiere Qualifications: Subject to the terms, conditions and limitations herein, and verification by Team Beachbody, Team Beachbody is offering Qualified Coaches the opportunity to earn Premiere Rewards by meeting the qualifications listed below ( Premiere Qualifications ): (a) Being a paid rank of 2 Star Diamond or higher (as defined in the then current Team Beachbody Coach Compensation Plan) as of the close of any bonus week during the month of December 2018, or holding a paid rank or qualification rank of 2 Star Diamond or higher for six (6) consecutive bonus weeks ending in 2018; and (b) Advancing at least two (2) Personally Sponsored Coaches to a lifetime rank of Diamond or higher during the Premiere Challenge Period who each either: (i) hold a current paid rank of Diamond or higher as of the close of any bonus week in December 2018, or (ii) hold a current paid rank or qualification rank of 2 Star Diamond or higher for six (6) or more consecutive bonus weeks that end in 2018; and (c) Earning One Hundred and Five (105) Elite Points during the Premiere Challenge Period* (January 1, 2018 to December 31, 2018). - *No Elite Point Limitation: The Elite Challenge Rules contain limits on how many Elite Points a Qualified Coach can earn; those limitations do not apply for purposes of earning Premiere Qualifications. For purposes of Premiere Qualifications, Qualified Coaches may earn as many Elite Points during the Premiere Challenge Period as possible towards the One Hundred and Five (105) Elite Point requirement. Premiere Rewards 5. Premiere Rewards: Subject to the terms, conditions and limitations herein, and verification by Team Beachbody, Qualified Coaches who meet the Premiere Qualifications in Section 4 above will be eligible to receive the following Premiere Rewards (each, a Premiere Reward, and collectively, the Premiere Rewards ): (a) Title of 2019 Premiere Coach. (b) Two (2) VIP floor passes to general session and certain events during the 2019 Team Beachbody Coach Summit ( 2019 Coach Summit ). - Details: Team Beachbody will announce the dates, location and other information for the 2019 Coach Summit once they become available. In order to receive the two (2) VIP floor passes, Qualified Coaches are required to register, purchase a ticket to, and attend the 2019 Coach Summit. (c) Onstage recognition at the 2019 Coach Summit. (d) An invitation for the Qualified Coach to attend the Premiere Reception at the 2019 Success Club Trip ( 2019 Success Club Trip ). - Details: Team Beachbody will announce the dates, location and other information for the 2019 Success Club Trip once they become available. In order to receive the invitation to attend the Premiere Reception, Qualified Coaches are required to qualify for, register, purchase a ticket to, and attend the 2019 Success Club Trip. (e) One (1) Beachbody merchandise package containing items to be selected by Team Beachbody (approximate retail value ( ARV ): USD $100.00. 2
ARV for all Premiere Rewards: $985.00. Events: The 2019 Coach Summit and 2019 Success Club Trip are each referred to in these Official Rules as an Event, and collectively, the Events. Additional Conditions/Requirements to Receive Premiere Rewards: Before you can receive any Premiere Rewards (which include attendance and/or an invitation to an Event), you must (as applicable) qualify, register, pay for and attend the Event, and comply at all times with any terms and conditions of Team Beachbody and relating to the particular Event. For example, in order to receive the two (2) VIP floor passes to the 2019 Coach Summit, you must properly register, pay for and attend the 2019 Coach Summit, and comply at all times with any terms and conditions of Team Beachbody and the 2019 Coach Summit. 6. Premiere Challenge Calculation and Decision: Preliminary evaluation of Elite Points, Success Club Points and Premiere Qualifications will be held in or around January 2019, and may be posted by Team Beachbody on leader boards on Team Beachbody s websites during the Premiere Challenge Period, at Team Beachbody s discretion. Premiere Rewards recipients will not be determined until verified by Team Beachbody, including to ensure that a potential Premiere Rewards recipient s Premiere Qualifications do not change for any reason, including due to any deduction of Elite Points, Success Club Points, or PV, whether due to returned product or as otherwise set forth herein, the Elite Challenge Rules or the Success Club Rules. PV is defined in the Team Beachbody Coach Policy and Procedures. Note: When calculating Premiere Qualifications for Qualified Coaches with more than one (1) Beachbody Coach Business Center, all activity that occurs from various Business Centers will be aggregated and reflected in the Qualified Coach s primary Business Center. Only primary Beachbody Coach Business Centers are eligible to fulfill the Premiere Qualifications and receive the Premiere Rewards set forth herein; Beachbody Coach Business Centers outside of the primary Business Center are not eligible to receive any Premiere Rewards. 7. Additional Premiere Rewards Conditions: Premiere Rewards will be awarded to Qualified Coaches following verification by Team Beachbody in its sole discretion of all requirements and Premiere Qualifications in these Official Rules (including determination of ranks and verification of Elite Points), and provided that such Qualified Coaches meet the definition of Qualified Coach and all other terms and conditions herein. Failure to meet any such requirements or Premiere Qualifications will result in the forfeiture of all Premiere Rewards, in Team Beachbody s sole and absolute discretion. Once verified by Team Beachbody, Qualified Coaches who earn Premiere Rewards may receive or redeem (as applicable) those Premiere Rewards as instructed by Team Beachbody. All expenses, costs or fees that are not otherwise expressly stated above, including any and all applicable travel costs, personal expenses, incidental costs, lodging and room costs (if applicable, such as room service, mini bar charges, dry cleaning, internet fees, parking, etc.), planning and/or other expenses, taxes, fees, insurance premiums or other costs arising from or related to the Premiere Rewards, the 2019 Coach Summit, the 2019 Success Club Trip, or any alternative or extended travel plans are not included and are solely your responsibility. You will be solely responsible for booking and financing your travel arrangements including air, ground, and any other transportation to and from the destination of any Event for which you received a Premiere Reward. Premiere Rewards (including VIP passes and invitations) are not transferable and have no cash or other monetary value. No Premiere Reward substitutions are allowed except at the sole discretion of Team Beachbody, who reserves the right to substitute a reward of equal or similar value. Any and all local, state, or federal taxes are solely the responsibility of the Premiere Rewards recipient. Unless expressly stated otherwise by Team Beachbody in writing, Premiere Rewards may not be combined with any other challenge, promotion reward, incentive, contest or other offer. At Team Beachbody s discretion, each potential Premiere Rewards recipient will be required to sign and return to Team Beachbody, within seven (7) days of notice or attempted notice, an affidavit of eligibility, a liability waiver, a W-9 Form (or other appropriate tax form based on place of residence), and where allowable, a publicity release (collectively, the Releases ) in order to claim any Premiere Rewards. If a potential Premiere Rewards recipient fails to sign and return the 3
Releases within the required time period, the Premiere Rewards may be forfeited or awarded to an alternate, in Team Beachbody s sole discretion. 8. Who Can Enter: The Premiere Challenge is open to Qualified Coaches who are legal residents of the United States (including its territories), the United Kingdom and Canada, who are at least 18 years old or the age of majority in the Qualified Coach s legal place of residence. Employees, representatives and mandataries of Team Beachbody and its parent and affiliate companies, as well as their immediate household family members (including spouse, parents, siblings, and children, if applicable) are not eligible to participate in the Premiere Challenge. 9. Important Tax Information: Tax regulations require Team Beachbody to include the value of all cash rewards made to you or on your behalf on the 1099 or T-4a reporting form that you receive each year. Please note that a 1099-MISC tax reporting form is issued if a US Coach s total earnings equal or exceed USD $600 and a form T-4a is issued if a Canadian Coach s total earnings equal or exceed CAD $500. 10. Publicity: Except where prohibited, participation in the Premiere Challenge constitutes your consent to Team Beachbody s and its agents use of any information, video, or testimonial of or provided by you before, during and/or after your receipt of any Premiere Rewards, including without limitation your name, image, likeness, photograph, voice, opinions, and/or hometown, state, and any biographical information for promotional purposes in any media, worldwide, without further payment, consideration or attribution to you. In addition to all other terms and conditions herein, as an express condition to acceptance of any Premiere Rewards, you may be required to provide an on-camera interview to take place before, during or after any of the Events for which you may receive a Premiere Reward. If you are unwilling or unable to provide this interview, you may not be allowed to receive your Premiere Rewards, in Team Beachbody s sole and absolute discretion. 11. Release: BY PARTICIPATING IN THE PREMIERE CHALLENGE, YOU UNDERSTAND, ACKNOWLEDGE AND AGREE THAT ANY EVENT FOR WHICH YOU MAY RECEIVE A PREMIERE REWARD AND YOUR PARTICIPATION IN ANY ACTIVITIES BEFORE, DURING AND AFTER SUCH EVENTS (INCLUDING WITHOUT LIMITATION PARTICIPATION IN ANY EXERCISE, WORKOUTS OR OTHER PHYSICAL ACTIVITY, TRIPS, SPORTS, DANCING, AND CONSUMPTION OF MEALS AND ALCOHOL) (COLLECTIVELY, ACTIVITIES ) MAY HAVE POTENTIALLY SIGNIFICANT AND INHERENT RISKS AND DANGERS THAT NO AMOUNT OF CARE, CAUTION, INSTRUCTION, OR EXPERTISE CAN ELIMINATE. YOU HEREBY ACKNOWLEDGE AND WILLINGLY, EXPRESSLY AND VOLUNTARILY ASSUME ALL THESE RISKS WHICH MAY RANGE FROM MINOR INJURIES (SUCH AS NAUSEA, CUTS AND BRUISES) TO SEVERE PERSONAL AND/OR BODILY INJURY (SUCH AS SPRAINS, BROKEN BONES, CRIMES, ALCOHOL POISONING AND HEART ATTACK), DEATH OR DAMAGE TO OR LOSS OF PROPERTY OR PRIVACY, AND ANY RESULTING DAMAGES OR EXPENSES. YOU AGREE THAT YOU WILL NOT PARTICIPATE OR BE INVOLVED IN THE ACTIVITIES UNLESS YOU ARE IN THE PROPER PHYSICAL CONDITION (INCLUDING BY OBTAINING PROPER ADVICE FROM YOUR MEDICAL PROVIDER IF APPLICABLE) AND WILL IMMEDIATELY STOP ANY ACTIVITY IF YOU FEEL PAIN, DIZZINESS OR OTHER DISCOMFORT. BY PARTICIPATING IN THE PREMIERE CHALLENGE OR ANY EVENT FOR WHICH YOU MAY RECEIVE A PREMIERE REWARD IN ANY WAY, TAKING PART IN ANY ACTIVITIES, OR ACCEPTING ANY PREMIERE REWARD THAT MAY BE AWARDED, YOU AGREE TO RELEASE AND HOLD HARMLESS BEACHBODY, LLC, TEAM BEACHBODY CANADA, LP, BEACHBODY UK LTD., TEAM BEACHBODY AND ITS RESPECTIVE PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, SUPPLIERS, DISTRIBUTORS, ADVERTISING/PROMOTION AGENCIES, AND REWARD SUPPLIERS, AND EACH OF ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (COLLECTIVELY, THE RELEASED PARTIES ) FROM AND AGAINST ANY CLAIM OR CAUSE OF ACTION, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, DEATH, OR DAMAGE TO OR LOSS OF PROPERTY OR PRIVACY ARISING OUT OF PARTICIPATION IN THE PREMIERE CHALLENGE, ACTIVITIES, RECEIPT OR USE OR MISUSE OF ANY PREMIERE REWARD THAT MAY BE AWARDED, OR ANY PUBLICITY ARISING OUT OF THE PREMIERE CHALLENGE OR ANY OF THE EVENTS FOR WHICH YOU MAY RECEIVE A PREMIERE REWARD. NOTHING IN THESE OFFICIAL RULES 4
SHALL DISCLAIM, LIMIT OR EXCLUDE LIABILITY FOR ANY LIABILITY WHICH MAY NOT BE DISCLAIMED, LIMITED OR EXCLUDED PURSUANT TO APPLICABLE LAW. NOTHING IN THESE OFFICIAL RULES DISCLAIMS, LIMITS OR EXCLUDES THE LIABILITY OF THE RELEASED PARTIES FOR PERSONAL INJURY OR DEATH CAUSED BY NEGLIGENCE. 12. General Conditions: Subject to all applicable federal, state, provincial, territorial, and local laws and regulations. Void where prohibited by law. By participating in the Premiere Challenge, attend any Events and/or accepting any Premiere Reward, you confirm your full and unconditional agreement to these Official Rules, the Elite Challenge Rules, the Team Beachbody Success Club Challenge Official Rules, the Team Beachbody Coach Policies and Procedures, and Team Beachbody s decisions, which are final and binding in all matters related to the Premiere Challenge. Accepting any Premiere Reward that may be awarded in the Premiere Challenge is contingent upon fulfilling all requirements herein, and tax, regulatory, and legal obligations (including completion of any forms required in connection therewith) and any other requirements set forth in these Official Rules, which shall all be solely at your obligation. Team Beachbody reserves the right to cancel, suspend, and/or modify the Premiere Challenge, any of the Events or any part thereof for any reason, including due to force majeure (including act of terror or war), or if any fraud, technical failure, or any other factor beyond Team Beachbody s reasonable control impairs the integrity or proper functioning of the Premiere Challenge in any manner, or for any reason related to the administration of the Premiere Challenge, as determined by Team Beachbody in its sole discretion. Team Beachbody reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the operation of the Premiere Challenge or to be acting in violation of these Official Rules, the Team Beachbody Coach Policies and Procedures, or any other Team Beachbody promotion or in an unsportsmanlike or disruptive manner. Team Beachbody s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision or any other provision herein. If any part of these Official Rules is declared invalid or unenforceable by a court of competent jurisdiction, it shall not affect the validity of the balance of these Official Rules. 13. Limitation of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by you, another Team Beachbody Coach, printing errors, or by any of the equipment or programming associated with or utilized in the Premiere Challenge; (2) technical failures of any kind, including, but not limited to, malfunctions, interruptions, or disconnections in phone lines, cable connections, or network hardware or software; (3) technical or human error which may occur in the administration of the Premiere Challenge or the processing of Elite Points, Premiere Rewards, notifications, and/or winner confirmations; (4) any lost, late, delayed, corrupted, undelivered, or undeliverable Premiere Challenge communications or Premiere Reward notification; (5) any cancellation, suspension or modification of the Premiere Challenge or the Events; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Premiere Challenge, attendance at the Events, or receipt or use or misuse of any Premiere Reward that may be awarded. If for any reason your Elite Points are confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, your sole remedy is to earn additional Elite Points during the Premiere Challenge Period, provided that if it is not possible to earn additional Elite Points for any reason, including due to discontinuance of the Premiere Challenge, none shall be awarded. BY PARTICIPATING IN THE PREMIERE CHALLENGE AND ANY EVENTS, YOU AGREE THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, AND IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR ENHANCED DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PREMIERE CHALLENGE OR YOUR PARTICIPATION IN THE PREMIERE CHALLENGE OR THE EVENTS, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT TEAM BEACHBODY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED. YOU AGREE THAT THESE LIMITATIONS WILL SURVIVE AND APPLY EVEN IF ANY REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY. WITHOUT LIMITING THE FOREGOING, TEAM BEACHBODY S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY 5
CLAIMS, JUDGMENTS AND/OR AWARDS ARISING OUT OF THIS PREMIERE CHALLENGE OR THE EVENTS, REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED, WILL BE LIMITED TO AND WILL NOT EXCEED USD $50. 14. Disputes: The specific dispute resolution terms in the Team Beachbody Coach Policies and Procedures apply to this Premiere Challenge. These dispute resolution terms outline specific terms relating to the governing law and jurisdiction applicable to this Premiere Challenge based on your place of residence. For U.S. and Canada Coaches, these terms additionally include binding individual arbitration and waiver of class actions and class arbitration terms. For U.S. Coaches, those terms may be found here. For Canadian Coaches, those terms may be found here. For UK Coaches, those terms may be found here. FOR RESIDENTS OF QUÉBEC: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement. 15. Privacy Policy: All participants in the Premiere Challenge are subject to Team Beachbody s Privacy Policy which may be accessed through the bottom of www.teambeachbody.com for U.S. Coaches, www.teambeachbodyuk.com for UK Coaches, and www.teambeachbody.ca for Canadian Coaches, or as otherwise posted and updated on Team Beachbody s websites. Without limiting the provisions of Team Beachbody s Privacy Policy, you consent to the collection, use and disclosure of your personal information by Team Beachbody and its authorised agents for the purposes of administering the Premiere Challenge and, if you are a winner, fulfilling the Premiere Rewards. Team Beachbody is the data controller of any personal data you provide in connection with your participation in the Premiere Challenge. 16.
