Dear Prospective Member: Thank you for your interest in The Highland Golf Club of Shelton. I have put together an information package, which should answer most of the questions associated with joining the golf club. However, I also realize that you may have other questions not covered in the attached package, so I make myself available to you by either email (memberinfo@highlandgolfclub.com) or my cell phone (203.906.4848). Just a little background on Highland, which is not included in the attached documents: Highland Golf Club is a privately owned (by the Active members) golf course, which was established in 1900. Currently, the allowable Active membership is at 200 and the Associate Social members can total 75. At present there are openings for both Active and Associate Social members. The Club is operated by a Board of Governors, which is elected by the Active Membership at the annual meeting in February. In season, the dining room is open for lunch, Wednesday through Sunday from 11:30 AM to 3:00PM and for dinner Wednesday, Thursday and Friday from 5:00 PM to 8:30 PM. Application and Change of Status Process Application for membership of Active or the various Associate classes shall be made in writing to the Board of Governors through the Secretary and/or the Membership Chairman, and such application must be signed by at least two (2) Active members of the Corporation. The Active Members signatures will stay valid if they are transferred to Associate Senior or Associate Life Membership while the applicant is on the waiting list. All applicants names will be posted for 30 days prior to acceptance of the application by the Board of Governors. Candidates for membership, Active or Associate shall be elected by the Board of Governors by ballot at a duly constituted meeting in accordance with the provisions of the By laws Article III, Section 2. Two (2) negative ballots of the quorum of the Board shall be necessary to reject such candidate. All members of Active or the various Associate classes must notify the Secretary in writing of their intention to resign from the Corporation and/or Club, as the case may be, at least 30 days prior to the intended resignation date, and no resignation shall be accepted until all dues, fees, charges and assessments of every type and description are paid. Any Active, Associate Senior, or Associate Life Member who resigns or changes their membership to Associate Social or Associate House cannot re apply for reinstatement to Active, Associate Senior, or Associate Life Membership for a period of two (2) years. To re apply the individual must fill out an application and meet all requirements and fees associated with the application process, including a 30 day posting period and acceptance of the application by the Board of Governors. The membership committee will then be guided by its standards before making a recommendation to the Board of Governors for reinstatement. All Members, Active or Associate, must notify the Secretary in writing of their intention to change their class of membership no later than six (6) weeks prior to the commencement of the fiscal year. Such change shall not be accepted until all dues, fees, charges and assessments of every type and description are paid. Changes to membership shall not become effective until the end of the fiscal year in which the request is tendered. The only exceptions to this rule are a request for Special House in the manner and for reasons outlined under its definition in the By laws, or when the request is to enter into Active Membership from an Associate class.

Types of Memberships and Fees Page 1 Active Member: An Active Member shall have full House and Course privileges which include: Utilizing the Club s Locker Room (locker, showers and towels). Access to play the Club s Course. o No playing time restrictions o No per use Greens Fees o No per use Cart Fees A USGA Handicap and GHIN number. Opportunity to play in all Tournaments. Ability to invite guests to the House or the Course (subject to the Rules and Regulations as it pertains to guests) including guest use of Locker Room. o Greens Fees ($30 Daily Course access) must be paid by guests. An Active Member has full voting privileges with respect to the Corporation, is considered a Member of the Corporation and has an ownership interest in the assets of the Corporation. Annual Dues and Fees of $3,125 (2012), billed quarterly. o Includes, all membership dues ($2600), cart use ($450), locker room use ($50) and USGA handicap with GHIN# ($25). Annual House Participation Fee of $120 (2012) billed 50% each, January and July. o This is paid to and held by the House in the Point of Sale System, and can be used to pay for greens fees, food, and beverages, etc. The Member forfeits any unused portion of the balance at the end of the December. Annual Greens Participation Fee of $210 (2012) billed 50% each, January and July. o This is paid to and held by the House in the Point of Sale System as Greens Fee credits (6), and can be used to pay for greens fees of guests. The Member forfeits any unused portion of the balance at the end of the December. o Non refundable Application Fee of $250 upon application submittal. o Non refundable Initiation Fee of $2,000 paid in one lump sum or billed quarterly over 2 years. (currently being waived for membership promotion) o Bond of $1,000 billed over 10 quarters. This is refundable upon revoking your Active status. o None.

Page 2 Types of Memberships and Fees (cont) Associate Social Member: Associate Social Members shall have full House privileges and limited Course privileges as follows: Utilizing the Club s Locker Room (locker, showers and towels). Access to play the Club s Course during Non Primetime hours o Primetime hours are currently defined in the Rules and Regulations as: Wednesday after 1pm; Saturday, Sunday and Holidays 7am 12pm. o Associate Social Members pay Greens Fees of $35 (as of 2012/Jan/1) per daily access before playing at all times. o No per use Cart Fees. A USGA Handicap and GHIN number. Opportunity to play in specified Club Golf Tournaments as permitted by, and at the discretion of the Board of Governors. Ability to play as a guest of an Active Member, Associate Life Member, Associate Senior Member during primetime hours o Limited to once in a given month (as of current Rules and Regulations). Ability to invite guests to the House. Do not have ability to invite a guest to the Course. An Associate Social Member shall not have any voting privileges whatsoever with respect to the Corporation, shall not be considered a Member of the Corporation, and shall not have an ownership interest in the assets of the Corporation. Annual Dues and Fees of $1175.50 (2012) billed 50% each, January and July. o Includes, all membership dues ($700), cart use ($400.50), locker room use ($50) and USGA handicap with GHIN# ($25). Annual House Participation Fee of $100 (2012) billed 50% each, January and July. o This is paid to and held by the House in the Point of Sale System, and can be used to pay for greens fees, food, and beverages, etc. The Member forfeits any unused portion of the balance at the end of the December. A USGA Handicap and GHIN number. Opportunity to play in specified Club Golf Tournaments as permitted by, and at the discretion of the Board of Governors. Ability to play as a guest of an Active Member, Associate Life Member, Associate Senior Member during primetime hours o Limited to once in a given month (as of current Rules and Regulations). Types of Memberships and Fees (cont) Associate Senior Member: An Associate Senior Member is defined as: Any person who at the time of his designation as Associate Senior Member: o Is an Active Member in good standing. o Has a minimum of 25 years as an Active Member. o Has a sum total of 90 years combining age and years as an Active Member. Associate Senior Members shall have full House and Course privileges as follows: The same privileges as those provided to an Active Member. Family privileges ability as accorded to Active Members pursuant to the By Laws. Page 4 An Associate Senior Member shall not have any voting privileges whatsoever with respect to the Corporation, shall not be considered a Member of the Corporation, and shall not have an ownership interest in the assets of the Corporation. Annual Dues and fees of $1825 (2012) billed 50% each, January and July. o Includes, all membership dues (Senior Member Dues are set at 1/2 of Active Member dues: $1300 for 2012, cart use ($450), locker room use ($50) and USGA handicap with GHIN# ($25). Annual House Participation Fee of $120 (2012) billed 50% each, January and July. o This is paid to and held by the House in the Point of Sale System, and can be used to pay for greens fees, food, and beverages, etc. The Member forfeits any unused portion of the balance at the end of the December. Annual Greens Participation Fee of $210 (2012) billed 50% each, January and July. o This is paid to and held by the House in the Point of Sale System as Greens Fee credits (6), and can be used to pay for greens fees of guests. Membership terminates in the year when aged 35 on January 1 st. An Associate Junior Member shall have full House and Course privileges which include: o State Liquor laws apply certain restrictions to be sitting at the Bar for those under the legal serving age of 21 years old. Utilizing the Club s Locker Room (locker, showers and towels). Access to play the Club s Course. o No playing time restrictions o No per use Greens Fees o No per use Cart Fees A USGA Handicap and GHIN number. Opportunity to play in all Tournaments. Ability to invite guests to the House or the Course (subject to the Rules and Regulations as it pertains to guests) including guest use of Locker Room. o Greens Fees ($30 Daily Course access) must be paid by guests. An Associate Junior Member shall not have any voting privileges whatsoever with respect to the Corporation, shall not be considered a Member of the Corporation, and shall not have an ownership interest in the assets of the Corporation. Annual Dues and Fees vary by individual s age on January 1st, billed quarterly. o All age groups pay cart use ($450), locker room use ($50) and USGA handicap with GHIN# ($25). o Dues for those age 18 23: $866.67 (1/3 Active Member Dues) o Dues for those age 24 27: $1300.00 (1/2 Active Member Dues) o Dues for those age 28 35: $1733.33 (2/3 Active Member Dues) Annual House Participation Fee of $120 (2012) billed 50% each, January and July. o This is paid to and held by the House in the Point of Sale System, and can be used to pay for greens fees, food, and beverages, etc. The Member forfeits any unused portion of the balance at the end of the December. Annual Greens Participation Fee of $210 (2012) billed 50% each, January and July. o This is paid to and held by the House in the Point of Sale System as Greens Fee credits (6), and can be used to pay for greens fees of guests. Membership terminates in the year when aged 19 on January 1 st. An Associate Student Member shall have limited House and Course privileges which include: o State Liquor laws apply certain restrictions to be sitting at the Bar for those under the legal serving age of 21 years old. Utilizing the Club s Locker Room (locker, showers and towels). Access to play the Club s Course during Non Primetime Hours. o Primetime hours are currently defined in the Rules and Regulations as: Wednesday after 1pm; Saturday, Sunday and Holidays 7am 12pm. o No per use Greens Fees or Cart Fees (Cart use requires State issued Driver s License) A USGA Handicap and GHIN number. Opportunity to play in certain Tournaments outlined by Tournament Committee. Ability to invite guests to the House or the Course (subject to the Rules and Regulations as it pertains to guests) including guest use of Locker Room. o Greens Fees ($30 Daily Course access) must be paid by guests. o Cart Fees ($10) must be paid by guests if utilized. An Associate Student Member shall not have any voting privileges whatsoever with respect to the Corporation, shall not be considered a Member of the Corporation, and shall not have an ownership interest in the assets of the Corporation. A parent of legal guardian must sign documents on behalf of the applying minor. Annual Dues and Fees of $866.67 (2012) billed 50% each, January and July. o Non refundable Application Fee of $250 upon application submittal. No pre funding requirement to a Greens or House Participation Account. o None.

Types of Memberships and Fees (cont) Page 7 Family Add on Privileges: Any Active Member or Associate Senior Member may, by payment, secure for his or her spouse and/or children up to 21 years of age, or unmarried children up to age 23 who are full time students at an accredited educational institution or are in any branch of the armed services, such House and Course privileges which shall be defined as Family privileges as follows: Utilizing the Club s Locker Room (locker, showers and towels). Access to play the Club s Course during Non Primetime hours o Primetime hours are currently defined in the Rules and Regulations as: Wednesday after 1pm; Saturday, Sunday and Holidays 7am 12pm. o No per use Greens Fees. o No per use Cart Fees. Children under 16 may not operate a golf cart. A Spouse has the ability to invite guests to the House or the Course (subject to the Rules and Regulations as it pertains to guests). o Greens Fees ($30 Daily Course access) must be paid by guests. A child may NOT invite guests. add on to the Member s Active or Senior Membership Annual Dues and Fees of $400 (2012), billed quarterly if Active; 50% each, January and July if Senior. o Includes, additional membership dues ($250) cart use ($100), locker room use ($25) and an added USGA handicap with GHIN# for one designee ($25). o None. o Further Family member Handicaps and GHIN numbers ($25).

Page 8 An Associate House Member shall not have any voting privileges whatsoever with respect to the Corporation, shall not be considered a Member of the Corporation, and shall not have an ownership interest in the assets of the Corporation. Annual Dues of $150 (2012), billed once a year. o Includes House privileges only as described above. Annual Participation Fee of $150 (2012), billed once a year. o This is paid to and held by the House, and can be used to pay for food, beverages, etc. The Member forfeits any unused portion of the annual fee at the end of December. o There is no initiation fee.

If accepted I agree to comply with the by laws and regulations of said corporation. It is my understanding that upon acceptance as a member, I will be billed for all dues, fees, assessment and taxes applicable at the time of my acceptance (see Fee Schedule).
