AUTOZONE HOMESTEAD MIAMI RACE GIVEAWAY ( Contest ) OFFICIAL RULES 1. ELIGIBILITY: THIS CONTEST IS NOT OPEN TO THE GENERAL PUBLIC. NO PURCHASE NECESSARY TO ENTER OR WIN. Purchasing a product or service will not increase your chances of winning. Open to legal US Residents of the forty-nine (49) United States (excluding the states of Hawaii, the District of Columbia, and residents of offshore US territories and possessions including Puerto Rico) who are: (a) at least eighteen (18) years of age or older as of the date of entry; (b) a business owner holding a current AutoZone commercial customer account (defined as customers who have an active personal identification number ( PIN ) with AutoZone); and (c) NIADA members that have had a minimum of $1,000 in commercial sales between May 11, 2014 and July 5, 2014 and are in good credit standing (the Contestant ). Good credit standing is defined as an account that has no current past due balance, is up to date with payments as of the Contest start date. A Contestant who is selected as a potential grand prize winner (the Grand Prize Winner, and collectively, Grand Prize Winners ) must have a unique, personal and valid social security number for Sponsor (defined below) or a party acting on its behalf to report the tax liability associated with acceptance of a grand prize (the Grand Prize, and collectively, the Grand Prizes ). Valid social security numbers will be determined by Internal Revenue Service ( IRS ) requirements as further defined in the PRIZE CLAIMS section of these Official Rules. Employees, officers and directors of AutoZone Parts, Inc. and its subsidiaries and affiliates (the Sponsor ), its distributors, vendors, advertising/promotion agencies, and any others engaged in the development, production, execution or distribution of this Contest, including, but not limited to, the entities supplying the Prizes (as defined in the PRIZES section of these Official Rules) herein as well as their immediate family members (spouses, siblings, children and parents, regardless of where they live) or members of the same households (whether related or not) of such employees, officers and directors are not eligible to participate. All federal, state and local laws and regulations apply. Contest is void in Hawaii, the District of Columbia, US territories and possessions located outside of the United States and wherever else prohibited or restricted by law. 2. CONTEST DATES: The Contest begins at 12:00 a.m. Central Time ( CT ) on September 1, 2014 and ends at 11:59 p.m. CT on September 30, 2014 (the Contest Period ). 3. OVERVIEW: To participate, Contestants must visit the Website (defined in the TO ENTER section below) and submit the official Contest Entry Form (further defined below). The Contest will be broken out into two (2) categories (a) Highest Sales Percentage Increase and (b) Highest Sales Dollar Increase (each a Category ). Two (2) Grand Prize Winners will be selected per category based upon the Contestants having the first and second highest increase in each category over all forty-fine (49) states during the Contest Period. Then, one (1) First Prize Winner (defined in the JUDGING section below) will be selected for each of the forty-nine (49) states per category based upon the non-winning Contestants having the first highest increase in each category during the Contest Period. There is a limit of one (1) prize per Contestant. Four (4) Grand Prize Winners will be selected based upon the Contestants who have (a) the first and second Highest Sales Percentage Increase over all forty-nine (49) states during the Contest Period and (b) the first and second Highest Sales Dollar Increase over all twenty-nine (29) states during the Contest Period (defined in the JUDGING section below). Then, one (1) First Prize Winner (defined in the JUDGING section below) will be selected from among all non-winning Contestants from each of the forty-nine (49) states based on the Highest Sales Percentage Increase in that respective state during the Contest Period. One (1) First Prize Winner will be selected from among all non-winning Contestants from each of the forty-nine (49) states based on the Highest Sales Dollar Increase in that respective state during the Contest Period. 4. TO ENTER: Visit www.niada.com (the Website ) during the Contest Period and complete the official Contest entry form (the Entry Form ) in its entirety, including first name, last name, street address, e-mail address, phone number (including area code), and active AutoZone PIN number. Then, click the Submit button in order to participate in the Contest. Upon submitting the Entry Form, each Contestant will automatically receive a confirmation message on the Website that his/her Entry Form has been accepted. Sponsor reserves the right to review each Contestant to determine participation and at any time Sponsor may disqualify a Contestant from participating in this Contest. PLEASE NOTE: There will be no additional reporting required on behalf of the Contestant throughout the Contest Period. Limit of one (1) Entry Form submitted per person / AutoZone PIN number for the entire Contest Period. Any attempt by any Contestant to submit more than the stated number of Entry Forms by using multiple/different addresses, email addresses, telephone numbers, identities, PIN numbers, and/or any other methods will void that Contestant s Entry Forms and that Contestant may be disqualified from the Contest. Sponsor will not verify receipt of Entry Forms for Contestants. Sponsor is not responsible for lost, late or misdirected Entry Forms. All Entry Forms (including all intellectual property rights embodied therein) shall become the exclusive property of the Sponsor and will not be returned. Sponsor has no obligation to acknowledge receipt of
or to return any Entry Form received. All Contestants consent to the use of his/her name, likeness, biographical information, and voice in advertising and/or promotional activities worldwide without additional compensation. By participating, the Contestant: (a) warrants and represents that he/she has read the Official Rules of this Contest, is eligible to participate in the Contest, and agrees to be bound thereby; (b) warrants and represents that all of the information provided in his/her Entry Form is accurate, (c) represents and warrants that the Entry Form does not contain any disabling device, virus, worm, back door or other disruptive or malicious code that may or are intended to impair their intended performance or otherwise permit unauthorized access to, hamper, delete or damage any computer system, software, network or data; (d) consents to the use of his/her name and/or likeness by the Sponsor and its respective authorized representatives for promotional purposes in connection with the Contest (whether online, in print or through any other media now known or hereafter developed), without additional compensation and unless prohibited by law; and (e) agrees that, if selected as a Prize Winner (defined in the JUDGING section of these Official Rules), will be solely responsible for any and all resulting tax consequences. 5. JUDGING: Prize Winners (defined below) will be determined based upon the judging criteria (the Criteria ) listed below. The judging will be conducted under the supervision of the Sponsor whose decisions are based upon its sole discretion and interpretation of these Official Rules and are final and binding in all respects. Throughout the Contest Period, all approved Contestants will be judged by the Sponsor. There will be two (2) ways a Contestant may win a Prize defined below): 1. Highest Sales Percentage Increase: The Highest Sales Percentage Increase is defined as: Contest Period Average Weekly Sales Baseline Average Weekly Sales Baseline Average Weekly Sales The Contest Period Average Weekly Sales are calculated by adding each Contestant s weekly sales throughout the Contest Period and dividing by the number of weeks in the Contest Period (four (4)). The Baseline Average Weekly Sales are calculated by adding each Contestant s weekly sales from the period starting May 11, 2014 and ending July 5, 2014, then dividing by the number of weeks (eight (8)). All numbers will be calculated using US dollars. The Contestants with the first and second Highest Sales Percentage Increase over all forty nine (49) states will be Grand Prize Winners. There will be a total of two (2) Grand Prize Winners for Highest Sales Percentage Increase. Then, the Contestant with the first Highest Sales Percentage Increase in each of the forty-nine (49) states (after Grand Prize Winners have been verified) will be a first prize winner (each, a First Prize Winner and collectively, the First Prize Winners ). There will be a total of forty-nine (49) First Prize Winners for Highest Sales Percentage Increase. 2. Highest Sales Dollar Increase: The Highest Sales Dollar Increase is defined as: Contest Period Average Weekly Sales Baseline Average Weekly Sales Both the Contest Period Average Weekly Sales and Baseline Average Weekly Sales are calculated as outlined above for the Highest Sales Percentage Increase. All numbers will be calculated using US dollars. The Contestant with the first and second Highest Sales Dollar Increase over all forty-nine (49) eligible states will be Grand Prize Winners. There will be a total of two (2) Grand Prize Winners for Highest Sales Dollar Increase. Then, the Contestant with the first Highest Sales Dollar Increase in each of the forty-nine (49) states (after Grand Prize Winners have been verified) will be a First Prize Winner. There will be a total of forty-nine (49) First Prize Winners for Highest Sales Dollar Increase. There will be a limit of one (1) Prize (defined in the PRIZES section below) per Contestant / AutoZone PIN number for the entire Contest Period. In the event that a First Prize Winner has the highest Highest Sales Percentage Increase AND the Highest Sales Dollar Increase in his/her respective state, that First Prize Winner will win the First Prize in the Highest Sales Percentage Increase and the Contestant with the next Highest Sales Dollar Increase will be the First Prize Winner. For example, if a Contestant is as First Prize Winner for Highest Sales Percentage Increase in Minnesota with a 3.4% increase, and he/she is the First Prize Winner for Highest Sales Dollar Increase in Minnesota with a $13,000 increase, he/she will forfeit the Highest Sales Dollar Increase First Prize and the Contestant with the next Highest Sales Dollar Increase in Minnesota will become the First Prize Winner for Highest Sales Dollar Increase. 6. PRIZES:
GRAND PRIZE: Grand Prize Winners MUST be able to travel from November 14, 2014 through November 16, 2014. One (1) Grand Prize of a trip for Grand Prize Winner and one (1) guest to Miami, FL will be awarded to each Grand Prize Winner. The Grand Prize includes a trip to Miami, Florida to attend the Homestead Miami Race (the Race ) and includes all of the following for Grand Prize Winner and one (1) guest (the Travel Companion ): (a) two (2) roundtrip coach class airline tickets for Grand Prize Winner and Travel Companion from the airport nearest to the Grand Prize Winner s residence; (b) two (2) nights hotel accommodations (one standard room/double occupancy); (c) two (2) tickets to the Race held on November 15, 2014; and (d) a $500 Visa gift card. Each Grand Prize has an approximate retail value ( ARV ) of $5,000. The total ARV for all Grand Prizes to be awarded is $20,000. Any difference in the stated ARV and the actual value at time of booking will not be awarded. Any expenses related to the Grand Prize including without limitation, any taxes, fees, gratuities and personal expenses, are the sole responsibility of the Grand Prize Winner. The Grand Prize consists of only the items specifically listed as the Grand Prize. Depictions of any part of the Grand Prize in any advertising or promotional materials may not reflect the actual Grand Prize awarded to the Grand Prize Winner. The Visa gift card awarded along with the Grand Prize is subject to the terms and conditions stated on the card. A total of four (4) Grand Prize Trips will be awarded. Grand Prize Winner/Travel Companion must travel on the dates indicated by the Independent Administrator and must confirm travel dates with Independent Administrator a minimum of forty-five (45) days prior to travel (if time allows) or Grand Prize will be forfeited. In such case, no alternate prize will be awarded to such Grand Prize Winner and an alternate Grand Prize Winner may be selected, time permitting. All travel is subject to availability at time of request, blackout dates (including holidays) and other restrictions may apply. Tickets/itineraries are final once confirmed and may not be changed for any reason, other than at the sole discretion of the Sponsor. Grand Prize Winner and Travel Companion must travel on same itinerary and must have valid required travel documents (i.e., valid photo ID, passport, birth certificate, etc.) before departure. Grand Prize Winner and Travel Companion are solely responsible for determining and obtaining, each at his/her own cost, required travel documents. Travel Companion must be eighteen (18) years of age or older to accompany the Grand Prize Winner. The value of the Grand Prize may be taxable as income and Grand Prize Winner is solely responsible for any taxes, including but not limited to all applicable federal, state, and local taxes that become due with respect to the value of the Grand Prize. All other expenses not specifically mentioned herein as part of the Grand Prize, are the sole responsibility of the Grand Prize Winner. FIRST PRIZE: One (1) First Prize of an Apple ipad Mini with a custom cover will be awarded to each First Prize Winner. The ARV of each First Prize is $450. The total ARV for all First Prizes to be awarded is $44,100. A total of ninety-eight (98) First Prizes will be awarded. Name of prize manufacturers/trademark owners are used solely for the purposes of identification of the prizes. No endorsement, authorization, sponsorship, or approval of prize manufacturers/trademark owners is intended or implied by such use. For purposes of these Official Rules, the Grand Prizes and First Prizes will be collectively referred to as Prizes. The total ARV of all Prizes to be awarded is $64,100. Limit of one (1) Prize per Contestant / AutoZone PIN number. Prizes cannot be substituted, assigned, transferred, or redeemed for cash except at Sponsor s sole discretion or as otherwise provided herein. Sponsor reserves the right to substitute a Prize with a prize of comparable or greater value if advertised Prize should become unavailable. Prize Winners are required to comply with any and all applicable federal, state and local laws, rules and regulations. Each Prize Winner is solely responsible for any taxes on the Prize he/she has received, including but not limited to any and all federal, state and local taxes. No more than the stated number of Prizes set forth in these Official Rules will be awarded. 7. PRIZE NOTIFICATION: GRAND PRIZE WINNERS: POTENTIAL GRAND PRIZE WINNERS WILL BE NOTIFIED BY THE INDEPENDENT ADMINISTRATOR VIA EMAIL WITHIN FIVE (5) TO SEVEN (7) BUSINESS DAYS FROM THE FINAL DETERMINATION OF ALL POTENTIAL PRIZE WINNERS, ON OR ABOUT OCTOBER 6, 2014 (THE EMAIL NOTIFICATION ). Independent Administrator will make two (2) attempts to reach each potential Grand Prize Winner via the Email Notification. In the event the Independent Administrator cannot reach a potential Grand Prize Winner via the Email Notification, a potential Grand Prize Winner does not respond by the date indicated within the Email Notification, or if it is determined by Sponsor, in their sole discretion, that the potential Grand Prize Winner is not eligible in accordance with these Official Rules, he/she will be disqualified (without compensation of any kind) and an alternate Grand Prize Winner will be selected based upon the Contestant having the next Highest Sales Percentage Increase or next Highest Sales Dollar Increase and he/she will be notified as outlined above. The Grand Prize Winner will be required to return Required Documents as outlined in the PRIZE CLAIMS section below. FIRST PRIZE WINNERS: After the Grand Prize Winner has returned the Required Documents, the First Prize Winners will be notified upon receipt of his or her First Prize. First Prizes will be fulfilled within four (4) to six (6) weeks after Grand Prize Winner verification. In the event that a First Prize is returned undeliverable and the accurate address of such First Prize Winner cannot be obtained, or if it is determined by Sponsor, in their sole discretion, that a potential First Prize Winner is not eligible in accordance with these Official Rules, he/she will be disqualified (without compensation of any kind) and an alternate
First Prize Winner will be selected based upon the Contestant who had the next Highest Sales Percentage Increase (in the respective state) or next Highest Sales Dollar Increase (in the respective state) and he/she will be notified as outlined above. Each Prize Winner consents to the use of his/her name, likeness, biographical information, and voice in advertising worldwide without additional notice or compensation (TN residents will not be required to sign a publicity release as a condition of winning a Prize). All Prizes will be awarded approximately eight (8) to ten (10) weeks from the date in which all Prize Winners are confirmed. In the event a Prize is returned as undeliverable and the accurate address of such Prize Winner cannot be obtained, such Prize Winner will be disqualified and an alternate Prize Winner will be selected based upon the Contestant who received the next Highest Sales Percentage Increase or next Highest Sales Dollar Increase (in the case of Grand Prize Winners) OR the Contestant who received the next Highest Sales Percentage Increase (in the respective state) or next Highest Sales Dollar Increase (in the respective state) (in the case of First Prize Winners). 8. PRIZE CLAIMS: Except where prohibited, potential Grand Prize Winners must sign and return to the Independent Administrator, an affidavit of eligibility/liability/publicity release (the Release ) and IRS form W-9 in order to claim his/her Grand Prize (collectively, the Required Documents ). The Required Documents must be received by the date indicated in the Email Notification. If the potential Grand Prize Winner fails to sign and return the Required Documents within the required time period, the potential Grand Prize Winner forfeits his/her right to the Grand Prize and the alternate Grand Prize Winner will be selected as outlined in the PRIZE NOTIFICATION section above. The Grand Prize is taxable as income and the Grand Prize Winner is solely responsible for any taxes on the Grand Prize, including, but not limited to all applicable federal, state and local taxes. The Independent Administrator must report the value of the Grand Prize to the IRS in the year the Grand Prize is received by the Grand Prize Winner and such value will be reported to the Grand Prize Winner and the IRS in the form of an IRS Form 1099. In the event it is deemed during the verification process that the potential Grand Prize Winner does not have a unique, personal and valid social security number for Sponsor (or any party acting on its behalf) to report the tax liability associated with acceptance of the Grand Prize, the potential Grand Prize Winner will be disqualified and the alternate Grand Prize Winner will be selected as outlined in the PRIZE NOTIFICATION section above. Valid social security numbers will be determined by IRS requirements. 9. GENERAL: All federal, state and local taxes on the Prizes are the sole responsibility of the Prize Winners. By participating in this Contest, Contestants agree: [a] to abide by and be bound by these rules and decisions of Sponsor and judges which shall be final in all respects relating to the Contest, including without limitation the interpretation of these Official Rules; [b] to release, discharge and hold harmless Sponsor, its franchisees, licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers, and any other individual or company involved in the development or execution of the Contest, including the Independent Administrator, from any and all injuries, liability, losses, damages, rights, claims and actions of any kind including liability for personal injury or death resulting from their participation in the Contest or their acceptance, use or misuse of a Prize; and [c] if a Prize Winner, to the use of their name, voice, image and/or likenesses for advertising, publicity and promotional purposes by Sponsor and Sponsor s subsidiaries and affiliates without further notice or compensation (unless prohibited by law) and to execute specific consent to such use if asked to do so. Sponsor, its licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers and any other individual or company involved in the development or execution of the Contest, including the Independent Administrator, and their respective directors, officers, shareholders and employees are not responsible and shall not be liable for [a] electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction; [b] unauthorized access to or alterations of submission materials; [c] technical, network, telephone equipment, electronic, computer, hardware or software malfunctions; and [d] limitations of any kind or inaccurate transmissions of or failure to receive information by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof. Sponsor and / or Independent Administrator are not responsible for lost, late, incomplete, incorrect, damaged, misdirected, or illegible Submissions or any condition caused by events beyond the control of the Sponsor that may cause the Contest to be disrupted or corrupted. Sponsor may prohibit a Contestant from participating in the Contest or winning a Prize if, in its sole discretion, it determines that said Contestant is attempting to undermine the legitimate operation of the Contest by cheating, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other Contestants, Sponsor, or Independent Administrator. Submissions which contain false information, are incomplete, inaccurate or are otherwise forged, defective, or made outside authorized channels, including those which have failed due to malfunction or failure of phones, phone lines, telephone systems or networks, server, providers, computer equipment, software or any combination thereof of any kind, any human error or otherwise, shall be void. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. If, for any reason whatsoever, this Contest, in Sponsor s sole opinion, is not capable of running as planned, including, but not limited to, by reason of infection by computer virus, tampering, fraud, technical failures, or any other cause which, in the Sponsor s sole judgment, corrupts or affects the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend this Contest and limit Contestants to those submitted prior to the action taken, or to proceed in such a manner as may be deemed fair and equitable by Sponsor in its sole discretion.
