Welcome to ATSwins.com, the preeminent sports consulting firm on the planet. Since its inception in 1992, ATSwins.com has been ahead of the curve, always evolving through technology, manpower, and experience. ATSwins.com was established to cater to the average bettor. ATS developed an infrastructure that allowed us to deliver the most accurate picks in the industry, along with providing the best customer service. At the time, the sports gaming industry was better known for in-your-face sales tactics and our goal was to offer a much better alternative. In 1991, Bob Chase and a handful of investors had a vision when they established the company. From previous experience, they understood that stats and trends were not the best indicator to determine a winner. By crunching numbers in a computer using past trends and stats, that may have been enough to win nearly 50% of a card in any sport. Handicapping services produced what most people betting on their own did, which is lose money from season-to-season. Instead of winning with numbers, ATS' goal was to make an informed decision though information that the general public and linesmakers would not be able to retrieve. We didn't achieve our lofty status by taking shortcuts. Hard work and organization have been key factors in winning nearly 67% of our selections overall. We've helped thousands of clients surpass their financial betting objectives and goals due to the quality of our information. ATS provides quality selections in the four major sports including basketball, football, baseball and hockey as well as the CFL, WNBA, AFL, and horse racing. We carry a variety of services from daily selections to full-season packages and we cater to the interests and needs of every type of sports bettor. We also offer the award-winning publication, The ATS Weekly Blitz, providing meaningful stats, stories, power ratings and advanced selections for bettors; the ATS SportsPager, which provides up-to-the minute scores, lines, news and handicapping information; the 21st Century Sports Bettor, which is the comprehensive guide to sports wagering in the age of technology and free information; our new website at www.atswins.com, providing live scores, stats, lines, logs, stories, blogs, odds, trends, standings and much more. Most importantly, our friendly, knowledgeable and courteous customer service representatives treat our clients with world-class care. Many of our reps have been with ATS for well over a decade and can provide the guidance needed to maximize your profit. So take a few moments to look through the prospectus and if you have any more questions, contact an account executive toll free at 1-800-772-1287. 2

OUR MISSION ATSwins.com is designed to provide the sports investor with the highest quality information possible for a superior financial return. We are always evolving, while continuing to enhance our products through technology and hard work. Through our commitment to both integrity and excellent customer service relations, we look to raise the standard of sports gaming globally. WHAT SEPARATES ATSWINS.COM FROM THE REST We used to think that the key to winning football games is keeping the status quo. But when you think about the NFL and college football, they are always evolving. The NFL is the most popular sport in the United States and growing world-wide. Are they satisfied with their product? Of course not. They want more scoring, more creative ways to kick an extra point and a way to keep the younger generation interested. College football has added a two-game playoff (CFP) that has revolutionized the sport. There were a lot of skeptics that felt that it would harm the product and people would lose interest in the bowl games. The championship games would be too late in the year for anyone to have interest other than the the school s fans. So what happened? ESPN received the two-highest rated broadcasts in cable TV history. Part of the interest in those playoff games is due to gambling. Whether it s gambling on the games or people involved in football pools, people want to have some kind of action on these games. They may not have the right side (most don t), which is what we re here for. ATSwins.com has been able to develop a core-group of individuals who are so valuable to our team, they've comprised a special part of the company. These individuals are our top scouts, consultants, and contacts from our ATS Gaming Network (AGN). The AGN consists of former officials, managers, coaches, referees, umpires, ex-athletes, commissioners, official scorers, beat reporters, college administrators, agents, and club executives. Our goals have always been to be the best and with those resources at our fingertips, we ve achieved unprecedented success since 1992. Several years ago, we felt we needed something else that could connect us from the handicapping world to our world of sports information to gain an even greater advantage. We hired people from all over the world ("Booksiders"), including those who have worked for offshores and Las Vegas books. These individuals understand exactly how lines are set and how the books come up with their own power ratings. Stats and trends play a part in oddsmakers setting the line. We hired mathematicians and statisticians to work alongside our "booksiders" to help aide our consultants, making sure they know when, why and a how a line moves. Once the information is added, "booksiders" track the lines all week and are aware of every move. Once a major move is made, they are on top of it. Gaining a better understanding of how the "offshores and Vegas" work from our "Booksiders" have contributed to our profitable results year-afteryear. 3 As we enter our 24th football season, we ve set a record for spending in the offseason on everything from scouts to technology. We ve spared no expense to make sure that the 2015 football season will be our most profitable one ever.

There was a book written in 2002 entitled If Winning Were Easy, Everyone Would Do It. This sports book offered motivational quotes about what it takes to be a champion. One of the great quotes came from two-time Super Bowl coach Bill Parcells, who said that Confidence is only born out of one thing: demonstrated ability. It is not born of anything else. You cannot dream up confidence. You cannot fabricate it. You cannot wish it. You have to accomplish it. That s a quote that ATSwins.com lives by. We ve accomplished so much in our 23 years as a firm, that confidence is ingrained in our mentality. When we talk about the results of our Football Lock Club from 2014 or in year s past, we feel that we re just broadcasting to the world our accomplishments. It sounds like bragging but if we didn t talk about them, very few people would know. It s been a long road to get to where we are and we re always striving to get to where want to be. Our Football Lock Club has achieved so much thanks to a specific gameplan that is implemented in preseason and tinkered with throughout the year. We learned early on that you can deviate from your plan in order to achieve success in gambling. In other words, if something is not working, we will look to fix it. For example, in the early part of the 1996 season, we were winning most of our top plays in college football (5 units or more) but were struggling in smaller service plays (4 units or less) during the week. In mid-october, we found some new sources and wound up with one of our best seasons ever. We haven t lasted nearly 25 years because we ve survived. We ve lasted that long because we ve thrived. Our information, the ability to adapt and adjust, the knowledge, experience, the professionalism and tenacity are just a few key attributes that have allowed us to lead this industry. As a football bettor, you deserve someone that has achieved great success but is also willing to push the envelope when expectations are not met. You deserve an organization that is willing to go the extra mile to satisfy their clients needs. You need somebody that wants to win more than you do. You ve come to the right place. As we enter our 24th football season, we look to establish new standards of excellence coming off another winning season that saw us end the year winning nearly 150 units the last three months. Most of our clients call more about the bottom line than they do about the "inner workings" of our company. They care about results and that's what the Lock Club has delivered for 23 years. The bottom line is that ATSwins.com will never be satisfied and the Football Lock Club will continue to evolve and not live on past successes. 6

549 yards of total offense and held the Red Wolves to just 314 yards. Running back Marcus Cox was the difference, rushing for 229 yards on 40 carries with two touchdowns. Quarterback Tyler Lamb added 255 yards and two passing touchdowns for the Mountaineers. The Game: Appalachian State Mountaineers vs. UL-Lafayette Ragin Cajuns on Saturday, November 22, 2014 ATS Selection: Appalachian State (+9.5) vs. UL-Lafayette (35-16) ATS WINNER and COLLEGE LOCK OF THE WEEK Why Appalachian State? Here s some of the information that our consultants gathered on the game: The Date: Saturday, November 22 How did the Lock Club come up with this selection? On Saturday, November 22, 2014, ATS released the College Lock of the Week with the utmost confidence. After the lines came out early Saturday morning, through deliberations and conference calls with our scouts and contacts, ATSwins.com decided to go with Appalachian State and here s why. 1)Reports came in that the weather would play a big part in this game. The conditions were expected to be rainy and the game was actually moved up to avoid a downpour. That was good news for Appalachian State, who was more of a run-oriented team. Their objective was to control the game by running the football and keeping the clock moving. They had a top-20 rushing offense in the nation and an overall offense that averaged 468.1 yards per game. 2)Appalachian State came into the game at 5-5 overall and 4-2 in the Sun Belt. They had won four straight, while UL Lafayette had won six straight. Yet, while the Ragin Cajuns were hot, this was the same team that lost to Louisiana Tech, Ole Miss and Boise State by an average of 31 points. They took advantage of some bad defenses and awful teams, defeating the likes of UL Monroe, New Mexico State, South Alabama, Arkansas State, Texas State and Georgia State. Yet in their 34-27 road win over UL Monroe in the previous week, UL Lafayette gave up 483 yards and two scores. Their secondary was picked apart by Pete Thomas of ULM. 3)The Mountaineers were feeling great about themselves after beating a pretty good Arkansas State team the week before. They were down 13-0 in the first quarter and then came roaring back to win 37-32. Appalachian State put up 4)Our practice reports came out that Appalachian State felt that they could run the football against Arkansas State by just wearing them down with their strong offensive line. Those long drives tend to wear down defenses and Appalachian State was prepared to methodically take it to the Ragin Cajuns. On the defensive side, the Appalachian State coaching staff was confident that they could get pressure on the mobile Terrance Broadway, who was also mistake-prone and inaccurate when receiving pressure. They had designed blitz packages that UL Lafayette wouldn t able to contain. This was also the first meeting between these teams as Appalachian State just moved to the Sun Belt. 5)The Ragin Cajuns didn t really take this team seriously. They were not a rival and this was Senior Day at Cajun Field. That s always an emotional game for the home team, especially the seniors. There was a concern that the secondary was playing so poorly, it put a lot of pressure on the front seven to keep the Appalachian State running game in tact. If not, the poor tackling of the secondary would be exposed. The line that came out with UL Lafayette -9.5 was a joke and must have reflected their record as opposed to Appalachian State s. But the talent level was clearly favoring the Mountaineers as their running game was nearly unstoppable and they had just enough defense to slow UL Lafayette down. PUBLIC INFORMATION RESULT: APPALACHIAN STATE (+9.5) VS. UL-LAFAYETTE (35-16) Appalachian State got behind 3-0 and then took a 7-3 lead on Cox s eight-yard touchdown run with 1:45 left in the first quarter and never trailed again. Appalachian State led just 14-13 at the half and then destroyed UL Lafayette in the second half. They outgained the Ragin Cajuns, 269-114 and outscored them, 21-3. The drive that won the game took place after UL Lafayette cut the lead to 21-16 on a 33-yard field goal with 20 seconds left in the third quarter. Appalachian State then went on a 13-play, 76-yard drive that took 6:03 off the clock to all but clinch the game (at least the cover). They took a 28-16 leads on Cox s second touchdown run from two yards out. On the next series, UL Lafayette turned the ball over on downs and three plays later, Terrance Upshaw put the game away with a 36-yard touchdown run to give the Mountaineers a 19-point lead with 2:25 left. Cox ran for 151 yards and two scores, while Tyler Lamb threw for 195 yards on 11-of-22 passing. Defensively, the Ragin Cajuns were limited to just 259 yards and the Mountaineers also accumulated six sacks. 8

17 In late December, the Football Lock Club began a historic run that has never been rivaled in our industry. From December 23 until January 3, our clients won 70 units, which means that $100 per unit clients won nearly $7,000 and $250 per unit players won nearly $17,500 in less than two weeks. Those 12 days of football are generally considered the toughest time of the year to earn a profit. The sportsbooks and Las Vegas have had over four months to adjust their odds in the NFL and college bowl season. Yet the power of ATSwins.com s information, experience and our ability to decipher tough lines have allowed us to make a fortune for our clients later in the season. This late run was just one specific example of the power of the ATS Football Lock Club. Here is the documented 17-0 run in its entirety. For over two decades, the Football Lock Club has been stronger than just about any stock that you can purchase. Investing in the stock market is always a big risk, taxes are usually raised, not lowered and the cable and phone bills can be a headache. But there's one thing that you can always count on and that's the ATS Football Lock Club. ATS has produced substantial gains for its Football Lock Club investors over the last two decades. There's nothing like a reliable investment that has paid off in 21 of the last 23 seasons. Lock Club investors who have spent $100 per unit, have netted $22,900 per season, while $250 per unit investors have generated $57,250. And that's just over six-month periods. The additions to an already-elite staff of consultants have enabled the Football Lock Club to reach another level. We aren't just satisfied with winning most of the time; we want to be groundbreaking with everything we do. As Vince Lombardi once said, "Perfection is not attainable. But if we chase perfection, we can catch excellence." When you get the kind of energy, work ethic, knowledge, organization and out-of-the-box thinking, you have a Lock Club that is above and beyond the best in the business. Let's enjoy this 2015 Football season and make some history. Now it's up to you to make the wise choice. 18

A unit-rating is the method we use for managing your money to help ensure that you maximize your earnings. Our money-management system is extremely important to your profit potential. We advise that you follow our plan to the letter, thus preventing the threat of a disastrous weekend due to using your own opinions and plays. A unit should be equal to one s regular average bet-and no more. If a client plays $100 to $200 on an average game and $500 or $600 when he really likes a game, and perhaps $800 when he loves it, he should play $100 per unit. Each client s unit-rating is just his average bet. If you play $25 or more per unit, the Lock Club is a must. The Lock Club consists of two different types of games, Lock games and Lock service games. A Lock game is a selection that is rated six units or higher. A Lock service game is a selection rated 2-to-5 units. 19 20
