1 WOODFORD COUNTY YOUTH BASEBALL & SOFTBALL ASSOCIATION CONSTITUTION AND BYLAWS 1.01 NAME ARTICLE 1 WCYBSA STRUCTURE The name of this Limited Liability Corporation and 501 (c)(3) non-profit is Woodford County Youth Baseball & Softball Association (WCYBSA) ORGANIZATION STRUCTURE 1.02.a. Organizational Ownership All incoming board members will be voted on after an application is completed and sent to the league administrator. If approved, the new board member will serve a 3 year term. Newly elected board members are eligible for Executive Board positions after one year of active service on the Board of Directors. Active service is defined as attending at least 75% of all annual board meetings An Executive Board of Directors will be voted on by the full board and positions shall include the following: President; Vice President; Treasurer, League Administrator; Secretary; Baseball Commissioner; and Softball Commissioner. These positions will hold office for two calendar years beginning October 1 of each year. The Officers of the organization shall have the duties specified in these bylaws and also identified in the League Charter. The Board may also appoint additional Officers as it deems necessary to carry out the purpose and functions of the league. Members of the WCYBSA may serve as committee members / volunteers at any time b. Babe Ruth Baseball & ASA Softball WCYBSA baseball program provides the opportunity for children within the boundaries specified by Babe Ruth League, Inc., of 1770 Brunswick Avenue, P.O. Box 5000, Trenton, New Jersey 08638, to play baseball or any other associated activity hereinafter referred to as baseball. WCYBSA Softball is not a chartered body of Babe Ruth League, Inc. and will play under ASA ruling. This organization shall make no act or action in violation of said charter. Additionally, the organization shall make no act or action in the violation of the LLC issued by the Commonwealth of Kentucky for charitable or nonprofit organizations of the rules prescribed by the Internal Revenue Service for the preservation of the corporation s tax exempt status c. Division Of Leagues The sports activities of the organization will be divided in to the following leagues; four (4) baseball leagues, three (3) softball leagues (depending on participant numbers), and one (1) Last amended 2/12/2018 1

2 wee-ball league. Baseball leagues shall be known as Major League Baseball, Minor League Baseball, Rookie League and T-ball League. Softball leagues shall be known as Major League Softball, Minor League Softball, and Ponytail Softball. Wee-ball shall be a co-ed hybrid developmental league for baseball and softball. Wee-ball is played in the fall of each season, wee-ball aged children can play Smart-Start offered by Falling Springs in the spring c.1 Major League Baseball The purpose of the Major League Baseball is to be a league for children ages 10 through 12 years old with exceptional playing ability. This is to be a competitive league teaching the fundamentals of baseball and good sportsmanship for the local league and preparation of tournament play. The league is also focused in preparing players for the next step into school ball. One of the Major League s objectives will be to field competitive All-Star teams that will compete against other independent or Cal Ripken Leagues in independent or nationally sanctioned Cal Ripken tournaments, including the Cal Ripken World Series. As many as Three (3) All-Star Teams may be fielded from Major League as follows: a 12-Year Old Team, an 11-Year Old Team, and a 10-Year Old Team c.2 Minor League Baseball The purpose of the Minor League Baseball is to provide training and development in a competitive environment for all children 9 year old and also children 10 through 12 years old who have tried out and not been selected for Major League play. This will be a player pitching league aimed at developing fundamentals of good baseball and sportsmanship to allow players the ability to develop their skills to the fullest potential and to move to the Major League if possible. A 9-year old All-Star team may be fielded from this league to compete against other independent or Cal Ripken Leagues in independent or nationally sanctioned Cal Ripken tournaments, including the Cal Ripken World Series c.3 Rookie League The purpose of the Rookie League (a coach pitch league) is to provide a training and developmental league in a competitive environment teaching the fundamentals of baseball and good sportsmanship for 7 and 8 year old children who have acquired the basic skills of Baseball as taught in T-Ball and are capable of the increased challenge of hitting a moving ball pitched by a coach with accuracy and at a controlled speed for safety c.4 Tee-Ball League The purpose of the T-Ball League (hitting the baseball from a stationary Tee) is to introduce 5-6 year old players to the game of baseball in a fun semi competitive environment and further teach children the basic fundamentals of baseball, team play and good sportsmanship c.5 Wee-Ball League Last amended 2/12/2018 2

3 The purpose of the Wee-Ball League (hitting the baseball from a stationary Tee) is to introduce 4year old players to the game of baseball and Softball in a fun noncompetitive environment teaching children the basic fundamentals of team play and good sportsmanship c.6 Major League Softball The purpose of the Major League Softball is to be a league for the children ages 12 through 15 years old. This is a fun competitive player pitch softball league geared toward teaching fundamentals, good sportsmanship and the introduction of more NSA/ASA rules. An All-Star team may be fielded from this league to compete against other independent leagues in independent or ASA sanctioned tournaments c.7 Minor League Softball The purpose of the Minor League Softball is to be a league for children 8 11 years old. This is a fun competitive combination of coaching / machine and player pitch softball league geared toward teaching fundamentals and the first move towards playing by NSA/ASA rules. An All-Star team may be fielded from this league to compete against other independent leagues in independent or ASA sanctioned tournaments c.8 Ponytail League The purpose of the Ponytail League (a coach pitch league) is to provide a training and development in a fun competitive environment league teaching the fundamentals of baseball and good sportsmanship for 5 and 7 year old children who have mastered the basic skills taught in Wee-Ball and are capable of the increased challenge of hitting a moving ball pitched by a coach with accuracy and at a controlled speed for safety c.9 League and Age Requirements All players must play at the age Babe Ruth League, Inc. determines they are, or, as approved by the WCYBSA Board. No child will be allowed to play up to the next league or age group unless approved by the board of Directors and that player s parent/guardian. ARTICLE 2 PURPOSE AND OBJECTIVES PURPOSE The purpose of the organization shall be to operate a Cal Ripken Baseball program and an ASA Softball program for children between the ages of 4 and 15 to maintain a safe and secure place for the children to participate in the baseball and softball programs and to raise money for this purpose OBJECTIVES The objectives of the WCYBSA shall be the following: Last amended 2/12/2018 3

4 2.02.a b. The sponsorship of baseball and softball to the children of Woodford Co., Kentucky. To uphold the intent of The Sportsmanship Code of Babe Ruth League. Develop a strong, clean, healthy body, mind and soul. Develop a strong urge for sportsmanlike conduct. Develop understanding of and respect for the RULES. Develop courage in defeat, tolerance and modesty in Victory. Develop control over emotions and speech. Develop spirit of cooperation and team play. Develop into real, true CITIZENS c d e f g h. To provide young athletes within this league boundaries with safe facilities, equipment and supervision to enjoy and learn the games of baseball and softball. To teach the young athletes within this league while they are learning and playing, the principles of fair play and good sportsmanship. To teach the young athletes within this league proper attitude in both winning and losing. To promote and teach teamwork and team play. By means of supervised athletic competition, to guide these young athletes through a period of maturation into honest, thoughtful and useful adult citizens of our community. To insure the successful accomplishments of the aforementioned objectives through a diligent search and selection of highly qualified managers and coaches CODE OF CONDUCT Parents/Guardians, relatives, friends and other fans are expected to limit their expressions to positive comments and encouragement to all players, coaches, and umpires. The umpire(s) or any Board member may deal with negativity instantly. Parks and Recreation has issued a Code of Conduct form, which was provided to each player s parent or guardian for a signature prior to the start of the season. The use of alcoholic beverages in any form is strictly prohibited on the playing field, benches, bleachers, and dugout areas. Alcoholic beverages are not permitted at the park during practices or games. Any substantive complaints concerning the behavior of league officials, coaches or parents/guardians should be submitted in writing to the President of the league or the respective League Vice President. The Board will review all written complaints and may provide a written response REGULAR MEMBER ARTICLE 3 MEMBERSHIP The parents, managers, coaches, and other adults whom are actively involved in furthering the objectives of WCYBSA shall be the regular members of this organization. 5 shall be the custodial parents of the WCYBSA players on each of the teams; manager/coaches shall be the persons who are coaching each of the teams; and other adults actively involved in furthering the objectives of WCYBSA shall be persons not in either of the above categories who attend the annual meeting a. Parent Member A Parent Member is a parent or guardian of a player member. All Parent Members will be responsible for: (I) (II) (III) (IV) Ensuring the player member is at team functions; Assisting the player member in participation in a league fundraiser; Cooperating with the team managers and coaches; and Attending any parent meetings b. Volunteer Member PLAYER MEMBER A Volunteer Member is any adult that is interested in furthering the objectives of WCYBSA. Any boy or girl meeting the requirements of Babe Ruth league regulations, who resides within the authorized boundaries of the WCYBSA, who is eligible for the participation and who has been selected as a player on a subordinate team shall be a player member of this corporation, but shall have no rights, duties or obligations in the management or in the property of WCYBSA a. Additional Responsibilities 3.02.a a a a.4. WCYBSA Player Members will be expected to participate in any league fundraiser. All player members will wear the complete uniform as provided by the league or determined by the respective manager in all games. This will include a hat, shirt and pants. Jewelry should not be worn during practices or games as these items are considered to be unsafe. All players will be responsible for participating in practices, games, and other team activities. Respect all members of the WCYBSA and uphold the Babe Ruth code of conduct. All 10, 11 and 12 year old baseball players are encouraged to try out for Major League Baseball. Those players that were not selected for Major s or did not attend tryouts for the Major League will be placed on a Minor League roster after completion of evaluations. The Board may consent to refer to article in cases that may warrant MEETINGS 3.03.a. Annual League Meeting A general league meeting, which shall be the organization s annual meeting, shall be held at the beginning of the regular (spring) season. 6 assembled and approved by the Commissioning Board. The purpose of the general league meeting will be: (1) to introduce members of the Commissioning Board of Directors for the next year; (2) disseminate general league information and team assignments; (3) to conduct any other business as may be appropriate; (4) to recognize board members, officers, and other individuals for their work APPLICATION FOR BOARD MEMBER All parents of league player members, as specified in this Article, shall be entitled to nominate potential board members. Nominees will be required to completely fill out the WCYBSA application and submit it to the league administrator or his/her designee. The full Board will vote on nominations to select Commissioning Board Members EXECUTIVE BOARD The Executive Board (President, Vice President, Treasurer, Secretary, League Administrator, Baseball Commissioner, and Softball Commissioner) hold the right to rule upon any situation that is not specifically addressed within the bylaws REGISTRATION FEES & SCHOLARSHIPS ARTICLE 4 REGISTRATION FEES AND TEAMS Registration fees for annual registration will be established annually by the WCYBSA Board of Directors and are subject to change from year to year. The WCYBSA Board may exercise the right to issue discounts for player members such as sibling discounts as the Board deems necessary. Scholarships are available and are handled by the Parks and Recreation department. Forms may be picked up at the Falling Springs Rec Center TEAM SIZE LIMITATIONS & TEAM REQUESTS For the optimum utilization of fields for play, practice, weather conditions and player development, the number of teams per league and number players per team will be defined by the WCYBSA Board of Directors annually. WCYBSA does NOT honor requests to place individuals on teams with specific coaches or players GENERAL POWERS ARTICLE 5 BOARD OF DIRECTORS 5.01.a. The business and affairs of this organization shall be governed and arranged by the Board of Directors. In the management of the business and affairs, the Board of Directors is hereby vested with all the powers possessed by the organization itself. The Board of Directors has the power to authorize this organization s president to execute all legal instruments of every kind on behalf of the organization including but not limited to notes, leases, conveyances, contracts, Last amended 2/12/2018 6

7 and all other legal instruments. The president s signature shall be the signature required on any such instrument b. The Board of Directors shall have all necessary and required power (in addition to and not in substitution of all other powers): to conduct all necessary fundraising activities; to develop and change policies for the operation of the organization s baseball and softball program; to appropriate the expenditure of all, or any portion thereof, of the organization s funds or the disposition of the organization s assets c. The Board of Directors has the power to adopt all local rules governing the operation of WCYBSA and any other activities involving the organization which are not consistent with the rules and regulations of Babe Ruth League, Inc., Trenton, New Jersey. All official playing rules and regulations published by Babe Ruth League, Inc. shall be binding on the organization. In the event of conflict between a local rule and the rules and regulations of Babe Ruth League, Inc., the rules and regulations of Babe Ruth League, Inc. shall control so long as said interpretation does not violate the laws of the Commonwealth of Kentucky d. The Board of Directors shall have the power to appoint additional league officers and board members, with or without voting rights, as it shall determine are needed e. The Board of Directors may appoint standing or temporary committees as it shall determine are needed MEMBERSHIP 5.02.a. The Executive Board of Directors will serve a (2) year term and shall consist of the President, Vice-President, Treasurer, Secretary, League Administrator, Baseball Commissioner, and Softball Commissioner. These positions will be elected by the full board every two years. Individuals must serve at least (1) year on the Board to be eligible for election on the Executive Board b. The Commissioning Board of Directors will serve a (3) year term c. Each member of the Board of Directors shall hold office for the set term but may continue as a member of the Board until his/her successor has been appointed or elected. A director may succeed himself/herself. The term shall be October 1 st through September 30 th d. The Commissioning Board shall also consist of any new members or positions as appointed by the Executive Board MANNER OF ACTING A majority of the members of the Commissioning Board and at least 3 members of the Executive Board must be present to constitute a quorum for the transaction of business at any meeting of the Board unless otherwise defined in these bylaws. The act of the majority of the members of the Board of Directors present at a meeting at which a quorum is present shall be the full act of the Board of Directors unless otherwise defined in these bylaws. It shall be deemed that the absent Directors shall have abstained from voting on the matter of business. Last amended 2/12/2018 7

8 5.04. VOTING Voting on any specific issue may be by voice vote except: (1) If requested and seconded, to be completed by secret ballot vote; (2) absentee voting and voting by proxy shall be permitted, unless specifically prohibited by these bylaws, if made in writing and submitted to the President and League Administrator prior to the beginning of the respective meeting. However, absentee voting and voting by proxy shall not be construed as attendance for any purpose that requires a two-thirds majority vote of the Directors when a quorum is present VACANCIES Any vacancy occurring in the Board of Directors may be filled by appointment of the Executive Board and voted on by the remaining Commissioning Board. The person appointed will reside in the position for remaining unexpired term of the vacancy MEETINGS 5.07.a Regular Meetings The Board of Directors shall meet at least 10 times annually. The time and place will be announced at the end of the prior regular meeting, or set by notice three weeks prior to the meeting from the President or League Administrator b. Special Meetings Special meetings of the Board of Directors may be called by or at the request of the President or any three members of the Board. Special meetings shall be held at such time and place as may be designated in a notice from the President or League Administrator. The notice of a special meeting will consist of the agenda and matters of business for the special meeting. New matters may be considered at a special meeting if the members of the Board unanimously approve the new matters to be considered PRESIDENT 6.01.a. General ARTICLE 6 EXECUTIVE BOARD OFFICERS 6.01.a a.2. The President is the Chief Administrative Officer of the organization and shall supervise and control all the business and affairs of the organization. He/She shall preside at all meetings of the members and of the Board of Directors. He/She shall be responsible for the compliance by the WCYBSA with the rules and regulations of Babe Ruth League, Inc., as required by the charter issued by that organization. The President is to exercise authority over all functions of the league unless otherwise directed by the Board of Directors. Last amended 2/12/2018 8

9 6.01.a a a a a a.8. The President shall have had a minimum of one (1) year of service on the Commissioning Board of Directors in some capacity. The President shall be elected biannually by the members of this league at the annual league meeting to serve a term of two (2) years. He/She may succeed himself/herself upon reelection at the annual meeting for a total of two terms. The President shall only use his/her vote if necessary to break a tie vote of the Board. The President should be the most informed officer of the league. He/She shall know the regulations under which the Babe Ruth League and ASA operates. The President shall be in charge of a committee including the Vice- President and specific League Commissioners to determine the number of teams and to organize the league structure for the fiscal playing season. The outgoing President will remain a board member for one year after his last year as active President b Responsibilities 6.01.b.1. The President is responsible for the agenda for each meeting of the Board, and the annual league meeting, and is to preside over each meeting. In the event the President will be absent from a meeting, the President shall notify the League Vice-President of the absence and provide the Vice-President with the meeting agenda b b b b b b.7. The President or his designee is the officer with whom Babe Ruth League, Inc. maintains contact with. He/She shall represent the WCYBSA in all meetings of the Council and of the District organizations. The President is responsible for the completion and timely return of the yearly charter application. The President should review all mail addressed to WCYBSA. The President shall authorize or approve all expenditures of the Commissioning Board and any expenditures of the Executive Board over $50.00, and with the Vice-President, will conduct an audit of league financial records every six (6) months. The President will be responsible for adding to the meeting agenda any items deemed significant by any member of the Board of Directors. The President will oversee the general conduct of all officers and all team managers and coaches. He/She or any other observing person will bring any abnormal or incorrect behavior or conduct of any officer, player, team manager, coach or other interested person to the attention of the Board of Directors. In the event an officer, team manager or coach is accused of Last amended 2/12/2018 9

10 incorrect behavior or conduct, the President may require an immediate and complete review of the behavioral conduct of the individual in question and present the complete facts to the Board of Directors who will determine if the behavior or conduct warrants the removal of the individual from his/her office and duties b b b.10 The President is responsible to oversee that each board member is performing his/her duties in an acceptable or adequate manner. Any individual that reports to the Board an instance where it is apparent that a board member is not performing his/her duties. The President may require an immediate and complete review of board members activities and behavior, and the complete facts shall be presented to the Board of Directors for consideration of whether to remove the member for cause. The President will chair the committee responsible for finding suitable managers for the league. He/She will present their names with their recommendations to the Board of Directors for review and approval. The other member sitting on the committee is the Vice-President. The President is responsible for making sure the organization s Liability, Accident Insurance and Directors & Officers Insurance is in place and renewed each year VICE PRESIDENT 6.02.a. General 6.02.a a a a a a a.7. The Vice-President may be any member of the organization that has served at least one (1) year on the Commissioning Board. The Vice-President shall be elected biannually by the members of this league at the annual league meeting to serve a term of two (2) years. He/She may succeed himself/herself upon reelection at the annual meeting, without limitation. In the absence of the President, the Vice-President will be a voting member of the Board of Directors in which case he/she will use his/her vote only if necessary to break a tie vote of the Board. The Vice-President will be a good standing member of the WCYBSA and support all bylaws, rules, and regulations of WCYBSA and will attend all District and Board meetings of WCYBSA. In the absence of the President, the Vice-President will preside over any WCYBSA meetings. The Vice-President may, with the approval of the President, counter-sign checks. The Vice-President will assist the President, Baseball Commissioner, and Softball Commissioner to determine the number of teams and to organize the league structure for the fiscal playing season. 11 6.02.b. Responsibilities 6.02.b b b b b b.6. The Vice-President will sit on the President s committee responsible for finding suitable managers for the league. He/She will assist with presenting their names with their recommendations to the Board of Directors for review and approval. The other member sitting on the committee is the Vice- President. The Vice-President will serve on the protest committee with the President and associated League Commissioner. The Vice-President will work with the Baseball and Softball League Commissioners after sign-ups, try-outs, and evaluations to set up a draft for the purpose of filling team rosters according to WCYBSA established rules. The Vice-President will keep the President and Board of Directors informed of any special needs or problems which require the action of the Board. The Vice-President will assist the Baseball and Softball League Scheduling Commissioner with the arranging practice schedules, assisting in the rescheduling of make-up games and also supervising a post season tournament. The Vice-President will assist the Baseball and Softball Umpire Commissioners with obtaining umpires for WCYBSA and may handle day-today problems concerning umpire scheduling, replacements and all other matters relating to umpires LEAGUE ADMINISTRATOR 6.03.a. General 6.03.a a a.3. The League Administrator may be any member of the organization that has served at least one (1) year on the Commissioning Board. The League Administrator will be elected biannually by the members of this league at the annual league meeting to serve a term of two (2) years. He/She may succeed himself/herself upon reelection at the annual meeting, without limitation. The League Administrator will be in charge of the league web site and game scheduling b. Responsibilities 6.03.b.1. The League Administrator will preside over meetings in the absence of the President and Vice-President. The League Administrator will perform any such additional duties which may be assigned to him/her by the President or by the Board of Directors. Last amended 2/12/

12 6.03.b b.3. The League Administrator shall maintain a register of the names, current mailing address and current telephone number of each Manager, Director and Officer of the organization. The League Administrator in conjunction with the Treasurer will be the custodian of all corporate records TREASURER 6.04.a. General 6.04.a a a.3 The Treasurer may be any member of the organization that has served at least one (1) year on the Commissioning Board. The Treasurer will be elected biannually by the members of this league at the annual league meeting to serve a term of two (2) years. He/She may succeed himself/herself upon reelection at the annual meeting, without limitation The Treasurer will be in charge of league funds, budgeting, and state/local/federal tax filings b. Responsibilities 6.04.b b b b.4 The Treasurer receives all monies and securities, and deposits safe in a depository approved by the Board of Directors. Keeps record for receipt and disbursement of all monies and securities of the local League, approves all payments from allotted funds and draws checks therefore in agreement with policies established in advance of such action by the Board of Directors. All disbursement by check or purchasing card must have written approval by the President via mail or . The Treasurer will share budget/financial reports at board meetings as well as prepare annual report. The Treasurer will file all state, local, and federal tax returns as required by law on behalf of the league Commissioner (Baseball and Softball) 6.05.a. General 6.05.a.1. The Commissioner may be any member of the organization that has served at least one (1) year on the Commissioning Board. Last amended 2/12/

13 6.05.a a.3 The Commissioner will be elected biannually by the members of this league at the annual league meeting to serve a term of two (2) years. He/She may succeed himself/herself upon reelection at the annual meeting, without limitation The Commissioner will be in charge of the baseball or softball committees including all specific League Commissioners, Field Commissioners, Scheduler, Umpire Commissioner, Parent Representatives, and Fall Ball Commissioner to oversee the activities of the fiscal playing season b. Responsibilities 6.05.b b b b b b b b.8. The Commissioner will supervise baseball / softball league signups, try-outs, evaluations, and player selection draft. He/She will also ensure the completion of signup forms and league conduct forms by the parents or guardians of the WCYBSA, among other things, the correct addresses are inside the WCYBSA boundaries and the approval of the parents or legal guardians for siblings to play on the same or different teams. The Commissioner will maintain a record of candidates not selected in the draft from which player replacements may be selected. The Commissioner will maintain all team and player records of releases and replacements. The Commissioner will serve with the President and Vice-President on a committee to rule on all protested baseball games. The Commissioner will be responsible for making sure all fields are ready for game play. The Commissioner will make the final say to cancel or delay games due to weather conditions. The Commissioner will, in general, perform all normal and customary duties that a Commissioner would ordinarily perform and not specified in this section. The Commissioner will be responsible for briefing each new manager and coach on all rules and regulations regarding League play - specifically to include pitching limitations. The Commissioner will be responsible for all sign-ups of fall ball Board Secretary 6.06.a. General 6.06.a.1. The Board Secretary may be any member of the organization that has served at least one (1) year on the Commissioning Board. Last amended 2/12/

14 6.06.a a.3. The Board Secretary will be elected biannually by the members of this league at the annual league meeting to serve a term of two (2) years. He/She may succeed himself/herself upon reelection at the annual meeting, without limitation. The Board Secretary will be responsible for recording the actions of the Board b. Responsibilities 6.06.b.1. The Board Secretary will ensure minutes are kept of all meetings, (including Board of Directors meetings, annual league meeting and special committee meetings) in one or more books/electronic documents dedicated for that purpose MANAGERS AND COACHES 7.01.a. Qualifications: Selection of Managers and Coaches ARTICLE 7 MANAGERS AND ASSISTANT COACHES Managers may be any adult 21 years or older. Anyone wishing to become a manager must complete a Coaching application, be subject to a background check and be interviewed by the WCYBSA Board of Directors. Applicants should have the ability to teach and motivate young children and have a working knowledge of baseball or softball. Assistant coaches may be any adult 18 years or older. Assistant coaches may be appointed by the managers or complete a coach s application and be interviewed by the WCYBSA Board of Directors. All assistant coaches will be subject to a background check. Applicants should have the ability to teach and motivate young children and have a working knowledge of baseball or softball b b b.3. Each candidate for a position as manager shall submit a written application. The applications shall be reviewed by the respective League Vice President before being presented to the Board of Directors for approval. The final selection of a new manager shall be at the discretion of the Board of Directors. A three-fourths majority of the members of the Board of Directors who are present shall be required to select a manager. For this purpose there shall be no voting by proxy. Upon selection by the Board, each manager may appoint one assistant coach for his/her team, subject to approval by the Board of Directors. Last amended 2/12/

15 7.01.b.4. Should a vacancy occur during the season, the assistant coach of that team will have the first opportunity to move up as manager, subject to the qualifications specified in paragraph 7.01.a c. Responsibilities 7.01.c c c.3. Each manager and assistant coach will be responsible for attending any league coach s clinics or coach s meetings. Managers will be responsible for attending the player evaluations and tryouts. Each manager and assistant coach will familiarize himself with his player s background. He must know his players and their families as well as possible. He will inform the parents of Cal Ripken League objectives and goals and generally explain his/her philosophy and methods. He/She should select players for his/her team solely on their ability and use sound judgment with the Cal Ripken League player s safety, health and welfare being of utmost concern. Managers and Coaches shall exhibit positive conduct and a sportsmanlike attitude at all times when in front of, or around, players. He/She shall set a personal example to the players of the objectives, goals, philosophy and methods of Cal Ripken League Baseball. He/She shall ensure maintenance of and strict adherence to the safety rules specified by the Board of Directors. He/She shall, at all times, work with the Board and the league to further its rules, goals, objectives and purposes d. Game Ejections Any manager or Coach who is ejected from a game will be required to go before the WCYBSA Executive Board who has the right to suspend the manager/coach based on the behavior or activity which caused the ejection. Any manager or Coach who is ejected from a second game during the same season will be suspended for one game and must meet with the Executive Board. Any manager or Coach who is ejected from a third game during the same playing season will be suspended for the remainder of the season and must meet with the Executive Board. Any manager, Coach or Spectator who is ejected from a game will be required to leave the park for the remainder of that game. The person ejected will be allowed to return to the park after the game he or she was ejected from is over. The WCYBSA Executive Board, at its discretion, can meet with a coach at any time during the season if they feel the coach is not following the Coaches' Code of Conduct. If the Manager refuses to meet with the Executive Board, the Manager will be suspended as Manager until such time when he / she meet with the Executive Board and resolve any issues. Rule 7.01.d Comment: For purposes of this section, the season shall mean from the start of recreational practice to the end of the All-Star schedule e. Yearly Review of Positions Last amended 2/12/

16 Each manager and assistant coach position shall be subject to review (based on 7.01.c.1, 7.01.c.2, and 7.01.c3.) by the Board on an annual basis. The Board of Directors will vote on whether each Major League coach will able to return the following year. Managers and assistant coaches may be removed by a Board vote for actions deemed detrimental to league guidelines f. Background Checks All managers, assistant coaches team moms and parents who are on the field working with league players must complete a criminal background check form at the beginning of each season g. Dress Code 8.01 UMPIRES 8.01.a General All managers, assistant coaches, team moms and parents who are on the field shall refrain from wearing any obscene or inappropriate clothing that may be a distraction or offensive to children. Repeated offenses could result in the Executive Board removing the managerial and or coaching responsibilities from the individual in question. ARTICLE 8 UMPIRES a.1. regulations a a a a a a a.8. He/She should have an extensive knowledge of baseball or softball rules and He/she will have an understanding of Babe Ruth League Inc. Rules One (1) or more umpires will be assigned to officiate each game. Each umpire is the representative of the WCYBSA, and is authorized and required to enforce the rules of the organization. The umpires shall be responsible for the conduct of the game in accordance with these rules and for maintaining discipline and order on the playing field during the game. Each umpire has authority to order a player, coach, or spectator to do, or refrain from doing anything, which affects the administering of these rules, and to enforce the prescribed penalties. Each umpire has authority to disqualify any player or coach for objecting to decisions or for unsportsmanlike conduct or language, and to eject such disqualified person from the playing field. Each umpire has authority at his discretion to eject from the playing field any person whose duties permit his presence on the field and any spectator or other person not authorized to be on the field. 17 8.01.a.9. Any umpire s decision which involves judgment, such as, but not limited to, whether a batted ball is fair or foul, whether a pitch is a strike or a ball, or whether a runner is safe or out, is final. No player, coach or manager shall object to any such judgment decisions. Rule 8.01.a.9. Comment: Players leaving their position in the field or on base, or managers or coaches leaving the bench or coaches box, to argue balls and strikes shall not be permitted. They should be warned if they start for the plate to protest the call. If they continue, they will be ejected from the game a a a.12. If there is reasonable doubt that any umpire s decision may be in conflict with the rules, the manager may appeal the decision and ask that a correct ruling be made. Such appeal shall be made only to the umpire who made the protested decision. If a decision is appealed, the umpire making the decision may ask another umpire for information before making a final decision. No umpire shall criticize, seek to reverse or interfere with another umpire s decision unless asked to do so by the umpire making it. Immediately following a game, the umpire shall report to the Baseball or Softball Commissioner all violations of rules and other incidents worthy of comment, including the disqualification of any player, coaches and the reasons therefore. ARTICLE 9 NON-PROFIT DETAILS 9.01 NON-PROFIT STATUS WCYBSA is a non-taxable charity 509(a)(2) under tax code 501(c)(3) with an effective date of exemption of November 15, The federal EIN of the league is Federal form 990- EZ filings are required annually in addition to state filings COMMITTEE MEMBERS ARTICLE 10 COMMITTEES A nominating committee composed of the Board of Directors. This committee may present nominees for the vacant committee positions necessary for the completion of the Commissioning Board of Directors responsibilities (section 3.06). These members will not be full voting members of the Board of Directors for a period of 1 year. Each nominee will have been contacted prior to the meeting and has indicated his/her willingness to serve in the capacity nominated. Nominations will also be accepted from the floor before any vote is taken PROTEST COMMITTEE A protest committee will review any valid protest where the Cal Ripken rules for protesting a game have been met. This committee is applicable for each league except the Wee-Ball, T-Ball, Rookie Leagues, and Ponytail League where protests are not permitted. The composition of the committee will include the President, Vice-President, Baseball or Softball Commissioner, and League Commissioner for the respective league. Last amended 2/12/

18 ARTICLE 11 FISCAL YEAR YEAR DATE The organization s fiscal year beginning on July 1 st and ending June 30 th of the following year RESPONSIBILITY ARTICLE 12 FINANCIAL The Board of Directors shall have final authority in all matters concerning the finances of the organization COMMON TREASURY All funds of the organization will be deposited, from time to time, in such bank(s), trust companies or other depositories as the Board of Directors may se1ect. This will include fund raising and all other activities. All disbursements shall be made pursuant to the annual budget approved by the Board. The budget may, however, be amended by the Board upon a majority vote of the entire Board membership. The Board of Directors shall ensure that all disbursements from of funds shall not create favoritism among the various teams operating under this organization BOOKS AND RECORDS The organization will keep correct and complete books and records of account and will also keep minutes of the proceedings of its members, Board of Directors and committees of any meeting in which the act of member vote will take place. All books and records of the organization may be inspected by any member for any proper purpose at any reasonable time CONTRIBUTIONS All contributions will be placed in the treasury of the WCYBSA. In no event will contributions be allowed to be accepted by individuals or teams for individual or team use. All teams of each league shall be treated equally and without favoritism PURCHASES No manager, coach or parent shall have the authority to make purchases using league accounts or funds without written permission from the League Administrator DRAFT MEETING ARTICLE 13 DRAFT SYSTEM Last amended 2/12/

19 Following try-outs, all managers will meet with the Baseball or Softball Commissioner, President, Vice-President, League Administrator and the associated League Commissioner at a time and place designated by the Baseball or Softball Commissioner for the purpose of selecting players by the method prescribed by this article DRAFT METHOD The draft policy will be reviewed each year. The order of the draft will be determined by lottery on or before the draft. Draft order will be reversed from the selected number on the even rounds of the draft. Example: Draft order 1-9 for round 1, 9-1 for round 2, etc. This is commonly referred to as a serpentine or snake draft. A maximum of up to two children or grandchildren of manager s (only) are automatically placed on the manager s team (at the manager s option) before the start of the draft. One assistant coach may be named before the start of the draft. The Assistant Coach s child may be added to the team s roster before the start of the draft, as long as roster age limitations are not violated AND the number of automatically placed players does not exceed two players. The coach must be an active participant in practices and games.. Locked players cannot be friends of the family or randomly picked because they are good players If applicable, when the number of automatically placed players exceeds two players, the Board will decide the draft position of the Coach s child, which will subsequently determine the draft position surrendered by the drafting team to obtain the Coach s child. If the Coach has multiple children, the highest draft position will determine the draft position surrendered, hence standard sibling draft rules apply. All teams will draft until they have 5 players and then they will discontinue drafting until all other teams have filled to 5 players. All teams will then resume drafting until all players have been drafted. If a player drafted has an eligible brother/sister in the draft, the sibling will be added to the roster immediately MINOR LEAGUE BASEBALL DRAFT Due to the constant turnover of the Minor League, players in the Minor League will be redrafted each year in an effort to make the teams as evenly matched as possible. Additionally, draft order will be decided based upon a blind draw each year since all teams will be re-drafted TEAM SIZE Each team shall consist of no less than ten (10) players nor more than thirteen (13) players with the exception of instructional Wee Ball. At no time will a Major or a Minor League teams consist of more than 6 players of the same league age. All other leagues will not consist of more than 7 players of the same league age. Dependent on amount of players signed up in one league the Board of Directors reserve the right to make an amendment to this bylaw see PLAYER DURATION Each player acquired shall for the duration of his/her major Cal Ripken League career be the property of the team making the acquisition, unless subsequently released. The Board of Directors shall reserve the right to continue as a player any boy or girl whose residence changes after becoming a member of the league as provided for in Regulations of Cal Ripken League Baseball and Playing Rules. However, the best interests of the boy or girl should be taken into consideration by the Board of Directors in exercising this right. 20 must submit a written request of release to the Baseball or Softball Commissioner. Release of a player must then be approved by the WCYBSA Board of Directors "THROWN TRYOUTS Any player determined by coaches or representatives of WCYBSA to not be performing to his or her ability at the Major League tryouts or evaluations shall be asked to return to the tryouts the next day or return on the make-up date. If the player refuses to return to tryouts or evaluations, then said player will be ineligible to play. All participants will be informed of this prior to tryouts FORFEITURE OF ELIGIBILITY Any boy/girl who participates in tryouts and is selected in the draft but refuses to play on the team forfeits his/her eligibility to play in the WCYBSA for that year at the Board s discretion If a family or player has a legitimate issue with a coach, a request to not be drafted by a certain coach must be submitted prior to the league draft TRADING No trading of players shall be permitted in the WCYBSA TEAM PROTECTS ARTICLE 14 PROTECTED PLAYERS Each team is allowed two (2) protects at the beginning of a draft as prescribed in section Protected players must be relatives of the coaches, and each protected player will be evaluated by all league coaches to determine what round he/she must be selected by his/her team SIBLINGS Siblings in the same league will automatically be placed on the same team. The second sibling will be evaluated by league coaches to determine what round the second child must be drafted. That sibling becomes protected and must be drafted in the stated round as agreed upon by the coaches a.. Major League Draft Exception: If a parent indicates that the siblings cannot play on separate teams: When the first of the siblings is drafted in the Major League draft, the manager must declare his/her intention regarding the remaining sibling(s) and automatically assign the sibling to draft pick determined by the league coaches as previously outlined in If the manager indicates he/she does not wish to draft the remaining sibling(s) he/she (they) is (are) not eligible for the selection by any other team and must play in the Minor League. 21 PLAYER ELIGIBILITY PRACTICE ATTENDANCE At the manager/assistant coach s discretion, due to the safety concerns associated with baseball and softball, a player must attend at least two-thirds (2/3) of all team practices during any given week to be eligible to play in any league game. However, attendance at all team practices does not guarantee any player a starting position or playing time in any game PLAYER SUSPENSION Players missing more than two-thirds (2/3) of all practices over a period of four (4) weeks are subject to be dropped from the team s roster and thereby forfeit their playing eligibility for the remainder of the season or their league playing career depending on the specific situation. Any action recommended by a manager/assistant coach in this regard must be reported to the Baseball or Softball Commissioner and brought before the Board of Directors for approval. A Major League team, who loses a player prior to the second half of the regular season, must draft a player of the same age, who participated in tryouts, and is currently playing in the Minor League. The player has the option to refuse MANDATORY PLAY RULE a.1. Major League Every player must play two innings in the field. This rule does not apply to a 4 or 5- inning game a.2. Minor League Every player must play three innings in the field. This rule does not apply to a 4 or 5- inning game a.3. Rookie, Tee-Ball, Wee-Ball, Ponytail Every player must play one inning in the infield and three innings in the field. This rule does not apply to a 4 or 5-inning game. This rule is also subject to the coach s judgment of a player s ability to safety play in the infield a.4. Any manager who fails to adhere to this rule will be suspended for his/her team s next game. If this rule is broken a second time during the season, it will result in a 2-game suspension. A third violation in the same season will result in a mandatory meeting with the Executive Board, which could lead to that manager s removal from his or her team RAINOUTS OR SUSPENDED GAMES a a.1 If a game is called due to rain, weather, light failure or other acts of God and cannot be resumed, it is a regulation game if: For a scheduled six (6) inning game, if three (3) innings have been completed or if the home team has scored more runs in two (2) innings or two and one half (2 1/2) innings than the visiting team has scored in three (3) complete innings or if the home team scores one (1) or more runs in its half (1/2) of the third (3rd) inning to tie the score.
