1 MATT CRAMER'S FANTASY BASEBALL LEAGUE League Constitution (Changes from prior season at end of document) I. General A. Each team must pay a $ entry fee. However, if the fee is not paid by a predetermined date set each year by the Commissioner, a $25 penalty will apply. If a new owner is added after the predetermined date, that owner will be given seven calendar days to submit payment to avoid the penalty. If you wish, you may have a partner forming one team. Ownership is limited to two individuals. B. Reports showing standings, statistics, etc. are updated daily via Internet. Owners can view reports at the following Internet address with their appropriate login information: C. Any printouts (hardcopy) cost $1.00 ($2.00 front & back) per page. Any extra postage or office supplies will also be charged to the owner. D. No owner/partner can own more than one team. E. Maximum teams per year are 24. F. The season is split into two different formats. The regular season, used to begin the season, is a standard ten category rotisserie style setup. This lasts approximately 16 weeks. After our regular season is complete, to finish our season, we utilize a playoff which is head-to-head, ending the Sunday prior to the Monday of the last full week of MLB. Each has their own separate site operated via the service indicated in "B" above. Each is described in more detail as you read on. G. Executive Committee - A committee of individuals, usually 6-12, appointed by the Commissioner, that when called upon will have final authority on trades (except for draft day trades; Commissioner will approve/disapprove) and any other issue the Commissioner seeks their opinion. The Commissioner is not part of this Executive Committee but can be used as a tie-breaker or substitute. H. DL - Players on the MLB disabled, bereavement or paternity list. Players "shut down" for precautionary reasons toward the end of a season not on the MLB DL can be an exception if approved by the Commissioner. I. Reserve Any non-active player not meeting the DL requirement mentioned above or an active player being moved to your bench. J. Free agent and waiver cycles run daily at 11:00 AM. II. Draft/Auction A. Each owner will draft 21 players. We use both the American and National Leagues. B. Draft order will be determined by a random drawing held prior to draft day. Specific details about the drawing (date, time, location, etc.) will be determined each year by the Commissioner. C. You have one minute to make your selection for all rounds. The only exception is that during the draft you are allowed four, one-minute extensions. These extensions can be cumulative, up to a maximum of two (i.e. if you have four extensions remaining, the most you can use on any one pick is two for an additional two minutes). If over a limit and no extensions, the pick is to be skipped and the next owner will pick. D. Trades among draft picks or draft locations are permitted (This does count as a trade and a fee is charged). These are the only trades handled strictly by the Commissioner for approval. E. Owners must turn in rosters before leaving the draft/auction that day. Owners may have time to make changes

2 to their starting lineup at no charge prior to submission of final opening rosters. This time frame is determined each year based on when we have the draft (pickups are not free during this period). F. When you turn in your lineup at the conclusion of draft day, you must have the following active eligible position players: 1. (1) - Catcher (C) 2. (1) - First-Baseman (1B) 3. (1) - Second-Baseman (2B) 4. (1) - Third-Baseman (3B) 5. (1) - Shortstop (SS) 6. (4) - Outfielders (OF) (Any outfielder may be selected) 7. (1) - Utility (UT) (Any hitter you choose) 8. (2) - Catcher/Infielder (C/INF) (Any C, 1B, 2B, 3B or SS) 9. (5) - Starting-Pitchers (SP) 10. (4) - Relief-Pitchers (RP) (Any relief pitcher may be selected) G. Immediately following the draft, any owner interested in picking up players that evening will participate in an auction. During the auction, available players are bid upon with real money, with the player going to the highest bidder. An orderly call of names will be used by all teams participating (participation is optional) based upon the draft order from that day. However, it will be standard order instead of serpentine. You may "pass" at your turn, but you will be limited to five passes. After five passes, if no name, you are done with the auction. Any participating owner may bid, but must keep their roster limited to 21 active players and comply with bench limits (see Rosters). At any time during the auction, if your roster or bench has no openings, you must release a player before you can bid again. 50% of the amount of money you spend during the auction will count toward your Free Agent Acquisition Budget to open the season. DL players are eligible if you have the appropriate roster slots (includes DL slots). H. After the draft/auction, pickups will not be permitted until the Commissioner has all the rosters updated on the site and submitted. The Commissioner will notify you when you may begin to make roster moves and place free agent bids. I. Any owner who cannot attend the draft may choose another individual to draft his/her team. This other person may or may not be part of the league but must be approved by the Commissioner. However, if the individual who cannot make the draft has chosen a current member, there can be no trading between these two teams during the draft. This same rule would apply to individuals who must leave the draft before it is over or who come late. III. Position Eligibility A. Hitters 1. You must keep your positions filled always by a qualified player. 2. To qualify for a position, the following criteria are utilized: a. Any hitter that played 20 or more games at a MLB position the prior season is eligible at that position the upcoming season. During the season, if a player gets 10 or more games at a new MLB position, he then becomes eligible at that position as well. b. Any hitter that did not appear in 20 MLB games at any position (includes DH) the prior season or did not appear the prior season in the Majors at all, qualifies at the position reaching the minimum requirement the prior season in any league(s) he played in. If multiple positions met, or, games played but no criteria met the prior season, he qualifies at the one position played most frequently. In this case, if equal games played, the Commissioner will determine the position eligibility as only one position will be granted. If a player sat out the entire previous season for any reason or simply has no games to reference the prior season, his eligibility will be determined by the last season in which he played professional baseball. In-season numbers will not come into play unless

3 the respective player reaches 10 MLB games played at that respective position. He would then become eligible at that position as well. 1.) The website will be the official site to determine eligibility for players not meeting the position eligibility requirement. B. Pitchers 1. Must keep positions filled always by a qualified player. 2. When turning in your starting lineups at the beginning of the season, you cannot have a pitcher who is scheduled to be in a teams starting rotation listed as one of your relief pitchers. It does not matter if last year the pitcher qualified as a reliever. The same occurs with having a relief pitcher listed as a starting pitcher. After you hand in your starting lineup and the season begins, this will be tracked by the Commissioner. Basically, if a RP makes two consecutive starts and looks to be sticking as a SP, he must be moved or benched. The same for a SP who becomes a RP. If he looks to be staying, he must be moved or benched. IV. Rosters, Pickups & Transaction Fees A. You will have 21 players in your active lineup (12 hitters; 9 pitchers; see Draft (F) above). Your bench or nonactive can consist of the following maximums: 1. Beginning with draft day until a date determined each year by the Commissioner: a. Reserve 15 b. DL 6 2. After the deadline set in #1 above by the Commissioner: a. Reserve 10 b. DL 6 B. Players released by their appropriate fantasy team are placed on waivers and subject to being claimed by any team. The claiming order for the regular season is based upon the standings through Sunday of the upcoming week, last place team first; first place team last. Ties revert to prior weeks order, going back weekly until broken. A team winning a claim immediately goes to the end of the order until the standings reset the next week. A waived player is eligible to be claimed immediately during the next cycle (runs 11:00 AM) after their waive date. An unclaimed player may sit on the wire for seven days; if unclaimed, the player becomes a free agent and is eligible for the process below (letter C). Until the season starts, the current season's draft order will determine the claim order (resetting each Monday until standings begin; 20 would have first claim and so forth). During the playoff leading up to the World Series Championship round, the claim order will be least total playoff points, including bonus, first in order. First tie-breaker is losses followed by regular season standing. This also resets each Monday. Beginning with the Championship round of the World Series, the order is based on total points scored during the Championship round only with everything else the same as the prior round. 1. If you were the last team to waive a player sitting on the wire, the first four calendar days from waiving, you automatically go to the end of the order (regardless of current standings/order) if you attempt to claim this player. After four calendar days from waiving, this does not apply. C. Free agent pickups are treated via a bidding system utilizing a Free Agent Acquisition Budget (FAAB). This cycle runs daily at 11:00 AM. You begin the season with a balance of $150 (fake money) or less, depending upon your auction. After the draft & auction, anytime you want to pickup a free agent player, you must submit a bid. Winning bid gets the pickup. The amount of the winning bid is then deducted from your FAAB. Minimum bid is $1 with increments of $.01. You are exempt from bidding once your FAAB is below $1.00. This pertains to both the regular season and playoffs. D. All roster moves, except for trading and DL-to-reserve, are the responsibility

4 V. Trading of each individual owner. Each owner, when making moves, must obey all league rules when determining the appropriate move to make. The Commissioner may be contacted to determine the appropriate move. E. The only transaction that has a limit is reserve (OnRoto code RES). You are limited to 60 reserve moves for the entire season (regular season and playoffs). If you have a player on your bench with an eligible DL status and updating to a reserve status, this will not count toward your limit nor will a charge apply. However, this move must be performed by the Commissioner and is the Owner s responsibility to notify the Commissioner via the current league website. Notification should also include any corresponding moves (i.e. if you must waive a player). You cannot buy, sell, or include reserve moves as part of a trade. F. You can release/waive a player at any time. G. Any player with a fantasy roster status of DL, within three calendar days from being activated from the MLB DL, must have their roster status updated (active, waived or reserved). If not, a team will be deducted $5 FAAB per day for each player exceeding the three-calendar day window up to a maximum of $25 FAAB per player. If the maximum fine per player is reached and still not updated, the Commissioner will make any necessary moves to make the roster legal. If a player is to be released, the Commissioner shall release whom he deems the least valuable player on the roster while maintaining a legal roster. All transaction fees associated with this move still occur. Please note, if the transaction is executed within the three-calendar day window, you will not have a fine. It does not go by the effective date of the transaction. If a team has a zero FAAB balance, their fine will carry-over into the next season. I. No player can be rostered on more than one fantasy team at the same time. In the event a player has both hitter and pitcher eligibility, the team owning that player will be permitted to use the player as an active hitter or active pitcher but not at the same time. If the league site separates this player into two (i.e. player_name_hitter and player_name_pitcher), this still will only constitute one roster spot. J. Please do not hesitate to ask the Commissioner about a move. I will always honor the time/date stamp of the . A. Trades are unlimited up until the trade deadline and can include as many players as you wish. B. The last day of our regular season is our only trade deadline. Exact times that last day to be determined by the Commissioner, and, after set time, no trading is permitted. C. All trades after draft day must be submitted through the league website to begin the approval process. This process is as follows: 1. All teams not part of a trade will be given 24 hours to vote their approval or disapproval of the trade. If less than 6 disapprovals, the trade will be approved and processed. Abstain or simply not voting will be treated as approval of the trade. If 6 or more disapprovals, proceed to #2 below.

5 2. If the trade does not pass step #1 above, the Executive Committee will have final say on the approval or disapproval of the trade. If the committee deems necessary, each team involved in the trade may be given the opportunity to further justify their trade. No teams will be given the opportunity to communicate directly with the committee. The Commissioner will handle any necessary communication between all parties involved. 3. Regardless of #1 or #2 above, opinions of a trade approval or disapproval are to be based upon the best overall interest of the league. 4. During the approval process, no comments, pro or con, are to be posted on the league message board (i.e. as to sway opinions). Regardless of comment, if posted during this process, a $25 FAAB fine will be applied. D. No trade will involve the inclusion of money between two individuals (You cannot trade a player for money). "DUMP" trades are not permitted. VI. Stats & Categories A. Stats of all 21 active players count toward your team total for standings or points. B. Categories for regular season standings along with OnRoto abbreviation are as follows. Hitting Homerun (HR) Run-Batted-In (RBI) Stolen Base (SB) Runs Scored (R) On Base % (OBP) Pitching Wins + QS (QS: >= 6 ip and <= 2 er, or, >= 7 ip and <= 3 er) (WQ67) (Save - Blown Save) + Scoreless Hold (NSH0) Strikeouts (SO) Earned-Run-Average (ERA) (BB+H)/IP (WHIP) C. Points will be awarded for placement in each of the ten categories (First - 20 pts; Last - 1 pt). D. Stats are updated daily each morning via OnRoto and are deemed official. Live Scoring is not to be utilized for official results. E. Here is when your stats for a player will begin: 1. Players accumulate stats with an "active" status. 2. A non-active player will begin accumulating stats immediately that day if his status becomes "active" before the start of their appropriate teams' game that day. Likewise, a players "active" status cannot change if their appropriate teams game has started that day; it would have to go to a future date. However, changing of an active players position is permitted if their appropriate team has started if he remains active. F. Once a player has accumulated stats, they cannot be deleted. G. You cannot activate a player who is injured, released, in the minors, reassigned etc. into your starting lineup to not accumulating stats. (Mainly done to not hurting your standing in a category such as WHIP). H. You cannot accumulate stats for two players, at one position, for the same day. (i.e. you cannot use a move to replace a player who plays at 3:00, then use another move and replace the 3:00 player with a player who plays later in the evening). Old-school rule, which, currently would not apply. This is kept in case we ever go back to the "game-time" deadline where you could activate a player if his team had not started yet. Many services do not offer currently.

6 VII. Playoffs A. Playoffs begin the Monday immediately following the completion of our regular season. B. Top 14 teams from regular season qualify for the World Series playoffs; the remaining teams from the regular season qualify for the Squirrel Series. Each team receives a seed based on regular season standing. C. Competition during entire playoff is head-to-head. D. Same positions and lineups as the regular season. E. Bonus points for playoffs are earned based upon your regular season standing (see Attachment A) and only apply to the World Series Playoffs. They can only be utilized during the six-week playoff period and cannot be used during the Championship round. Each team has the option to designate eligible bonus points for any matchup during the six-week playoff period. This must be done before that matchup begins (there will be a deadline each week to submit). Bonus points also count toward overall playoff point totals. Unused bonus points during six-week playoff will simply be disregarded. F. Schedule 1. World Series - Beginning Monday of the first playoff week, each team will have two weekly matchups for a six-week period for a total of 12 matchups. Schedule is always set prior to the start of the season (see Attachment B). 2. Squirrel Series - Beginning Monday of the first playoff week, each team will have two weekly matchups for a five-week period for a total of 10 matchups. Schedule is always set prior to the start of the season (see Attachment C). G. Championship Round 1. World Series - After the six weeks of competition, four teams will advance to the championship round. The team with the best won-loss record from the prior six weeks will be seed #1; seed #2 will be the team with the most total points from prior six weeks (after seed #1 has been determined); see #3 will be the second best won-loss record (after seeds #1 & #2 have been determined); finally, the fourth qualifier will be the team with the second most total six-week playoff points (after seeds #1, #2, & #3 have been determined). Regarding best record teams, any ties will be broken by looking at total playoff points, followed by any head-to-head matchup from prior six weeks. If needed, regular season finish would be final. Regarding the teams qualifying based upon total playoff points, best overall playoff record comes first, followed by headto-head and then followed by regular season finish. 2. Squirrel Series - After the five weeks of competition, two teams will advance to the championship round. The team with the best won-loss record from the prior five weeks will be seed #1; seed #2 will be the team with the most total points from prior six weeks (after seed #1 has been determined). Regarding best record team, any ties will be broken by looking at total playoff points, followed by any head-to-head matchup from prior six weeks. If needed, regular season finish would be final. Regarding the team qualifying based upon total playoff points, best overall playoff record comes first, followed by head-to-head and then followed by regular season finish. H. For each Championship round, playoff records reset (0 0). The four World Series teams play three separate matchups each of the remaining three weeks (playing each team once per week). The best record from these nine matchups is the Champion. The two Squirrel Series teams simply play each other H2H for three separate weeks. The best record from these three matchups is the Champion. Note: The Squirrel Series, based upon playing five weeks instead of six leading up to the Championship rounds, begins one week before the World Series Championship and therefore ends one week before the World Series Championship. I. World Series tie-breakers, in order, will be head-to-head results from Championship round, total points scored during championship round, total points scored for entire playoffs and then final regular season finish. For the Squirrel Series, tie-breakers, in order, will be total points scored during the championship round, total points scored for entire playoffs and then final regular season finish.

7 J. All lineup changes will reflect a move and appropriate transaction fee. Lineup changes for an upcoming matchup are performed by each team; teams can perform lineup changes for an upcoming week anytime before they lock the upcoming Monday. Teams can also complete mid-week DL moves but mid-week emergency reserve moves (discussed next), must go through the Commissioner. For mid-week emergency reserve moves, simply send an via the league website to the Commissioner. K. You will have a total of six emergency reserve moves for the entire playoffs. Three will be allocated toward the six-week playoff and three will be allocated toward the Championship round; unused emergency reserve moves do not carry over. These are reserve moves that can be made mid-week if you elect and can be made for any reason whatsoever. These moves count toward the seasonal reserve move max of 60. L. Without factoring emergency reserve moves, however many starts a SP is scheduled to make that week is the most starts you can have for that SP slot. A SP making his start qualifies regardless how long or how many points accumulated; ex. throws one inning and comes out for injury; that counts. In this example, you cannot use a DL move mid-week to get another start that week; if you have any emergency reserve moves remaining, that could be used. If the scheduled SP does not make the scheduled start and goes on the MLB DL, that could be a mid-week DL move. M. If you have a pitcher listed as a RP and DURING the week becomes a SP (scheduled to make a start that week), that pitcher must be replaced by a qualified RP immediately. If you have a SP that becomes a RP DURING the week, the SP may be replaced by another qualified SP. Regarding both situations, the Commissioner will perform the transaction and a reserve will not apply. You cannot gain any additional starts from the move however. N. The categories and appropriate points per each, with OnRoto abbreviations, for the playoffs will be as follows. 1. Hitters 2. Pitchers a. AB - At Bat (2.00 ea) b. HAB - Hitless At-Bat (-3.00 ea) c. 1B - Single (1.50 ea) d. 2B - Double (2.50 ea) e. 3B - Triple (3.50 ea) f. HR - Homerun (4.50 ea) g. Rbi Run-Batted-In (1.00 ea) h. R - Run Scored (1.00 ea) i. SB - Stolen Base (2.00 ea) j. CS - Caught Stealing (-1.00 ea) k. UBB - Unintentional Walk (2.00 ea) l. IBB - Intentional Walk (.50 ea) m. HBP - Hit by Pitch (.50 ea) a. 8 O. There is no trading during the playoffs. (1) * = Quality Start for our league is 2 earned runs or less and 6 IP or more or 3 earned runs or less and 7 IP or more. (2) Regarding IP points for a pitcher, a pitcher does not have to get three outs to receive points points is for three outs. Anything less than three outs would be multiplied appropriately. VIII. MLB Scoring Changes & Program Stat Corrections A. Regular Season - All MLB scoring changes/program stat corrections will be applied except for the Monday the playoffs begin. The standings and stats through that Monday's program update are locked and cannot be amended regardless how far back a change is applied. B. Playoffs (non-championship rounds) - All MLB scoring changes/program stat corrections will be applied to total points only, not win/loss record, except for the Monday the appropriate Championship round begins. Playoffs (Championship rounds) - Same as non-championship rounds only the standings and stats through the program update applied the next day following the final day of a Championship round will be final and cannot be amended regardless how far back a change is applied. IX. Miscellaneous A. At the end of the regular season, any tie will be broken by the following order: 1. Taking ERA, WHIP, & OBP category standings. Highest point total from the total of these three categories breaks the tie. 2. If somehow still tied after above, a category will be added until broken in this order: Runs, Saves, HR, SB, & RBI. B. In the event of a strike season, if play stoppage occurs during our regular season on or before June 18 and play does not resume (i.e. season canceled), all money from entry fee, auction and transactions will be refunded to each owner in terms of paid-to-date status. If stoppage occurs after June 18 and play does not resume, the Regular Season champion will be crowned, and the next four teams will be awarded based on the standings the day of the stoppage. There would be no playoffs. If stoppage occurs during the playoffs and does not resume, the Commissioner will determine the resolution (it all depends on the situation when the strike occurs). If play stops, then continues during our Regular Season, we will just pick up where we left off. If play stops, then continues during the playoffs, the Commissioner will determine at that time what will happen to the playoffs. C. The Commissioner is not responsible for nor can the Commissioner honor s that owners send and are not received for whatever reason. D. The winner of the playoff is the recognized league champion for that year.

Total Distribution - $4, A. Though it is virtually impossible to cover every situation or circumstance, this League Constitution is established as a basis for the primary principals of this league. In any situation not governed by this Constitution, the Commissioner has the right to seek the opinions of the Executive Committee or non-executive Committee members to gather input to reach a final decision that shall be in the best interest of this league. B. The Commissioner reserves the right to assess fines or assess FAAB deductions in the form of a penalty and suspend or terminate ownership if deemed appropriate. C. There are still some items that must be performed manually, and certain actions are only available to the Commissioner. The Commissioner reserves the right to utilize the hosting website to the full capabilities for any action(s) required. This includes but is no limited to backdating transactions as needed; removing inappropriate messages or content; adjusting FAAB or spending summaries as required; etc. D. Initial payment of league entry fee indicates agreement to abide by this Constitution and honor any in-season decisions as needed by the Commissioner.
