For additional responsibilities, please see Attachment A. 2. Describe the process that candidates should follow to express interest in being considered for the Team Leader position? There will be no formal process for candidates to express interest because this position will be filled by the Senior Director, Athlete High Performance for U.S. Figure Skating. 3. Describe the intended method of identifying the pool and selecting the candidates to be considered for the Team Leader position: There will be no formal method of identifying the pool of candidates because a candidate has already been identified. The Senior Director, Athlete High Performance for U.S. Figure Skating has been identified and will be nominated to fulfill the Team Leader position. 4. Describe the removal of Team Leader: An individual who is to be nominated as the Team Leader by U.S. Figure Skating may be removed as a nominee for any of the following reasons, as determined by U.S. Figure Skating Voluntary withdrawal. Team Leader nominee must submit a written letter to U.S. Figure Skating s Executive Director Injury or illness as certified by an approved U.S. Figure Skating physician (or medical staff). If the individual refuses verification of his/her illness or injury by an approved U.S. Figure Skating physician (or medical staff), his/her injury will be assumed to be disabling and he/she may be removed Inability to perform the duties required Violation of U.S. Figure Skating s Code of Conduct (Attachment B) Violation of U.S. Figure Skating s Statement of Principles of Ethical Behavior and Conflict of Interest (Attachment C). Once a Team Leader nomination is accepted by the USOC, the USOC has jurisdiction over the Team Leader, at which time, in addition to any applicable U.S. Figure Skating Code of Conduct, the USOC s Code of Conduct and Grievance Procedures apply. 2

Describe the replacement of Team Leader: In the event that the Nominated Team Leader is unable to perform the duties of Team Leader, for injury, illness, Code of Conduct violation or any other unforeseen circumstances that would result in the need to replace him/her, the replacement candidate must meet all of the criteria listed in #1 above and, if applicable, come from the pool of candidates described in #3 above. 6. Which group/committee will make the final approval of the Team Leader? U.S. Figure Skating s Executive Director will recommend the Senior Director, Athlete High Performance to the Board of Directors. U.S. Figure Skating s Board of Directors will make the final approval of the Team Leader position. 7. Conflict of Interest: Any individual who is being considered for the Team Leader position or has any other conflict of interest and is involved in the selection process must disclose this information, recuse him or herself and not influence others regarding the discussions, meetings or decisions involving selection of the Team Leader. 8. Date of Nomination: The Games Staff Nomination Form with the Team Leader nominee s name, including the name of a replacement (if applicable), will be submitted to the USOC on or before October 1, Publicity/Distribution of Procedures: The USOC approved selection procedures (complete and unaltered) will be posted/published by U.S. Figure Skating in the following locations: 9.1. 5 Attachment A Team Leader Job Description RESPONSIBILITIES The following are required of Team Leaders before, during and/or after the Games. The Team Leader must: A. Serve as the primary U.S. Figure Skating coordinator for the Team s planning for participation and for coordination at the Games site with the USOC. B. Attend all USOC administrative meetings before and during the Games. C. Be responsible for appropriate conduct of U.S. Figure Skating athletes at the Games. D. Be familiar with the Athlete Selection Procedures and the ISU qualification system. E. Manage Team operations and logistics, including: i. Transportation arrangements ii. Team apparel/uniforming iii. Housing iv. Meals v. Tickets vi U.S. Championships Olympic Meetings vii. Off Site Training Facilities/Scheduling viii. USOC Pre Games Paperwork F. Attend all technical meetings for his/her sport, as appropriate, at the Games. G. Manage accreditation of personnel. H. Be available to the USOC, U.S. Figure Skating athletes and coaches from the time the Team is nominated to the USOC through the conclusion of the Games. I. Arrive at Team Processing or the Games site (whichever is first) at least one day before the Team. The Team Leader must also be available until the departure of the last athlete on his/her Team from the Games site, unless other arrangements are made with the USOC in advance. J. Be responsible for Games wrap up (at the site) and for completing post Games submission of reports and accounting information to the USOC once the Games have concluded. K. Attend the USOC/White House visit, which follows the Olympic/Paralympic Games, if required. L. Attend practices (if needed and when available) and all events. M. Work with USOC assigned press officer to coordinate all media requirements in advance of and during Games. N. Oversee communication with USOC, outside U.S. Figure Skating support staff, Team Manager/Technical Advisor Ice Dance and Team Manager/Technical Advisor - Singles & Pairs on all issues. 5

6 O. Communicate with Executive Director of U.S. Figure Skating on issues that need to be addressed by the President of U.S. Figure Skating or by the Executive Director of U.S. Figure Skating. P. Lead daily briefings with the Team Manager/Technical Advisor - Singles & Pairs and Team Manager/Technical Advisor Ice Dance. 6

7 Attachment B U.S. Figure Skating s Code of Conduct GR 1.00 Policy GR 1.01 Code of Ethics A. It shall be the responsibility of all officials in sanctioned figure skating events, registered members of member clubs, or collegiate clubs and individual members to be thoroughly familiar with the rules of U.S. Figure Skating, to comply with them in full and to exemplify the highest standards of fairness, ethical behavior and genuine good sportsmanship in any of their relations with others. Those who serve U.S. Figure Skating must do so without personal gain, must avoid any institutional loss or embarrassment, and must behave in a way that U.S. Figure Skating s trust and public confidence are enhanced. B. Conflicts of Interest. All persons associated with U.S. Figure Skating, including but not limited to its employees, directors, officers, judges and committee persons, are expected to abide by high ethical standards in all dealings relating to the business and affairs of U.S. Figure Skating. All members and staff should understand that conflicts of interest diminish the integrity and quality of decision-making required by U.S. Figure Skating and may jeopardize U.S. Figure Skating Association s reputation and public support. In order to avoid harm to the goodwill and public image of U.S. Figure Skating and to better ensure the expected high ethical standards in all dealings, if any person who is an officer, director, judge, member of an committee, employee, or paid consultant to or representative of U.S. Figure Skating (each of these persons shall be referred to as a representative ) is aware that U.S. Figure Skating is about to enter into any business transaction directly or indirectly with any representative, any member of a representative s family, or any entity in which a representative has any legal, equitable or fiduciary interest or position (including without limitation as a director, officer, shareholder, partner, employee, beneficiary or trustee), or if a representative is aware that U.S. Figure Skating is about to enter into any business transaction or take other corporate action in which a representative may be directly or indirectly financially interested or otherwise derive a material personal benefit, the representative shall: 1. Immediately inform in writing, the executive director and president of such representative s involvement, position, interest or benefit with respect thereto; 2. Aid the persons charged with making the decision by disclosing all material facts within such representative s knowledge that bear on the advisability of such transaction or action from the standpoint of U.S. Figure Skating; 3. Make such other disclosures as are necessary to insure that U.S. Figure Skating has received full and fair information regarding the transaction or action and such representative s involvement, position, interest or benefit with respect thereto; and 4. Abstain from voting or influencing the decision to enter into such transaction to the extent the disclosing representative may have an actual or apparent conflict of interest in this matter. A conflict of interest may exist in any instance where a 7

8 member s actions on behalf of or affecting U.S. Figure Skating (i) involve obtaining an improper gain or advantage or (ii) involve a conflicting or potentially adverse effect on the interest of U.S. Figure Skating or (iii) involve an activity that is not in the best interests of U.S. Figure Skating, including instances where the member s actions are influenced by another person or organization in a manner adverse to the interests of U.S. Figure Skating. The requirements of disclosure and abstention shall also apply to a representational conflict of interest as referred to in U.S. Figure Skating Statement of Principles of Ethical Behavior and Conflict of Interest, as referred to in Paragraph E of this GR 1.01, to include disclosure of whether the member is in a position (by employment, volunteer service, financial support or other affiliation) to control, direct or influence another person or organization the interests of which are related to, affected by, involved with or may conflict with or adversely affect, the interests of U.S. Figure Skating. C. Prior to appointment as an officer, member of the Board of Directors, committee chair, subcommittee chair, paid U.S. Figure Skating staff, or to any outside organization, the member must execute a Conflict of Interest and Ethical Behavior statement without amendment or alteration. The Ethics Committee chair shall oversee an annual review of the Conflict of Interest and Ethical Behavior statements for continuing appointments and paid staff. D. Private inurement. In agreement with federal law, it is the policy of U.S. Figure Skating that none of its assets or income may inure to the benefit of any person or organization in satisfaction of a personal or private interest. E. U.S. Figure Skating has adopted and may amend, from time to time, a Statement of Principles of Ethical Behavior and Conflict of Interest (including a Conflict of Interest Disclosure Form). All those who choose to serve U.S. Figure Skating shall be subject to and must abide by the Statement of Principles of Ethical Behavior and Conflict of Interest, the provisions of which are incorporated into this Code of Ethics. GR 1.02 Code of Conduct The following code of conduct applies to all participants in activities hosted, supported, sponsored, or engaged in by U.S. Figure Skating, including, but not limited to competitions, exhibitions, and training camps: I recognize that my participation in all activities hosted, supported, sponsored, or engaged in by U.S. Figure Skating, including, but not limited to competitions, exhibitions, and training camps is an honor and privilege that carries certain responsibilities. I agree to fully abide by the rules and guidelines set forth by U.S. Figure Skating or its properly designated agents. As a precondition to participation in activities hosted, supported, sponsored, or engaged in by U.S. Figure Skating, I will adhere to the following tenets in good faith: 8

9 A. I will exhibit the highest standards of fairness, ethical behavior, and genuine good sportsmanship in all of my relations with others. B. I will not damage public or private property. I understand that I may be held financially responsible for damage deemed to be wantonly or willfully executed on my part, and that I may be subject to disciplinary action by U.S. Figure Skating. C. I will not use or possess illegal drugs and I will not engage in criminal activity. I understand that, if I am found to use or possess illegal drugs, or if I am found to engage in any criminal activity during any activity hosted, supported, sponsored, or engaged in by U.S. Figure Skating, I may be subject to criminal penalties as well as penalties imposed by U.S. Figure Skating. D. I will adhere to the rules of U.S. Figure Skating and the host organization at all activities hosted, supported, sponsored, or engaged in by U.S. Figure Skating. E. I will conduct myself in a manner not detrimental to the welfare of figure skating. I understand that my actions reflect on U.S. Figure Skating and the sport of figure skating both positively and negatively. I understand that if my acts, statements, or conduct are considered detrimental to the welfare of figure skating by the appropriate authority, I may be subject to penalties imposed by U.S. Figure Skating pursuant to GR F. I understand that the penalties that may be imposed may include, but are not limited to, loss of future international selections, loss of financial support from U.S. Figure Skating and Memorial Fund, and loss of participation in activities hosted, supported, sponsored, or engaged in by U.S. Figure Skating. G. I understand that all disciplinary proceedings will be conducted pursuant to Article XXV, Section 3, of U.S. Figure Skating bylaws and that my rights and remedies are derived therefrom. 9

10 Attachment C U.S. Figure Skating s Statement of Principles of Ethical Behavior and Conflict of Interest Those who choose to serve The United States Figure Skating Association (U.S. Figure Skating), whether as volunteers or paid professionals, are held to the highest standards of conduct. U.S. Figure Skating is the National Governing Body (NGB) of the sport of figure skating and represents our sport to the U.S. Olympic Committee (USOC) and serves as the United States member of the International Skating Union (ISU). What may be considered acceptable conduct in some businesses may be inappropriate in Olympic service. Those who serve U.S. Figure Skating must do so without personal gain, must avoid any institutional loss or embarrassment, and must behave in such a way that the organization s trust and public confidence are enhanced. It is important to avoid any real conflict of interest as well as to avoid even the appearance of a conflict of interest. While no set of guidelines can guarantee acceptable behavior, the general principles that guide behavior in this area are disclosure and nonparticipation in the decision making process where personal or family gain is a possibility, and a commitment to honor the confidentiality of organizational information. U.S. Figure Skating is not directly comparable to most businesses and in many ways is not comparable to many other sports national governing bodies. One of the purposes of this Statement is to provide certain standards that are directly applicable to U.S. Figure Skating and its particular form of governance. In U.S. Figure Skating, a conflict of interest can arise either as a representational conflict of interest or as an individual conflict of interest. A representational conflict of interest may arise if you are a representative of another entity (for example, but not by limitation, a U.S. Figure Skating member club, the PSA, the ISI, the USOC, the ISU or another sports federation or organization) and you are concurrently a delegate to Governing Council, a member of the Executive Committee, a member of the U.S. Figure Skating Board of Directors, or serve on U.S. Figure Skating committees or task forces. For example, if you are a representative of a U.S. Figure Skating member club and at the same time a member of the U.S. Figure Skating Board of Directors, and an issue comes before the Board of Directors that affects your club financially, you may have a representational conflict of interest. As a further example, if you are a member of a U.S. Figure Skating committee and are concurrently a member of a committee of another organization (e.g., PSA, ISI, USOC or ISU) that is considering proposals or activities that are not favorable to U.S. Figure Skating and its policies, you have a representational 10

11 conflict of interest. When a representational conflict of interest arises, you must make that conflict of interest known, and must excuse yourself from participation in the discussion of the issue under consideration unless the chair asks you to remain in the meeting to provide needed information. You must not, of course, vote on a matter in which you have a representational conflict of interest. An individual conflict of interest will arise when an issue comes before a committee, the Board of Directors, or Governing Council that directly affects either you, individually, or directly affects someone in your family, individually. For example, if the Board of Directors is considering your appointment as a judge, referee, or other official (or the appointment of someone in your immediate family), then you must leave the meeting room if requested and you must not participate in the discussion of the subject and must not vote on the issue. It will not be considered an individual conflict of interest if the issue under consideration affects a class of individuals (e.g., judges) and you happen to be included in that class of individuals, unless the class of individuals is so small that it must reasonably be concluded that the matter under consideration is intended to affect you individually. Stated differently, a conflict of interest may exist in any instance where your actions on behalf of or affecting U.S. Figure Skating (A) involve obtaining an improper gain or advantage or (B) involve a conflicting or potentially adverse effect on the interests of U.S. Figure skating or activity that is not in the best interest of U.S. Figure Skating, including instances where your actions are improperly influenced by another person or organization. Therefore, you must disclose whether you are in a position (by employment, volunteer service, financial support or other affiliation) to control, direct or influence another person or organization the interests of which are related to, affected by, involved with or may conflict with or adversely affect, the interests of U.S. Figure Skating. You should identify to U.S. Figure Skating, in the Conflict of Interest Disclosure Form, any circumstances that gives rise to a possible conflict of interest that you may have in your service to U.S. Figure Skating and to other organizations. For purposes of this disclosure, organizations that you should consider include, but are not limited to, U.S. Figure Skating member clubs, local organizing committees of the U.S. Figure Skating sanctioned events, the USOC, the International Olympic Committee, the ISU, the PSA, the ISI and other sports federations or organizations. In addition, as an officer, director, committee chair, employee, volunteer or member of U.S. Figure Skating, you must: 1. Strive to ensure that U.S. Figure Skating adheres to all applicable rules, regulations and policies of federal, state and local government, and national and international sport governing bodies with which U.S. Figure Skating is affiliated. 11

12 2. Refrain from using U.S. Figure Skating properties, services, opportunities, authority, and influence for private benefit. 3. Devote yourself and U.S. Figure Skating to conduct which, in letter and spirit, is lawful, honest, dependable and fair. 4. Conduct yourself in ways that promote the aims and enhance the reputation of U.S. Figure Skating and figure skating. 5. Place the interests of the entire U.S. Figure Skating Association ahead of local and personal interests in figure skating. 6. Give prudent consideration to issues affecting U.S. Figure Skating, taking into account established U.S. Figure Skating policies and precedents, the need for confidentiality regarding proprietary and sensitive information, and the legal, financial and administrative effect of proposed actions. 7. Guard confidential information acquired by virtue of your position or employment with U.S. Figure Skating and never permit such information to be used for any person s private gain or the gain of another organization. 8. Fully inform responsible U.S. Figure Skating officials in a timely documented form of matters about which those officials may be unaware, including not only business opportunities, policy alternatives, and organizational needs, but also any actions, no matter who is responsible for those actions, which are contrary to U.S. Figure Skating policy, bylaws or rules or are potentially damaging to U.S. Figure Skating, or which are unethical, or unlawful. 9. Assist U.S. Figure Skating s employees, volunteers, and Directors to create and maintain an effectively functioning organization, always respecting the responsibility and authority of those to whom implementation of U.S. Figure Skating policies and goals has been entrusted. 10. Provide a full, constructive and timely reply in the form required to requests from U.S. Figure Skating officials for information and decisions. 11. Neither give nor receive gifts, loans or favors that tend to influence you in the discharge of your duties, except those of nominal value exchanged in the normal course of business. A. The trading of pins and mementos is accepted conduct. 12

Invitations from sports, media, or other organizations to attend sports and social events of more than nominal value may be accepted if they are part of open and generally accepted practices, serve to promote the best interest of U.S. Figure Skating, would not embarrass the individual or U.S. Figure Skating if publicly disclosed and do not compromise the objectivity or integrity of the recipient or donor. C. Gifts and favors of more than $100 value should not ordinarily be accepted, but if the circumstances render it awkward to refuse such a gift the donor should be thanked and told that the gift is being accepted on behalf of, and will be delivered to, U.S. Figure Skating. 12. Disclose the nature and extent of an actual or potential conflict of interest when it occurs in the evaluation of an issue and abide by the guidelines pertaining to a representational conflict of interest and an individual conflict of interest. 13. Complete a Conflict of Interest Disclosure Form if you are included in the group of individuals required to do so. A. The completion of this form is a prerequisite for participation with U.S. Figure Skating. B. Annually, the internal auditor, working with the chair of the Ethics Committee, shall send to each appropriate person a disclosure statement form concerning the conflict of interest policy. These forms are to be completed and returned to the internal auditor and will then be available only to the President, Executive Director, legal counsel (when necessary) and the Ethics Committee. C. The chair of the Ethics Committee will review these disclosures and will maintain the information so revealed in confidence. Each individual should openly and forthrightly identify any areas that represent a potential conflict of interest. Individuals will contact the Chair of the Ethics Committee to update or amend their disclosure forms as circumstances change. D. Each individual will disclose all of the directorships and officer positions held in for-profit or not-for-profit organizations, as well as any consulting and employment relationships in any concern with which you have reason to believe U.S. Figure Skating does business or from which U.S. Figure Skating will secure goods or services, and which you have reason to believe may be affected by your actions on behalf of U.S. Figure Skating. Individual or family ownership in business ventures where more 13

14 than five percent of the total value of the company is owned or where more than ten percent of the outstanding shares are owned, requires disclosure. E. Each individual will also disclose family relationships in which you or your immediate family are employed by or render services to any outside concern that does business with U.S. Figure Skating. Family is defined to include spouse, children, parents, brothers and sisters. F. Each individual will also disclose any confidential information of U.S. Figure Skating that has been used or disclosed for any purpose other than to carry out your duties. 14. Exhibit honesty, loyalty, candor and professional competence in your relationships with U.S. Figure Skating and with each other. A. Travel is a significant cost of conducting the Association s business. Those who travel at the expense of U.S. Figure Skating have the responsibility to adhere to U.S. Figure Skating policies and to assist in reducing costs associated with travel. B. Accurate and reliable records are of critical importance to the Association. Individuals must ensure the accuracy of all U.S. Figure Skating accounts, reports, bills, invoices, records, and correspondence. U.S. Figure Skating documents or information from Association records may not be released to anyone outside the Association without the consent of the Board of Directors. C. U.S. Figure Skating employees shall report only true and actual numbers of hours worked by them. Reporting, charging or shifting costs to inappropriate contracts or budget accounts is prohibited. 15. Make every reasonable effort to avoid the appearance of conflict of interest and unethical behavior. Appearance can be as damaging to the USFSA as actual violations. This Statement sets both general principles and certain specific standards. Where specific standards are set forth, you must abide by those standards. 14
