You can find details on our vision and goals on and Schedule 3 of the attached undertaking. World Rugby Trust has considered your Union s application submitted for the period 1 January to 31 December 2016 for financial assistance under the above Scheme. We are pleased to inform you that the Trust has approved funding to the Federación Colombiana de Rugby totaling Stg 40,000 on the basis of the application and supporting documentation We have considered your application and have agreed to provide funding for relevant funding areas as outlined in your Union Summary Funding Details, Schedule 1 of this agreement. These amounts are based on Appendix B (Plan & Budget) of your 2016 Application Form. No variation to the use of funding can occur without written approval by World Rugby (see Section 3 of this Agreement) If your Union is prepared to accept the terms of the Letter of Acknowledgement and Undertakings, please ensure that the final page of this letter is signed and dated by your Union s authorised official and returned to this office. On receipt of this, the relevant funding will be forwarded to you in accordance with your Union s instructions. All Unions will be paid in two instalments, in February and July unless other conditions of payment are outlined in the cover letter to this agreement. Please read Sections 3 and 4 of this agreement carefully regarding Terms and Conditions, Accountability - Performance Review where further strict conditions in relation to the release of funds are outlined. Please refer to Schedule 2 of the Letter of Acknowledgement and Undertaking for information on all documents that must be completed annually by Unions to qualify for Development Investment funding. Please refer to Schedule 3 of the Letter of Acknowledgement and Undertaking for an understanding of World Rugby s Vision, Mission, investment priorities and development programmes World Rugby is pleased to be in a position to assist the promotion and development of the Game in your Union. 2 WORLD RUGBY TRUST DEVELOPMENT INVESTMENT LETTER OF ACKNOWLEDGEMENT AND UNDERTAKING To: World Rugby Development Limited, in its capacity as Trustee of World Rugby Trust World Rugby House 8-10 Pembroke Street Lower Dublin 2, Ireland (The Trust ) From: Federación Colombiana de Rugby 1. Acknowledgement 1.1 Federación Colombiana de Rugby acknowledges the formal approval of financial assistance by the Trust in a Letter of Advice, Letter of Acknowledgement and Union Summary Funding Details. 1.2 It is understood that on receipt of this signed Letter of Acknowledgement and Undertaking, the approved funding totaling Stg 40,000 ( the Funding ) will be forwarded to your Union in accordance with the instructions indicated in the relevant application for financial assistance submitted for the period 1 January to 31 December It is further understood that the Trust shall be under no obligation to make the funding or any part of it available at any time during the term of the approved programme or Investment if the Union is not, in the informed opinion of the Trust, complying with the Undertaking, detailed below, given by your Union. If there are special conditions relevant to the payment of your grant, you will be notified by a separate cover letter. 2 Undertaking The Union has considered carefully the Letter of Advice, Letter of Acknowledgement and Union Summary Funding Details received from the Trust and gives the following Undertakings detailed in paragraphs 3 to 12 inclusive, without qualification. 3 Expenditure of Funding 3.1 The Union shall only expend the Funding in order to meet the Union Summary Funding Details in Schedule 1 of the Letter of Advice and the agreed projects in Appendix B of the Union s on line application. Any proposed changes to the use of funding must be submitted in writing by the Union to World Rugby, in advance and approved by World Rugby. 3.2 If the Union fails to comply with Clause 3.1 to the satisfaction of the Trust or the Trust has, in writing, formally waived the Union s obligation to do so, the Trust may terminate this Agreement in accordance with Paragraph 8 hereof. 3.3 In the event that the Union fails to expend the levels of Funding approved by the Trust and allocated by World Rugby as set out in the online Appendix B (Plan and Budget) of your Application Form, the Union shall on demand, repay to the Trust the unexpended amount of this Funding unless otherwise agreed in writing. Pending such written agreement, if any, the Union shall hold the unexpended amount of the Funding in trust for the Trust.

3 2 Accountability Performance Review 2.1 Subject to the monitoring provisions, if any, detailed in Appendix B (Plan and Budget), the Union shall complete two separate online reports to World Rugby for the 6 month period of 1 January to 30 June 2015 and the full 12 month period from 1 January to 31 December These reports will outline the progress and outcomes of objectives, projects, and programmes indicated in the Appendix B (Plan and Budget) of your Application Form. Your Union's 2016 Grant will not be paid if your 12 month report for 2015 has not been completed; 2.2 The Union s latest set of Audited Financial Statements must be provided each year on application. This is an annual report prepared at the most recent Financial Year- End Date of the Union, compiled by the Union s Accountant and signed off by Independent Auditors, which details actual revenue and expenditure in the financial year against the Union's Total Budget. Unions in receipt of 40,000 or more must provide these audited statements annually, and Unions in receipt of less than 40,000 must provide these audited statements every third year; 2.3 At the request of the Trust and/or World Rugby the Union shall meet nominated persons from time to time and provide them with such information as they may require and consider necessary to determine whether the terms of this Undertaking have and / or are being complied with by the Union. 2.4 The Union will fully comply with the World Rugby membership criteria established by Council from time to time (refer Bye Law 9.1). 3 Recognition 3.1 The Union, will recognise publicly in an agreed and tangible manner that the Trust have provided financial assistance for all or part of a specific project. 4 Representatives and Guarantees 4.1 The Union represents and warrants that it is a properly constituted and a valid existing legal entity under the legal jurisdiction of the Union s country. 5 World Rugby Bye-Laws and Regulations Relating to the Game 6 Indemnity 5.1 The Union shall uphold its obligations under World Rugby Bye-Laws and Regulations Relating to the Game including having in place anti-doping regulations which are compliant with World Rugby Regulation 21 (save where the Union is constrained from doing so by applicable laws) and shall respond promptly to all enquires by the World Rugby in relation to matters pertaining to World Rugby Bye-Laws and/or Regulations Relating to the Game. 6.1 The Union shall be solely liable for all its debts, losses and expenses arising out of its obligations under this Undertaking. 6.2 The Union shall indemnify the Trust in respect of any claim, loss, cost, liability, damage or expense incurred by the Trust by reason of the Union s breach of any term of this Undertaking. 7 Termination 7.1 If the Trust considers the Union is failing to meet any of its obligations under this Undertaking, which, in the opinion of World Rugby, is capable of being remedied, it shall notify the Union in writing of such a breach ( Breach Notice ) and the course of action to remedy it.

4 7.2 If: a. the progress and outcomes of objectives, projects and programmes indicated in the Appendix B (Plan and Budget) of your Application Form, are deemed not to have been achieved as agreed; b. the Union commits any other breach of this Undertaking which, in the opinion of World Rugby, is not capable of remedy; or c. the Union is, in the Trust s opinion, insolvent, or wound-up or any steps are taken for the winding up, dissolution or termination of the Union; or d. any change occurs in the conduct, assets or financial condition of the Union which may, in the opinion of the Trust, have a serious adverse effect on the ability of the Union to perform its obligations under this Undertaking or on the ability of the Trust to exercise any rights or remedies it may have against the Union; The Trust may, by notice in writing to the Union, terminate immediately all funding relationships. 7.3 Upon termination of the relationship, the Union shall forthwith repay on demand to the Trust the unexpended funds of the Funding in accordance with the level set out in the Appendix B (Plan and Budget) of the Application Form. Pending such repayment, the Union shall hold such amount in trust for the Trust. 8 Variation or Modification No modification or variation of this Undertaking shall be binding on either party to the Undertaking unless such modification or variation is in writing and signed by both the Trust and the Union s legally authorised representative. 9 Complete Agreement This undertaking constitutes the entire understanding between the Trust and the Union in respect of the matters dealt with in this Undertaking and supersedes all oral or written understandings representations or commitment of any kind expressed or implied. 10 Jurisdiction This Undertaking shall be governed by and construed in accordance with Irish law and the parties hereby submit to the non-exclusive jurisdiction of the Irish Courts. 6 SCHEDULE 2 WORLD RUGBY DETAIL ON DEVELOPMENT INVESTMENT APPLICATION FORM AND APPENDICES In order to qualify for development investment funding your Union will have completed the following: 1. The Union/Regional Association Strategic plan; 2. The Union/Regional Association Constitution; 3. The Minutes of the last Annual General Meeting 4. Audited Financial statements If your union has the following documents they should also be attached - Technical/Coaching Plan - High Performance Plan - Participation (Growing the Game) Plan/Strategy Section 3: Participation Details on all playing numbers, registered and non registered. Details on clubs, schools and teams and licensed technical union staff Section 4: Investment Summary: Summary of World Rugby investment in your Union for 2016 Section 5: Organisation Finances: Summary of Union finances for 2014, 2015 and projected budget for Appendix A: Summary of Financial Statements Union Balance Sheet and Profit & Loss Account 3. Appendix B: Plan and Budget Unions can apply for project funding in two main strategic areas a) Governance and Administration and b) Programmes. Detailed KPIs and tracking of these projects is recorded and only projects to be funded by World Rugby are detailed on Appendix B. Currently World Rugby does not fund projects under National Competitions and Performance 4. Union Analysis Form The Union analysis is an online assessment of how your union is performing. 1. Summary - Much of this section of the form, Sections A, B and C are prepopulated with the information from the forms 1, 2 and 3 above, but this form also allows for key issues with the Union to be identified and comments made for all to share. This is a very important document for Unions and World Rugby staff to share views and to provide updates on key issues. Please ensure that you use it accordingly. 2. Details This section is to be completed by a Union and subsequently discussed with World Rugby Regional Staff Month Status report This report is generated from Appendix B and allows Unions to report on their activity for the first six months of the year. This form must be completed in full in order to receive the second instalment of your annual funding 6 12 Month Status report This report is generated from the 6 Month Status Report (5. above) and allows Unions to report on their activity for the second six months of the year. This 12 month report then becomes the annual report on Union activity over 12 months for World Rugby funded projects. This form must be completed in full in order to receive funding for the following year.

7 SCHEDULE 3 WORLD RUGBY VISION, MISSION, INCOME, INVESTMENT AND DEVELOPMENT PROGRAMMES WORLD RUGBY INCOME GENERATION Rugby World Cup drives global investment Rugby World Cup Income Sitting at the top of the playing, coaching and officiating pathway, the quadrennial Rugby World Cup tournament is the commercial and financial vehicle that drives World Rugby s investment in the global Game; supplying more than 90 per cent of World Rugby s revenues from broadcast, sponsorship and other commercial income (note that host unions collect ticket income). The phenomenal success of recent editions of the tournament, now firmly established as a prestigious global brand, has enabled investment at all levels, from grassroots participation to elite high performance. Other Sources On top of Rugby World Cup income, World Rugby negotiates broadcast and sponsorship agreements for other events including its men s and women s Sevens World Series, and in addition, uses its reserves from time to time to smooth investment levels and help fund core Game investment programmes. Prudent cost reduction in recent years has also generated greater cost efficiency. It should be noted that World Rugby only retains necessary reserves, in the unlikely event of Rugby World Cup not taking place due to unforeseen circumstances

8 Funding Cycles Each edition of Rugby World Cup provides the impetus for World Rugby s next four-year developmental funding cycle, which begins one year after the tournament s conclusion. Total investment in the Game (excluding RWC 2015 related expenditure) for the cycle was forecast at 192m, eclipsing the previous cycle s 150m by 33 per cent. Within this, the 2015 budgeted spend was forecast at 52.5m. Investment Focus World Rugby s annual investment is focused on two main areas Game investments and support operations. Game investment programmes are further detailed in the following pages. Support operations includes costs which support the development of the global Game (such as promotion via broadcasting, internet, social media and publications; or appointments and training of match officials and judicial officers for international matches) and overheads associated with the day-to-day running of World Rugby (such as governance and administration of World Rugby and its subsidiary companies; or staffing costs in Dublin and abroad, including a team of Regional Managers). Investment Decisions World Rugby s annual investment is driven by management through annual operations plans and budgets, which are guided by the World Rugby Strategic Plan and sub-plans. Management recommends investment to the World Rugby Budget Advisory Committee, which reviews the budget and makes recommendations to the World Rugby Executive Committee. Both committees are comprised of World Rugby Council members. In making Game Investment Programme decisions, World Rugby s management works in close partnership with the six Regional Associations and the World Rugby Regional Advisory Committee (comprised of World Rugby Council representative of each Regional Association) which itself reports to the World Rugby Council. 9 WORLD RUGBY DEVELOPMENT PROGRAMMES Our top priorities in developing the Game globally are: 1. To grow the Game by increasing participation in Rugby 2. Lead, manage, and promote DIR, development, regional activities & programmes 3. Provide strategic support to Regional Associations and Unions 4. Ensure World Rugby and member Regions and Unions comply with best practice governance principles 5. Ensure World Rugby International Relations are effective Rugby is growing. From 2.6 million players in 2007 to 7.73 million in As we expand we need to ensure the values of rugby are promoted and the focus is on raising the quality of rugby globally. We are working to develop and implement campaigns to promote the values of the game, adherence to the Rugby Charter and work with Unions to establish quality development programmes and pathways. Regional Development World Rugby work in close partnership with six Regional Associations and the World Rugby Regional Committee, which is comprised of representative from each Regional Association.. DEVELOPMENT SERVICES & PROGRAMMES Our key services and programmes to develop rugby globally are: Get Into Rugby Leading Rugby Women s Rugby Impact Olympic Development New Union Development Commercial and Sponsorship World Rugby Development Investment Get Into Rugby Working with Regions and Unions, Get Into Rugby, is a central part of the World Rugby strategy to grow the Game as we rejoin the Olympic Games in Rio The aim of the programme is to increase the number of new players, coaches and referees over the next four years. Get Into Rugby will promote the values of the Game and ensure boys and girls are encouraged to TRY, PLAY and STAY in Rugby in a safe, enjoyable and progressive environment in line with the principles of the World Rugby Charter for Rugby. Leading Rugby Programme The Leading Rugby Programme is part of the World Rugby Development strategy to support member Unions with training to develop the Game globally. The programme is run in partnership with the Regional Associations through workshops and support services bringing Unions together to share information and ideas on best practice models. It delivers training on the management of the Game, strategic planning and the business of Rugby in their Union. The programme will be implemented in conjunction with the World Rugby Sports Management Course.

10 Impact Beyond Programme The World Rugby Impact Beyond Programme aims to use World Rugby tournaments as a catalyst for the growth of the game. Impact Beyond Programmes will be run alongside all major World Rugby events focusing on development, participation, coaching, volunteering and business programmes to further support the growth of the game. The Impact Beyond Programme focuses on key sports and business pillars in order that Unions are able to attract and support participation growth while growing sustainable business models for the sport. The key aims for both strands are as follows: Sport Increase participation Develop Stronger Unions Promote Age Grade Festivals and Competition Programme Develop the volunteer infrastructure Ensure the tournament develops the game in the host Union Business Develop Union communication tools Develop Union commercial capacity Develop Regional broadcast strategies Women s Rugby Women s Rugby is an integral part of World Rugby Development and is included in all key initiatives to grow and develop the Game. Our mission is to increase female participation and the standard of women s rugby globally. There are close to 1.7 million registered and unregistered female players globally and we are working to ensure this continues to increase across all 6 World Rugby Regions. This work is supported with specific initiatives including planning and development workshops, competitions and the accelerated high performance programme specifically developed for the women s game. Olympics We have a major opportunity now that Rugby rejoins the Olympic Family in Rio Our member Unions and Regions have started to apply for Olympic Solidarity funding and we are working with them to develop their relationship with National Olympic Committees (NOCs) to increase their profile and impact within the Olympic movement. Our priority is to provide advice and support to members and to assist in the administration of the Olympic Solidarity investment New Union Development We provide support to new members Union through advice, training and access to a range of World Rugby game development services. We work with National Olympic Committees (NOCs) and Sport Agencies to start up and secure recognition for new Unions. The World Rugby membership and criteria provides guidelines and information working with the Regional Associations on the pathway to membership of the Regions and World Rugby. Development Investment Rugby is growing at an unprecedented rate around the world and the financial success of Rugby World Cup enables the World Rugby to fund the development and growth of the Game worldwide. However, as the Game grows so does the demand for financial resources. 95% of World Rugby s revenue, is reinvested directly back into the Game via the Member Unions as highlighted in this Schedule 2. Development Investment is currently specifically available for Unions through the annual Development Investment Funding applications for assistance in the areas of Core Funding: Governance, Administration and Programme Funding: Participation, Training & Education, Women s Rugby
