2 Guide Intro Step 1 - UNION REQUEST Prior to the commencement of production of any Get Into Rugby branded Product(s), a union must submit a request to the World Rugby Development Programmes Officer at aurelie.lemouzy@worldrugby.org. Allow up to five (5) working days for a response from the date of receipt of the . This brand guideline has been created to establish and maintain a strong, consistent and distinctive language for Get into Rugby. Step 2 - WORLD RUGBY LOGO FILES SENT WITH LEGAL DOCUMENTS The World Rugby Development Programmes Officer can either: refuse approval and provide justification for this decision; provide pre-approval for the union to proceed to Step 3. If pre-approval is provided, the World Rugby Development Programmes Officer will send the following documents that must be studied carefully: the Get Into Rugby and World Rugby logos artfiles, the Get Into Rugby Brand Guidelines, the Letter of Agreement & relevant schedules, the World Rugby Code of Conduct; This is World Rugby s sport development programme, which aims to grow and increase participation in the game of Rugby across the world. The idea is to partner with Regional associations and unions to introduce children, teenagers and young adults, to the game, its values, and encourage them to Try, Play and Stay in Rugby. Inside you ll find the initial tools and guides to enable you to create consistent visual communications. It is important that you read, understand and apply these principles. Step 3 - UNION ARTWORK SUBMITTED Step 5 - UNION FINAL APPROVAL AND SAMPLES The union must submit artwork for review and approval via to the World Rugby Development Programmes Officer at aurelie.lemouzy@worldrugby.org. Allow up to ten (10) working days for a response from the date of receipt of artwork. Step 4 - WORLD RUGBY AMENDS If revisions are required, new revised artwork must be re-submitted. The proposed artwork will be returned to the applicant by World Rugby indicating either approval, revisions required and/or any other instructions. When the proposed artwork is approved by World Rugby, the union must complete, initial each page and sign 2 copies of the Letter of Agreement and send them by post to the World Rugby Development Programmes Officer, World Rugby House, 8-10 Pembroke Street Lower, Dublin 6, Ireland. Pre-production samples of the Product(s) may be requested by the World Rugby at this stage and the Union shall submit such samples for approval whenever reasonably requested to do so by World Rugby. Step 6 - UNION PRODUCTION Upon final approval from World Rugby the items may proceed to production. The Union shall ensure that the Product(s) do not deviate from the artwork and/or pre-production samples approved by World Rugby. If at any time, any Product(s) fail to conform to any approved representative artwork or sample submitted to World Rugby, the Union shall, forthwith upon notice from World Rugby withdraw any and all such Products from circulation.

3 Guide Logo Preferred colour logo versions Get into Rugby Logo The Get into Rugby logo consists of two elements: the Get Into Rugby wordmark and the dynamic ribbons that hold the wordmark together. All logo elements have a fixed size and relative position to one another, which have been specially created and exist as a unique set of master artwork files. The logo should primarily be used in full colour. the mono colour logo should only be used when single colour print process is used. Alternative colour logo versions The logo should only be reproduced from the master artwork files and should not be redrawn, reset or altered in any way. Mono colour logo

4 Guide Logo Clear space To ensure standout and legibility, it is important that the Get into Rugby logo remains a certain distance away from other graphic elements such as text and graphics. This will give it more prominence and standout. A minimum clear space area is defined by increments of the height of the E taken from the wordmark Get into Rugby. 0.5 E must be maintained around the mark. Minimum size The Get into Rugby logo is fully scalable, so it can vary in size, but to ensure clarity, legibility and good reproduction, it has a minimum size of 20mm height.

5 Guide Colour Colour We use four colours, pink, orange, blue and purple. Our colours are bright, vibrant and full of energy. We like to use our colours confidently so that our communications and merchandise have high impact and strong visibility. To give our brand a modern and dynamic appearance, we use colour in headline copy, information graphics, charts and graphs. 11 Guide Other branded material Other branded material The Ribbon plays an important role in tying the Logo to the rest of the visual language. It is a visual metaphor of the energy and excitement of people that play the sport. The Ribbon is primarily used to hold type but it can also weave in and out of images giving it depth and dynamism. The Ribbon can be used graphically on comms or can be applied in real life, such as on goal posts or other physical structures. 19 Union name Union address Union address Union telephone number (hereinafter called the Union ) Date of signature World Rugby Limited ( World Rugby ) and the Union wish to enter into this agreement (the Agreement ) such that the World Rugby Marks (as defined below) may be used on certain Products (as defined below) in connection with promoting a campaign that has been organised, designed and is being implemented by World Rugby to assist World Rugby member unions to develop the game of Rugby (the Get into Rugby Campaign ), subject to the terms and conditions of this Agreement. 1. TERM This Agreement shall be effective from the, for a period of one year (the Term ) unless previously terminated or extended in accordance with the provisions set out at section 10.2 below of this Agreement. 2. LICENSE 2.1. The World Rugby Mark and the Get Into Rugby Logo (together the World Rugby Marks ) are set out at Schedule (a) In consideration of the promotion of the Get Into Rugby Campaign by the Union and subject to the full and proper performance by the Union of its obligations in this Agreement, World Rugby grants to the Union a royalty-free, non-exclusive, non-transferrable license within the Union s territory during the Term, to use the World Rugby Marks in connection with the manufacture and distribution of rugby clothing and/or equipment (the Products ) for the sole purpose of promoting World Rugby s Get Into Rugby Campaign, subject to World Rugby s approval as set out in the Get Into Rugby Brand Guidelines as set out at Schedule 2 (the Brand Guidelines ). (b) In consideration of World Rugby granting to the Union the rights pursuant to section 2.2 (a) above, the Union shall make available the Products, free of charge, in connection with the Union s running and implementation of the Get Into Rugby Campaign in the Union s own home country in consultation with World Rugby. 3. OBLIGATIONS OF UNION 3.1. In the event that the Union wishes to apply a sponsor s, supplier s or commercial partner s logo or trade mark to the Product and/or such logo or trade mark is otherwise visible on the Products, the Union shall not be permitted to use and/or apply the World Rugby Mark on such Products.

20 For the avoidance of doubt, the Union shall be permitted to use the Get Into Rugby Logo together with such logo or trademark, in each case subject to (a) the approvals process as set out in the Brand Guidelines at Schedule 2, which approval may be granted, withheld, delayed or conditioned at the absolute discretion of World Rugby; (b) the Union obtaining and maintaining for the duration of the Term, the prior written authority and approval of the owner of such logo or trade mark for the use of any such logo or trade mark on any Products The Union shall not: (a) manufacture or distribute any defective or sub-standard Products and all Products shall ensure that all items of Products shall be of the highest quality; (b) use the World Rugby Marks and/or Products in a manner that has the potential to be offensive to the general public, or cause damage to the reputation of World Rugby; 3.3 The Union shall have the right to engage third parties only for the purpose of manufacturing and supplying the Products to the Union and for the Union s own account and purpose in accordance with the terms and conditions of this Agreement during the Term. The Union shall be responsible for ensuring that such manufacturer complies with the provisions of this Agreement and that any such manufacturer shall utilise manufacturing processes and locations which, at all times, fully comply with all legal requirements and codes of conduct relevant to the conduct of business within the jurisdiction of the relevant third party manufacturer and shall ensure that the working conditions of the employees and staff of such third party manufacturer are, in particular, in accordance with World Rugby Code of Labour pursuant to section 6 of this Agreement. 4. INTELLECTUAL PROPERTY RIGHTS 4.1. World Rugby shall retain any title in and/or to all of its intellectual property in the World Rugby Marks and all other proprietary rights and nothing herein shall be deemed to be a transfer thereof or license thereupon, except as set forth in section 2 hereof. If any title in and/or to the World Rugby Marks becomes vested in the Union (by operation of law, or otherwise), the Union shall hold the benefits of the same for World Rugby and will immediately/unconditionally assign to World Rugby, free of charge, any such title The Union may not use, register, transfer, grant licenses in respect of, or otherwise dispose of, any intellectual property rights in respect of the World Rugby Marks, except for the purposes of this Agreement and in the manner expressly agreed between the parties in writing The Union shall not, other than as specifically provided for in this Agreement and/or except with the express prior written consent of World Rugby, at any time under any circumstances use and/or reproduce the World Rugby Mark, and/or World Rugby s name, logo or other identifying feature for any purpose whatsoever, whether in any of its advertising or promotional materials or otherwise World Rugby gives no warranty as to the validity of the World Rugby Mark and the Union agrees that the World Rugby Mark and it is understood and acknowledged by the Union that: (a) World Rugby has not sought to register the World Rugby Marks as trade mark(s) in every country in the world and does not intend to do so and the Union shall therefore not rely on the existence of such registrations; (b) the Union shall rely on its own enquiries in relation to the use of the World Rugby Marks in connection with the Products. 5. APPROVALS PROCESS

21 The Union agrees to follow the approval method in connection with use of the World Rugby Marks as set out in Schedule 2. The World Rugby Marks shall be used always in accordance with Schedule 2 and only with the express prior written approval of World Rugby. 6. WORLD RUGBY CODE OF LABOUR AND GET INTO RUGBY BRAND GUIDELINES 6.1. The Union shall ensure that any Products produced at its behest are manufactured in accordance with the terms of attached World Rugby Code of Labour as set out at Schedule 3 (the Code of Labour ). The Union shall comply with and procure that any manufacturer complies with all the terms of the Code of Labour. For the avoidance of doubt, the Union shall be vicariously liable for any breaches of the Code of Labour by such manufacturer The Union shall ensure that use of the World Rugby Marks on all Products complies with all aspects of the Brand Guidelines (as are set out at Schedule 2).The Union shall, at the request of World Rugby, promptly withdraw any Products during the Term, which do not comply with the provisions of the Brand Guidelines World Rugby may update the Code of Labour and the Brand Guidelines at any time and the Union shall implement the changes within one (1) month of the receipt of the updated World Rugby Code of Labour and the Brand Guidelines. 7. SAMPLES AND INFORMATION 7.1. The Union shall: (a) be required to retain samples of its use of the World Rugby Marks (including a sample of each of the Products) for distribution to World Rugby. The Union shall provide World Rugby with a sample of each of the Products, if and/or when requested by and/or on behalf of World Rugby; (b) execute further documentation or take such other action, bot during the Term and after termination of this Agreement, as may be requested by World Rugby to record the terms of this Agreement on any trade mark or other register, or which may be necessary to protect the World Rugby Marks The Union shall keep detailed records of all acts and things done by it in relation to the Get Into Rugby programme (in particular financial records and statements) and at the World Rugby s request shall make them available for inspection and/or provide copies to World Rugby. 8. LIABILITY AND INDEMNITY 8.1. The Union acknowledges and agrees that it is responsible and liable for any damage to goods or injury to person caused by the Products. World Rugby shall not be responsible or liable for any damage to goods or injury to person caused by the Products The Union shall assume liability for and shall at all times fully indemnify and hold harmless World Rugby, its affiliates, licensees, assignees and parent, subsidiary and affiliate companies, and the officers, directors, employees and agents of all such entities against and from any and all claims, damages, liabilities, costs and expenses whether under contract, statute or common law arising out of its actions, the Products and/or arising out of its use of the World Rugby Marks and/or any other intellectual property rights (including without limitation any such logo or trade mark) of any third party, together with all costs, expenses, interest and penalties directly incurred by World Rugby in connection with any such claim. 9. INDEPENDENCE OF THE PARTIES This Agreement shall not be deemed to create any joint venture, joint liability partnership, association or company of any sort between the parties, nor shall any party be deemed an agent of the other. The parties shall be independent of each other and the relationship between them shall be that of two independent contractors.

22 10. TERMINATION This Agreement may be terminated by World Rugby by notice in writing to the Union with immediate effect in the event that the Union: is guilty of a material breach of the terms of this Agreement that cannot be remedied or which involves dishonesty; or commits a breach of any of its obligations hereunder and has not remedied such breach (if the same is capable of remedy) within seven (7) days after receiving a written request to do so specifying details of the breach complained of; or enters into liquidation or dissolution otherwise than for the purpose of an amalgamation or reconstruction; or ceases to carry on business, has a receiver or administrator appointed over all or any part of its assets or undertaking enters into any composition or arrangement with its creditors or takes or suffers any similar action in consequence of a debt of other liability or is deregistered This Agreement may be extended by the parties by agreement in writing. 11. GENERAL 11.1 The Union shall meet all applicable local and national laws in exercising its rights under this Agreement The Parties shall not without the prior authority or consent of the other party assign, transfer and/or share in any other manner their rights or obligations in this Agreement or any part thereof This Agreement is to be governed by and construed in accordance with the laws of England and is subject to the exclusive jurisdiction of the English courts A person who is not a party to this Agreement has no right to enforce any term of this Agreement under the Contracts (Rights of Third Parties) Act 1999 ( Act") but this does not affect any right or remedy of a third party which exists or is available apart from the Act This Agreement may be executed in any number of counterparts and by the parties on separate counterparts, each of which when executed shall constitute an original, but all of which when taken together shall constitute one and the same Agreement. 23 Schedule 3 Get Into Rugby brand use - World Rugby Code of Labour Preamble World Rugby ( World Rugby ) is the global governing and law-making body that is responsible for developing the Game of Rugby across the world. It also runs the Rugby World Cup ( RWC ) on a quadrennial basis, one of the world s most successful sporting events. Rugby is a proud member of the family of world sports and of the Olympic Movement. The goal of the Olympic Movement is to contribute to building a peaceful and better world by educating young people through sport practised without discrimination of any kind and in the spirit of mutual understanding, friendship, solidarity and fair play. In accordance with these principles, World Rugby is committed to ensuring that minimum core labour standards are adhered to, both in World Rugby s internal practices and with the licensees that World Rugby works with in order to deliver high quality ethically produced Products. World Rugby recognises the rights of workers involved in producing such World Rugby/RWC Products and is committed to doing its part to advance social justice and raise labour and social standards internationally. World Rugby adheres to the principle that an abuse of established international labour standards is a fundamental breach of human rights and will not be tolerated. Any licensee engaged by World Rugby and/or any World Rugby associated entity for the supply of goods or as a sub-licensee will be required to provide confirmation that it is meeting a minimum international standard. These standards are defined in relevant provisions of the United Nations human rights conventions and include: right of equal opportunity and non-discrimination; prevention of forced or compulsory labour; elimination of child labour and forced prison labour; right to work in a safe environment with decent working conditions; and right to a wage. If a licensee is unable to meet the requirements of this World Rugby Code of Labour (the Code ), it will not be permitted to supply goods or services to World Rugby and/or any World Rugby associated entities. These standards must be met throughout all parts of the production chain of a licensee which engages in the production/distribution of Products bearing the World Rugby/RWC name and/or World Rugby/RWC authorised marks. This Code is primarily based on the code set down by the Ethical Trading Initiative (for more information see which has been founded upon and derived from the conventions of the International Labour Organisation ( ILO ). World Rugby will promote the Code among its member and associated unions and encourage them to subscribe to its principles and application in terms of their own licensing arrangements.

24 SECTION 1: PRINCIPLES OF CODE 1. Freely Chosen Employment 1.1 There will be no forced, bonded or involuntary prison labour. 1.2 Workers will not be required to lodge "deposits" or their identity papers with their employer and are free to leave their employer after reasonable notice. 2. Respect for Freedom of Association and Right to Collective Bargaining 2.1 Workers, without distinction, will have the right to join or form trade unions of their own choosing and to bargain collectively. 2.2 The employer will adopt an open attitude towards the activities of trade unions and their organisational activities. 2.3 Workers representatives will not be discriminated against and will have access to carry out their representative functions in the workplace. 2.4 Where the right to freedom of association and collective bargaining is restricted under law, the employer will facilitate, and will not hinder, the development of parallel means for independent and free association and bargaining. 3. Safe and Hygienic Working Conditions 3.1 A safe and hygienic working environment will be provided, bearing in mind the prevailing knowledge of the industry and of any specific hazards. Adequate steps will be taken to prevent accidents and injury to health arising out of, associated with, or occurring in the course of work, by minimising, so far as is reasonably practicable, the causes of hazards inherent in the working environment. 3.2 Workers will receive regular and recorded health and safety training, and such training will be repeated for new or reassigned workers. 3.3 Access to clean toilet facilities and to potable water, and, if appropriate, sanitary facilities for food storage will be provided. 3.4 Accommodation, where provided, will be clean, safe, and meet the basic needs of the workers. 3.5 The licensee observing the Code will assign responsibility for health and safety to a senior management representative. 4. No Child labour 4.1 There will be no new recruitment of child labour. 4.2 Licensees will develop or participate in and contribute to policies and programmes which provide for the transition of any child found to be performing child labour to enable her or him to attend and remain in quality education until no longer a child; child and child labour being defined below. 4.3 Children and young persons under 18 will not be employed at night or in hazardous conditions.

25 4.4 These policies and procedures will conform to the provisions of the relevant International Labour Organisation s standards. For the purposes of this provision, the following definitions will apply: Child means any person less than 15 years of age unless local minimum age law stipulates a higher age for work or mandatory schooling, in which case the higher age will apply. If however, local minimum age law is set at 14 years of age in accordance with developing country exceptions under ILO Convention No. 138, the lower will apply; Young Person means any worker over the age of a Child as defined above and under the age of 18; and Child Labour means any work by a Child or Young Person younger than the age(s) specified in the above definitions, which does not comply with the provisions of the relevant ILO standards, and any work that is likely to be hazardous or to interfere with the Child s or Young Person s education, or to be harmful to the Child s or Young Person s health or physical, mental, spiritual, moral or social development. 5. Payment of Living Wages 5.1 Wages and benefits paid for a standard working week will meet, at a minimum, national legal standards or industry benchmark standards, whichever is higher. In any event wages should always be enough to meet basic needs and to provide some discretionary income. 5.2 All workers will be provided with written and understandable Information about their employment conditions in respect to wages before they enter employment and about the particulars of their wages for the pay period concerned each time that they are paid. 5.3 Deductions from wages as a disciplinary measure will not be permitted nor will any deductions from wages not provided for by national law be permitted without the expressed permission of the worker concerned. All disciplinary measures should be recorded. 6. Non Excessive Working Hours 6.1 Working hours will comply with national laws and benchmark industry standards, whichever affords greater protection. 6.2 In any event, workers will not on a regular basis be required to work in excess of 48 hours per week and will be provided with at least one day off for every 7 day period on average. Overtime will be voluntary, will not exceed 12 hours per week, will not be demanded on a regular basis and will always be compensated at a premium rate. 7. No Discrimination 7.1 There will be no discrimination in hiring, compensation, access to training, promotion, termination or retirement based on race, caste, national origin, religion, age, disability, gender, marital status, sexual orientation, union membership or political affiliation. 8. Regular Employment

26 8.1 To every extent possible work performed must be on the basis of recognised employment relationship established through national law and practice. 8.2 Obligations to employees under labour or social security laws and regulations arising from the regular employment relationship will not be avoided through the use of labouronly contracting, subcontracting, or home-working arrangements, or through apprenticeship schemes where there is no real intent to impart skills or provide regular employment, nor will any such obligations be avoided through the excessive use of fixed-term contracts of employment. 9. No Harsh or Inhumane Treatment 9.1 Physical abuse or discipline, the threat of physical abuse, sexual or other harassment and verbal abuse or other forms of intimidation will be prohibited. 10. Anti Corruption Prevention 10.1 All applicable laws, statutes and regulations relating to anti-bribery and anti-corruption including but not limited to the UK Bribery Act 2010 ( Anti-Bribery Law ) will be complied with Procedures and structures will be put in place by licensees observing this Code to prevent any directors, officers, employees, workers, agents or other persons associated with the licensee undertaking conduct that might amount to a breach of Anti-Bribery Law The principles set down in this Code constitute minimum and not maximum standards and this Code should not be utilised to prevent licensees from exceeding any such standards. For the avoidance of doubt licensees applying this Code are also expected to comply at all times with all relevant national and/or other applicable law. Where the provisions of such national and/or other applicable law and this Code address the same subject, licensees will be obliged to apply that provision which affords the greater protection to worker(s) and/or fulfil the more onerous requirements.

27 SECTION 2: APPLICATION OF CODE 11. Regulation 11.1 Any failure by the licensee, its sub-licensees, contractors, subcontractors, suppliers or agents to comply with the provisions of this Code may at World Rugby s sole discretion lead to immediate termination of its licence agreement with World Rugby and/or any World Rugby associated company. 12. Obligations 12.1 The licensee must: acknowledge receipt of this Code and sign an acknowledgement that it has read and understood the Code; sign an undertaking committing to conform to all aspects of this Code; provide if requested by World Rugby from time to time written confirmation that the workers involved in the chain of production receive a living wage and enjoy suitable working conditions that conform to minimum international labour standards and to the relevant local legal and industry standards; warrant if requested by World Rugby from time to time that it and each of its sublicensees, contractors, subcontractors, suppliers, distributors or agents meet all local legislation and regulation with regard to employment and the supply of goods and services; ensure that the Code is effectively documented, implemented, maintained, communicated and is accessible in a comprehensible form to all personnel, including directors, executives, management, supervisors and staff, whether directly employed, contracted or otherwise, representing the licensee; define its policy for social accountability and labour conditions and ensure that it is publically available; adapt (and if requested submit to World Rugby) its own labour code and policies and procedures manual, where necessary, to incorporate this Code; document and retain all records that show compliance with this Code; and commit to adopting a practice of continuous improvement; and adhere to any reasonable policies or protocols notified to it by World Rugby regarding bribery, fraudulent acts and/or any other corrupt practices and provide any information reasonably requested by World Rugby from time to time in relation to ensuring compliance by the licensee, its sub licensees, contractors, subcontractors, suppliers, distributors or agents with any Anti-Bribery Law The licensee will investigate, address and respond to the concerns of employees or workers and other interested parties with regard to conformity/non-conformity with the requirements of this Code. The licensee will not discipline, dismiss or otherwise discriminate against any employee and/or worker for providing information concerning observance of this Code The licensee will implement remedial and corrective action and allocate adequate resources appropriate to the nature and severity of any failure to comply with this Code.

28 13. Control of Suppliers 13.1 The licensee will establish and maintain appropriate procedures to evaluate and select sub licensees, suppliers, subcontractors, distributors, agents or third parties which are involved directly or indirectly in any stage of the production/distribution of licenced products bearing the World Rugby/RWC name and/or World Rugby/RWC authorised marks. Prior to the licensee placing orders, such sub licensees, suppliers, subcontractors, distributors, agents or third parties must acknowledge to the licensee receipt of this Code and sign an acknowledgement that they have read, understood and are in compliance with the Code The licensee will put in place a suitable monitoring mechanism whereby compliance of the sub licensee, supplier, subcontractor, distributor, agent or third party with this Code can be observed through the establishment of self-evaluation mechanism, inspections (both random and arranged), due diligence and an auditing procedure and/or other appropriate means. The licensee will ensure that appropriate procedures are in place to ensure that sub licensees, suppliers, subcontractors, distributors, agents or third parties comply promptly with any corrective recommendations issued by the licensee following such a monitoring exercise 13.3 In the event that the licensee becomes aware of any material disregard for the provisions of the Code by the licensee and/or by any sub licensee, supplier, subcontractor, distributor, agent or third party, the licensee will promptly inform World Rugby of the nature and extent of such non-compliance and the actions taken by the licensee to resolve the situation. For the purpose of this provision material will be construed as any serious, severe, deliberate and/or ongoing disregard for the provisions of the Code which will or has the potential to adversely affect the reputation of World Rugby and /or any associated entity of World Rugby, the Rugby World Cup tournament and/or any other World Rugby tournaments The licensee will maintain appropriate records of the commitments of its sub licensees, suppliers, contractors, subcontractors, distributors, agents or third parties to this Code, including, but not limited to, their written commitment to: conform to all requirements of this Code (including this provision); participate in the licensee s monitoring activities as requested from the licensee time to time; promptly remedy any non-conformity identified against the requirements of this Code; and promptly and fully inform the licensee of the existence and nature of any and all relevant business relationship(s) with other supplier(s) and subcontractor(s). 14. Outside Communication 14.1 The licensee will establish and maintain procedures to disclose regularly to all interested parties data and other information regarding compliance with the requirements of the Code, including, but not limited to, the results of management reviews and monitoring activities.

Access for Verification 15.1 Where required by World Rugby from time to time, the licensee will provide reasonable information and access to interested parties seeking to verify conformity to the requirements of this Code. Where further required by World Rugby, similar information and access will also be afforded by the licensee s sub licensees, suppliers, subcontractors, distributors or agents through the incorporation of such a requirement in the relevant licensee s contracts. 16. Records Keeping 16.1 The licensee will maintain at all times appropriate records to demonstrate conformity to the requirements of this Code.
