1 Memorandum of Understanding Walk+Bike Education Bikes on Wheels Program This Memorandum of Understanding ( MOU ) is made and entered into by and between the Oak Park School District 97 (hereinafter referred to as OPSD97 ), Oak Park Park District (hereinafter referred to as OPPD ) and the Active Transportation Alliance (hereinafter referred to as Active Trans ). RECITALS 1. OPSD97, OPPD and Active Trans (hereinafter referred to as the Parties ) recognize that there are several community partners in implementing the effective bicycle safety programming using the Bikes on Wheels fleet, including the School, OPSD97, OPPD, ACTIVE TRANS, and other local resources. 2. The Parties recognize the vital importance of bicycle safety programming to increase the number of students and young people in the Village of Oak Park who safely bike for recreation or transportation. These efforts yield the following benefits: improved health and fitness, increased physical activity, increased alertness and academic achievement, decreased traffic congestion and improved traffic safety, increased independence, building neighborhood livability, and improved air quality. 3. ACTIVE TRANS provides resources and services to promote safe walking and biking. In so doing, ACTIVE TRANS has a responsibility to deploy resources as effectively and efficiently as possible to ensure that the activities supported are conducted in accordance with the highest legal, ethical, and financial standards. 4. The Parties recognize the importance of collaboration that allows for the development of robust education activities to increase the number of students and young people in the Village of Oak Park who safely bike for recreation or transportation. 5. The Parties acknowledge that the program and administrative support systems supported by the Parties impose facilities and administrative costs on all Parties. 6. The responsibilities in this MOU represent the basic requirements for obtaining and maintaining School and Park District eligibility to participate in the Bikes on Wheels program for the school year. THE PARTIES therefore agree as follows: OPSD97 RESPONSIBILITIES Page 1 of 8

2 OPSD97 will: 1. Require each School principal to provide the specific information needed as outlined below and to sign this MOU statement as recognition of the Bikes on Wheels services and resources they are scheduled to receive. 2. Provide or require each School principal to provide ACTIVE TRANS with contact information of School faculty to be trained in safe walking and biking curriculum as needed to allow for involvement in and evaluation of the Bikes on Wheels program with the goal of increasing the number of students and young people in the Village of Oak Park who safely bike for recreation or transportation. 3. Require each School principal to provide indoor meeting space as needed with tables and chairs large enough to conduct Bikes on Wheels trainings as needed to accomplish education programming. 4. Require each School principal to provide ACTIVE TRANS access to the School s PTA, PTSA, Site Council, Staff, Safety Committee, Booster Club, Wellness Committee, and/or other relevant School groups as needed to provide information about the Bikes on Wheels program. 5. Require each School principal to collaborate with the ACTIVE TRANS to enable the delivery of training services and evaluation. 6. Ensure or require each School principal to ensure basic care and maintenance of Bikes on Wheels program equipment. 7. Provide vehicle transportation to move Bikes on Wheels program equipment and materials from School to School as needed. OPPD RESPONSIBILITIES OPPD will: 1. Provide the specific information needed as outlined below and to sign this MOU statement as recognition of the Bikes on Wheels services and resources they are scheduled to receive. 2. Provide a minimum of two Park District Staff to be trained to provide Bikes on Wheels safe biking curriculum for OPSD97 and OPPD future programming. 3. Provide ACTIVE TRANS with contact information of Park District staff to be trained in safe biking curriculum as needed to allow for involvement in and evaluation of the Bikes on Wheels program with the goal of increasing the number of students who safely use biking as a form of recreation or transportation. 3 4. Provide indoor meeting space with tables and chairs large enough to conduct Bikes on Wheels trainings as needed to accomplish education programming. 5. Collaborate with the ACTIVE TRANS to enable the delivery of training services and evaluation. 6. Ensure basic care and maintenance of Bikes on Wheels program equipment. 7. Provide secure storage of Bikes on Wheels program equipment and materials for duration of pilot program. 8. Provide vehicle transportation to move Bikes on Wheels program equipment and materials from School to School as needed. ACTIVE TRANS RESPONSIBILITIES ACTIVE TRANS will: 1. Provide a Project Manager(s) to provide training, equipment and materials, and to function as advisor for each School s and Park s participation in Bikes on Wheels program activities. 2. Provide each School and Park with the name and contact information of the Project Manager(s) to be involved in each School s program. 3. Provide equipment (see Appendix 2 for details) and materials, training, newsletter announcements and articles that encourage and promote the education of students and young people in safe biking. 4. Develop and maintain program records to track participation. 5. Assist in developing relationships between the school district, park district and local partners to ensure basic maintenance of Bikes on Wheels program materials. GENERAL PROVISIONS 1. Financial Management A. ACTIVE TRANS will be responsible for program costs necessary for the program training and staff advisory role identified as ACTIVE TRANS responsibilities in this MOU. ACTIVE TRANS will also be responsible for costs associated with Basic Maintenance of Bikes on Wheels equipment at the end of the school year. Page 3 of 8

OPSD97 and OPPD will be responsible for their respective facilities, administrative costs imposed by the program activities identified as OPSD97 responsibilities and OPPD responsibilities in this MOU and any costs resulting from Gross Negligence of Bikes on Wheels equipment during the school year. C. OPSD97 will be responsible for all maintenance of school property utilized as part of the Bikes on Wheels program. D. OPPD will be responsible for all maintenance of park district property utilized as part of the Bikes on Wheels program. 2. Bikes on Wheels Materials No materials produced by ACTIVE TRANS and distributed through the Bikes on Wheels program shall require pre-approval from the OPSD97 Administrative Superintendent or designee or from OPPD staff or designee before being distributed to teachers or Park District staff. However, should the OPSD97 Administration, School Principal or Park District administrator find format or content objectionable in any way, ACTIVE TRANS will work with the OPSD97 Administration and/or School Principal and/or Park District administrator to resolve the concern before distributing the material. 3. Liability The Parties understand that biking involves certain risks and dangers, and that accidents may occur despite all reasonable care and prevention. Parents/legal guardians shall assume all risks arising out of the Bikes on Wheels program. Each Party shall indemnify the other Party and its contractors, officers, employees, and agents from any action brought by a third-party against the Party for claims, actions, causes of action, or any charge of any kind whatsoever that may or could arise as a result of student participation in the Bikes on Wheels program, including claims for injury, death, or property damage, whether or not caused by the fault or negligence of the other Party. 4. Amendments This MOU may be amended only by a written agreement signed by the Parties. 5. Early Termination of MOU A. ACTIVE TRANS, OPPD and the OPSD97, by mutual written agreement, may terminate this MOU or the participation with any School at any time. B. ACTIVE TRANS, on thirty (30) days written notice to OPSD97 and OPPD, may terminate this MOU or its participation with any School for any reason deemed appropriate at its sole discretion. Page 4 of 8

7 APPENDIX 1 - Definitions Administration the School officials who provide administrative leadership and services for the School s Bikes on Wheels program. ACTIVE TRANS the Project Manager and staff at the Bicycle Transportation Alliance OPSD97,Gresham-Barlow School District in Oregon. Parties the School and the ACTIVE TRANS named in the MOU. Project Manager the ACTIVE TRANS staff member who provides Bikes on Wheels project leadership and management services. School Each OPSD97 school participating in the Bikes on Wheels program. Basic Maintenance- Ensuring that the bikes included in the equipment remain in a condition fit to ride including inflated tires as well as functioning chain, crank arm, cassette, quick releases, brakes, and handlebars. Gross Negligence- Any conduct through which OPSD97 leaves the equipment unsecured or otherwise allows damage to the equipment brought about by carelessness during use. The equipment is valued at $13,000. Certain equipment may be used without replacement (indicated in Appendix 2 by an asterisk*). Page 7 of 8

8 APPENDIX 2- Project Description and Equipment Brief Project Description: In the Walk+Bike Education Bikes on Wheels program, a school district has use of 34 bikes, a covered trailer, 90 helmets and other equipment and materials for one school year. ACTIVE TRANS will provide the district with the above materials and a recommended 16-hour, 2 day curriculum training at the beginning of the school year. ACTIVE TRANS will provide and phone support as the district creates a schedule to move the bike fleet from school to school while the teachers teach the Walk+Bike Education program. The district will provide (recommended PE/Health) teachers to attend the training and completion of an evaluation process after the year is over. The teachers will implement the bike safety and optional pedestrian safety education programs during the school year using the equipment and materials provided. ACTIVE TRANS, district, and teachers will evaluate the program at the end of the school year. The goal of the Bikes on Wheels program is to allow interested school districts to implement all aspects of a bicycle and optional pedestrian program for one year with no upfront cost.
