REPORT ITEMS 4.1 HYATT VINEYARD CREEK SALE OF THE SUCCESSOR AGENCY S FEE TITLE INTERESTS 170 RAILROAD STREET BACKGROUND: The Successor Agency to the Former Redevelopment Agency of the City of Santa Rosa ( Successor Agency ) is the fee title owner of land with a street address of 170 Railroad Street, Santa Rosa, ( Property ), parking improvements and the Kenneth R. Blackman Conference Center (together, the Public Improvements ) at the Site. The conference center is a portion of the Hyatt Vineyard Creek Hotel and conference center structure. THI VI Sonoma LLC, a Delaware limited liability company is owner of the hotel, restaurant, spa and related facilities at the Property and is successor in interest to three project leases with the Successor Agency: a Hotel Ground Lease, a Conference Center Lease, and a Parking Lease ( Project Leases ). Any writings or documents provided to a majority of the Successor Agency prior to this meeting regarding any item on this agenda, excluding closed session items, are available for public review in the City Clerk s Office, Room 10, City Hall, 100 Santa Rosa Ave, during normal business hours.

2 The Project Leases grant to THI VI Sonoma LLC ( Tenant ) a Site Option and a Public Improvements Option to acquire the Successor Agency s fee title interests in the Property. The sale of the property is not discretionary. The Tenant has complied with the applicable conditions precedent to exercise the options. The purchase price, approximately $11 million, is calculated based upon formulas set forth in the Hotel Ground Lease. The sale proceeds will be held by the Successor Agency pending a determination by the California Department of Finance as to whether the Successor Agency can use the proceeds to repay loans to the City in one lump sum. Funds that are not used for the repayment of the City loans will be disbursed to the County Auditor Controller for distribution to the taxing entities in accordance with Redevelopment dissolution law. RECOMMENDATION: It is recommended by the Economic Development and Housing Department that the Successor Agency authorize the Chair to execute a grant deed and a release of the Project Leases for the sale of the Hyatt Vineyard Creek. 5. 5 Agenda Item #SA-4.1 For successor Agency Meeting of: July 14, 2015 SUCCESSOR AGENCY TO THE REDEVELOPMENT AGENCY OF THE CITY OF SANTA ROSA TO: CHAIR AND AGENCY MEMBERS SUBJECT: HYATT VINEYARD CREEK SALE OF THE SUCCESSOR AGENCY S FEE TITLE INTERESTS 170 RAILROAD STREET STAFF PRESENTER: FRANK KASIMOV, PROGRAM SPECIALIST ECONOMIC DEVELOPMENT AND HOUSING AGENDA ACTION: RESOLUTION ISSUE(S) Will the Successor Agency authorize the Chair to execute a grant deed and a release of the project leases for the sale of the Hyatt Vineyard Creek? BACKGROUND 1. Prior to its dissolution, the Redevelopment Agency of the City of Santa Rosa ( RDA ) had assisted with the redevelopment of property located at 170 Railroad Street (the Property ), from an abandoned former brewery into a first class hotel and conference center. 2. The Successor Agency to the RDA ( Successor Agency ) is the fee title owner of land, parking improvements and the Kenneth R. Blackman Conference Center (together, the Public Improvements ) at the Property. The conference center is a portion of the Hyatt Vineyard Creek hotel and conference center structure. 3. THI VI Sonoma LLC, a Delaware limited liability company is the owner of the hotel, restaurant, spa and related facilities ( Hotel ) at the Property and is successor in interest of three leases with the Successor Agency:

6 HYATT VINEYARD CREEK SALE OF THE SUCCESSOR AGENCY S FEE TITLE INTERESTS 170 RAILROAD STREET Page 2 a Hotel Ground Lease, a Conference Center Lease, and a Parking Lease, each dated February 21, 2001 (together, Project Leases ) The Project Leases grant to THI VI Sonoma LLC ( Tenant ) a Site Option and a Public Improvements Option (together, the Options ) to acquire the Successor Agency s fee title interests in the Property. The provisions controlling the exercise of the Options are set forth in the Hotel Ground Lease Article 16, which is attached. 5. The sale of the Successor Agency s fee title interest in the Property upon Tenant s exercise of the Option is not discretionary. The Tenant has complied with the applicable conditions precedent to exercise the Options in accordance with Article 16, including, for example, that the Tenant provided written notice to Landlord within the first 90 days of the calendar year of its intent to exercise the Options and acquire fee title interest in the Site and Public Improvements and opened escrow within 10 days of the notice. 6. The Successor Agency and the Tenant are in agreement that the purchase price is consistent with the requirements of the Options. The purchase price for each option is calculated based upon formulas set forth in the Hotel Ground Lease. The purchase price captures the base price for the land, as escalated by the Consumer Price Index; the RDA s cost to construct the conference center and parking improvements; any rent owed by the Tenant to the Landlord through the close of escrow; and any credit due back to the buyer for prior Paydown payments, which the RDA received from transfer of hotel ownership and assignment of leases in 2007, and again in March, Hotel Ground Lease, as referenced in the document entitled Memorandum of Hotel Ground Lease, recorded on February 28, 2001, as Instrument No in the Official Records of Sonoma County (the Hotel Ground Lease ), pursuant to which the Tenant operates the Hotel on the Hotel Ground Leased Property. Conference Center Lease, as referenced in the document entitled Memorandum of Conference Center Lease, recorded on February 28, 2001, as Instrument No in the Official Records of Sonoma County (the Conference Center Lease ) for the lease and operation of the Conference Center Leased Property and Improvements thereon in conjunction with the operation of the Hotel. Parking Lease, as referenced in the document entitled Memorandum of Parking Lease, recorded on February 28, 2001 as Instrument No in the Official Records of Sonoma County (the Parking Lease ) for the lease of the Parking Leased Property and Improvements thereon in conjunction with the operation of the Hotel.

In March, 2011, prior to the dissolution of redevelopment agencies in California, in an attempt to protect the City s monetary interests, the RDA and the City of Santa Rosa ( City ) approved two deeds of trust securing repayment of RDA debt to the City. The deeds of trust were recorded against the RDA s fee interest in the Hyatt Vineyard Creek and Museum on the Square, a property located at 520 Third Street and owned by the RDA at the time. One deed of trust secured repayment of a collective loan amount of $5.8 million pursuant to three separate promissory notes ( City Loans Deed of Trust ). The other deed of trust secured the financial obligation of a funding agreement between the RDA and the City for capital improvements to the Hearn Avenue Overcrossing ( Funding Agreement Deed of Trust ). 2 ANALYSIS 1. To close escrow and consummate the sale, the Successor Agency must execute a grant deed and a release of the Project Leases. The Hotel Ground Lease explicitly states that the Project Leases are terminated by exercise of the option, so the Release is simply a vehicle to acknowledge that fact and remove the Project Leases from title. 2. The Project Leases and Option were entered into and recorded against the Hotel Property 10 years prior to the deeds of trust. Due to their subordinate lien position, the City is required to reconvey the deeds of trust upon exercise of the Option by the Tenant. 3. The deeds of trust are no longer needed to secure the funding agreement and the City Loans. The funding agreement was determined to be unenforceable by the California Department of Finance ( DOF ), rendering the deed of trust ineffective. Repayment of the City loans has been confirmed by the courts through litigation with DOF. As a result, the City will receive repayment of the City Loans from the property tax funds that are made available to the Successor Agency regardless of whether or not there is a deed of trust securing the debt. 2 Both deeds of trust are dated March 3, 2011, and recorded March 8, 2011, and made by Redevelopment Agency of the City of Santa Rosa as Trustor to Fidelity Title Company as Trustee, and the City as Beneficiary. The City Loans Deed of Trust recorded as Document No , and the Funding Agreement Deed of Trust and recorded as Document No in the Official Records of the County of Sonoma. On October 16, 2013, the City of Santa Rosa was substituted and appointed as Trustee under both deeds of trust in place and instead of Fidelity Title Company pursuant to Substitution of Trustee and Deed of Partial Reconveyance (for Museum on the Square) recorded as Document No (for City Loans) and Document No (Funding Agreement) in the Official Records of the County of Sonoma.

Repayment of the City loans will either occur over time through the Redevelopment dissolution process; or alternatively, if approved by DOF, the City would receive one lump sum payment in the amount of approximately $6.5 million (including principal and interest) from the proceeds of the Hyatt Vineyard Creek sale. 5. The sale proceeds, approximately $11 million, will be held by the Successor Agency pending the DOF s determination for use of the sale proceeds. Funds not used for the repayment of the City loans will be disbursed to the County Auditor Controller for distribution to the taxing entities in accordance with Redevelopment dissolution law. RECOMMENDATION It is recommended by the Department of Economic Development and Housing that the Successor Agency authorize the Chair to execute a grant deed and a release of the Project Leases for the sale of the Hyatt Vineyard Creek. SA- RESOLUTION OF THE SUCCESSOR AGENCY TO THE REDEVELOPMENT AGENCY OF THE CITY OF SANTA ROSA AUTHORIZING THE CHAIR TO EXECUTE A GRANT DEED AND RELEASE OF PROJECT LEASES FOR THE SALE OF THE HYATT VINEYARD CREEK 170 RAILROAD STREET WHEREAS, the Redevelopment Agency of the City of Santa Rosa (the RDA ) was a public body, corporate and politic, duly established and authorized to transact business and exercise powers under and pursuant to the provisions of the Community Redevelopment Law of the State of California, constituting Part 1 of Division 24 of the Health and Safety Code of the State; and WHEREAS, AB 1X 26, effective June 29, 2011, together with AB 1484, effective June 27, 2012, codified Part 1.8 (commencing with Section 34161) and Part 1.85 (commencing with Section 34170) of Division 24 of the California Health and Safety Code (as amended from time to time) dissolved redevelopment agencies in California (the Dissolution Act ); and WHEREAS, on January 10, 2012, by Resolution No , the Council of the City of Santa Rosa ( Council ) elected the City of Santa Rosa ( City ) to become the Successor Agency to the former Redevelopment Agency (the Successor Agency ) pursuant to Health and Safety Code 34173(d); and WHEREAS, prior to its dissolution, the RDA had assisted with the redevelopment of property located at 170 Railroad Street (the Property ), from an abandoned former brewery into a first class hotel and conference center; and WHEREAS, the Successor Agency is the fee title owner of land, parking improvements and the Kenneth R. Blackman Conference Center (together, the Public Improvements ) at the Property. The conference center is a portion of the Hyatt Vineyard Creek hotel and conference center structure; and WHEREAS, THI VI Sonoma LLC, a Delaware limited liability company ( Tenant ) is fee title owner of the hotel, restaurant, spa and related facilities ( Hotel ) at the Property and is successor in interest of three leases with the Successor Agency: a Hotel Ground Lease, a Conference Center Lease, and a Parking Lease, each dated February 21, 2001 (together, Project Leases ) 1 ; and 1 Hotel Ground Lease, as referenced in the document entitled Memorandum of Hotel Ground Lease, recorded on February 28, 2001, as Instrument No in the Official Records of Sonoma County (the Hotel Ground Lease ), pursuant to which the Tenant operates the Hotel on the Hotel Ground Leased Property. 56 WHEREAS, the Project Leases grant to Tenant a Site Option and a Public Improvements Option (together, the Options ) to acquire the Successor Agency s fee title interests in the Property; and the provisions controlling the exercise of the Options are set forth in the Hotel Ground Lease Article 16; and WHEREAS, the sale of the Successor Agency s fee title interest in the Property upon Tenant s exercise of the Option is not discretionary; and Tenant has complied with the applicable conditions precedent to exercise the Options in accordance with Article 16; and WHEREAS, the sale proceeds, approximately $11 million, will be held by the Successor Agency pending the California Department of Finance s determination for use of the sale proceeds; and funds not used for the repayment of the City loans will be disbursed to the County Auditor Controller for distribution to the taxing entities in accordance with Redevelopment dissolution law; and WHEREAS, the Hotel Ground Lease explicitly states that the Project Leases are terminated by exercise of the option, and a Release of Project Leases is simply a vehicle to acknowledge that fact and remove the leases from title.
