13 POST TIMES DERBY WEEK Tuesday Thursday: 12:45 p.m. Oaks & Derby Days: 10:30 a.m. POST-DERBY Thursdays: 5:00 p.m. Friday Sunday: 12:45 p.m. Exceptions: Saturdays, April 29, June 17 & June 30: 6:00 p.m. Trainers that have horses entered to race and are stabled at the Trackside Training Center must sign up in the Trackside Stable Office by 8:00 a.m. the preceding day to reserve space on the shuttle. SHIP-INS There will be no ship-in training on any race days. Entrant agrees that any horse running at Churchill Downs will be on the grounds a minimum of 4 1/2 hours prior to race time. Failure to have the horse in its assigned stall on time will result in disciplinary action by the stewards. All horses, including lead ponies, seeking entrance to the stable area shall be accompanied by a current negative EIA Test (aka Coggins) and be listed on a Certificate of Veterinary Inspection (CVI) with the examination and issuance of the certificate being signed and dated by a licensed veterinarian within 72 hours prior to arrival. Additionally, each horse seeking entrance to our stable area shall be vaccinated against Equine Herpesvirus Type 1 (EHV-1) by a licensed veterinarian a minimum of 14 days and no more than 120 days prior to entry into our stable area. Once a horse receives the initial EHV-1 vaccination, re-vaccination is required every 120 days. For example, if a horse was vaccinated in January, he/she is required to be vaccinated at least every 120 days while stabled at the track. The minimum 14 day vaccine requirement applies only to horses that have not been vaccinated for EHV-1 during the preceding 120 days. For each horse, the Certificate of Veterinary Inspection (CVI) shall indicate the date of the horse s vaccination and the specific vaccine product used. TATTOOING All owners who have horses tattooed on Churchill Downs Grounds, must pay the $80.00 fee directly to the tattooer. Make check payable to the TRPB. UNAPPROVED ADVERTISING/AMBUSH MARKETING Unless previously approved in writing by Churchill Downs, the display of marketing or advertising materials anywhere within the Churchill Downs facility is prohibited. This prohibition includes, but is not limited to, (i) the unauthorized display or use of signs, banners, mascots or other items with the names, logos, emblems, slogans, or trademarks of any company unaffiliated with Churchill Downs; (ii) providing promotional items for any company without Churchill Downs approval; (iii) any coordinated effort to promote any brand (including by way of clothing) while on Churchill Downs property; or (iv) any other attempt to suggest that a brand or company is affiliated with or endorsed by Churchill Downs. Churchill Downs may request the removal of the unauthorized marketing or advertising materials and may expel any person who violates this prohibition. Furthermore, Churchill Downs expressly reserves the right to pursue any legal remedies to the extent the unauthorized marketing activities violate Churchill Downs legal rights. 11

15 THE KENTUCKY THOROUGHBRED DEVELOPMENT FUND (KTDF) Horsemen with Kentucky-Sired Kentucky-Foaled have more purse money to run for in allowance, non-claiming maiden and stakes races less than $100,000 added in Kentucky through the Kentucky Thoroughbred Development Fund program. In Allowance Optional Claiming races, horses entered for a claiming price of $25,000 or higher are eligible for KTDF distribution if KTDF registered. Eligible races can be readily recognized in the stakes and condition book by the Kentucky Thoroughbred Development Fund seal, which will appear next to each race in the stakes and condition books. A horse must be registered prior to the time of entry to be eligible to participate in the distribution of Kentucky Thoroughbred Development Fund monies. All horses of racing age that are both Kentucky-Foaled and sired by a Kentucky stallion which stood in Kentucky the entire breeding season the year the horse was conceived are eligible to be registered. Owners of horses of racing age are responsible for registering their stallions. Except in the case of House Rules, if there is any discrepancy between the information set forth below and the rules set forth on the KHRC website ( the rules on the KHRC website shall govern. All KDTF purse allotments contained herein are subject to KHRC approval. 13

16 RACING SECRETARY S OFFICE & THE CLAIMS CLERK The Racing Secretary s Office and Claims Clerk Office are located behind the Paddock, adjacent to the Horsemen s Service Center. The Claims Box is located in the Racing Secretary s Office. DATE PREFERENCE SYSTEM The Date System of preference will be used at Churchill Downs as described below: Foal Certificates are no longer required to be on file in the racing office to enter or start at Churchill Downs; however, foal certificates must be on file to obtain a preference date and to get a horse tattooed. To receive a zero (0) date, foal papers must be on file with the Horse Identifier by Saturday, April 28. Preference by condition eligibility then by: 1. In over-filled races, preference will be given to horses in order of their assigned preference dates, earliest date first. Horses having identical dates will be chosen by lot, however, where entry and running dates are the same, the horse with the entry date will have preference. 2. All horses intended for racing at Churchill Downs will be assigned a preference date. Dates assigned will be of two types: E-Date This date will correspond to: a) the day on which a horse s foal papers and name tag are submitted to the identifier (the earliest date being the day when entries are first taken for the meeting). b) the day on which a horse is first entered if his papers are not on file with the identifier. To qualify for the latter E-Date, a horse must have been excluded from a race which appears on the overnight or he must have been entered in a condition book race which failed to fill through insufficient entries. R-Date This date will correspond to the day of a horse s most recent race at Churchill Downs. An R-Date will also be assigned to a horse which scratches, providing the foal papers are on file with the identifier. 3. A horse retains his R-Date until he receives a newer R-Date. No horse with an established R-Date may receive an E-Date. A horse whose papers are removed from the identifier s office will lose his date and must subsequently re-establish a date in order to receive preference. A horse with an E-Date cannot receive a newer E-Date. Horses starting at another racetrack will forfeit any date they may have at Churchill Downs. Additionally, horses racing at Churchill Downs without foal papers on site will not retain their R-Date. 4. Preference dates will consist of two categories: Dirt (D) and Turf (T). Preference dates are good for any type of race or distance. 5. A horse that runs in a race, which has been taken off the Turf will retain its Turf date and establish a Dirt R-Date. A scratched horse will receive an R-Date from the date scratched for both Turf and Dirt. 14

17 6. When a race is taken off the Turf, Main Track Only (MTO) horses will receive an R-Date if they run or scratch. If the race remains on the Turf, MTO horses will retain their previous date. 7. Horses on the Also-Eligible list shall be permitted to draw into races in order listed. A horse entered as MTO shall be listed as an Also-Eligible. If the race remains on the Turf, a horse listed as MTO shall not be permitted to draw into the race. 8. No E-Date will be assigned to the second choice of an unsplit same-owner entry. 9. A horse which has been placed on a list (veterinarian, steward, starter or paddock judge) will lose their date and be assigned an R-Date corresponding to the day removed from list (provided the foal papers are on file with the identifier). 10. A horse which is a scheduled starter in a canceled race will not receive an R-Date for that race but will retain its previous date. 11. Stakes and handicap races are not subject to date preference. 12. Preference dates are transferred through change of ownership and changes in trainer after the proper transfer procedure have been completed through the Steward s office and delivered to the Racing Secretary s Office. 13. Date preference rules will not supersede KHRC rules regarding preference, eligibility or scratches. 14. Winners will be preferred in all non-maiden races. 15

18 TRACK RULES Owners or trainers will be required to deposit jockey fees (except for those under contract with the Horsemen s Bookkeeper no later than one hour prior to the first race on the day of the race. Exceptions to this rule are to be by arrangement of credit in advance. Monies deposited with the Horsemen s Bookkeeper for the purpose of claiming a horse must be in cash or a certified or cashier s check. No entry will be received except upon the condition that all disputes, claims and objections arising out of the racing or with the respect to the interpretation of the conditions of any race shall be decided by the Officers of this Association or those whom they appoint, and their decision upon all points shall be final. ALL TWO-YEAR-OLDS MUST BE PROPERLY SCHOOLED AND APPROVED BY THE STARTER BEFORE BEING ALLOWED TO START. EVERY HORSE MUST BE SADDLED IN THE PADDOCK. This rule is imperative. Horses must be in the paddock at least TWENTY MINUTES before the scheduled post time. The stewards reserve the right to substitute one jockey for another at their discretion. It will be their purpose to substitute a jockey of equal ability. DIRT SHOE POLICY Front horse shoes which have toe grabs greater than 2 millimeters shall be prohibited for racing or training on the dirt surface at Churchill Downs. This includes but is not limited to the following: toe grabs, bends, jar calks, stickers and any other traction device worn on the front shoes of Thoroughbred horses. Hind Horse Shoes (Dirt) Any hind shoe with a turndown of more than one-quarter inch (1/4 ) will not be allowed on the dirt course. TURF SHOE POLICY Front and Hind Shoes only Queen s Plate or Queen s Plate XT will be allowed on the Turf Course. CONDITION ELIGIBILITY Horses are preferred by their available conditions in all allowance races providing the horse has finished 1st, 2nd, 3rd or 4th for $40,000 or more since starting for less than $40,000. In allowance/optional claiming races a horse s eligibility cannot exceed the condition of the race. Starter races for less than $25,000 will be considered as claiming races for condition eligibility. WINNERS ARE PREFERRED IN ALL NON-MAIDEN RACES. ALSO-ELIGIBLES If there are any scratches in a race with Also-Eligibles, the Also-Eligible horses will be permitted to move into the race in the order listed on the overnight. 16

19 LASIX Section 6. Furosemide Use on Race Day. (1) Furosemide may be administered, in accordance with this section, to a horse that is entered to compete in a race. (2) The commission veterinarian shall administer furosemide prior to a race. (3) Furosemide may be used under the following circumstances: (a) Furosemide shall be administered at a location under the jurisdiction of the commission, by a single intravenous injection, not less than four (4) hours prior to post time for the race in which the horse is entered. (b) The furosemide dosage administered shall not exceed 500 mg, nor be less than 150 mg. (4) The initial cost of administering the furosemide shall be twenty (20) dollars per administration. Payment: The Horsemen s Bookkeeper will collect the Salix administration fee from the owner s account. Section 7. Furosemide Eligibility. (1) (a) A horse shall be eligible to race with furosemide if the licensed trainer or licensed veterinarian determines that it would be in the horse s best interest to race with furosemide. Notice that a horse will race with or without furosemide shall be made at the time of entry to ensure public notification, including publication in the official racing program. WORKOUT RULE 810 KAR 1:027, ENTRIES, SUBSCRIPTIONS AND DECLARATIONS Section 3, Subsection 8, (A), (B) and (C) (8) (a) A horse that has not started in the past forty-five (45) days shall not be permitted to start unless it has at leaste one (1) published workout within twenty (20) days of entry at a distance satisfactory to the stewards. If a horse has performed the requisite workout, but the workout does not appear in the past performances, the horse shall be permitted to start is the stewards determine that the workout failed to be published through no fault of the trainer. (b) A horse starting for the first time shall not be permitted to start unless it has three (3) workouts, one (1) of which is from the starting gate, one (1) of which is within twenty (20) days of entry, and at least one (1) of which published. (c) A workout not appearing in the racing publication shall be publicly displayed on television monitors, the tote board, and, if available, the bulletin boards where photo finished are shown at the time when mutuel windows are opened and shall be displayed until the conclusion of the race in which the horse is entered. 20 EQUINE DRUG TESTING All winning horses will be subjected to TOBA Supertesting for the presence of performance-enhancing drugs. Churchill Downs may participate in a program to freeze and store blood and urine samples so that retrospective testing may be done in the event that suspicious circumstances arise. BAN ON HORSE SLAUGHTER Any owner or trainer based at Churchill Downs who sells a horse for slaughter that was previously stabled at Churchill Downs will have his/her stalls permanently revoked. KHRC RULE REGARDING TYPE AND USAGE OF RIDING CROPS Any goading device, chain, spurs, electrical or mechanical device, or appliance, except for a riding crop, that may be used to alter the speed of a horse shall not be used on a horse in a race or workout. Any riding crop may be subject to inspection and approval by the stewards or the clerk of the scales to ensure conformity with the specifications of paragraphs (c) through (e) of this subsection. Only riding crops meeting the specifications of this subsection, including the mandatory shock absorbing characteristics, may be used in thoroughbred racing and training. (c) A riding crop shall have a: 1. Maximum weight of eight (8) ounces; 2. Maximum length, including flap, of thirty (30) inches; and 3. Minimum diameter of the shaft of three-eighths (3/8) inch. (d) 1. The only additional feature that may be attached to the riding crop is a flap that shall have a: a. Maximum length from the end of the shaft of one-half (1/2) inch; and b. Maximum width of one and six-tenths (1.6) inches, with a minimum width of eight-tenths (0.8) inch; 2. The flap from the end of the shaft shall not contain any reinforcements or additions; 3. There shall not be binding within seven (7) inches of the end of the flap; 4. The contact area of the shaft shall be smooth, with no protrusion or raised surface, and covered by shock absorbing material throughout its circumference; and 5. The flap shall have similar shock absorbing characteristics to that of the contact area. (e) A riding crop shall not have: 1. Stingers or projections extending through the hole of a popper; and 2. Any metal parts. Rules regarding whip usage are as follows: An electrical or mechanical device or other expedient designed to increase or retard the speed of a horse, other than a riding crop approved by the stewards, shall not be possessed by anyone, or applied by anyone to a horse at any time, on the grounds of the association during a race meeting. 18

21 A riding crop shall only be used for safety, correction and encouragement. A rider who uses a riding crop shall: Show the horse the riding crop; give the horse a chance to respond before striking the horse; Having used the riding crop, give the horse a chance to respond before using it again; Use the riding crop in rhythm with the horse s stride Prohibited use of the riding crop includes striking a horse: On the head, flanks or any other part of its body other than the shoulders or hind quarters except when necessary to control a horse; During the post parade or after the finish of a race except when necessary to control a horse; Excessively or brutally; In a manner which causes welts or breaks in the skin; When the horse is clearly out of the race or has obtained its maximum placing; Persistently even though the horse is showing no response under the riding crop In no event shall a riding crop be used to strike another person. After the race, a horse shall be subject to inspection by a racing or official veterinarian looking for cuts, welts or bruises in the skin. Any adverse findings shall be reported to the stewards. The giving of instructions by any licensee that if obeyed would lead to a violation of this rule may result in disciplinary action also being taken against the licensee who gave such instructions. GELDING & GENDER 810 KAR 1:012, SECTION 11 Trainers must promptly report all horses gelded to the horse identifier or the racing office. Trainers will be held responsible for not reporting the correct gender of their horse at the time of entry. Failure to comply shall result in disciplinary action by the stewards. 19

22 TURF RACE ENTRIES In an effort to ensure that racing fans will have an opportunity to wager on a reasonable number of horses, the following policies are in place concerning turf entries. Entries will be accepted in turf races (excluding stakes) for Main Track Only (MTO) horses. Trainers must declare the horse as MTO at time of entry. A horse entered as MTO shall be listed as an Also-Eligible. In an over-filled turf race, Also-Eligibles (including MTO) shall be assigned a post position by preference. If preference is equal, post positions shall be drawn by lot, unless otherwise stipulated in the published conditions of the race. If the race remains on the turf, a horse listed as MTO shall not be permitted to draw into the race. When a race is removed from the turf, MTO horses will receive an R -Date if they run or scratch. If the race remains on the turf, MTO horses will retain their previous date. MANDATORY SAFETY VESTS AND HELMETS (Per the Kentucky Racing Commission regulations) A safety vest and safety helmet that meet the standards set forth in subsections (4) and (5) of this section; and A number on his right shoulder corresponding to his mount s number as shown on the saddle cloth and daily racing program. The clerk of scales and attending valet shall be held jointly responsible with a rider for his neat and clean appearance and proper attire. (4) A jockey mounted on a horse or stable pony at a location under the jurisdiction of the commission shall wear a properly secured safety helmet at all times. If requested by a commission official, the jockey shall provide sufficient evidence that his helmet has a tag, stamp, or similar identifying marker indicating that it meets one of the following safety standards: (a) ASTM International Standard, ASTM F a; (b) British Standards, BS EN 1384:1997 or PAS 015:1999; or (c) Australian/New Zealand Standard, AS/NZS 3838:2006. (5) A jockey mounted on a horse or stable pony at any location under the jurisdiction of the commission shall wear a safety vest at all times. If requested by a commission official, the jockey shall provide sufficient evidence that his safety vest has a tag, stamp, or similar identifying marker indicating that it meets or exceeds one (1) of the following safety standards: (a) British Equestrian Trade Association (BETA):2000 Level 1; (b) Euro Norm (EN) 13158:2000 Level 1; (c) ASTM International Standard, ASTM F ; (d) Shoe and Allied Trade Research Association (SATRA) Jockey Vest Document M6 Issue 3; or (e) Australian Racing Board (ARB) Standard IMPORTANT NOTICE Other safety regulations that will be strictly enforced include prohibitions on smoking in the track s barns and rules against the jogging of horses on the inner rail during training hours. The use of grills in the track s barns will also be closely monitored. 20

23 TURF COURSE All races scheduled to run on the turf course may, in the event of a change in the condition of the course, be transferred and run over the main track. All races transferred from the turf course to the main track will be run at the same distance, except that races at one mile and three-eighths will be contested at one mile and a quarter on the main track. Races run at one mile will be contested at one mile out of the chute on the main track. Ponies will not be allowed on the turf course. OUT OF COMPETITION TESTING Pursuant to 810 KAR 1:110, the Kentucky Horse Racing Commission (the KHRC ) is authorized to conduct out of competition testing on any horse that is eligible, or that may become eligible, to race in Kentucky. A horse is eligible to race in Kentucky if it is under the care, custody or control of a trainer licensed by the KHRC; or is owned by an owner licensed by the KHRC; or is nominated to a race at an association licensed by the KHRC; or has raced at an association licensed by the KHRC within the previous twelve calendar months; or is stabled on the grounds of an association or training center subject to the jurisdiction of the KHRC; or is nominated to participate in the Kentucky Thoroughbred Development Fund. The KHRC is authorized to test for blood doping agents, venoms and their derivatives, and growth hormones. The regulation also prohibits possession of the foregoing substances, as well as whole blood or packed red blood cells, on the grounds of an association or training facility subject to jurisdiction of the KHRC. A horse designated for testing must be made available for sampling at a mutually agreed-upon location within six hours of notification that it has been designated for testing. If a horse is not made available for testing, or if there is any other failure to cooperate with the KHRC, the individual(s) responsible will be penalized to the full extent allowed by the regulation. If a horse tests positive for a prohibited substance, the owner and trainer are notified of the test results, and the horse is placed on the Veterinarian s List pending a steward s hearing. The owner and/or trainer have the right to split sample analysis, as set forth in 810 KAR 1:018/811 KAR 1:090. If the positive finding is confirmed, serious penalties shall be imposed, including but not limited to, the revocation of the violator s license for a period of five to ten years. 24 EQUINE INJURY DATABASE Churchill Downs Incorporated ( CDI ) and each of its racetracks has entered into an Equine Injury Database Agreement with The Jockey Club ( TJC ) to implement one of TJC s Thoroughbred Safety Committee recommendations regarding tracking of equine injuries occurring at any of its racetrack facilities. Trainer, on behalf of himself and as agent for each Owner listed in the Stall Application submitted by Trainer, agrees that accurate tracking of equine injuries is an important step toward improving the safety of horse racing and by accepting the use of certain stalls at Churchill Downs, gives its consent to the collection of information related to any injury occurring at Churchill Downs to a horse owned or trained by Trainer and entry of said information into a database maintained by TJC and its affiliated businesses (including InCompass Solutions, Inc. [the Equine Injury Database ]) by Churchill Downs and/or the Kentucky Horse Racing Commission-employed Veterinarian (the Veterinarian ) with respect to any injury occurring at Churchill Downs to a horse owned or trained by Trainer. For purposes of this consent, injury shall include, but is not limited to, an injury to a horse that is (i) scratched at the recommendation of the examining Veterinarian; (ii) determined to be injured/unsound/in distress, or otherwise unfit in the paddock, post parade, starting gate, during or immediately after the running of the race; (iii) observed to be injured unsound or in distress in the Detention Barn, or as a result of a Veterinarian s post-race inspection; (iv) scratched for medical reason not documented by the Veterinarian (e.g., trainer reports sick, injured, colic, tied-up, fever, etc.); or (v) injured during training or in non-race related events. Collectively, Churchill Downs, the Veterinarian, TJC and its affiliated businesses and the owners, stewards, directors, officers, employees and agents of any of the aforementioned persons and entities may be referred to as the Indemnified Parties. Trainer, on behalf of himself and as agent for each Owner listed in the Stall Application submitted by Trainer, further agrees to cooperate in the disclosure of such information to the extent that such cooperation is reasonably required and covenants not to sue and, to the maximum extent permitted by applicable law, to indemnify, release and hold harmless the Indemnified Parties from and against any liability, cost, loss, or expense of any kind of nature (including, without limitation, reasonable attorneys fees) arising from any claim, demand, or action (a) alleging that the data entered into the Equine Injury Database (either directly or indirectly) violates the rights of Applicant or any third party, or (b) relating to any equine injury report run, published or otherwise created by any of the Indemnified Parties (either directly or indirectly). 22

28 CONDITIONS GENERAL: Entries to any race are received only upon the condition that the Applicant agrees to and will comply with the rules and regulations governing Thoroughbred horse races adopted by the Kentucky Horse Racing Commission (the KHRC ) and the rules and regulations of Churchill Downs Incorporated ( Churchill ) (including these conditions) and will comply with and abide by any decision of the state racing officials and/or the Officers of Churchill regarding the interpretation and application of such rules and regulations. Applicant consents and agrees to all provisions of Churchill s current application and/or agreements regarding the use of stall space, the terms of which are specifically incorporated herein by reference, and shall execute all such applications and/ or agreements before bringing any horse upon Churchill s grounds. In making this application to participate in thoroughbred racing, Applicant agrees and consents to Churchill and/or its agents making an investigation of Applicant whereby information may be requested from third parties as to character, general reputation, personal characteristics, mode of living, or such other information as may be relevant to the Applicant s integrity as a racing participant. Churchill reserves the right to cancel any race, without notice, at any time prior to the actual running thereof, without liability except for the return of all fees as required by the rules of racing. Churchill reserves the right to make all decisions regarding preferences and conditions and its decision shall be final. Nominations are received only with the understanding that Churchill reserves the right, in its sole and absolute discretion to refuse, cancel or revoke any nomination, entry or stall application or the transfer thereof and reserves the right to deny the right to start in a race without notice to the Applicant and for any reason, including but not limited to the Applicant s failure to fully perform or abide by all provisions and conditions hereof. RELEASE AND INDEMNIFICATION A. In consideration of the Applicant s admission to Churchill s facility, the Applicant hereby releases Churchill from all claims for loss or damage of, or injury to, or death of any persons or property (including horses as well as loss of use of property) sustained by the Applicant and/or its invitees and/or the property owned or under the control of the Applicant located at Churchill s facilities. The Applicant recognizes the risks of its activities to be undertaken at Churchill s facilities and it has inspected and is familiar with Churchill s facilities and does voluntarily and fully assume all risk of loss, injury, damage, death or destruction to any person or property. This release and assumption of risk provision shall not be effective as to any cause of loss attributable to any intentional, willful, grossly negligent, or reckless conduct of Churchill. The Applicant further agrees to protect, indemnify and hold harmless Churchill (or if indemnification is not available, to contribute to Churchill s losses) from and against any loss, damage, claims or expenses (including reasonable attorneys and other fees), arising directly or indirectly from any acts or omissions of the Applicant, or any of the Applicant s horses, or any agent, employee or invitee of the Applicant, arising out of or in connection with the Applicant s activities at Churchill s facilities. B. The foregoing provisions shall be construed in a manner consistent with the limitations set forth herein to be as broad and inclusive as permitted by the laws of the Commonwealth of Kentucky and the KHRC s regulations and shall be binding upon Applicant, its successors and/or assignees. The maintenance by Churchill of insurance shall not affect the terms or interpretation of this Agreement. For purposes of this Agreement, Churchill shall mean and include Churchill and its officers, directors, agents, employees, contractors, servants and licensees. In the event of any inconsistency between these provisions and KHRC s regulations, the KHRC s regulations shall control. Further, 26

29 these provisions shall be deemed to be amended to the extent of, and to be in compliance with, any amendment to the KHRC s regulations. Trainer shall, prior to its admission to Churchill s facilities, deliver to the Kentucky Horse Racing Commission certificates evidencing the maintenance of Worker s Compensation Insurance for all employed personnel in accordance with the statutory requirements of the Commonwealth of Kentucky. Responsibility for the maintenance of general liability and horse mortality insurance to cover the risks outlined above vests with the Applicant. Consultation with a competent insurance advisor is strongly recommended. Failure to maintain adequate insurance may subject the Applicant to the risks outlined above. RESERVATION OF RIGHTS As the organizer, host and sponsor of thoroughbred horse races, Churchill hereby reserves unto itself, its agents, assigns and licensees and Applicant hereby assigns to Churchill all interest it may have in the Host Rights, as herein defined. The Host Rights shall mean the sole and exclusive right to: (a) produce, exhibit, sell, license, transfer or transmit in any manner still or motion pictures, radio and television broadcasts, or any other media transmission, now known or hereafter developed, of all events which occur on Churchill s property, including without limitation, all activities occurring before, during and after thoroughbred horse races; (b) utilize the race and the results thereof, all for any purpose or use as Churchill shall determine; (c) limit, prohibit or regulate the display of any commercial advertising symbols, or other identification, other than Applicant s registered silks, in connection with any race or related activities; and (d) develop, produce and sell, by or through any licensee, goods using the Applicant s name or likeness, the name or likeness of any horse owned by the Applicant brought onto Churchill s grounds, or any other identifying feature, silks, trademark or copyrighted material which is used in connection with the race. The submission of a nomination or making of any entry in any race shall mean that the Applicant consents to the above reservation of the Host Rights and consents to be photographed or to otherwise by a subject of still or moving pictures, radio or television programs, without remuneration except for contributions to horsemen s purses from wagering on the races as established by contract or legislation. The Applicant agrees that he has not and will not execute any documents or take any other action which purports to assign or otherwise transfer any interest in the Host Rights or assert any claim, demand or cause of action against Churchill which is inconsistent with the full and exclusive exercise by Churchill of its Host Rights. DEFINITION OF APPLICANT As used herein, Applicant shall mean and include the owners, trainers, jockeys of the horse being entered (and if Applicant is an agent/assistant to any Applicant, the principal for whom he is agent), and their heirs, representatives, successors, next of kin and assigns; provided, however, that the rights and benefits of the Applicant under this Agreement are personal and no such right or benefits shall be subject to voluntary or involuntary alienation, assignment or transfer. Applicant covenants that all of the above parties have agreed to the foregoing conditions and further agrees that it will deliver their written consent and agreement to such conditions upon request of Churchill. Applicant shall indemnify and hold Churchill harmless from and against any claim or cause of action (including any expense incurred in connection therewith, including reasonable attorney s fees and other fees) that may be asserted by or on behalf of any person which is inconsistent with the release and indemnification provisions set forth in the foregoing paragraphs. 27

A minimum $500 jockey mount fee will apply to starters that finish beyond third place. Supplemental nominations may be made upon payment of $200,000 and in accordance with the rules set forth herein. All fees, including supplemental nominations, in excess of $900,000 in the aggregate shall be paid to the winner. Churchill Downs Racetrack ("CDRT") shall guarantee a minimum gross purse of $2,000,000 (the "Guaranteed Purse"). In the event of one or more scratches after the determination of post positions and prior to the Scratch Deadline, then (i) starters with post positions higher than the post position of the scratched starter will be moved to the next lowest empty post position (i.e., toward the inside rail of the race track) and (ii) the Also Eligible Horse that becomes a starter (if any) will receive the lowest post position available after the post positions of the other starters have been moved as provided above. In the event one or more scratches occur after the Scratch Deadline, no Also Eligible Horses will be permitted to start and the post positions shall be moved, without changing the order of the starters, as determined by the stewards and CDRT to be in the best interests of the safety of the race participants.
