TERMS 1. A copy of the mares registration papers must accompany this contract. Mare MUST be registered with the AMHA in Shelburne, VT 2. The booking is valid to the mare named and may not be transferred without consent of the stallion owner or manager. 3. This contract cannot be sold by mare owner. 4. A stud fee of $ (non-refundable) of the above fee is due/payable with this contract and must be paid in full prior to the first shipment of semen, payable to Kinzu Morgans 5. Transport fee of $50 to transport the stallion to Alliance Stud LLC for collection shall be payable in cash prior to the first shipment of semen. 6. The breeding season enforced, for cooled semen, for this contract will start Feb 10, 2015 to June 1, Frozen semen will be available hereafter to accommodate any outside breeding s. 7. This contract is good for one (1) foal. Multiple foals from the same mare in the same breeding season will require a separate contract and breeding fee for each resulting foal II. LIVE FOAL GUARANTEE 1. Live foal means the foal shall stand and nurse. It is understood that if the mare proves barren, aborts her foal, or if foal is stillborn a return season is guaranteed for the following year only, providing proper notification is given. Glenview Farm shall be notified within 48 hours of delivery of the aborting of a foal or of the foal s death o Written certification by a licensed veterinarian within 10 days that the mare has been found to have absorbed, aborted, or produced a non-viable foal. Mare owner and veterinarian certify that such abortion or death did not result from any act or omission of the Mare owner. Booster rhinopneumonitis vaccinations must be administered as indicated by the individual drug manufacturer as the mare progresses through her pregnancy. Failure to do any of the above will VOID the live foal guarantee

2 Page 2 If outstanding breeding fees are not settled by Oct 31 in the year of this contract, the live foal guarantee will be null and void. CONDITIONS 2. Mare Owner should ensure the healthful condition and breeding soundness of the mare prior to insemination. Breeder makes no guarantee on any reaction of the mare to the cooled semen At the time of or prior to the first shipment of semen, Alliance Stud shall be furnished with proof of a negative uterine culture (taken when mare is in heat) certifying that the mare is free of infection and is in sound breeding condition. Exceptions may be made based on evaluation from mare owner veterinarian, this will be done on a case by case basis and must be approved only by Alliance Stud breeding manager/veterinarian. 3. Parties agree that if the mare after examination by a licensed veterinarian is found to be unfit to breed, another mare may be substituted with the consent of Glenview Farm, with the same terms and conditions applying. This provision does not apply to mares being bred under the authorized rebreed privileges. Certificate of unfitness or death from a licensed veterinarian must be received by Glenview Farm within 10 (ten) days of discovery of unfitness as a condition of the right to substitute. 4. If the mare fails to get pregnant in the year of this contract, rebreed privileges will be carried over for the term of one year, with the same terms and conditions 5. If the mare will be an embryo donor, this must be stated in writing to the Breeder PRIOR TO the breeding of the mare If multiple embryos are recovered, a stud fee for each additional foal will be due to Kinzu Morgans at the time of the foal s birth and prior to any Breeders certificate being issued 6. It is the Breeders responsibility to ship semen in viable condition to the mare owner. The semen has been analyzed for sperm count & motility, and the collection & packaging procedures meet industry standards This stallion has been tested negative for EVA and has had one set of negative CEM cultures for the 2015 breeding season 7. Mare Owner understands and must comply with the following: Notify the Alliance Stud when the mare is in early heat This will help the Stallion Manager plan the stallions collection schedule so the Mare Owner receives a quality product ONLY 2 SHIPMENTS OF SEMEN PER CYCLE; ONLY 3 CYCLES PER YEAR o Should the mare not settle after 3 cycles, the Mare Owner shall have a right to substitute a different mare, in which case the mare must be fully identified and a new uterine culture and veterinary exam must be forwarded and approved prior by Stallion owner prior to shipment. 8. Veterinarian or Mare Owner must contact Alliance Stud by 9am EST the day of collection Collection days are 7 days a week o Stallion will not be collected two days in a row unless approved by stallion owner and veterinarian in charge Saturday collections are available at an additional cost to mare owner (airline fee & courier fee) All semen is sent Federal Express; Airline shipment is available for an additional $200 (airline & courier) Stud fees, shipping fees, and collection charges must be paid by the Mare Owner prior to the semen being shipped from Alliance Stud Mare Owner or agent may cancel the shipment up until 12pm EST on the day of shipment at no penalty, unless the stallion has already been collected at an earlier time to accommodate the Mare Owners request Mare owner must submit semen shipment form prior to shipment to confirm details 9. Breeder will make every attempt possible to ship two (2) doses of semen for every mare, however only one (1) dose is guaranteed. If the mare fails to settle for any reason, the Mare Owner will hold the Breeder blameless

3 Page Mare Owner must have the mare inseminated by a licensed veterinarian within 24 hours after delivery of the semen After 48 hours remaining semen should be discarded and Mare Owner should call to have the stallion collected again 11. This stallion will be collected at Alliance Stud LLC. It is the Mare Owner s responsibility to arrange a billing account with Alliance Stud prior to the shipment of the semen. It is also the Mare Owner s responsibility to complete and return the mandatory Semen Shipment Agreement (attached with this contract). Semen will not be shipped without a completed agreement on file and payment in full being received. 12. Mare Owner has the option of paying fees by credit card. Mare Owner must fill in the information on the lines below. Third party credit card use is not allowed without written permission from the third party and verification by Breeder at least ten days prior to shipment Mare Owner is responsible for keeping a current and valid credit card number on file with Alliance Stud LLC Cards accepted: Visa, MasterCard, American Express and Discover Type of Card: Card number: Security Code: Name on Card: (3 digit code on back of card) Expiration Date: Signature: 13. Mare Owner agrees to return the shipping container in a timely manner (no more than 4 days) to Alliance Stud LLC. If Mare Owner fails to return equitainer within given time period provided by Alliance Stud, a penalty fee may be charged on a per day basis or may include replacement costs of the equitainer 14. Mare Owner agrees to observe ordering and administration protocol for the shipment of cooled semen as determined by Breeder. 15. Breeder is not responsible for the integrity and quality of the cooled semen once the semen has been shipped from Alliance Stud LLC. Once the shipment arrives, it should be inspected immediately. Any claims regarding the integrity of the shipment must be filed on the day the shipment arrives; the equitainer s latch should be closed with a plastic tie wrap (if possible) and the exterior should not be when the lid is opened and securely wrapped with duct tape. A report of damaged semen must be filed by the Mare Owner within 24 hours of delivery. Insurance of $499/container is placed on the semen shipment. It is the responsibility of the Mare Owner to relay on the semen shipment for that more insurance is requested and the amount in which is preferred 16. Mare Owner must have mare checked for pregnancy by a licensed veterinarian at days of gestation, days gestation, and again after 45 days of gestation, and must inform the Breeder of the mare s pregnancy status to be eligible for a completed breeding certificate to be issued 17. In the event that the mare is sold after breeding, Breeder makes no guarantees to the new owner in regard to the health or success of the pregnancy 18. Should it be necessary for Breeder to employ an attorney to enforce an of the terms of this agreement including collection of money owed, Mare Owner shall pay all responsible attorney s fees, cost of suits, and other expenses reasonably related to enforcing this agreement 19. Parties agree that should the above stallion die or become unfit for any reason, or should the mare die before being served for the purpose of fulfilling this contract, then this contract shall become null and void, and money paid as part of this contract shall be refunded to the mare owner.

4 Page This contract cannot be assigned or transferred by Purchaser. There shall be no right of return to the stallion if the mare is sold or otherwise changes ownership after having been served by the above stallion. 21. This contract is not valid unless completed in full. When Mare Owner signs and returns the contract and booking fee to Breeder a representative will notify the Mare Owner within 15 days of approval. Upon notification, it will become a binding contract on both parties, subject to the above terms and conditions. 22. This contract is governed by the laws of the State of Kentucky and shall be construed and enforced under the laws of the State of Kentucky. 5 Page 5 Alliance Stud LLC Semen Shipping Agreement Semen will not be shipped without written form being on file Changes made during the year must be submitted in writing with a new form (Prices subject to change without notice) This form/contract certifies that stallion, the mare owner has agreed to breed to the Roberto Cavalli #179485, during the 2015 breeding season for the following mare: Reg. Name: Breed: Registration No: Alliance Stud, agent for above named stallion, will adhere to the following guidelines for the year of 2015: 1. All collection and shipping fees will be paid in full before any semen will be shipped. 2. Collection days for this stallion are 7 days a week; beginning on Feb 1, 2015 August 1, 2015 Alliance Stud must be notified, BY PHONE no later than 9am EST the morning of collection; 24 hour notice is preferred and semen availability may not be able to be accommodated if proper notification is not given Stallion may not collect two days in a row due to increased risk of decreasing the quality of semen. Stallion Owner & Veterinarian authorization required. 3. Mare owner agrees to pay all shipping fees. If mare owner has their own Federal Express account number, this may be used, but must be provided at the time the collection is scheduled - prior to shipment (indicate on the bottom of this form). 4. All semen is shipped via Federal Express. If this service is not available in your area, please provide Alliance Stud with an alternate mode of transportation and we will do everything possible to accommodate this request. Courier fees may apply. 5. Same day service (airline) is available at an additional charge. Mare owner must provide the airport of choice to be used for this type of service. 6. Alliance Stud will mare owner or designated agent with tracking numbers for the shipment the day of collection. Please make sure Alliance Stud has updated information in regards to addresses to verify this information. If you do not hear from us by 4pm EST the day the shipment is to have been shipped, please call our office. 8. Containers are the responsibility of the mare owner to make sure they are returned to Alliance Stud in a timely manner 9. Alliance Stud is not responsible for shipments once the container has left our hands.
