4 The Club and its facilities shall be open on the days and during the hours as may be established from time to time by the Board of Governors. Generally, the clubhouse is open every day during the golfing season from 7 A.M. until midnight. The Administration Office is generally open during the golf season from 8:00am 5:00pm, Monday thru Friday. 2. DRESS CODE GENERAL The purpose of these rules is to provide guidance to the Members in matters of dress appropriate to the decorum of the Club. It is the responsibility of every Member, including Juniors, to ensure that he or she is fully conversant with and complies with the rules of dress both on and off the Golf Course. Members are likewise responsible for ensuring the dress of their guests is in accordance with the rules. Members or guests who are not in compliance with the rules of dress will be asked to change into dress more appropriate or, failing to do so, to leave Club premises. PROHIBITED DRESS Blue jeans and blue denim outfits, cut-offs, tank tops, muscle shirts, short shorts (MUST reach a minimum length at the end of the wearer s fingertips when arm is placed straight down side of leg (person to stand straight with arms at sides hem of shorts or skorts MUST extend below fingertips) or bathing suits are not permitted anywhere on Club property without the express permission of the Board of Governors. Tracksuits, T-shirts, sweat suits, any kind of spandex outfit or tights may under no circumstances be worn in the dining areas of the Club, on the Grounds or on the Golf Course. Cargo shorts with LOOSELY SEWN pockets ARE NOT permitted. Clothing displaying large commercial logos football / hockey / baseball or similar jerseys), except those that are golf related, is not permitted.

5 Caps shall be worn on the Golf Course with the peak facing forward. Golf hats or caps may not be worn in the dining areas except on the upper veranda. Women: Sleeveless shirts with or without collar but MUST have a minimum 4 inch seam at the shoulder. TANK TOPS ARE NOT PERMITTED. Tops may be worn tucked or un-tucked but NO midriff or cleavage can be shown. Tops may be fitted but NOT skin-tight. Men: Shirts shall have sleeves and collars. Shirts must be neatly tucked at all times. Mock necks are acceptable. Soft spike, spikeless shoes or sandals must be worn at all times. Golf shoes or golf sandals are preferred, but light tread running shoes are acceptable. Dress shoes or sport shoes with rugged or studded soles are not permitted. Spiked golf shoes are no longer permitted on the grounds, and the Pro Shop at the player s expense, prior to playing, will replace spikes with soft spikes. Shoes with metal or ceramic penetrating spikes are prohibited on the Golf Course or the Practice Facilities. THE DINING ROOM Smart Casual shall be the preferred dress in the Dining Room. DISCRETION OF THE CLUB MANAGEMENT Suitable dress is required on Club premises at all times.

6 Recognizing that golf styles change, and unless rules specifically prohibit above, discretion in such matters of dress as fabrics, collars, sleeves and hem length is left to the Club Management. In the exercise of that discretion, Club Management shall ensure that in every instance, the dress of a Member or guest is clean, neat tasteful and in keeping with the decorum appropriate to a private club such as Elmhurst. In general, the Golf Professional staff shall be responsible for ensuring the rules of dress are complied with on the Golf Course. The Director of Golf shall exercise that responsibility in the dining facilities of the Club. COMPLAINTS Complaints concerning attire are to be brought to the attention of: The Director of Golf, or, The Golf Professional Staff in relation to attire on the Golf Course, The Food & Beverage Manager or his/her delegate in relation to attire in the dining facilities. Any one of the above may speak to a Member about an infraction. A Member shall not bring a dress infraction to the attention of another Member. 3. FOOD & BEVERAGE REQUIREMENT To support ongoing operations, a minimum food and beverage spending requirement is required for the following membership categories: Active Shareholder

7 Spouse of Shareholder (spouses will be given the option of maintaining individual charges that will accrue to a master or "family" account). Associate Senior Corporate The Board of Governors will establish the annual food & beverage requirement that is subject to change at their discretion. In order to minimize administration and avoid member satisfaction issues, the Club will endeavor to track each member's food & beverage spending during the golf season. The assessment period will be from April 1 to October 20. Entry fees for Club tournaments and events will not accrue against the annual assessment. 4. CLUBHOUSE SMOKING POLICY There is no smoking allowed anywhere in the Clubhouse premises at Elmhurst Golf & Country Club. 5. SERVICE AND CONSUMPTION OF ALCOHOL It is the policy of the Elmhurst Golf Club that the responsibility for the conduct of each member and their guests, with respect to the consumption of alcoholic beverages on the premises of the Club and in operating motor vehicles following such consumption, lies with the individual member. The responsibility is not the Club s and shall not be assumed by the Club.

8 Members shall not bring alcohol or consume alcohol, which has been brought onto the Club Premises, without authorization from the Board of Governors. Members shall not knowingly allow their guests to bring or consume alcohol that has been brought onto the Club Premises. Members are expected to conduct themselves, in respect to such consumption of alcohol, with due regard for the common good of the Club, the rights, feelings and safety of other members, their guests and the service staff. In accordance with its legal obligations under The Liquor Control Act of Manitoba, the Club shall instruct each of its employees who serve alcoholic beverages to refuse to serve these beverages to any person requesting this service who is in apparent violation of the law. Whenever a person requesting this service appears to have consumed alcohol to a point of creating a potential danger or inconvenience to themselves or others within the Club premises or those outside the Club premises, they shall also be refused service. Disorderly persons shall be asked to leave the Club premises. It is imperative that the unrestricted judgment of the Club s employee must govern. Such refusal shall at all times be respected and complied with by the members and their guests without adverse comment or breach of the normal decorum expected of a Club member. 6. LOSSES OR DESTRUCTION OF PROPERTY OR INSTANCES OF PERSONAL INJURY Each member, as a condition of membership and each guest, as a condition of invitation to the premises of the Club, assumes sole responsibility for his or her property and personal safety. The Club shall not be responsible for any loss or damage to any private property used or stored on the premises of the Club, whether in lockers or elsewhere nor for any injury to members or guests sustained while at the Club premises. Please be assured however, that our staff is under instructions at all times to take due and reasonable care of property of members and their guests. Members are advised to reconfirm with their insurer to be certain that golf clubs, golf shoes, etc. are included under the personal effects section of their homeowner's insurance policy.

9 7. PRIVATE PARTIES/BANQUETS/WEDDINGS The clubhouse is available for private parties. All arrangements will be made through the Club office. The Board of Governors must authorize any functions requesting closure of the dining room. Club closure for banquets & weddings will only be considered during the months of April and October. II - GOLF COURSE OPERATIONS 1. HOURS OF PLAY Play commences one hour after the opening of the Pro Shop and continues until dusk. The Driving Range will open one half hour before the first scheduled tee time of the day, other than mornings following a driving range clean pick, when the range will be closed until the maintenance staff completes the grass cutting of the driving range. The closing time for the driving range will be at the discretion of the Pro Shop which will allow maximum use while still allowing for the collection of golf balls prior to dark. Approximately one and one half hour before dusk. The Course Superintendent, who has the sole authority as to the commencement of play, governs delays of play due to wet conditions, frost or the well being of turf grass. 2. DRESS CODE Appropriate golf attire is a mandatory requirement for all players and unsuitably dressed golfers will be asked to conform to the code before playing the Elmhurst Golf Course. Please ensure that your guest(s) are aware of this condition. If in doubt, consult the Club Professional, the Pro Shop staff or the Club office.

10 To avoid unnecessary controversy, ensure that the length of shorts extends no shorter than mid-thigh and the design of the shorts is very similar to traditional walking shorts. Clothing not acceptable at Elmhurst: "short shorts", jeans, cut-offs, track shorts, muscle shirts, tank tops, football/hockey/baseball or similar jerseys. If other club members might consider your choice of dress controversial, it is best to consider another clothing selection. Please remember that technically the Dress Code is in effect when you enter through the gate onto the Elmhurst grounds. If you do enter the Elmhurst grounds dressed inappropriately, you must proceed directly to the locker area and change into appropriate dress immediately. Footwear Golf shoes or golf sandals are preferred, but light tread running shoes are acceptable. Dress shoes or sport shoes with rugged or studded soles are not permitted. Spiked golf shoes are no longer permitted on the grounds, and the Pro Shop at the player s expense, prior to playing, will replace spikes with soft spikes. 3. RESERVING TEE TIMES A playing register is maintained in the Pro Shop and all tee time reservations are made either in person at the Pro Shop, by telephone or by the one-line booking system. Reservations are conducted via computerized on-line booking system. Bookings may be made 1 week in advance of desired playing date and must be in the system no later than 3 days prior to the desired playing date. Bookings may be placed via remote computer on-line access or via the computer located in the Pro Shop. The draw for Saturday tee times is conducted on Wednesday evening or Thursday morning.

11 The draw for Sunday/holidays is conducted on Thursday evening or Friday morning. Group bookings are accommodated by the on-line booking system. There must be at least three players for each tee time requested. Contact the Pro Shop Staff for guidance in completing group booking requests. Reservations for the remaining tee times for each of these days can be made using the normal in-person, on-line or phone-in procedures (2 days in advance). Twosomes and singles may be grouped with other players, if available, and at starting times determined by the golf pro shop, if necessary. Singles may put their requests in the system in order to get tee-times in a foursome on weekends. No changes to Tee Sheet are allowed unless approved by the Pro Shop. 4. CANCELLATION OF TEE TIMES To avoid a penalty, please notify the Pro Shop 12 hours prior to tee time for cancellation. Failure to comply on a regular basis may result in tee access being suspended. 5. TEE TIME RESTRICTIONS

12 Unrestricted or Associate Members No restrictions Restricted Members No tee off before 11:00 A.M. on weekends and holidays No tee off from 3:30 to 5:30 P.M. on Tuesdays and Thursdays Intermediate Unrestricted Members No tee off before 10:00 A.M. on weekends and holidays No tee off from 3:30 to 5:30 P.M. on Tuesdays and Thursdays. Junior or Junior Youth No tee off before 1:00 P.M. on weekends and holidays No tee off from 3:30 to 5:30 P.M. weekdays unless special approval is obtained from the Club Professional or an Assistant Professional Corporate Membership Tee times are unrestricted, with the following caveat: that during the prime tee off times on Saturday, Sunday and holidays (meaning prior to 1:00 P.M.) only one (1) guest per foursome is permitted. Anyone not included on the list of four (4) members constitutes a guest. Affiliate Membership A house member can play five (5) games, without the need to play with a member, subject to the same rules as other members regarding prime time guest restrictions. Passes will be issued to members for games. 6. CLUB MATCH PLAY

13 Tee times for match play amongst members are to be by the prescribed booking system but will get preferential treatment over a regular tee time booking. If an unrestricted member is playing a club match with a restricted member, the match may be played during unrestricted tee times. If Match extends beyond 18 holes, the Pro Shop must be notified in order to play through. 7. GUESTS Guest privileges may be extended under the rules and regulations adopted. The Board of Governors will establish from time to time the rate of the daily guest charges for use of the golf facilities. A particular individual using the facilities of the Club as the sponsoring member must register a guest with the Club. Guests may be invited to use the Golf Club facilities no more than five (5) times during any membership year. A member must accompany guests at all times during the use of the Club. During the prime tee-off times on Saturdays, Sundays, and holidays, (meaning prior to 1 PM) only ONE guest per foursome is permitted. Guests from rural Manitoba or from outside of the Province who are not sponsored by Members may be extended playing privileges at the discretion of the Pro Shop providing they present a valid membership card from an RCGA or USGA affiliated Club. All guests are responsible for payment of all charges incurred at the Club. The sponsoring member shall be responsible for all charges incurred by the member's guests that are not paid with the customary billing as per the collection procedure of this Club. If the manner, deportment or appearance of any guest is deemed to be unsatisfactory, the sponsoring member shall, at the request of the Club, cause the guest to leave the premises of the Club. Guest privileges may be denied, withdrawn or revoked at any time for reasons considered sufficient by the Board of Governors.

14 8. SPOUSES OR SIGNIFICANT OTHER OF MEMBER The spouse of a member (boyfriend or girlfriend if the member is single) may be invited to golf at the facility of the club no more than TEN times during the year. The spouse guest rate will be applied if the member tees off after 3:00 P.M. on weekends and holidays. If the member wishes to tee off prior to 3:00 P.M., or at any other time, the current guest green fee rate will apply. 9. POWERED GOLF CARS The club owns, leases and operates the rental fleet of golf cars. Privately owned golf cars are not permitted. Rental registrations and assignments are handled in the Pro Shop based on 2 occupants per cart, 2 sets of golf clubs per cart, the driver holding a valid automobile driver's license or being at least 16 years of age. Operation of a golf car is at the risk of the operator. The cost of repair to a golf car damaged by a member will be charged to said member or in the case of damage by a guest, to the sponsoring member. Members using a golf car will be held fully responsible for any and all damages, including damages to the golf car that are caused by the misuse of the member or their guests, and the members shall reimburse the Club for all expenses the Club may incur by reason of misuse. Power carts must stay 30 ft. from all greens. Obey all cart signs. At green side power carts must stay on cart path, without fail. 11. Temporary Stop

15 All players who stop after playing 9 holes for any reason must occupy the next tee before the following players arrive at the tee or they will lose their position in the flow of play. 12. RAIN CHECK POLICY When rains prevail and cause termination of play, if less than 9 holes are played, a full credit will be extended. Note: rules relating to golf cart rain checks should be addressed to the Pro Shop. 13. lightning In the event of lightning approaching, the Pro Shop will alert players with sounding of a horn. All play must cease immediately and resume only when the danger has passed. 14. TOURNAMENTS Tournaments are considered a revenue center for the Elmhurst Golf & Country Club. During the course of a season, tournaments can be booked through the administration office with the approval of the Director of Golf. The Board of Governors will approve the maximum number of shotgun tournaments of one hundred and twenty (120) players or more. The Board of Directors must approve additional requests or tournaments requiring Club facility closures. III - PLAYING GUIDELINES 1. GENERAL RULES OF PLAY

16 The rules of play shall be those approved by the Royal Canadian Golf Association, and such local rules recorded on the scorecard or temporarily posted on the bulletin board outside the Pro Shop. All regular and corporate members and their guest(s) must register in the Pro Shop before commencing play to optimize utilization of the daily draw and other tee times. Of equal importance, because of the obvious penalty to fellow members, is the need to notify the Pro Shop of cancellations of tee times. The maximum number of times a guest may be invited to use the facilities of the Club is five (5). Every player must have an individual set of golf clubs. Fivesomes are allowed on the golf course prior to 1:00pm weekends & holidays. At other times ONLY at the discretion of the Golf Professional staff. If a playing group fails to keep pace and loses one clear hole on the preceding playing group, they must invite the following group to play through. Players shall only hit their balls when the preceding playing group is far enough ahead that it is safe to do so. Each player is responsible for any loss or damage caused by the flight of his or her ball. Tournaments must be approved in advance by the Director of Golf. Pro Shop staff may be on duty to help regulate play and enforce golf cart regulations. They have full authority on the golf course to enforce all rules and speed of play. Your cooperation is appreciated. In order to provide the utmost playing pleasure for all members, the Club reserves the right, from time to time, to establish rules governing access and starting times with respect to the golf course. Any such rules shall be applied on a fair and equitable basis. 2. Golf course etiquette Players should endeavor to make each round a most pleasant experience. Some suggestions are:

17 Do not waste time. Anticipate the golf club or clubs needed and go directly to your ball. Always be near your ball to play promptly when it is your turn. If the next to play in stroke play is delayed it would be courteous to indicate to the subsequent player next in turn to play. Study and clear the line of your putt while others are doing the same. Be ready to putt when it is your turn. Power cart must be positioned on the cart path no closer than 30 ft. from the green. Do not pull Pull-Carts between green side sand bunkers and the green. When approaching a green, position your golf car or pull cart to the side or rear of the green on a convenient route to the next tee. Never leave your clubs in front of the green, as you will just add to the waiting period of those waiting to hit up to the green. Play ready golf but when not holding your position in the flow of play, please allow a group waiting to play through. Maximum time of play for 18 holes of golf is four hours and fifteen minutes (4:15). Each round that we play entails a personal responsibility for carefully replacing our teeing ground and through the green divots, for restoring uniformity in bunkers and repairing ball and spike damage to greens. Trash receptacles are located conveniently throughout the course. All players must use sand/soil mix and must replace divots immediately, rake bunkers, repair ball marks on greens. 3. PRACTICE PUTTING GREEN Putting is limited to that section of the green where the putting cups are located. Chipping from within 6 feet of the fringe is permitted; chipping from beyond 6 feet of the fringe is not permitted. Pitching is not permitted because of the damage caused by the impact of lofted balls on the practice-putting surface.

18 4. DRIVING RANGE Members have the option of purchasing a seasonal pass or pay-per-bag of balls. The latter option is extended to both member and tournament guests. The hours that the range is open is posted on the bulletin board outside the Pro Shop and is adjusted according to day length throughout the playing season. Occasionally the range is closed for brief periods of maintenance. These times will be posted on the bulletin board outside the Pro Shop. The use of range balls is limited to the range. Hitting balls are restricted to the area-designated daily. Hitting balls from anywhere along the north perimeter of the range cannot be authorized, principally because of the risk of injury from players hitting balls from the other end of the range. Golf cars should only be parked on the path, not on the range. The use of personal ball shaggers is not permitted. Please aim toward the middle of the range to minimize balls lost over the fence on the right side of the range. Proper golf attire is required at all times on the driving range. The person using the driving range has sole responsibility for the flight of his/her ball and any liability that may result there from. 5. Chipping Green and Bunker Practice Please repair all ball marks/divots and rake bunker after use. The practice area is to be used for 10 to 20 yard (maximum) wedges, lobs and sand shots. Do not hit fairway bunker shots from practice bunker. Do not hit any shots in the direction of the practice area (green) from the range tee. Hit from within or forward of markers.

19 IV - PRO SHOP 1. PACE OF PLAY At least one staff member is always on duty to regulate play and to ensure that all general and playing regulations are observed. While monitoring play, the staff member has full authority to remedy any situation not conforming to Elmhurst regulations, including action when necessary to restore a normal flow of play. 2. HANDICAPS Handicaps are computed under the supervision of the Golf Professional and Match & Handicap Chairman in accordance with the current RCGA Handicap System. The handicap computer is located in the Pro Shop. Accurate records are to be kept of the scores turned in and recorded for all rounds played. The Match & Handicap Chairman will determine if there are violations by members in turning in their scores. 3. SERVICES Golf lessons are available through the Pro Shop. Members and guests are invited and encouraged to visit our fully stocked Pro Shop for their golf purchasing needs. V - MEMBERSHIP CATEGORIES Candidates for membership shall be persons interested in the objects of the Club. Membership shall be divided into the following classes, namely: Shareholders and non-shareholders. 1. SHAREHOLDER MEMBERS

20 Each shareholder member, in order to qualify as such, shall be the holder of one share of the capital stock of the Club. 1. All new shareholder members must be sponsored by two (2) shareholders in good standing and approved by the Board of Directors. If the new shareholder does not know a shareholder from Elmhurst, the Board of Directors at its discretion may approve the application. 2. Shares may be transferred to family members as a one-time option, upon written request. Share redemption is available but not on demand -- there may be a waiting list. 2. SHAREHOLDER ENTITLEMENTS Tab signing privileges subject to credit policy Priority on booking wedding receptions with reasonable notice (minimum 180 days) and subject to availability. Voting privileges at all Shareholder meetings and may run for election to the Board of Governors (not applicable for individuals in the deferred share payment plan). 3. SHAREHOLDER'S SPOUSE OR SIGNIFICANT OTHER No Share or Transfer Fee is required. See Membership Categories for privileges and restrictions. 4. UNRESTRICTED MEMBERSHIPS Composition: This is the main body of members of Elmhurst Golf & Country Club with regard to Members, Finances, Club Direction and Stability, and who have complete and full Club Membership in all its aspects.

21 Share is required. Spouse or Significant Other of shareholder members also qualifies. Generally consists up to 375 members in good standing. Comprised of active, associate and corporate members. See Waiting List Policy. Entitlements: Unrestricted tee times. Includes locker, club storage, pull cart, shoe cleaning, and tab signing privileges, subject to credit policy. 4.1 Associate Membership Composition: A special classification created to encourage and assist young golfers by providing rebates against the cost of the transfer fee otherwise payable for membership. This program will apply to young adults that are between the ages of 29 and 34 at April 1st of the year of acceptance into this program. Order of Application Acceptance: 1. Number of years of active membership at Elmhurst as a Junior or Intermediate. 2. Earliest date of application. Any applicant for this category must still make the share deposit and is subject to all its provisions except that the deposit will be applied against the amounts required to be paid in the year of approval for membership. The share will not be issued until the payments have been made for the final year of the program and accordingly anyone in this program will not have the rights of shareholders until that time. If, however, an individual who starts under this plan elects to pay all remaining amounts under this program prior to the normal requirement date, they would qualify as shareholders at the time such payments are made. A time payment plan is available to apportion the cost of the share and transfer fee. Payment is due every April, along with the annual dues for the year. Following complete payment of Share and Transfer Fee, a share

22 is issued. If the member leaves before Share and Transfer Fee costs are paid in full, payments to date are not refundable. Associate category maximum is included in unrestricted membership category. See also Waiting List Policy. 4.2 Corporate Membership Composition: A corporate member can be defined as a Company registered under the laws of Manitoba or in another province of Canada. A corporate membership is comprised of four (4) employees of the corporation. The number of Corporate Memberships available in a given year will be determined by the Board of Governors and may be amended at any time without notification. Qualifications: 1. The Corporate Members must abide by the rules of Elmhurst Golf and Country Club. 2. The Company must have a minimum of four employees on its payroll. A maximum of four designated employees must be listed on the Corporate application. 3. No share purchase is required. 4. There is a food and beverage assessment. The Board of Directors determines the fee. 5. There are no voting privileges included with this membership category. Entitlements: Full - Corporate Membership entitles each Company to a package of one-hundred (100) rounds of golf for the corporate members or their guests. Corporate members bringing guests will be subject to the same restrictions regarding guests as other members.

23 Half - Corporate Membership entitles each Company to a package of fifty (50) rounds of golf for the corporate members or their guests. Corporate members bringing guests will be subject to the same restrictions regarding guests as other members. The Corporate Fee includes the Service Package of one locker, shoe clean for one pair of shoes, golf club storage and cleaning for one set of clubs. Additional locker and club storage may be obtained for an additional fee, subject to availability. Signing privileges for the dining facility and/or Pro Shop must be designated at the start of the golf season and subject to the credit policy. 24 Composition: A membership classification to encourage and develop the active participation in the game of golf for juniors between ages 4-18 inclusive as of April 1st of the year of application. Junior category maximum is 110 and is comprised of Junior, Sponsored Junior, and Junior Youth members. Entitlements: Tab signing privileges, subject to credit policy. Club storage and cleaning. Restricted tee-times: No tee off before 1:00 P.M. on weekends and holidays; No tee off from 3:30 to 5:30 P.M. weekdays unless special approval is obtained from the Club Professional or an Assistant Professional. 6.1 Junior Membership Composition: A membership classification of Juniors whose parents or grandparents are shareholder members, between the ages of inclusive at April 1 st of the year of application. 6.2 Sponsored Junior Membership Composition: A membership classification of Juniors, whose parents or grand-parents are not members, between ages inclusive as of April 1st of the year of application. 6.3 Junior Youth Membership Composition: A membership classification to encourage and develop the active participation in the game of Golf for youth of shareholder members between the ages 4-11 inclusive as of April 1st of the year of application. Parents or grandparents must be members.

25 7. FAMILY MEMBERSHIP Composition: A family membership is achieved if both parents play golf and includes their children ages 18 and under. Proof of age is required for children. Maximum number of members is incorporated in the Unrestricted, Restricted and Junior categories. See also Waiting List Policy. Entitlements: Shareholder & Shareholder spouse - see 4. Unrestricted Membership & 5. Restricted Membership Junior & Junior Youth - see 6. Junior Memberships 8. AFFILLIATE MEMBERSHIP Composition: A membership classification created for non-golfers who wish to use and enjoy the Clubhouse facilities. Comprised of shareholders in good standing. Entitlements: All clubhouse privileges. Tab signing privileges subject to credit policy. Can vote at all Shareholder meetings and may run for election to the Board of Governors. May play five (5) games during a season at restricted times, without the requirement of playing with an active member. 9. HONORARY MEMBERS

26 Composition: The Board of Governors may from time to time elect Honorary members for life or for a limited period. Honorary members shall be entitled to such privileges of the club as the Board of Governors may from time to time determine, but shall not be required to pay any entrance fee or any annual fee. 10. INACTIVE SHARES All shares held by Inactive members will be subject to a share maintenance fee of $ per year. Except where an Inactive member has requested redemption of the share, all unpaid maintenance fees will constitute a lien on the share and the board of governors may sell and dispose of the share to satisfy the lien. All active shareholder members, which includes House and Honorary members, are not required to pay an annual maintenance fee. This fee only applies to shareholders who are no longer Active and wish to maintain a share in good standing. 11. APPLICATION FOR MEMBERSHIP 1. Qualifications: Properly completed Club membership application signed by two current shareholder member sponsors in good standing. Membership applications are to be presented to the Board of Governors prior to approval. 2. Order of Application Acceptance: Earliest application dates in sequential order as received by and approved by the Board of Directors. Staff is permitted to process new memberships, set them up and allow them full use of the Club and golf course during acceptance process by the Board of Directors. In the event that a prospective member does not have a sponsor, the Board may provide authorization. 3. Inactive Shareholders contemplating a move to a membership category MUST file an application according to the normal procedure. If there is a waiting list, the applicant's name will then be added in the next available position without any preference. This requirement serves to assist the Club with managing a Waiting List in a manner equitable to all applicants.

DEFERRED PAYMENT PLAN OF SHARE & TRANSFER FEE Active Membership For first time members, the payment of the share & transfer fee may be paid in the following payment forms: Payment in full at time of application. 5-year payment plan. An administration fee is due in year 1. Associate Membership This membership category allows younger golfers, male and female, ages to purchase a Share. The cost of the Share and the Transfer Fee is based on the age of the applicant upon membership with the individual's age on April 1st being the determining factor for eligibility. A time payment plan is available to apportion the cost of the share and transfer fee over a 5-year period. Payment is due every April, along with the Annual dues for the year. Following complete payment of Share and Transfer Fee, a share is issued. If the member leaves before Share and Transfer costs are paid in full, payments to date are not refundable. VI - PAYMENT OF MEMBER ACCOUNTS & CREDIT POLICIES 1. ANNUAL DUES Members must advise the Club Secretary in writing prior to March 15 th of their intention not to renew their membership or they will be liable for payment of annual dues. Annual dues must be paid by March 31 st. Failure to comply will result in a surcharge being levied in addition to the regular fees together with suspension of privileges regarding use of the clubhouse and grounds. The suspension will be lifted on payment of the amount outstanding. Annual dues are to be paid in one of the following ways: Payment in full prior to April 1st.

28 12-month Payment Plan (November to October). Forfeiture of Share: In the event of failure to pay by April 30 th, the Board of Governors may by resolution declare the members' share forfeited and applied against the outstanding account. All members who have not paid their dues and who have not advised the Club that they do not intend to return in the current season will be sent a letter, advising that they have 10 days to pay the dues or to notify the Club and make arrangements to pay the dues. After the 10- day period, delinquent members will be considered inactive and privileges will be suspended A membership card indicating a Club account number and the type of membership may be issued to the Club member as well as other eligible members of his or her family upon payment of the required dues by the member. Membership cards are not transferable and any person other than the person to whom it is issued may not use a membership card. In the event of a lost or stolen membership card, the Club must be notified immediately. The account will be canceled. Should notification of card loss or theft not be received, the member shall be responsible for all charges placed on the account. The roster or list of members in the Club shall not be used or given to anyone by a member of the Club for any reasons whatsoever and shall be furnished only to members. 2. MONTHLY CHARGES Members' charges are cut off for billing purposes on the last day of each month. Their accounts are due when the monthly statements are rendered and must be paid on or before the last day of the following month. Members with overdue amounts will be charged a service charge of 1.5% per month. Also, overdue amounts can result in the loss of charging privileges and suspension of the member. Charging privileges are not available for junior members unless credit card authorization is received through a parent. Please check with the Club Office for further clarification. 3. PAYMENTS

29 All payments should be made by mail or dropped off in the Office. If you intend to pay by cash, please do so only in person at the Office. The office will give a receipt for all cash payments. The monthly statements can also be paid by Visa or MasterCard if you prefer this method. Credit card authorization forms are available in the Club Office. 4. CURRENT ACCOUNTS Definition: Funds owing for charges incurred in the previous month are current. e.g. Items charged during April will be current during April and until May 31 st. Payment Policy: Statements will be issued monthly to all members and will include all charges incurred up to the last day of the previous month. All payments are due by the last day of the month following the month in which they are incurred. Any payments not received by the last day of the following month will be overdue. 5. OVERDUE ACCOUNTS Definition: Funds owing that have not been paid within 30 days of the end of the month in which they were incurred, are overdue. e.g. Items charged in April are overdue after May 31 st. Payment policy: All statements containing overdue amounts will be stamped overdue as a reminder to the member. Overdue accounts will be charged interest at the rate of 1.5% per month. 6. DELINQUENT ACCOUNTS Definition: Funds owing that have not been paid within 60 days of the end of the month in which they were incurred, are delinquent. e.g. Items charged in April are Delinquent after June 30 th.

30 Payment policy: All statements containing overdue amounts will be stamped overdue as a reminder to the member. Members with delinquent accounts will receive a letter with their statement requesting payment within 10 days. The letter will advise that if payment is not received within 10 days, all club privileges will be revoked until the account is brought to current status. After 10 days, a follow up letter will be sent to confirm the suspended status. 7. DELINQUENT ACCOUNTS & SUSPENSION OF MEMBERS Any member who fails to pay any indebtedness to the club may be suspended from all of the privileges of the clubhouse and grounds. The Board of Governors may by resolution, declare that his or her share in the Club will be forfeited and applied against such indebtedness. The names of all suspended members will be posted on the clubhouse bulletin board and/or listed in the monthly newsletter. 8. CHARGING PRIVILEGES At the discretion of the Board of Directors, future-charging privileges may be revoked or conditions may be applied to such privileges for members with a record of delinquency, such as a credit card payment authorization. 9. CORPORATE MEMBER ACCOUNTS Corporate members of the Elmhurst Golf & Country Club are allowed to have signing privileges for food and beverage or Pro Shop purchases. The four employees must be designated at the start of the golf season. In order to have charging privileges, each employee must provide the administration office with a credit card for processing of payment. If the Corporate Membership prefers to have all charges applied to the master account, this will be subject to the current credit policy.

31 10. MEDICAL REFUND POLICY The Board of Governors reserves the right to require sufficient medical evidence to support any request under this policy. In the event that a member ceases golfing during the playing season due to unanticipated medical reasons, a percentage of membership dues for the current year may be refunded, based on the following schedule: Month of Cessation % of dues April 80% May 60% June 40% July 20% August 0% September 0% October 0% The month of cessation will be the later of the date that the member advises Elmhurst in writing of the circumstances or the date that play actually ceases. Any amount that may be refundable under this policy will first be applied against any amounts owing to Elmhurst Golf and Country Club and will next be applied as a credit toward membership dues for the following season. Medical Refunds will include a category change to House Membership for the current year. Should a member be unable to commence golfing at the start of the golfing season due to medical reasons and wish to commence golfing

32 during the season, the membership dues may be pro-rated on the following schedule: Month of Commencement % of dues payable April 100% May 100% June 100% July 80% August 60% September 40% October 20% In order to qualify for the prorating of the golfing dues, a member must maintain a House Membership, the fees for which will be applied toward the golfing dues upon the member s return to a golfing membership. VIII - GENERAL 1. BRINGING ALCOHOL TO PREMISES Members shall not bring alcohol or consume alcohol, which has been brought onto the Club Premises, without authorization from the Board of Governors. Members shall not knowingly allow their guests to bring or consume alcohol that has been brought onto the Club Premises. 2. MEMBER DISCIPLINE

33 The Board of Governors has the authority to discipline members for non compliance of the rules as set out in the Member Hand Book or for conduct unbecoming a Member or guest of the Elmhurst Golf and Country Club. 3. REQUESTS FOR DONATIONS It is up to the discretion of the General Manager to give donations, either in the form of golf passes or dinner certificates to parties submitting a request. Priority will be given to parties hosting tournaments or banquets at Elmhurst. 4. SUGGESTIONS The Director of Golf and/or the Board of Governors will welcome any suggestions or constructive criticisms provided these are in writing and submitted to the Club Secretary.
